under any of the Factors listed in L.4.1.1.3 (a-c). These may include foreign, federal, state, local municipality, and private industry contracts. For the three contracts, no more than one may be submitted citing performance by a significant subcontractor.

L.4.1.1.1 Individual task orders, delivery orders and work directives issued against broader contract instruments (BPAs, IDIQ Contracts, Requirements Contracts, etc.) are each considered a contract for purposes of the three-contract limitation. The offeror shall not identify broader contract instruments as a recent and relevant contract. Instead, the offeror shall identify an individual task order, delivery order or work directives most reflective of recent and relevant Past Performance.

L.4.1.1.2 Recent contracts are those performed within three years of the date of issuance of this solicitation. A single contract may be applicable to multiple Section C Performance Work Statement (PWS) activities listed under L.4.1.1.3 (a-c) below.

For each of the up to three recent and relevant contracts, the offeror shall send a copy of the past performance questionnaire directly to the appropriate PCO and, if applicable, Contracting Officer's Representative (COR), or other appropriate technical and contracting individuals. The offeror shall request these individuals complete the questionnaire and forward it electronically and directly to email address:

L.4.1.1.6 Corporate Entities. Offeror shall identify any contract submitted under the past performance Factor that was performed by a corporate entity or division other than the corporate entity or division listed as the offeror. In these cases, the proposal shall provide sufficient information to demonstrate the cited past performance can be considered predictive of the offeror's performance under the contemplated contract. Further, the offeror shall provide sufficient detail to explain how the resources under the cited contract would be brought to bear during performance required under this solicitation.

L.4.1.1.7 Predecessor Companies. The Government may consider recent and relevant performance as part of a predecessor company in its evaluation under the Past Performance Factor. If submitting past performance of a predecessor entity, the offeror shall provide the required information for those recent and relevant contracts of that predecessor company. The offeror, in its proposal, provides the written consent of its proposed significant subcontractor(s) to allow the Government to discuss the significant subcontractors past performance with the offeror.

L.4.1.1.9 Past Performance Information. The Government does not assume the duty to search for data to cure problems it finds in proposals. The burden of providing thorough and complete past performance information remains with the offeror. While the Government may elect to consider data obtained from external sources other than the proposal, the burden of providing thorough and complete past performance information rests with the offeror.

L.4.1.1.10 The offeror's response to Volume I shall include the following information for each contract provided under the Past

7 13

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

L.4.3.4 A Cost and Price Summary by CLIN and subCLIN spreadsheet is included in this solicitation as Attachment 0011 (Cost Price Data

Sheet). Offerors shall complete and submit this spreadsheet in accordance with the Instructions located within the attachment. NOTE:

The total cost or price for each CLIN and subCLIN displayed in Attachment 0011 shall match the total cost or price for each CLIN and subCLIN displayed in the offerors data found in the Cost and Price Volume.

L.4.3.5 In accordance with FAR 52.214-35, "Submission of offers in U.S. Currency," all costs and prices shall be in U.S. dollars only, including costs and prices for the offeror and any potential subcontractors.

L.4.3.6 CPIF, CPFF, and Cost No Fee CLINs and subCLINs. Include a top-level spreadsheet, time-phased by offerors fiscal year, and organized by cost element (e.g., Direct Labor, Subcontracts, Material, Other Direct Costs, Overhead/Indirect, Fee) which supports the offeror's proposed cost. The cost breakdown shall be consistent with the offerors cost accounting system.

NOTE 2: For the Facility Management & Maintenance subCLINs the offeror shall submit the facility management and maintenance cost as stated in Attachment 0011. The offeror shall propose a fixed fee to be applied to the facility management and maintenance cost.

L.4.3.6.1 Provide the following information, if applicable, in support of each top-level spreadsheet:

i. A narrative description of the tasks to be performed;

ii. A description of the method used to estimate the hours (identifying assumptions used and any Cost Estimating Relationships);

iii. The calculations showing the computation of the direct labor hours for each specific task; and

iv. A description of each labor category used in the BOE.

(c) The labor rate for each labor category of direct labor, including the basis for the rate and any escalation used.

L.4.3.6.1.2 Major Subcontractors (over 10%)

L.4.3.6.1.2.1 If there are major subcontractors (those subcontractors with a total price exceeding 10% of the total price of all the offerors cost type CLINs), the offeror shall provide cost information from the subcontractor equivalent to that required of the offeror.

Segregate the subcontractor cost information by CLIN and subCLIN, as required of the offeror's cost breakdowns. Include the evaluation of the subcontractor's submission required by FAR 15.404-3(b), "Subcontract Pricing Considerations," and rationale for determining that the subcontract price is reasonable and realistic. In addition, state the type of subcontract the offeror anticipates (e.g. FFP, CPFF).

L.4.3.6.1.2.2 The offeror shall provide the same kind of information for inter-organizational transfers, regardless of dollar value.

Evaluation of this cost data is not required. The offeror shall indicate whether the inter-organizational transfer includes upward or

8 13

downward adjustments for contingencies or negotiation challenges and the supporting rationale.

L.4.3.6.1.2.3 For major subcontractors, if the subcontract is for purchased material and the offeror can demonstrate that the subcontract item is either commercial or based on adequate price competition, the offeror need not provide cost information from the subcontractor. Instead, the offeror shall provide copies of competitive subcontractor price quotes, or the kind of information noted in

FAR 52.215-20(a)(1)(ii).

L.4.3.6.1.2.4 If the major subcontractor declines to provide complete cost proposals to the offeror or higher-tier subcontractor, then those subcontract proposals may be submitted by the subcontractor directly to the PCO using the same submission instructions noted in

L.1. Such submissions shall arrive at or prior to the due date for proposals as noted on the front page of this solicitation.

L.4.3.6.1.3 Non-Major Subcontracts. The offeror shall provide a narrative explaining the method used to develop proposed cost for non-major subcontractors (those subcontractors with a total price below 10% of the total price of all the offerors cost type CLINs), including information about the extent to which the cost is based on vendor quotes, purchase order history, or estimates. This narrative shall indicate whether the amount includes upward or downward adjustments for contingencies or negotiation challenges and supporting rationale. For subcontract costs based on estimates, the offeror shall provide rationale and methodology for how the estimate was developed.

L.4.3.6.1.4 Material. The offeror shall submit the material cost as stated in Attachment 0011. The offeror shall not propose material cost greater than or less than what the solicitation requires. The offeror shall propose a fixed fee to be applied to the material cost.

L.4.3.6.1.5 Other Direct Costs. The offeror shall identify each category of proposed Other Direct Cost, and the dollar amount for each category. The offeror shall provide an explanation of what is included in each category and how it estimated the cost.
