Section A - Solicitation/Contract Form
SECTION A
A1. This solicitation will result in an award of a non-commercial indefinite-delivery indefinite-quantity (IDIQ) contract. The contract ceiling for this requirement is $375,000,000.00. During the performance of the contract, the Government will use the dollar obligation value reported in the Federal Procurement Data System (FPDS) to calculate the contract’s movement towards the ceiling value.
A2. The guaranteed minimum amount is the only guaranteed amount to be awarded under this solicitation and specifically represents the Minimum guaranteed quantity as defined by FAR 52.216-22 contained within this contract. The guaranteed minimum for this contract is €400,000.00. All other estimated quantities, found in this solicitation, to include the Price Book, are estimates only and do not bind the Government in any way. These estimates are not intended as actual amounts, nor are they intended to be not-to-exceed amounts or to limit the scope in any way. A Request for Equitable Adjustment and/or claim for not reaching or exceeding stated quantities within the contract will not be accepted.
A3. The U.S. Government takes no position with regards to the applicability of BGB 613a (German Civil Code) to this requirement or any part thereof. It is the sole responsibility of each offeror to determine the applicability of the BGB 613a as it relates to this requirement or any part thereof. The Government is not responsible for the validity of any information or data provided in the solicitation in regards to BGB 613a.
Offerors’ attention is directed to the terms of clause 252.222-7002 (Compliance with Local Laws (Overseas)), which is incorporated in Section I.
A4. Offerors shall place prices in the Price Book (Solicitation Attachment 04), NOT in Section B of the Solicitation document. The Total Evaluation Price (TEP) will be calculated as the sum of the offeror’s proposed prices for CLINS 0001-0023 and 1002-1022 of the base ordering period and the optional option period. All unit prices and rates that comprise the TEP are contractually binding except Material in CLINs 0003 and 1003, and thus prices must be populated in its respective field of the Price Book.
Offerors shall use their best business judgment in proposing staffing solutions for all contract services. Offerors are on notice that the awardee shall maintain a workforce at all times that is consistent with the contractual requirements and sufficient to perform the work in accordance with the contract’s standards.
A5. The unit prices and rates in the Price Book must be used in determining the pricing for DMOs, PWOs, and P-
PWOs. The quantities stated in the Price Book are estimates only and are not guaranteed or purchased by the contract. Further, the Government may exceed these quantities during the contract. In light of those facts, the Contractor shall not be entitled to an equitable adjustment if the Government’s orders under the contract deviate from the estimated quantities in the Price Book.
A6. Prices in the contract are in Euro only. The Government will not consider any Request for Equitable Adjustment
(REA) as result of exchange rate fluctuations.

Section H - Special Contract Requirements
SECTION H
H1. Task Order (TO) Procedures
a. After requirements at the TO level are determined by the Contracting Officer (KO) to be within scope of the contract, and adequate funding for same has been secured, a TO will be issued against this Contract, in the form of DD Form 1155 Order for Supplies or Services, as follows:
1. Annual TOs for yearly Demand Maintenance Orders (DMOs), Preventive Maintenance Orders (PMOs), Operational Work Orders (OWOs), and Project Work Orders (PWOs). Incremental funding may occur.
2. Individual TOs for P-Project Work Orders (P-PWOs).
3. The Euro equivalent of Dollar threshold amounts listed in CLINs 0018-0022 and 1018-1022 are estimated by using the corresponding fiscal year Department of Defense Foreign Currency Rate for Budget Execution.
b. Project Work Order (PWO):
A PWO is a work order requirement with values of Euro (€) equivalent of $5,000.00 up to the limit set in Ordering Officer (OO) Appointment Letter, and issued by an OO. A P-PWO is a work order requirement issued in the form of a TO by a KO.
All PWOs and P-PWOs will be issued as a negotiated firm fixed price TO. The price of the TO will consist of two (2) elements:
1. The unit price for each PWO or P-PWO as listed in the Price Book for CLINs 0020-0022 and
1020-1022. This unit price accounts for the Contractor’s cost to execute the PWO/P-PWO as well as all indirect costs associated with the effort.
2. The cost for direct labor and material if self-performed by the Contractor, or the cost of subcontractors efforts. Subcontractors efforts shall be documented by including all competitive subcontractors’ pricing. The cost will be negotiated between the Government and the Contractor before the execution of the PWO/P-PWO.
PWOs will be issued by the OO as negotiated firm fixed price orders against an existing TO. The KO will issue TOs to provide funding for PWOs. The OO will initiate the request for Contractor proposal and provide a Statement of Work for the PWO to the Contractor. The Contractor and the DPW may schedule a visit to the relevant site, if needed, where the PWO is to be performed. The Contractor shall provide a proposal to the OO including any subcontractors’ pricing. The Contractor shall provide a copy of the proposal to the KO. The price of the PWO shall separate subcontractors’ pricing and competitive quotes shall be submitted with the proposal. The OO will evaluate the Contractor’s proposal and if accepted will issue an order to the Contractor, against an existing task order.
P-PWOs will be awarded as negotiated firm fixed price. The requirements package, including the Statement of Work, will be forwarded from the DPW to the KO. The KO will request a proposal for the P-PWO from the Contractor. The Contractor, the DPW, and the KO may schedule a visit to the relevant site, if needed, at which the P-PWO is to be performed. The Contractor shall provide a proposal to the KO including any sub-contractors’ pricing. Price of the P-PWO shall separate subcontractors’ pricing and competitive quotes shall be submitted with the proposal. The KO will issue a TO to the Contractor after the KO’s evaluation and approval of the Contractor’s proposal for the P-
PWO.
PWOs and P-PWOs are always subject to negotiation between the OO/KO and the Contractor prior to issuing an order for a PWO/P-PWO. The Contractor shall ensure any subcontractors have the capabilities to fulfil the requirement and the pricing is obtained from competitive quotes. All competitive subcontractors’ pricing will be documented in the proposal.
H2. Submission of Invoices by the Contractor
a. The contractor shall invoice the Government for payment after completion of a task. A task is a single unit of work that consists of GFEBS maintenance orders (DMO, PWO, and P-PWO). The contractor may issue an invoice for one or multiple tasks. If an invoice is submitted for multiple tasks, the contractor shall list all individual GFEBS maintenance orders. The Contractor shall not invoice services without a valid GFEBS order, released/approved by the Government. Total amounts for hours and material posted against GFEBS orders shall match the invoice amounts for tasks reimbursed per hourly rate plus consumed material, total amount of hours and materials in GFEBS shall correspond to invoice amount.
b. All contractor’s issued invoices shall read on the “ISSUED TO” block, as written on the Task
Order, block 14 “SHIP TO”.
c. The Contractor shall email an invoice and supporting excel spreadsheet with individual GFEBS orders, to the COR for review and approval.
c. After the COR has verified the invoice amounts, the COR will send an email to the contractor with concurrence.
d. The Contractor shall submit the invoice via Procurement Integrated Enterprise Environment (PIEE).
e. The Contractor shall enter all labor hours consumed, regardless of how the labor price is set
(e.g., hourly rate, firm fixed price, etc.), to the Enterprise-Wide Contractor Manpower Reporting Application (eCMRA). The contractor shall use GFEBS to record all hours as described in this contract and ensure that all invoice entries related to labor hours correspond to GFEBS and eCMRA entries.
H3. The Government Property Clauses only apply to Contractor Acquired Property (CAP) and do not apply to the Government-furnished property indicated under Attachment 00 Performance Work Statement Annex A, Section 7.4.
Government-furnished property provided in this contract is categorized as Government property that is incidental to the place of performance. The contract requires contractor personnel to be located on a Government site or installation and the property used by the contractor within the location will remain accountable to the Government.
Therefore, IAW FAR Part 45.000 (b)(5), Government provided property under this contract is exempt from the requirements in FAR part 45.
