SCAAP PWS 8
TRANSITION PLAN
(INDIRECT)
1. OBJECTIVE:
1.1. To establish a Transition Plan for the competitive award of the Scranton Army Ammunition Plant (SCAAP) Property Management contract. Upon award of the Property Management contract, the Contractor shall work with the Incumbent contractor of the SCAAP Property Management contract as necessary to ensure a smooth transition of responsibility from the Incumbent to the Contractor. The Contractor shall support timely and effective transfer of plant management operations and maintenance responsibilities from the Incumbent of the SCAAP Property Management contract to the Contractor to sufficiently ensure proper performance of the requirements of the new Property Management contract and its PWS requirements by the Contractor.
2. GENERAL REQUIREMENTS:
2.1. The Contractor shall submit a Start-Up Plan, including a schedule, for Government approval. This Start-Up Plan shall address the interface with the Incumbent and the transition of all Property Management responsibilities as found in this contract, and is described in more detail in paragraph 3, herein. 2.2. Unless otherwise negotiated with the Incumbent and contractually executed by the Government, the terms and conditions of this PWS do not contractually relieve the Incumbent of responsibility under Contract W52P1J-13-D-0071 for SCAAP in any way prior to the end of that contract.
2.3. The Contractor agrees to exercise reasonable efforts and cooperation to affect an orderly and efficient start-up of the new Property Management contract whether or not it involves transition from the Incumbent, as further described in this PWS.
2.4. The Contractor agrees to exercise reasonable efforts and cooperation to affect an orderly and efficient transition to a Successor (either the Government or another Contractor) upon expiration of this Property Management contract, as further described in this PWS.
2.5. The Government will request that the Incumbent act in good faith during this transition period to ensure a smooth transition. The Contractor shall negotiate in good faith with the Incumbent, and the Government as required, to determine the nature and extent of any transition support to effect a timely and cost effective transition.
2.6. Unless otherwise approved by the Government in advance, the Contractor’s efforts, as well as the Incumbent’s transition support, shall be at the Contractor’s expense. Coordination with the Incumbent may start sooner than the Government’s notification to the Incumbent, and Incumbent support may be utilized as necessary, if the Incumbent is amenable; stated support is also at the Contractor’s expense.
2.7. Agreements between the Contractor and Incumbent defining the work content, terms, conditions, ongoing production, etc., shall be negotiated between those two parties, separately and apart from this PWS.
2.8. The Contractor shall assume that all standard operating procedures, maintenance procedures, and safety plans or procedures must be reconstituted.
3. CONTRACT START-UP & START-UP PLAN:
3.1. The Contractor shall develop a Start-up plan that addresses the transition of responsibilities from the Incumbent to the Contractor and an applicable timelines for these activities. Unless otherwise agreed upon by the Government, the timeline should allow for the transition of all Property Management activities no later than the end of Contract W52P1J-13-D-0071.
3.2. The Contractor’s Start-Up plan shall be submitted to the Government for review and approval. Government approval must be obtained prior to receiving the Notice to Proceed I, as described in paragraph 4.
3.3. The Contractor shall submit any changes to its Start-Up plan for Government review and approval, prior to implementation.
3.4. The Start-up plan shall include but is not limited to the activities listed below:
3.4.1. Specify a personnel training program and a date for assumption of responsibilities for each PWS and Property Management requirement described in the contract.
3.4.2. Identify the specific activities required by the PWS and the dates by which such activities must be accomplished. In the case of a transition, specific activities shall be described that will be required of both the Incumbent and Contractor to support the Contractor’s transition, and the dates by which such work must be accomplished. The Start-up plan should address, but is not limited to, all PWS and property management requirements attached to this contract as well as:
· Provision of required on-site office space, communications, and utilities for Contractor transition offices during the transition period.
· Non-interference access to operating areas.
· Transfer/novation of licenses, permits, leases, subcontracts, and support activities.
· Retention and/or transfer of records, including technical data previously acquired by the Government.
3.5. The Contractor shall participate in Contract Start-up or Transition Integrated Process Teams (IPTs) with employees of the Government and the Incumbent (if applicable). The Contractor shall maintain and share with other IPT members’ status information showing start-up tasks, progress on each task, and expected completion dates.
3.6. The Contractor may, with permission of the Incumbent’s individual employees, conduct on-site interviews with said employees, at times and locations reasonably convenient for the Incumbent, the employees, and the Contractor. If selected employees are agreeable to the change, the Contractor may hire them at dates mutually agreeable to the Contractor and individual employees. Any transfer of earned fringe benefits (paid time off and pension) shall be negotiated by the Contractor, Incumbent, and any applicable unions and will comply with all applicable laws.
4. NOTICE TO PROCEED (NTP):
4.1. There will be two Notices to Proceed (NTP) from the Government. NTP I will allow the Contractor to begin preparations for the operation of SCAAP. The Contractor shall not have responsibility for SCAAP until NTP II is provided. NTP II allows the Contractor to assume responsibility for SCAAP and will coincide with the end of contract W52P1J-13-D-0071.
4.2. The intent of NTP I is to provide formal notification to the contractor to begin transition activities. NTP I will be provided upon approval of the Contractor’s Start-Up plan. Work performed during this period will allow for timely NTP II notification. NTP I activities should include but are not limited to:
NTP I Activities:
· Establishment of a workforce
· Applying for the transfer of permits
· Creating procedures, policies, safety plans, and preparation for manufacturing
· Work with the incumbent to synchronize and facilitate transition (if applicable)
· Coordinate progress with Contracting Officer
· Develop and initiate plans for all PWS’s requirements including:
· Environmental
· Facility Plans, Strategies, and Analyses
· Occupational Health/Industrial Hygiene
· Maintenance
· Utilities and Energy
· Government Property
· Safety
· Installation Security/Antiterrorism
· ARMS
· LIF
· MIF
4.3. The intent of NTP II is to provide formal notice to the contractor to assume responsibility for Property Management and PWS requirements. Events required to achieve NTP II should include but are not limited to:
Events Necessary to Achieve NTP II:
· All applicable permits in place or interim approval with a planned path forward in place.
· Management oversight in place for operation of all Transition areas.
· Plan submitted for having hired and trained workforce in place for operation of all Transition areas.
· Processes/procedures in place for all Transition areas to meet process, safety, and management requirements.
· Evidence of liability coverage for full responsibility of the plant provided to the Contracting Officer.
· If it is expected that the Incumbent will maintain a presence after the NTP II notice is granted to the Contractor, a plan for the management of liabilities and dispute resolution between contractors is required.
· Identification and plan for long lead time or critical production components.
4.4. While no timeline is mandated to achieve NTP II, the Government believes that accomplishing the necessary events in preparation of the NTP II will require at least 90 days from contract award.
4.5. Regardless of timeline, responsibility of the plant will not pass to the Contractor until the NTP II notice is provided. In the event that the Incumbent is the successful offeror, transition to the new contract will be handled in the same manner, and NTP II events will remain as a requirement for transition into the new contract structure.
5. DIRECT FUNDED PWS REQUIREMENTS:
5.1. The Contractor is required to perform direct funded PWS requirements upon task order award for those services.
Direct Funded which may begin prior to NTP II:
· SCAAP Government Staff Supply Support
· Armament Retooling and Manufacturing Support (ARMS) PWS
6. SUCCESSOR CONTRACT TRANSITION:
6.1. At the end of the performance period of this Property Management contract, if the Contractor is not selected by the Government for the follow-on Property Management contract, the Contractor shall:
6.1.1. Furnish transition services for up to 90 days. The 90 days shall be for the final 90 days of the Contractor’s period of performance, or such other date mutually agreed to in writing by the Contractor and the Government.
6.1.2. Negotiate in good faith a plan with the Successor to determine the nature and extent of transition services required. The Contractor shall cooperate and provide input to the Successor to allow them to develop and submit a transition plan to the Government.
6.1.3. Participate in Transition IPTs with employees of the Government and the Successor (if other than the Government). Maintain and share with other IPT members the status information showing transition tasks assigned to the Contractor, progress on each task, and expected completion dates.
6.1.4. Refrain from the destruction of records until such time as the Transition Plan from the Successor has been approved by the PCO. The Contractor shall not conduct any mass purge or destruction of documents, especially during transition, and shall not purge or destroy any records and manuals necessary for operations and maintenance of the plant. The Contractor may purge or destroy routine records in the normal course of their business operations during the course of the contract, and preceding Transition.
6.1.5. Provide an updated to all of the information in the Technical Library/Intellectual Property that was provided to the Contractor at the start of this Property Management contract. This includes, but is not limited to, any changes in the manufacturing process due to approved Engineering Change Proposals (ECPs), upgrades in Government-owned equipment, and changes in inspection methods, equipment, or gaging.
6.1.6. Negotiate in good faith with the Successor for the timely and cost effective execution of activities performed pursuant to this PWS and the associated Successor’s Transition Plan. If the Successor is another contractor, unless otherwise approved by the PCO in advance, the Contractor’s efforts shall be at the Successor’s expense and the agreements between the Contractor and Successor defining the work content, terms, and conditions, shall be separate and apart from this PWS. If the Successor is the Government, subject to the availability of funds and only as directed by the PCO, the Contractor may be reimbursed for all reasonable, allowable, and allocable phase-in, phase-out costs associated with this Transition PWS. If applicable, the Government payment for services provided under this PWS will include a negotiated fee. Government payment for services shall otherwise comply with the requirements for cost-plus-fixed-fee type contracts as set forth in FAR 16.306. The negotiated fee shall be IAW and not exceed the statutory limits imposed by 10 USC 2306(d), and as set forth in FAR 15.404-4(c)(4)(i)(C).
DEFINITION OF KEY TERMS:
· Incumbent: General Dynamics-Ordnances and Tactical Systems (GD-OTS) is the current operating contractor of under Contract W52P1J-13-D-0071.
· Contractor: The operating contractor of SCAAP once this Property Management contract is awarded.
· Successor: The operating contractor of SCAAP once a follow-on contract is awarded (expected award is FY32 based on the FY18 contract that was awarded with an initial five (5) year contract with (2) two additional (5) five year option periods. An award in FY32 is not guaranteed).
