About this file

This is a Request for Proposals (RFP) for Satellite Communications (SATCOM) Terminals Maintenance Support (STMS) services issued by the Army Contracting Command at Aberdeen Proving Ground. The RFP (W15P7T-25-R-0016) seeks a contractor to operate the SATCOM Maintenance Center (SMC), a 24/7 facility at Aberdeen Proving Ground, MD that provides tracking, maintenance, and logistical warehouse support for multiple SATCOM terminal programs including DKET, SNAP, mVSAT, GATR, USMC VSATs, T2C2, and ISA systems.

The RFP is structured as an 8(a) competitive set-aside with a period of performance consisting of one base year and four option years, with projected award in April 2025. The contract will use a hybrid of Cost Plus Fixed Fee (CPFF) and Cost-No Fee contract types. The incumbent is Linchpin Solutions, Inc. Key requirements include operating the SMC facility, providing 24/7 helpdesk support, maintaining SATCOM Terminal Remote Monitoring and Management (STRMM) capabilities, managing CONUS/OCONUS warehouses, and tracking metrics like mean time between failures, repair costs, and fault analysis. The contractor must establish operations in Kuwait through a bridge company and in Germany through a GmbH. Proposals are evaluated on Technical capability (acceptable/unacceptable), Past Performance (confidence assessment), and Cost/Price factors, with Past Performance significantly more important than Cost/Price in the best value tradeoff.

A. BACKGROUND AND OBJECTIVES

This acquisition supports PEO C3Ns mission by providing Satellite Communications (SATCOM) Terminals Maintenance Support (STMS) for

Product Lead Commercial Satellite Terminals Program (PdL CSTP).

The STMS services will provide tracking for all failures and trouble tickets associated to outages, repairs, and maintenance of satellite terminals and systems. The requirement includes managing the SATCOM Maintenance Center (SMC), a 24 hours a day/seven (7) days a week (24/7) facility located on Aberdeen Proving Ground, MD (APG, MD), that provides tracking for all assets, operational and spared, worldwide, as well as logistical warehouse support for multiple programs and systems to include, but not limited to, Deployable Ku Earth

Terminal (DKET), Secure Internet Protocol Router and Non-classified Internet Protocol Router (SIPR/NIPR) Access Point (SNAP), Micro Very

Small Aperture Terminal (VSAT), Ground to Air Transmit and Receive (GATR), United States Marine Corps (USMC) Very Small Aperture

Terminal System (VSATs), Transportable Tactical Command Communications (T2C2), and Inflatable SATCOM Antenna.

The STMS will allow for data share amongst programs to identify mean time between failures (MTBF), repair or replacement costs, shipping, configuration management, Item Unique Identification (IUID) implementation and tracking, trend, and fault analysis. The STMS support includes managing and maintaining logistical capabilities through logistics personnel support that manage shipping, receiving, tracking, inventorying, maintenance, and the organization of the Continental United States (CONUS) and Outside of Continental United

States (OCONUS) warehouses. Additionally, the STMS provides Engineering and Technical support services to assist with technical requirements, Trouble Ticketing, and maintaining the SATCOM Terminal Remote Monitoring and Management (STRMM). The STRMM network provides near real time remote access to all Terminals, so the SMC has the visibility needed to provide the support needed to maintain mission success.

B. ACQUISITION STRATEGY

The program will be acquired on an 8(a) Set-Aside (FAR 19.8) competitive basis utilizing Tradeoff procedures to obtain best value for the Government. The Source Selection Evaluation Board (SSEB) will establish the Factors and Subfactors to be evaluated utilizing a hybrid approach. Technical will be evaluated on an acceptable or unacceptable basis against minimum stated requirements. Past

Performance will be evaluated based on a Confidence Assessment approach.

This acquisition is restricted to certified 8(a) vendors as a small business set aside.

Once the formal RFP is issued, potential Offerors will be provided thirty (30) calendar days to prepare proposals. All proposals will be evaluated in accordance with an approved SSP and the terms of the RFP. The Government intends to issue one (1) contract for STMS services to an eligible 8(a) vendor.

The North American Industry Standard Classification Code assigned to this requirement is 541330, size standard $25.5 Million. The period of performance is for a total of 60 months which includes one (1) twelve (12) month Base Period, and four (4) separate twelve month

Option Periods.

Offerors are cautioned that the Government may make award based on initial proposal submissions without discussions. Therefore, the

Offeror's initial proposal should contain the Offeror's best terms from a Technical and Cost/Price standpoint. Proposals with an omission or unclear proposals may be judged to mean the contractor does not fully understand the requirements or understand what it takes to meet or exceed the requirements, regardless of the proposed cost/price. In that case, the Offeror may be found unacceptable and ineligible for award. The Government reserves the right to conduct discussions if the Contracting Officer determines them to be necessary.

The Government will not reimburse any offeror for bid and proposal costs, as a contract line item, associated with responding to this solicitation. The award of this contract is subject to the availability of adequate funds. The Government reserves the right to cancel this requirement at any time without being responsible for bid and proposal costs.

According to clause 52.217-8 "Option to Extend Services", The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 14 days.

G.5 INVOICING FOR RATES THAT DEVIATE FROM PROPOSED RATES:

G.5.1 Contract Performance Assessment Reporting System- CPARS

G.5.1.1 If in any performance period, the Contractor is projecting a cost overrun in excess of 10% of the proposed estimated cost for that period, which is determined to not be a result of Government direction and not attributable to Forward Pricing Rate Agreement

(FPRA) changes, the projected cost overrun may trigger a Show Cause or Termination for Default subject to the Contracting Officers discretion. Note: Contractors proposing at current FPRA rates and invoicing at current Provisional Billing rates will not trigger a Show

Cause or termination for Default.

G.5.1.2 If in performance of the Contract, the Contractor incurs a cost overrun of greater than 5% and less than 10% during that CPARS evaluation period, which is determined not to be a result of Government direction or Contractor Provisional Billing rates, the

Contractor shall receive a Marginal rating for that periods CPARS cost element.

G.5.1.3 If in performance of the Contract, the Contractor incurs a cost overrun greater than 10% during that CPARS evaluation period, which is determined not to be a result of Government direction or Contractor Provisional Billing rates, the Contractor shall receive an

Unsatisfactory rating for that periods CPARS cost element.

G.5.1.4 In regards to cost overruns and estimated costs mentioned in paragraphs G.5.1.1 through G.5.1.3, the Government will be comparing actual cost of work performed to estimated cost at the end of each contract period. Contractors are cautioned that costs should be directly proportional to hours expended, and if in excess, may be considered a cost overrun by the Government.

SECTION H - SPECIAL CONTRACT REQUIREMENTS

Army Contracting Writing System (ACWS) Transition Information for Offerors__________________________________________________________________________

a. The Army Contracting Enterprise (ACE) is in the process of deploying new solicitation and contract writing software to Army contracting offices worldwide. Known as the Army Contract Writing System (ACWS), this modern software suite will soon replace most existing Army contract writing systems, including the system used to create and release this Solicitation.

b. During this transition period, Offerors are hereby advised:

1. The Contracting Office may use any combination of contract writing systems to create and release documents related to this solicitation (e.g. solicitation amendments and awards, if any). Due to this:

i. This solicitation may contain different offer submission instructions than other solicitations released by the same Contracting

Office (e.g. requiring offer submission via the PIEE Solicitation Module vs. e-mail). Offerors should review all offer submission instructions contained in the solicitation documents and direct any questions or concerns to the Contract Specialist or Contracting

Officer.

ii. If the Contracting Office switches contract writing systems prior to award, documents you receive from the Contracting Officer or view on SAM.gov or other forums may appear noticeably different than the initial solicitation or previous solicitations or awards from the same Contracting Office. This is normal and expected.

iii. A change between contract writing systems may cause important information concerning solicitation response (amendments) or accepted terms (awards) to take on different formatting or appear in different parts of later documents issued. Offerors shall review all documents carefully to locate this important information and direct any questions or concerns to the Contract Specialist or Contracting

Officer.

2. The Government does not intend to use the transition between contract writing systems to effect any changes to solicitation or award terms and conditions without accompanying document narratives explicitly stating such changes are deliberate and desired. While the

Contract Specialist and Contracting Officer will take care to minimize or eliminate any inadvertent changes when adapting to the new contract writing software, you, as the Offeror, may still be the first to spot such errors. Therefore, Offerors shall:

i. Notify the Contracting Officer immediately if any observed changes, removals, or additions affect your award eligibility, violate or alter existing quote/proposal terms, or could affect Contract performance post-award.

ii. Take special care to ensure all fill-in Clauses are populated and remain populated across documents received from the Contracting

Office throughout the Solicitation and Award process.

iii. Contact the Contracting Officer listed on the first page of the solicitation or solicitation amendment for guidance if you notice or suspect any inadvertent change has occurred between document issuances.

3. The Contracting Officer will correct problems affecting award documents (if any) via bilateral modification, at no cost to the

Contractor. Any such modification will reconcile the award with the latest version of this solicitation reflecting deliberate action by the Contracting Officer (e.g. the first issuance if no amendments, or the latest amendment with accompanying narratives), inclusive of any documented pre-award negotiations or accepted supplemental offer terms.

4. In the unlikely event a network disruption, contract writing system error, or financial system error threatens timely award of the requirement set forth in this solicitation, the Contracting Officer:

i. May elect to use alternative mechanisms to obligate funds and allow work or deliveries to legally begin to the benefit of, and with legal protection for, both parties.

ii. Will incorporate the latest version of this Solicitation into such mechanisms to serve as a framework for contract execution until any such system problems are resolved.

iii. Will ensure any action taken does not conflict with the stated offer evaluation and award methodology of this requirement.

iv. Will issue a complete, properly-formatted award accurately reflecting this requirement and all applicable terms and conditions once systems return to normal.

I-87 52.216-7 ALLOWABLE COST AND PAYMENT AUG/2018

(a) Invoicing.

(1) The Government will make payments to the Contractor when requested as work progresses, but (except for small business concerns) not more often than once every 2 weeks, in amounts determined to be allowable by the Contracting Officer in accordance with Federal

Acquisition Regulation (FAR) Subpart 31.2 in effect on the date of this contract and the terms of this contract. The Contractor may submit to an authorized representative of the Contracting Officer, in such form and reasonable detail as the representative may require, an invoice or voucher supported by a statement of the claimed allowable cost for performing this contract.

(2) Contract financing payments are not subject to the interest penalty provisions of the Prompt Payment Act. Interim payments made prior to the final payment under the contract are contract financing payments, except interim payments if this contract contains

Alternate I to the clause at 52.232-25.

(3) The designated payment office will make interim payments for contract financing on the 30th day after the designated billing office receives a proper payment request. In the event that the Government requires an audit or other review of a specific payment request to ensure compliance with the terms and conditions of the contract, the designated payment office is not compelled to make payment by the specified due date.

(b) Reimbursing costs.

(1) For the purpose of reimbursing allowable costs (except as provided in subparagraph (b)(2) of this clause, with respect to pension, deferred profit sharing, and employee stock ownership plan contributions), the term costs includes only --

(i) Those recorded costs that, at the time of the request for reimbursement, the Contractor has paid by cash, check, or other form of actual payment for items or services purchased directly for the contract;

(ii) When the Contractor is not delinquent in paying costs of contract performance in the ordinary course of business, costs incurred, but not necessarily paid, for --

(A) Supplies and services purchased directly for the contract and associated financing payments to subcontractors, provided payments determined due will be made

(1) In accordance with the terms and conditions of a subcontract or invoice; and

(2) Ordinarily within 30 days of the submission of the Contractors payment request to the Government;

(B) Materials issued from the Contractors inventory and placed in the production process for use on the contract;

(C) Direct labor;

(D) Direct travel;

(E) Other direct in-house costs; and

(F) Properly allocable and allowable indirect costs, as shown in the records maintained by the Contractor for purposes of obtaining reimbursement under Government contracts; and

(iii) The amount of financing payments that have been paid by cash, check or other form of payment to subcontractors.

(2) Accrued costs of Contractor contributions under employee pension plans shall be excluded until actually paid unless--

(i) The Contractors practice is to make contributions to the retirement fund quarterly or more frequently; and

(ii) The contribution does not remain unpaid 30 days after the end of the applicable quarter or shorter payment period (any contribution remaining unpaid shall be excluded from the Contractors indirect costs for payment purposes).

(3) Notwithstanding the audit and adjustment of invoices or vouchers under paragraph (g) of this clause, allowable indirect costs under this contract shall be obtained by applying indirect cost rates established in accordance with paragraph (d) of this clause.

(4) Any statements in specifications or other documents incorporated in this contract by reference designating performance of services or furnishing of materials at the Contractors expense or at no cost to the Government shall be disregarded for purposes of

cost-reimbursement under this clause.

(c) Small business concerns. A small business concern may receive more frequent payments than every 2 weeks.

(d) Final indirect cost rates.

(1) Final annual indirect cost rates and the appropriate bases shall be established in accordance with Subpart 42.7 of the Federal

Acquisition Regulation (FAR) in effect for the period covered by the indirect cost rate proposal.

(2)(i) The Contractor shall submit an adequate final indirect cost rate proposal to the Contracting Officer (or cognizant Federal agency official) and auditor within the 6-month period following the expiration of each of its fiscal years. Reasonable extensions, for exceptional circumstances only, may be requested in writing by the Contractor and granted in writing by the Contracting Officer. The

Contractor shall support its proposal with adequate supporting data.

(ii) The proposed rates shall be based on the Contractors actual cost experience for that period. The appropriate Government representative and the Contractor shall establish the final indirect cost rates as promptly as practical after receipt of the

Contractors proposal.

(iii) An adequate indirect cost rate proposal shall include the following data unless otherwise specified by the cognizant Federal agency official:

(A) Summary of all claimed indirect expense rates, including pool, base, and calculated indirect rate.

(B) General and Administrative expenses (final indirect cost pool). Schedule of claimed expenses by element of cost as identified in accounting records (Chart of Accounts).

(D) Occupancy expenses (intermediate indirect cost pool). Schedule of claimed expenses by element of cost as identified in accounting records (Chart of Accounts) and expense reallocation to final indirect cost pools.

(E) Claimed allocation bases, by element of cost, used to distribute indirect costs.
