About this file
This document is a bid amendment for a state and local contract opportunity in New Jersey. The New Jersey Department of the Treasury, Division of Purchase and Property Procurement Bureau is soliciting quotes for a Supplemental Nutrition Assistance Program (SNAP) and Electronic Benefits Transfer (EBT) services contract, identified as Bid Solicitation #20DPP00468 T1087. The bid amendment provides answers to vendor questions, revises the bid solicitation and price sheet, extends the quote submission due date, and provides updated attachments. The initial contract term is for 5 years.
The revised price sheet uses a Cost per Case per Month (CPCM) model. There are no set-aside goals, but the state requests vendors subcontract with Small Business Enterprise (SBE) and Disabled Veteran-Owned Business (DVOB) companies. The state does not provide an anticipated award date. The incumbent vendor's performance history is not detailed, as there have been no issues under the current contract.

Section Reference Question (Bolded) and Answer
40
Section 4.4
This section states that the Quote should be submitted in three (3) volumes. The content of volume 2 includes Section 3A - Any other miscellaneous documents to be included by the Vendor {Bidder}. Questions:
1) The Bid Solicitation specifies a number of draft documents that the Vendor {Bidder} is required to submit with their Technical Quote. Does the State want these documents to be included within this section or as separate documents (loaded as attachments in NJSTART)?
The Vendor {Bidder} may submit draft plans as required by the Bid Solicitation Section 4.4 Quote Content in Section 2 Technical Quote.
2) If the latter, then what other documents should be included in this section?
The Vendor {Bidder} should review Bid Solicitation Section 4 and submit all required documents. Any additional documents that the Vendor {Bidder} may wish to provide with its Quote to demonstrate its technical ability to State may be included in Section 4 of its Quote.
41
Section 4.4.1.1; Offer and Acceptance Form
Will the State consider modifying certification statement (2) to state “any material terms and conditions”, and remove certification statement (3)?
The State does not accept the proposed modification.
42
Section 4.4.1.1; Offer and Acceptance Form
At what point in the process is the Acceptance of Offer signed by the State and written notice to proceed provided to the awarded Vendor?
The Offer and Acceptance Page is signed by the State as the final step in the award process, commencing the Blanket P.O. effective date.
43
Section 4.4.1.1
Will the State share the date it anticipates making its Award announcement?
No, the State is unable to provide or share an anticipated date of award or announcement of an award at this time. The award date is dependent upon several factors, including the number and length of proposals received and the evaluation of those proposals.
44
Section 4.4.1.1.3
The link for the Ethics Guide does not work. Would the State please provide an updated link?
The updated link is shown below:
https://www.state.nj.us/treasury/purchase/ethics.shtml
Please see the T1087 Revised Bid Solicitation 03/23/2021, Section 4.4.1.1.3.
45
Section 4.4.1.3
Would the State please clarify that there is no set-aside goals for both small and disabled veteran business?
The set-aside goal for this Bid Solicitation is Small Business Enterprise (SBE) and Disabled Veteran-Owned Business (DVOB) is for Subcontracting only. The State requests that any Vendor {Bidder} that intends to subcontract make a good faith effort to utilize SBE and/or DVOB companies.
Please see the cover page of T1087 Revised Bid Solicitation 03/23/2021, for this designation, and Section 4.4.1.6 for additional details on subcontracting.
46
Section 4.4.1.3
The last sentence on this form states, “If the Bid Solicitation has subcontracting set-aside goals, and the Vendor has not achieved the goals, Vendor must attach information documenting its good faith effort to achieve the goals.” What are the specific goals of this RFP related to the use of subcontracting set-asides for small and disabled veteran owned businesses?
Please see answer to question #45.
47
Section 4.4.3 Technical Quote, 4.4.3.1 Management Overview, and 4.4.3.2 Blanket P.O. Management
RFP states: 4.4.3 - In this section, the Vendor {Bidder} shall describe its approach and plans for accomplishing the work outlined in the Scope of Work section, i.e., Section 3.0 and 4.4.3.1 Management Overview - The Vendor {Bidder} shall set forth its overall technical approach and plans to meet the requirements of the Bid Solicitation in narrative format... This narrative should demonstrate to the State that the Vendor's {Bidder's} general approach and plans to undertake and complete the Blanket P.O. are appropriate to the tasks and subtasks involved. 4.4.3.2 Blanket P.O. Management - The Vendor {Bidder} should describe its specific plans to manage, control and supervise the Blanket P.O. to ensure satisfactory Blanket P.O. completion according to the required schedule.
Questions: The Bid Solicitation asks for Vendors {Bidders} to describe their technical approach and plans to successfully complete the Bid Solicitation.
A. Is it the intent that Section 3.0 Scope of Work items be added under appropriate sub-sections of Sections 4.4.3, 4.4.3.1, and 4.4.3.2, with detailed descriptions of how the Vendor will deliver these tasks? Or does the State want an overview only of how the Vendor will manage the Blanket P.O.?
Yes, the Vendor’s {Bidder’s} submission for Bid Solicitation Section 4.4.3 and subsections should be directly related and or in response to Bid Solicitation Section 3.0 Scope of Work. The Vendor {Bidder} should include the level of detail it determines necessary to assist the evaluation committee in its review of the Vendor’s {Bidder’s} Quote. Mere reiterations of Bid Solicitation tasks and subtasks are strongly discouraged, as they do not provide insight into the Vendor’s {Bidder’s} approach to complete the Blanket P.O.
B. Does the State have a minimum set of sections from the Scope of Work that require a detailed response?
No, the State does not have a minimum set of Sections from Bid Solicitation Section 3.0 Scope of Work that require a detailed response. As per Bid Solicitation Section 4.4.3, the Vendor {Bidder} shall describe its approach and plans for accomplishing the work outlined Bid Solicitation Section 3.0. The Vendor {Bidder} must set forth its understanding of the requirements of this Bid Solicitation and its approach to successfully complete the Blanket P.O. with the level of detail it determines necessary to assist the evaluation committee in its review of the Vendor’s {Bidder’s} Quote.
Mere reiterations of Bid Solicitation tasks and subtasks are strongly discouraged, as they do not provide insight into the Vendor’s {Bidder’s} approach to complete the Blanket P.O.
48
Section 4.4.3 and 4.4.3.1, Page 95
The RFP asks Vendors for their technical and management plans and approach to successfully complete the project, and states that reiteration of the tasks and subtasks is discouraged. Will the State confirm that it does not intend, or desire, for Vendors to answer to every item in Section 3.0, Scope of Work, but rather intends for Vendors ”proposals to be comprised of a narrative of how they will manage the project to deliver the functionality required, the requested draft plans, resumes, narrative of qualifications/experience, and a completed pricing sheet”
Please see the answer to question #47.
49
Section 4.4.3.3.1 through 4.4.3.3.5, Pages 95-97
Is it the State’s intent for bidders to provide with their proposals separate stand-alone document (plans) for each of the 16 plans referenced in these sections?
Please see the answer to question #40.
50
Section 4.4.3.3.1 and 4.4.3.3.5, Pages 95-98
With regard to the numerous draft plans seemingly required in these two sections, such plans are normally compiled following extensive discussion with a State’s project team in order to accurately reflect the State’s unique requirements and configurations. These documents are not compiled in a vacuum without client input. In addition, many of these are project documents that are shared with our contracted clients, but not made publicly available. By including such documents in a proposal response, they become part of the public record and subject to public records requests. Thus, enabling any other Vendors access to work product that we consider confidential. To meet these requirements, will the State accept a draft Project Management Plan which describes how the Vendor will compile and deliver all the other documentation deliverables described here?
For a Vendor’s {Bidder’s} Quote to be considered responsive and eligible for Blanket P.O. award, it must submit all plans required as per Bid Solicitation 4.4.3. Draft plans submitted with the Vendor’s {Bidder’s} Quote are not considered final plans. T1087 Revised Bid Solicitation 03/23/2021, Section 4.4.3.3 has been revised.
Proprietary and confidential information may be exempt from public disclosure as per the Open Public Records Act (OPRA) and/or the common law. If the Vendor {Bidder} believes any portion of its submitted draft plans, or Quote, to be confidential, trade secret, or proprietary, it may identify and request this information to be redacted by the State.
Please see Bid Solicitation Section 1.4.4 for additional details regarding confidential information and Quote redactions.
51
Section 4.4.3.3.1 and 4.4.3.3.6, Page 95-98
How will the State evaluate and score the draft plans?
Draft plans will be scored as part of the entire technical Quote in accordance with Bid Solicitation Section 6.7.1.The State is unable to provide the specific weights of the criteria listed in Bid Solicitation Section 6.7.1 until after the evaluation is completed and the award has been determined.
52
Section 4.4.3.3.5.A.1
How is this draft Project Management Plan different from the Blanket P.O. Schedule required in 4.4.3.3.1?
The Project Management Plan should include specific and detailed information regarding goals and specific tasks pursuant to T1087 Revised Bid Solicitation 03/23/2021, Section 3.11.1. The Blanket P.O. Schedule as per T1087 Revised Bid Solicitation Section 4.4.3.3.1 is no longer required.
Please see the T1087 Revised Bid Solicitation 03/23/2021, Section 4.4.3.3.1.
53
Section 4.4.3.3.5.A
Please describe what plan is to be provided in response to item 5
“Transaction processing”. Is this a reconciliation plan, administrative user document, retailer manual or something different?
This requirement has been removed from T1087 Revised Bid Solicitation 03/23/2021, Section 4.4.3.3.5.
Please see the requirements for this plan as per T1087 Revised Bid Solicitation 03/23/2021.
54
Section 4.4.3.3.5 B
Letter B provides a list of plans that need to be included as part of the draft Work Plan. Do you mean for this to read the draft Project Management Plan rather than the work plan?
The Work Plan is a component of the Project Management Plan. Reference to the Work Plan in T1087 Revised Bid Solicitation Section 4.4.3.3.5 B has been removed. All required components of the draft Work Plan as described in T1087 Revised Bid Solicitation 03/23/2021, Section 3.11.1 shall be submitted with the Vendor’s {Bidder’s} Quote as per Bid Solicitation Section 4.4.3.3.5.
55
Section 4.4.3.3.5.B
Please confirm that the draft Work Plan is to include references to the 18 documents referenced in this section, and not that these additional 18 draft plans are to be included in the Quote by each Bidder.
Yes, the draft Work Plan shall consist of the 18 listed tasks and or draft plans and is now described in full in T1087 Revised Bid Solicitation 03/23/2021X, Section 3.11.1. All required components of the draft Work Plan as described in T1087 Revised Bid Solicitation 03/23/2021, Section 3.11.1 shall be submitted with the Vendor’s {Bidder’s} Quote as per Bid Solicitation Section 4.4.3.3.5.
56
Section 4.4.3.3.5.B
The following items included in this section don’t appear to be plans. Please provide specific details of what is to be provided in the draft Work Plan related to the following items?
7. Provision of access to Cash Assistance
8. business practices in meeting requirements for TPPs
10. Emergency stand-in processing
11. Case/Recipient setup and benefit authorization
12. Determining and maintaining account statuses
13. Access to Account information
15. Dispute processing
16. Data analysis tool
The Vendor {Bidder} should include its solution for accomplishing the above referenced tasks or deliverables as part of the draft Work Plan as per T1087 Revised Bid Solicitation 03/23/2021, Section 3.11.1. All required components of the draft Work Plan as described in T1087 Revised Bid Solicitation 03/23/2021, Section 3.11.1 shall be submitted with the Vendor’s {Bidder’s} Quote as per Bid Solicitation Section 4.4.3.3.5.
57
Section 4.4.3.3.6
Article 4.4.3.3.6 Required Certification Please clarify who and when is a "proposed federal agent" is and kindly specify what "certificate" is being requested. This section reads "The Vendor should provide a certificate issued by the federal government indicating that the proposed financial agent is federal insured"
The financial agent is a federally insured financial institution capable of accepting credits and/or debits and transmitting them in ACH format. The Vendor {Bidder} is responsible for providing a certificate evidencing that the Vendor’s {Bidder’s} chosen financial institution is fully, federally insured. If the certificate is not provided with the Quote, the intended awardee shall have ten (10) business days from the date of issuance of the letter of Intent to Award to provide the certificate.
58
Section 4.4.4.2 A
Would the State please define and provide example of a "labor category"?
Examples of what the State considers labor categories could be, but are not limited to, IT, operations, or human resources.
59
Section 5.2
Does a 5 year contract include a year for conversion - (example, 4 billable years, 1 conversion year) or 5 billable years?
The initial Blanket P.O. term of five (5) years includes the implementation period as well as all deliverables required in the Bid Solicitation.
60
Section 5.8 A
As drafted, this provision requires that Vendor provide the State with a perpetual license to all Vendor Intellectual Property. Because Vendor's Intellectual Property: (i) will be utilized internally by Vendor to deliver the services (rather than delivered as a product), (ii) is pre-existing in nature and was developed by Vendor outside of the scope of the RFP, and (iii) was developed at great cost to Vendor, we are unable to grant such perpetual licensing rights. Would the State agree to limit the license grant to the duration of the contract term? To accommodate this change, we propose the following revisions to the second sentence in Section 5.8(A): "Vendor {Contractor} grants the State a non-exclusive, [delete word "perpetual"] royalty-free license to use Vendor {Contractor} Intellectual Property [delete words: "delivered to the State" and add words: "for the duration of the contract term and"] for the purposes contemplated by the Blanket P.O."
Section 5.8 (A) of the Bid Solicitation has been modified. Please see the T1087 Revised Bid Solicitation 03/23/2021.
61
Section 5.8 A
As the Contractor will grant the State a non-exclusive royalty-free license to use its Intellectual Property delivered to the State for purposes contemplated by the Blanket P.O. specifically for the term of the Blanket P.O., will the State remove the word “perpetual” from this paragraph?
Please see the answer to question #60.
62
Section 5.8 C
Will the State agree to add language to this paragraph that limits the Custom Software to that which is paid for with State funds?
The State does not accept this proposed modification. Pursuant to relevant law, if the Vendor {Contractor} creates custom software for the State under contract as a work-for-hire, then the State owns the software that it paid the Vendor {Contractor} to create. The source of funds is not relevant to this analysis. Also, if the State goes to the expense of paying for custom software, it needs to have the benefit of that software beyond the term of this Blanket P.O.
63
Section 5.9.1
As Vendors provide services to multiple State clients, it isn’t feasible or within corporate policy for Vendor employees to sign state-specific confidentiality agreements with third party State clients. In addition, many of the Vendor employees that will support the EBT program in New Jersey will not reside within the state. Therefore, would the State consider replacing the language in this section with the following?
“ All financial, statistical, personnel, customer and/or technical data supplied by the State to the Vendor {Contractor} are confidential (State Confidential Information). The Vendor {Contractor} must secure all data from manipulation, sabotage, theft or breach of confidentiality. The Vendor {Contractor} is prohibited from releasing any financial, statistical, personnel, customer and/or technical data supplied by the State that is deemed confidential. Any use (except in connection with providing the Services), sale, or offering of this data in any form by the Vendor {Contractor}, or any individual or entity in the Vendor’s {Contractor’s} charge or employ, will be considered a violation of this Blanket P.O. and may result in Blanket P.O. termination and the Vendor’s {Contractor’s} suspension or debarment from State contracting. In addition, such conduct may be reported to the State Attorney General for possible criminal prosecution. Subject to Section (Liability Cap) The Vendor {Contractor} shall be liable for any direct damages incurred by the State} associated with any breach of confidentiality which results from Vendor’s breach of its obligations under Section 5.9.3 (Data Security Standards) of the Agreement. The Vendor {Contractor} may be required to view yearly security awareness and confidentiality training modules provided by the State. Where required, it shall be the Vendor’s {Contractor’s} responsibility to ensure that any new staff agree to confidentiality provisions at least as protective as those in this Agreement and complete the security awareness and confidentiality training modules within one (1) month of the employees’ start date. Vendor shall perform (at the time of hire) a background check, as described herein, for each Vendor employee that is performing any Services under the Agreement Currently, the background check in the United States of America consists of, at a minimum, verification of the highest level of education completed, verification of employment (as allowed by Law), social security number trace and validation, and a check of U.S. Government Specially Designated National (OFAC) and other export denial lists. In addition, to the extent permitted by law, the background check may include a 9-panel drug test and criminal record search. Vendor complies with all applicable laws related to the background check, including required notices and applicable consents. Vendor will not assign any employee to perform Services for the State if his/her background check findings do not meet the standards established by Vendor. Vendor has formal disciplinary procedures in place to address policy violations. A terminated employee’s access to Vendor facilities and State Confidential Information is suspended immediately upon termination”
The State does not accept this proposed modification. Please see T1087 Revised Bid Solicitation Section 5.17.
64
Section 5.9.1.1.B
Will the State add to this paragraph the underlined language that follows? Vendor’s {Contractor’s} Confidential Information, to the extent not expressly prohibited by law, shall consist of all information clearly identified as confidential or that would reasonably be considered to be confidential at the time of disclosure and anything identified in Vendor’s {Contractor’s} Quote as Background IP (?Vendor {Contractor} Confidential Information?).
The State does not accept this proposed modification. Vendor {Contractor} should identify which information it considers to be its own intellectual property (IP). If the Vendor {Contractor} fails to do so, but later contends that such IP would “reasonably be considered” to be confidential, and therefore should not have been disclosed, the situation is unmanageable and impractical. The parties should have some certainty as to which information is Vendor {Contractor} IP. Please refer to Section 5.9 Security and Confidentiality.
65
Section 5.9.2
EBT Processors have their own corporate security policies which do not allow agreement to a client’s or third party’s policies, nonetheless these corporate policies are at least as secure as those of the State. Therefore, will the State agree to add the underlined language to the first sentence of this paragraph? “Data Security: The Vendor {Contractor} at a minimum must protect and maintain the security of data in a manner no less secure than the policies and standards contained in the New Jersey Statewide Information Security Manual” ?
The State does not accept the proposed modification. The State is unaware of the specific features of the security policies of any particular EBT Processor. The Vendor {Contractor} should submit samples of such security policies as attachments to its Quote.
The language previously contained within Section 5.9.2 of the Bid Solicitation has been modified and moved to Bid Solicitation Section 3.37.6 of T1087 Revised Bid Solicitation 03/23/2021.
66
Section 5.9.2
EBT processing and EBT cards are not subject to PCI compliance as they do not utilize the Card Association networks. Therefore, will the State remove the sentence which states: “Contractor shall also conform to Payment Card Industry (PCI) Data Security Standards”?
The language previously contained within Section 5.9.2 of the Bid Solicitation has been modified and moved to Bid Solicitation Section 3.37.6 of T1087 Revised Bid Solicitation 03/23/2021.
67
Section 5.9.2
Will the State agree to modify the first sentence of the Data Transmission paragraph as follows? “The Contractor may only transmit or exchange State of New Jersey data with other parties (i) in connection with the provision of the Services; or (ii) when expressly requested in writing and permitted by and in accordance with requirements of the State of New Jersey”?
Please see the answer to question #66.
68
Section 5.9.2
We have an established data storage policy that is strictly followed. Should we be awarded the Blanket P.O., will the State agree to remove the first 2 sentences of the Data Storage paragraph, and remove “or transfer” from the last sentence?
The Security language in Section 5.9 has been modified and moved to Section 3.37.6 of the T1087 Revised Bid Solicitation 03/23/2021.
69
Section 5.9.2
Will the State agree to add “except in connection with the Services” to the end of the second sentence in the Data Re-Use paragraph and delete the last sentence?
Please see the answer to question #66 and 68.
70
Section 5.9.2
Will the State agree to modify the Data Breach paragraph as follows to reflect that the State would comply with notification laws applicable to it, while the Contractor would comply with laws applicable to it as a third party services provider?
Data Breach: Unauthorized Release Notification: The Contractor must comply with all applicable State and Federal laws applicable to Contractor as a provider of the Services that require the notification of individuals in the event of unauthorized release of personally identifiable information or other event requiring notification. In the event of a breach of any of the Contractor’s security obligations resulting in unauthorized access to or disclosure of Confidential Information (“Notification Event”), the Contractor shall assume responsibility for informing the State Contract Manager within 24 hours of its determination of any such unauthorized access or disclosure. Further , Contractor shall defend the State and its, employees, , in their individual capacities or otherwise (collectively, “State Indemnitees”), from and against any and all Claims (as defined in this Section) asserted by a third party against a State Indemnitee, and shall indemnify and hold harmless State Indemnitees from and against any damages, costs, and expenses of such third party awarded against a State Indemnitee by a final court judgment or an agreement settling such Claims in accordance with this Section. As used in this Section, the term “Claim” means any action, litigation, or claim by a third party alleging or based on a Notification Event to the extent the Notification event is a result of Contractor’s breach of its security obligations in this Section 5.9.3. . All communications must be coordinated with the State of New Jersey.?
The State does not accept the proposed modifications for the following reasons: First, the Contractor {Vendor} must comply with all applicable laws regarding notice, which is what the current language says. The State must also comply with all applicable laws, but it is not necessary to recite this in the Bid Solicitation. The State prefers to leave the definition of Notification Event in the broader form found in the original language because this area of law is rapidly changing, and it would be risky to define the term too closely. Second, the indemnity provision as written is approved by the New Jersey Department of Law and Public Safety and is not susceptible to alteration. The existing language is simpler and covers essentially the same subject matter as the proposed change.
Please also note language previously contained within Section 5.9.2 of the Bid Solicitation has been modified and moved to Section 3.37.6 of T1087 Revised Bid Solicitation 03/23/2021.
71
Section 5.9.3
Will the State agree that this clause related to Tax Return Data Security is not applicable to the State’s EBT project and therefore delete the language in this section?
The State does not accept the proposed modifications. While it may not be likely that Tax Return Data will be accessed by the Vendor {Contractor}, in the event that such data does occur in the system, the protections afforded by law should remain part of the terms of the Blanket P.O.
Please also note language previously contained within Section 5.9.2 of the Bid Solicitation has been modified and moved to Section 3.37.6 of T1087 Revised Bid Solicitation 03/23/2021.
72
Section 5.13.3
Will the State consider adding language to allow for 45 days of written notice for the Vendor to remedy any material noncompliance?
The State does not accept the proposed modification. While 45 days of time to cure may be reasonable with regard to some instances of non-compliance, it may constitute an unreasonable delay in other instances, and would unfairly prejudice the State. If the Vendor is making adequate process towards remedying the material non-compliance the State will work with the Vendor.
73
Section 5.13.3
Will the State consider removing the following from this paragraph: “with the difference between the price paid and the defaulting Vendor’s {Contractor’s} price either being deducted from any monies due the defaulting Vendor {Contractor} or being an obligation owed the State by the defaulting Vendor {Contractor}, as provided for in the State administrative code, or take any other action or seek any other remedies available at law or in equity.”
The State does not accept the proposed modification. The State is entitled to performance of the Blanket P.O. scope at the Blanket P.O. price. If Vendor {Contractor} breaches the Blanket P.O., and the State is forced to hire another entity to perform the Blanket P.O. scope, the State’s damages, which are the standard damages in a breach of contract matter, are the difference in price between the two (2) Vendors {Contractors}.
74
Section 5.14
RFP states: Newly authorized Retailers must have access to the EBT system within two (2) weeks of receiving FNS authorization notice Questions:
A. Retailers using EBT-only equipment can only receive equipment after correctly completing an EBT-only agreement. Industry standard for EBT system access is within two weeks of receiving a completed EBT-only contract rather than within two weeks of FNS authorization. Please amend the requirement to reflect the industry standard.
Correct, newly authorized Retailers must have access to the EBT system within two (2) weeks of the Vendor’s {Contractor’s} receipt of a signed agreement from the retailer.
B. For retailers that use a TPP, it is the TPP or credit/debit provider that determines the amount of time needed for the retailer to access the system. Since the selection of a TPP or credit/debit card provider is a business decision made by the retailer, EBT providers cannot be held responsible for business relationships that are outside of our control. Please revise or delete the requirement to reflect activities that are beyond any EBT provider’s control.
This requirement is not applicable to the awarded Vendor {Contractor} if they will be using a Third Party Provider (TPP). Bid Solicitation Section 5.14 has been modified. Please see the T1087 Revised Bid Solicitation 03/23/2021.

Section 5.14
RFP Section 5.14 contemplates the assessment of liquidated damages in the event of a failure to meet performance requirements. In their current form, the penalty amounts are uncapped and may result in assessments far exceeding the economic harm sustained by the State. In recognition of the economic value of the services provided by Vendor, would the State agree to a reasonable cap on liquidated damages tied to Vendor’s monthly invoice? We propose that 10% of Vendor’s monthly invoice be placed at risk for purposes of liquidated damages.
The State does not accept the proposed modification. The Liquidated Damages amounts are designed to be reasonable and not punitive in conformance with the current New Jersey Law. Also, the Limitation of Liability in Section 4.1.1, as modified by Bid Solicitation Section 5.17.1 of T1087 Revised Bid Solicitation 03/23/2021 will apply to limit the amount of Liquidated Damages that can be assessed.
76
Section 5.14
What liquidated damages has the State assessed on the current EBT contractor under the current contract, and for what infraction?
There have been no liquidated damages assessed to the current SNAP EBT Vendor {Contractor}.
77
Section 5.14
Please share the incumbent vendor’s history of non-performance resulting in formal notifications, notice of deficiencies in service in the current contract period.
There has not been any non-performance issues, including formal filings or notifications, with the current Vendor {Contractor} during the current Blanket P.O. period.
78
Section 5.14
Customer Service/Call Center - please clarify if the abandoned call threshold is "less than 3%" or "3% or lower"? In other words, are damages assessed when the abandon rate hits 3% or exceeds 3%?
Liquidated Damages will not be assessed when the abandon it is 3% or lower. Liquidated Damages will only be assessed when the abandon rate exceeds 3%. Please see Section 5.14 of T1087 Revised Bid Solicitation 03/23/2021 for additional details regarding Liquidated Damages.
79
Section 5.14
The RFP requires newly authorized retailers to have access to the EBT system within 2 weeks of receiving FNS authorization. However, the process for providing equipment can’t begin until a signed contract is received. Therefore, can this performance standard be changed to within 2 weeks of the Contractor’s receipt of the signed agreement from the retailer?
Bid Solicitation Section 5.14 has been modified. Please see T1087 Revised Bid Solicitation 03/23/2021.
80
Section 5.14
As a Vendor, we are committed to meeting all of the State’s requirements and plan to exceed the standards whenever possible. In the unfortunate event a metric is missed, incurring multiple penalties for the same performance issue is not justified. Will the State consider replacing the third paragraph of this clause with the following? “Assessment of liquidated damages shall the sole and exclusive remedy for Contractor’s failure to meet a performance metric. The Division shall be entitled to recover liquidated damages under each section applicable to any given incident.”
The State does not accept the proposed modification. The Liquidated Damages provision is intended to compensate the State for specific contract breaches listed in Section 5.14 of the Bid Solicitation. Other breaches of the agreement may not trigger liquidated damages but may cause the State to suffer damages. The Election of Remedies clause found in the third paragraph of Bid Solicitation Section 5.14 is meant to indicate that, should the State elect to seek liquidated damages for a specific incident or occurrence, that no other damages would be assessed for that incident or occurrence.
81
Section 5.14
For “Customer Service/Call Center Bid Solicitation Section 3.4 and 3.4.1”, the Final Liquidated Damages are "$1000 per base point in excess of 3% of incoming calls being abandoned.” What is the definition of “base point”?
A base point is equal to one (1) percentage point. Bid Solicitation Section 5.14 has been modified. Please see the T1087 Revised Bid Solicitation 03/23/2021.
82
Section 5.14.1
In order to ensure the Vendor is aware and timely responding to any performance issue, will the State agree to revise this paragraph as follows? “Upon determination that of a performance failure, the Director or the State Contract Manager will notify the Vendor {Contractor} of the failure in writing within the 90-day timeframe outlined above. The availability of any period of cure will depend on the situation and will be in the sole discretion of the Director The Director may, in the Director’s sole discretion, elect to notify the Vendor {Contractor} that liquidated damages may be assessed so as to provide a warning, prior to assessing them in accordance with this section, but if the Director does not provide such a warning the Director is not precluded from assessing liquidated damages in accordance with this Blanket P.O.. Upon determination that liquidated damages are to be assessed, the Director or the State Contract Manager will notify the Vendor {Contractor} of the assessment in writing. Notwithstanding any provision of any Bid Solicitation to the contrary, should there be any conflict between this section and any provision of a Bid Solicitation, this section shall supersede such Bid Solicitation provision to the contrary.”
83
Section 5.14.2
Once a performance issue has been rectified, the accrual of any liquidated damages should end, and should not be allowed to continue while an internal approval process is followed for an unknown period of time. Will the State consider replacing this section with the following? “The continued assessment of liquidated damages shall be terminated if all of the following conditions are met: A. The Vendor {Contractor} corrects the condition(s) for which liquidated damages were imposed; B. The Vendor {Contractor} notifies the State Contract Manager in writing that the condition(s) has (have) been corrected.”
Any Liquidated Damages should cease as soon as the condition giving rise to such damages is corrected, and all appropriate parties are notified. However, the Director has discretion to assess liquidated damages, and if the Vendor’s {Contractor’s} communications are all with the SCM, then the SCM must communicate with the Director to inform him/her of the fact that the conditions have been corrected and that the assessment of liquidated damages should stop. Section 5.14.2 Paragraph C has been revised to reflect this need.
Please see the T1087 Revised Bid Solicitation 03/23/2021.
84
Section 5.14.4
As requested above, will the State consider adding language to assess damages within 90 days of the State’s notification to the Vendor of the performance deficiency?
Bid Solicitation Section 5.14.4 has been modified. Please see the T1087 Revised Bid Solicitation 03/23/2021.
85
Section 5.15
Will the State remove this paragraph regarding retainage
The State does not accept this proposed modification.
86
Section 5.15
The RFP calls for a 10% retainage on invoices to be released quarterly depending on performance. Given that performance is already monitored monthly by way of service levels (and potential assessments of liquidated damages), the imposition of a retainage is duplicative and impacts Vendor’s ability to recognize revenue. Would the State agree to remove this requirement?
87
Section 5.17.1 and NJ Standard Terms & Conditions 4.1
Will the State negotiate this Indemnification clause and consider replacing paragraph (a) with the following? ?a. Subject to Section 4.1.1 (Limitation of Liability) The Vendor {Contractor} agrees to indemnify, defend, and save harmless the State and its officers, agents, servants and employees, from and against any and all third-party claims, demands, suits, actions, recoveries, judgments and costs and expenses in connection therewith: i. For or on account of the loss of life, property or injury or damage to the person, body or property of any person or persons whatsoever, in connection of Contractor’s performance of the Services under this Blanket P.O. or the order; and ii. For or on account of the Services infringe an effective U.S. Patent or a registered trademark or copyright; (“Intellectual Property Rights”).
Please see T1087 Revised Bid Solicitation, Section 5.17.
88
Section 5.17.1 and NJ Standard Terms & Conditions 4.1
Will the State negotiate this Indemnification clause and consider replacing paragraph (b) with the following? b. In the event of a claim or suit involving third-party Intellectual Property Rights, the Vendor {Contractor}, at its option, may: (1) procure for the State the legal right to continue the use of the product; (2) replace or modify the product to provide a non-infringing product that is the functional equivalent; or (3) terminate the infringing Services. The State will (1) promptly notify Vendor {Contractor} in writing of the claim or suit; (2) Vendor {Contractor} shall have control of the defense and settlement of any claim that is subject to Section 4.1(a); provided; however, that the State must approve any settlement of the alleged claim, which approval shall not be unreasonably withheld. The State may observe the proceedings relating to the alleged claim and confer with the Vendor {Contractor} at the State’s expense. Furthermore, neither Vendor {Contractor} nor any attorney engaged by Vendor {Contractor} shall defend the claim in the name of the State of New Jersey or any Authorized Purchaser, nor purport to act as legal representative of the State of New Jersey or any Authorized Purchaser, without having provided notice to the Director of the Division of Law in the Department of Law and Public Safety and to the Director of DPP. The State of New Jersey may, at its election and expense, assume its own defense and settlement;
89
Section 5.17.1 and NJ Standard Terms & Conditions 4.1
Will the State negotiate this Indemnification clause and consider replacing paragraphs (c) and (d) with the following? c. Notwithstanding the foregoing, Vendor {Contractor} has no indemnity obligation or liability for any claim or suit concerning third-party Intellectual Property Rights arising from: (1) the State’s combination, operation, or use of a product or Service supplied under this Blanket P.O. with any product, device, or Software not supplied by Vendor {Contractor}; (2) the State’s unauthorized alteration or modification of any product or Service supplied under this Blanket P.O.; (3) the Vendor’s {Contractor’s} compliance with the State’s designs, specifications, requests, or instructions; or (4) the State’s failure to promptly implement a required update or modification to the product or Service provided by Vendor {Contractor}; d. Vendor {Contractor} will be relieved of its indemnity obligations under Subsection 4.1(a)(i) and (ii) for any claims made by an unaffiliated third party that arise solely from the actions or omissions of the State, its officers, employees or agents. Subject to the New Jersey Tort Claims Act (N.J.S.A. 59:1-1 et seq.), the New Jersey Contractual Liability Act (N.J.S.A. 59:13-1 et seq.) and the appropriation and availability of funds, the State will be responsible for any cost or damage arising out of actions or inactions of the State, its employees or agents under Subsection 4.1(a) (i) and (ii) which results in an unaffiliated third party claim. This is Vendor’s {Contractor’s} exclusive remedy for these claims;
90
91
Section 5.17.1 and NJ Standard Terms & Conditions 4.1
Will the State negotiate this Indemnification clause and consider replacing paragraph 4.1.1 with the following? 4.1.1 LIMITATION OF LIABILITY a. The Vendor {Contractor}’s liability to the State for actual, direct damages resulting from the Vendor {Contractor}’s performance or non-performance of, or in any manner related to, this Blanket P.O. for any and all claims, shall be limited in all cases and in the aggregate to 100 % of the fees paid to Vendor {Contractor} for the products or Services giving rise to such damages, except that such limitation of liability shall not apply to the following: b. The Vendor {Contractor} shall not be liable for any indirect, consequential or incidental special, delay or punitive damages whatsoever (including but not limited to, damages for loss of business profits or revenue, business interruption, loss of information, or other pecuniary loss), even if Contractor was advised of the possibility of such damages.?
92
Section 5.17.2
Will the State accept modifying paragraph (A) to state
“The insurance shall be in the amount of not less than $5,000,000 per occurrence and in the aggregate”?
The State does not accept the proposed modification. Omission of much of paragraph A is unacceptable. The State reserves the right to request copies of the Vendor’s {Contractor’s} insurance policy, to determine if the coverage meets industry standards, and is not an unusual manuscript policy that would provide insufficient coverage. Also, The instructions with regard to claims made policies are necessary to avoid a gap in insurance coverage.
93
Section 5.17.1 / Section 4.1.1 Limitation of Liability pg 122
According to RFP Section 4.1.1, Vendor's liability for direct damages is capped at 500% of the fees paid to Vendor for the "Services giving rise to such damages?" A cap of such magnitude disproportionately shifts all program risk upon the Vendor. Would the State agree to an alternate cap on direct damages equal to 500% of the annual (instead of total) fees paid to Vendor?
94
Section 5.17.3 (5.11.1)
As the awarded Vendor will be providing services driven by its software solution, and not licensing or delivering any software to the State which would be installed on state equipment, would New Jersey remove paragraph 1, COTS and Customized Software, and paragraph 2, Custom Software?
The State does not accept the proposed modification. To the extent the Vendor {Contractor} is providing a pre-existing solution, or a customized version of a pre-existing solution, the warranties applicable to COTS and Customized Software are required.
95
Section 5.17.3 (5.11.3)
Will the State revise subparagraph (b) to state “In the event of any breach of this warranty, the Vendor {Contractor} shall, if possible, re-perform the deficient Services.”?
The State does not accept the proposed modification. The remainder of the sentence states: “or if Vendor {Contractor} cannot substantially correct a breach in a commercially reasonable manner, the State may end the relevant Services and recover the fees paid to Vendor {Contractor} for the deficient Services.” This implies that the Vendor {Contractor} should attempt to re-perform the relevant services, but if it is unable to do so, the State may recover fees. The proposed modification is not necessary.
96
Section 9.7.3
As a large company with thousands of clients, we are bound by the strict rules of our insurance carrier which does not allow third parties to be named as Additional Insureds. Therefore, will the State agree to change this paragraph to state that the State would be “added” rather than “named” as an Additional Insured?
Bid Solicitation Section 9.7.3 has been modified. Please see Section 5.17.6 of T1087 Revised Bid Solicitation 03/23/2021.
97
Section 9.7.4
Both professional liability insurance and a performance security are not necessary. Will the State remove this section in its entirety as the professional liability insurance will be in place?

Bidders should consult with the tax advisor(s) of their choice as to their specific circumstances.

Section 9.0 State of New Jersey Standard Terms and Conditions (2.3 Prevailing Wage Act)
Please confirm that the work performed pursuant to this Blanket PO is exempt from NJ Prevailing Wage Act; Section 2.3. In the alternative, if the work contemplated is not exempt from the Prevailing Wage Act when will the State be providing the applicable wage determinations by labor category?
The State cannot provide legal advice or statutory interpretation to Vendors {Bidders}. The State encourages each Vendor {Bidder} to analyze the NJ Prevailing Wage Act and other relevant law, and determine for itself whether the Scope of Work would trigger its application. In the event of questions the Vendor {Bidder} should reach out to the New Jersey Department of Labor and Workforce Development. Below please find a link where questions make be directed:

Section 9.0 State of New Jersey Standard Terms and Conditions (3.6 Service Performance Within U.S.)
Are services only permitted to be performed within the continental United States?
N.J.S.A. 52:34-13.2 provides that all contracts which are primarily for services shall be performed within the United States. The State cannot provide legal advice or statutory interpretation for the Vendor {Bidder}, so Vendors {Bidders} are encouraged to seek their own legal counsel with regard to case law interpreting the statute and the specific requirements as they may relate to a Vendor’s {Bidder’s} business.
