4. Attachment 4 Tab 1, Provisional Billing Rates

Pages 81 – 82

L-012, C. Volume C, (b) Price Proposal Instructions, paragraphs 9 and 12

Per Para C.(b)9, the provisional rates requested should be the current CFAO approved rates which are based on our current work load.

Para C.(b)12 requires the provisional rates to include the impact of the proposed additional workload.

Please clarify.

The Government used “should”, “may,” and “if” in Para C.(b)(9) in the event that the offeror’s cognizant Federal agency official (CFAO) has not signed an indirect cost rate agreement or recommendation letter that accounts for the impact of this potential contract. If the offeror has a CFAO-signed agreement or letter that does not account for the impact of this potential contract, the offeror may submit it, along with a detailed internal budget estimate showing such impact, both pursuant to Para C.(b)(29) and (28).

5. Attachment 4 Tab 1, Provisional Billing Rates

L-012, C. Volume C, (b) Price Proposal Instructions, paragraph 15(a)

Paragraph states that additional rows may be added as required to the spread sheet.

The sheet is locked and no additional rows can be added.

The Government has unlocked Pricing Tables 1 and 2. See the amended Attachment 4 – Pricing Tables. Refer to amendment A003 for revised Pricing Tables.

6. Attachment 4 Tab 1, Provisional Billing Rates

The required data is calling for provisional billing rates which are the current billing rates approved by DCMA/DCAA. We currently have approved provisional billing rates for 2016 and soon we will have 2017. However, the example on Table (1) is citing forward pricing agreement rates. My understanding is that these are two completely different sets of data. We currently do not have a forward pricing agreement with DCMA.

I assume this information is required to establish price reasonableness using the current government approved rates and any forward pricing rates. However, it seems this is only informational since the proposed rates could be higher or lower. Is the information requested on this sheet for informational purposes only?

No. The Government requires provisional billing indirect cost rates to accord with FAR 42.704(b) (Billing Rates) and FAR 52.216-7(e) (Allowable Cost and Payment – Billing Rates). See Para C.(b)(29) for proposed provisional billing indirect cost rates’ support that the Government determines acceptable, but the Government requires submission of only one type of support (in descending order of Government preference), unless an additional type is necessary to support the proposed rates.

“Forward pricing rate agreement” is only one acceptable type, and is used only as an example in Pricing Tables 1 and 2.

The Government notes that it does not require that the proposed provisional billing indirect cost rates match any current provisional billing indirect cost rates approved by the offeror’s CFAO.

See the Government’s answer to Question 4 above.

7. Attachment 4 Tab 2, Ceiling Indirect Cost Rates

L-012, C. Volume C, (b) Price Proposal Instructions, paragraph 14.

The example on this table is showing fringe rates. The Indirect Cost Rate Description shown in cell A8 suggests fringe, production overhead and/or G&A. Our cost accounting system is based on two pools – production and material services. Our production rates consist of direct labor, fringe, production overhead and G&A.

Exactly what is being requested, a composite indirect ceiling rate or a separate listing of fringe, overhead and G&A? Para C.(b).14 requests that all indirect rate cost descriptions be entered into the table. If rates for each of the three are required for all 6 periods there are not enough lines on the tab to input the data.

Pursuant to Para C.(b)(13), offerors shall propose all indirect cost rate descriptions that offerors anticipate to apply under this potential contract. If the offeror’s indirect cost rate structure is comprised only of two pools/indirect cost rate descriptions, and the impact of this potential contract is included accordingly in both allocation bases, then both indirect cost rate descriptions must be proposed in Pricing Tables 1 and 2.

“Fringe Benefits, Overhead, and G&A” shown in cell A8 in Pricing Table 2 (and cell A7 in Pricing Table 1) are merely examples of potential indirect cost rate descriptions. The Government notes that direct costs (e.g., “direct labor” cited in the question) must be excluded from any indirect cost pool (i.e., numerator used to form the indirect cost rate). See FAR

31.203 (Indirect Costs).

8. Attachment 4 Tab 2, Ceiling Indirect Cost Rates

Pages 81 – 82

L-012, C. Volume C, (b) Price Proposal Instructions, paragraph 12.

Para C(b)12 requires the proposed indirect cost rates reflect the “maximum dollars the offeror anticipates to receive through the duration of this potential contract.” The maximum would be $111,500,000 over the five and one half year period or a minimum of $10,000. This extreme variation has a significant impact on the proposed indirect rates.

How does the contracting officer propose to account for the variation in workload and the corresponding impact to overhead rates or is the contractor supposed to propose rates at risk taking into account Para B-010(g)?

Because the Government is contemplating a single-award IDIQ contract, the proposed indirect cost rates shall reflect the maximum quantity, which is $111,500,000. In addition, such rates must reflect the estimated value of all current and all other anticipated awards for the offeror’s fiscal years coinciding with this potential contract’s period of performance (base year plus all option periods).

9. Attachment 4 Tab 3, IDIQ Prices N/A Should fee be included in the rates requested for CLIN X006? We assume it should be but just want to clarify. Fee is not mentioned in Para C.(b)19.

Yes. See Para C.(b)(20). “Profit” is synonymous with “Fee” in this context.
