This is a Solicitation for the Medical Surgical Prime Vendor (MSPV) Generation VI contract for the Defense Logistics Agency (DLA) Troop Support Medical. The solicitation covers medical and surgical supply distribution across three Global Regions (North, South, and West), with each region potentially having a Primary and Backup Prime Vendor. The contract will support medical treatment facilities, clinics, and operational customers, providing commercially available off-the-shelf medical/surgical supplies including items in classes such as drugs, surgical dressings, medical instruments, hospital equipment, and safety gear.

The solicitation is a Firm Fixed-Price Indefinite Delivery/Indefinite Quantity contract with a base period of 30 months and three 30-month option periods, totaling 10 years of ordering capability. The award will be made using a Lowest Price Technically Acceptable (LPTA) methodology, with offerors required to submit detailed pricing proposals, past performance information, and demonstrate capabilities in areas including Electronic Data Interchange (EDI), cybersecurity, and Prime Vendor War Readiness Material (PVWRM) support. The solicitation is unrestricted, with offers due on December 10, 2025, and a pre-proposal conference scheduled for October 22, 2025. Large businesses must submit a Small Business Subcontracting Plan, and no single vendor can be awarded Primary Vendor status in all three regions.

CAUTION NOTICE:

1. Contractor Code Of Business Ethics

FAR Part 3.1002(a) requires all government contractors to conduct themselves with the highest degree of integrity and honesty. Contractors should have a written code of business ethics and conduct. To promote compliance with such code of business ethics and conduct, contractors should have an employee business ethics and compliance training program that facilitates timely discovery and disclosure of improper conduct in connection with government contracts and ensures corrective measures are promptly instituted and carried out. A contractor may be suspended and/or debarred for knowing failure by a principal to timely disclose to the government, in connection with the award, performance, or closeout of a government contract performed by the contractor or a subcontract awarded there under, credible evidence of a violation of federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in title 18 of the United States Code or a violation of the False Claims Act. (31 U.S.C. 3729-3733)

If this solicitation or contract includes FAR clause 52.203-13, CONTRACTOR CODE OF BUSINESS ETHICS AND CONDUCT; contained elsewhere in the solicitation or contract, the contractor shall comply with the terms of the clause and have a written code of business ethics and conduct; exercise due diligence to prevent and detect criminal conduct; promote ethical conduct and a commitment to compliance with the law within their organization; and timely report any violations of federal criminal law involving fraud, conflict of interest, bribery or gratuity violations found in title 18 of the United States code or any violations of the False Claims Act. (31 U.S.C. 3729-3733)

Offerors will be required to submit a copy of their written code of business ethics and conduct at time of proposal submission. Refer to FAR 52.212-1 Instructions to Offerors below for all proposal submission instructions.

2. Contract Type: The Government intends to award a Firm Fixed-Price Indefinite Delivery/Indefinite Quantity contract.

3. Purpose Of The Solicitation: The Medical Surgical Prime Vendor (Med/Surg PV) Program has established three Global Regions (North, South, and West) that combine to provide routine ordering capability and contingency and disaster support as required, throughout the world. The Global Regions are defined in Attachment #III – Definitions. The orders will all come from a Routine Ordering Facility (ROF), a Master Ordering Facility (MOF), or a Quasi Master Ordering Facility (Quasi-MOF). The ROF is an ordering facility including an authorized customer within a global region. A MOF is any DOD activity

SOLICITATION NO. SPE2DV-25-R-0001 Page 5 of 89 authorized to place orders with a Prime Vendor for any external customer. A Quasi-MOF is a DLA Troop Support Medical unit that services the customer needs similar to an ROF, but is unlikely to supply usage data and requires unusual delivery. Each Global Region will have one award for Primary PV support and one award for Back-up PV support. Award will be on a “lowest price technically acceptable” basis in accordance with the source selection criteria referenced in FAR 52.212-2 Evaluation – Commercial Items.

An offeror submitting a proposal as the Primary PV is not required to offer as a Back-up PV. Offerors may offer as a Primary and a Back-up PV; however, an offeror cannot be selected as both Primary and Back-up within the same Global Region. In accordance with FAR 6.202, the government reserves the right to award the role of Primary or Backup PV for a region to other than the low offeror if this is necessary in order to establish or maintain an alternate source of supply. An Indefinite Delivery Indefinite Quantity Contract (IDIQ) will be awarded by vendor to include all regions in which the vendor has been selected as the primary and/or backup PV. Contract terms will include a base period of 30 months, plus three 30 month option periods in accordance with DLAD 17.204. This timeframe will provide 10 years of ordering ability for the customers. Offers on the options are mandatory. Failure to offer on all options will result in an offer being eliminated from further consideration.

4. Lowest Price Technically Acceptable Acquisition. This is a Lowest Price Technically Acceptable (LPTA) Acquisition. The offerors will be evaluated based on the Government’s minimum technical requirements as stated in the Solicitation. An award will be made to the responsible offeror whose proposal is determined to be technically acceptable and provides the lowest evaluated price. (Lowest Price is based on best overall distribution fee computation: refer to FAR 52.212-2 “Evaluated Total PV Cost”) [pages 52-66]

5. Subcontracting Plan. All large business offerors must submit a Subcontracting Plan with its offer.

Instructions for submitting the subcontracting plan are included in FAR 52.212-1. Contractors are required to report their progress on subcontracting goals to the electronic Subcontracting Reporting System (eSRS) twice a year. eSRS is an internet-based tool that streamlines the process of reporting on subcontracting plans and provides agencies with access to analytical data on subcontracting performance. More information on eSRS can be found:

www.esrs.gov.

See Attachment V for a copy of the Small Business Subcontracting Plan Guide.

6. Pricing Agreements. Changes have been made to the management of DLA Troop Support Distribution and Pricing Agreement (DAPA) items for DAPA holders who are also PVs. Please see the Statement of Work (SOW), Attachment VII, for details.

9. ADVISORY AND ASSISTANCE SERVICES. DLA Troop Support will utilize Non-Government employees as advisors to assist in the review of some requirements in the Source Selection Process. Non- Government advisors may assist in and provide input regarding the evaluation, but they will not determine ratings or rankings of offerors’ proposals. INFORMATION FOR PRIMARY AND BACK-UP PVs:

PRICING FOR ALL REGIONS

Pricing is managed by controlling the product prices separately from the contracting for distribution. The Prime Vendor (PV) distribution fees indicated in the next few pages are “maximum” fees and will be used for evaluation purposes. After award, the PV is permitted to offer lower fees. No increase to a contractual distribution fee, even as an offset to a reduction elsewhere, is permitted after award. These distribution fees will apply to the life of the MedSurg Prime Vendor Gen VI (MSPV Gen VI) contract; including Base Period (30 months), the 1st Option Period (30 months), the 2nd Option Period (30 months) and the 3rd Option Period (30 months). If the PV elects to reduce a distribution fee after contract award, the PV must provide DLA Troop Support Contracting Officer with written notification of the reduction, identifying the affected Routine Ordering Facility (ROF)/Quasi Master Ordering Facility (Quasi-MOF) and/or Master Ordering Facility (MOF) and indicating the period the reduced fee is effective. Distribution fee percentages may include up to two decimal places. DLA Troop Support manages prices by using Distribution Prices and Agreements (DAPAs) which are product price agreements placed directly with manufacturers and other suppliers independent of Prime Vendors control. DAPAs, the primary pricing instruments, are independent of the contract and are determined fair and reasonable by a DLA Troop Support Contracting Officer. Also used are Brand Name DAPAs which are product price agreements placed with the Prime Vendors. The Brand Name DAPAs do not receive a distribution fee when distributed by the PV DAPA holder and are determined fair and reasonable by a DLA Troop Support Contracting Officer prior to being added to a catalog. DLA Troop Support controls the catalog. The PVs will have access to DLA managed supply sources via their prescribed use of DAPAs and other authorized mailto:Joshua.Tankel@dla.mil mailto:Catherine.gilbert@dla.mil

SOLICITATION NO. SPE2DV-25-R-0001 Page 7 of 89 contracting instruments [DLA Troop Support Medical website (www.medical.dla.mil)].

All support for contingency operations is contained in the Readiness Support Initiatives (RSI) Provisions of the contract. DLA Troop Support-MEDICAL is the gatekeeper of the RSI Provisions on behalf of the Services, and has chosen Primary PVWRM (Prime Vendor War Readiness Materiel) Support, and in some cases, Secondary PVWRM Support, for each of the Global Regions. The selected WRM Support Prime Vendor maintains designated items in inventory within specific geographical regions to support the Services' materiel requirements. Requirements and geographical regions are determined by the Services according to their logistics support scenario and are coordinated with DLA Troop Support-MEDICAL and the associated PV. The RSI Provisions, for each contract, state that the agreed-to requirements must be available within 72 hours after receipt of routine orders, and 24 hours for emergency orders. The RSI PV has 14 days to replace any items it is required to maintain through the RSI provisions of the contract that have been ordered by DLA Troop Support- Medical or the Services. The Prime Vendor will be paid a fee for its designated warehouse providing thirty months of one hundred percent (100%) access to the items and quantities indicated by the DLA Troop Support Prime Vendor War Readiness (PVWRM) manager for that time period. This fee does not include the cost of the items or their distribution fee, it is for the PV providing actual availability and real-time asset visibility of these PVWRM items. Medical Surgical Prime Vendor Generation VI will follow this format in the awarded contracts.

See Section XIII. Readiness Support Initaitves in the attached Statement of Work (Attachment #VII).

Proposal pricing/distribution fees shall be submitted using the formatted Excel spreadsheets, with separate spreadsheets for each primary region and back-up region. See Attachment #1 – Price Book.
