Section B, Supplies or Services and Prices/Costs
B.1 BACKGROUND
The National Elevator Modernization Indefinite Delivery/Indefinite Quantity (IDIQ) Solicitation and resultant Contract shall establish separate, individual, Multiple Award Indefinite Delivery/Indefinite Quantity (MA/IDIQ) Contracts for elevator construction and modernization task orders valued over $1 million as defined in Section C.
The General Services Administration (GSA) intends to award the IDIQ for a period which will include one (1) base year and four (4) one-year option periods with a maximum aggregate dollar amount of $650 million over the life of the Contract.
Small business designation is determined as defined by North American Industry Classification System (NAICS) Code 238290 - Other Building Equipment Contractors with the SBA defined size standard of $22 million.
It is the Government’s intention to award a target up to six (6) IDIQ Contracts.
B.2 MINIMUM GUARANTEE AND MAXIMUM DOLLAR CEILING (MASTER CONTRACT)
B.2.1 The minimum guarantee for each Contract that does not obtain a task award during the ordering period of the Base Contract is $2,000.00. This is separate from the minimum ordering limitation. This IDIQ is restricted to orders above $1,000,000.
B.2.2 The TOTAL MAXIMUM ORDERING LIMITATION (MOL) defined as the sum of Contractor payment streams for the base and all optional periods associated with all Task Orders against this Master Contract shall not exceed $650,000,000.00.
B.2.3 There is a $100,000,000.00 annual limit for all orders in a performance period for each Contractor. The TASK ORDER LIMITATION (TOL) per Task Order is also $100,000,000.00.
B.3 ON-RAMPING AND OFF-RAMPING
Consistent with Federal Acquisition Regulation (FAR) 16.504(c)(1)(ii)(A), GSA has determined that it is in the Government’s best interest that at all times during the term of the IDIQ Contract, there remain an adequate number of Contractors to compete for Task Orders.
The use of on-ramping and off-ramping is a discretionary unilateral authority of the Government.
B.3.1 Over time, the total number of Contractors may fluctuate due to various reasons including industry consolidation, significant changes in the marketplace, advances in technology, general economic conditions, the Government's exercise of the off-ramp process, or other reasons.

7/95 a review the total number of IDIQ Contractors and quality of those Contractors participating at the Task Order level, to include the review of the sole source requirements and fair opportunity requirements resulting in competitive one-bid responses among other factors to determine whether it would be in the Government’s best interest to initiate an Open Season so to add new qualified Contractors to the Master Contract. No set schedule will be established as to when an Open Season will be considered or implemented, and there is no guarantee that an Open Season will be executed during the term of the Master Contract. This is a discretionary unilateral authority of the Government.
B.3.1.2 The basis of the competition during on-ramping may rely upon substantially the same methodology as in the original Solicitation. However, GSA reserves the right to update the evaluation criteria with consideration to market conditions, the utility of the criteria, and the specific needs being sought through the on-ramping event.
B.3.1.3 The initial IDIQ Contract awards will establish the periods of performance and Terms and Conditions; any additional Contracts awarded after the initial Contracts will have the same period of performance, expiration date, and Terms and Conditions as the existing Contracts.
B.3.2 Off-ramping provides flexibility to remove Contractors that are no longer providing value because they are not actively competing for orders, no longer providing satisfactory services or performance, or for other reasons.
B.3.2.1 GSA reserves the unilateral right to off-ramp Contractors who are no longer needed to meet program objectives. Contractors may be off-ramped from new work even while continuing current work. Off-ramping methods may result from one of the following conditions:
A. GSA no longer having a requirement appropriate to the Contractor’s skills, talents, size, or socio-economic status B. Debarment, Suspension, or Ineligibility as defined in FAR Subpart 9.4 C. Termination as defined in FAR Part 49 D. Failure to meet the Small Business Participation Plan commitment E. Failure to meet other standards of performance, deliverables, or compliances F. Taking any other action which may be permitted under the Master Contract’s Terms and Conditions
B.4 TASK ORDER CONTRACT TYPES
The IDIQ allows for Fixed Price (all types) Contracts at the Task Order level but may allow for circumstances for Task Orders to use a Time-and-Materials (T&M) or Labor-Hour (LH) Contract Line Item Numbers (CLINs) for specific concerns and for Awardees with approved accounting systems.
When applicable to the requirement, Task Orders may include multi-year or option periods, performance-based procedures, classified and/or unclassified, and commercial and/or non-commercial items.

B.5 TASK ORDER LABOR
B.5.1 CONSTRUCTION WAGE RATE REQUIREMENTS
Construction wage rate requirements shall be implemented in accordance with FAR subparts
22.4 and 22.5, General Services Acquisition Manual Regulation (GSAM/R) 522.5, and other regulatory supplements, as applicable at the Task Order solicitation level. The Task Order Contracting Officer (TOCO) shall identify such work in the Task Order solicitation and make a determination as to whether wage determinations are to be applied.
The Master Contract may not necessarily include a complete list of clauses or provisions that flow down to the Task Order level requirements. The TOCO shall incorporate all the appropriate clauses and provisions in each Task Order solicitation and subsequent award when construction, alteration, and repairs are within the scope of the Master Contract and Task Order requirement. When applicable, the TOCO shall incorporate wage determinations subject to construction wage rate requirements in the Task Order award.
B.5.2 SERVICE CONTRACT LABOR STANDARDS
In certain cases, the Task Order scope may require work categorized under Service Contract Labor Standards. Service contract labor wage rate requirements shall be implemented in accordance with FAR subpart 22.10 and other applicable regulatory supplements. The TOCO shall identify such work in the Task Order solicitation and make a determination as to whether wage determinations are to be applied or not.
The Master Contract does not include a complete list of clauses or provisions that flow down to the Task Order level requirements. The TOCO shall incorporate all the appropriate clauses and provisions in each Task Order solicitation and subsequent award when construction, alteration, and repairs are within the scope of the Master Contract and Task Order requirement. When applicable, the TOCO shall incorporate wage determinations subject to service contract labor wage rate requirements in the Task Order award.
B.6 TASK ORDER PRICING
B.6.1 TASK ORDER PRICE REASONABLENESS
This IDIQ provides the TOCO the flexibility and authority to determine fair and reasonable pricing tailored to the individual Task Order requirement, including the Task Order statement of work or objectives, risks, uncertainties, complexity, urgency, contract type, and competition. Accordingly, the IDIQ does not predetermine price reasonableness performed at the Task Order level.
B.6.2 TASK ORDER PROPOSAL PRICING
All Task Order pricing shall include all costs necessary to complete the Task Order statement of work in accordance with the Task Order solicitation and all of the Terms and Conditions in the Master Contract including but not limited to the cost of work performed by subcontractors and consultants, indirect costs, fees, expenses, taxes, and profit.
B.6.2.1 Knowledge of Conditions Affecting Price. The Task Order Contractor shall be presumed to have established all prices with knowledge of general and local conditions that may affect the cost of Task Order performance at the site where the work is to be performed, to the extent that such information is reasonably obtainable.
B.6.2.2 Unit Prices and Allowances. If any portion of Task Order work is to be performed on a unit price basis, the unit price shall include all costs of coordinating and incorporating the unit-priced portion of the work into the Task Order performance. The Contractor shall only be obligated to perform unit-priced work to the extent that an allowance has been established. The Contractor shall be obligated to perform such work in excess of a unit quantity for which an allowance is established only if directed by the Contracting Officer in writing. The Contractor shall be bound to the unit price or prices set forth herein in all equitable adjustments for changes including unit priced work, and no markups shall be applied to such unit prices.
B.6.2.3 The submittals for the Master Contract and/or Task Order awards will be used in determination of equitable adjustments. Such submittals shall be deemed to include all costs recoverable as components of an equitable adjustment consistent with the requirements, definitions, and exclusions applicable to equitable adjustments set forth in this Contract, and consistent with the Contractor's cost accounting practices.

Section C, Description/Statement of Work
C.0 ELEVATOR CONSTRUCTION AND MODERNIZATION GENERAL SCOPE
The U.S. General Services Administration (GSA) owns and operates several hundred buildings and thousands of vertical transportation equipment across eleven regions across the US and its territories. In addition, there are several hundred leases or build-to-suit spaces that GSA and tenant-agency staffers collaboratively work with building owners and lessors to ensure that the needs of federal tenants are met.
GSA is seeking interested elevator manufacturers and installers of vertical transportation systems, with experience in the design, installation, commissioning, and inspection and certification of elevator systems for its federally-owned buildings. GSA’s objective is to prioritize shell elevators for modernization or replacement and identify high-priority elevators for which elevator equipment alterations, and/or elevator replacements are necessary to address building code, life-safety codes and/or accessibility issues. GSA has no obligation to exclusively use the IDIQ Contract for all elevator modernization or construction projects, however, to expedite the procurement schedule and maximize efficiencies, use of the IDIQ Contracts (when applicable) is strongly encouraged. GSA will seek to have the IDIQ Contractors familiarize themselves with the requirements for using and reporting on the use of such materials in performance as set forth in the Contract.
C.1 OBJECTIVES
The unrestricted National Elevator Modernization IDIQ Contract for task orders above $1 million seeks to establish a contract vehicle for the acquisition and installation of elevator modernization or replacement and identify high-priority elevators for which elevator equipment alterations, and/or elevator replacements are necessary to address building code, life-safety codes and/or accessibility issues for federally-owned buildings that are GSA-owned or GSA-managed. Some of the goals of this IDIQ Contract is to effectively increase competition while streamlining the acquisition and procurement process of future elevator modernization projects across all of GSA’s eleven (11) regions, where the Contractor is required to self-perform a minimum of 80% of the work. The objectives of the elevator projects, estimated above $1 million, to be awarded as Task Orders under this IDIQ Contract include, but are not limited to the following:
C.1.1 To prepare the required documentation and procure the work required to survey, investigate, assess, design, install, and commission elevators and escalators to meet the most recent Safety Code for Elevators and Escalators (American National Standards Institute (ANSI)/American Society of Mechanical Engineers (ASME) ANSI/ASME A17.1) and related building codes as required which may include but not limited to (National Fire Protection Association (NFPA), International Building Code (IBC), Occupational Safety and Health Administration (OSHA), Americans with Disabilities Act (ADA) or Architectural Barriers Act Accessibility Standard (ABBAS)) as referenced in the current edition of GSA’s Facilities Standards for the Public Buildings Service (PBS) (P100).

C.1.2 To identify and establish reasonable work parameters (project schedules, working hours, labor and manpower resources) for the requirements and constraints associated with the project. All work disruptive to tenants shall be performed during "off-hours" (i.e., evening, night and/or weekends).
C.1.3 To establish work order priorities in order to carry out work in a phased approach, considering the needs and desires of the tenant and the realities of budget constraints and limitations.
C.1.4 To establish consistent communications and provide regular updates to the government contacts and key stakeholders associated with the projects. The successful Contractor under each Task Order shall coordinate all work activity with the Building Manager (BM) and the Contracting Officer's Representative (COR) to ensure that proper security and access arrangements are made with minimal impact on the project schedule.
C.1.5 Full compliance with all building's security regulations as required per project.
C.1.6 Provision for the necessary cutting, patching, and repair of the existing building.
C.1.7 Design shall be in accordance with Occupational Safety and Health Administration (OSHA) and applicable building code requirements.
C.1.8 To preserve and enhance all significant architectural, historical, cultural elements associated with the federal building or property. This may include interior finishes in elevator lobbies and cabs, original devices (lighting fixtures, handrails, metal trims, cover plates and louvers, hardware) flooring, floor thresholds, and hardware.
C.2 SCOPE OF WORK
C.2.1 Elevator construction and modernization efforts may require elevator modernization project work that require the design and construction of elevators and elevator equipment. In some cases, an Elevator Technical Study may have been previously completed. In other cases, an Elevator Technical Study may be the primary scope of the Task Order. The successful Contractor for applicable Task Orders will still need to survey the existing elevators equipment, elevator hoistway(s), elevator pits, elevator lobbies and machine rooms, elevator switches and switchboard locations, elevator monitoring panels, fire control interfaces at building management offices, security command centers, fire command centers, and the other areas and equipment associated with the project.
Any existing documentation, inspection reports, operation and maintenance (O&M) repairs logs, and technical studies should be used as a reference document for analysis and evaluation as part of the survey and investigation phase in developing the design recommendations. The Government will review these recommendations before any demolition or construction work commences.
This IDIQ scope of work is general, and each Task Order will provide specific requirements as seen in the initial Task Order(s). 15/95 performing the following services under this IDIQ:
C.2.1.1 Perform design services, design management of subcontractors and consultants to survey and investigate the existing elevator and escalator systems. Perform a condition assessment of the vertical transportation system(s) within the buildings.
C.2.1.2 Perform a code check during the existing conditions survey and assessment to identify elevator equipment deficiencies and safety violations under the Task Order.
C.2.1.3 Provide price proposals/quotations for the performance work statements (PWS), program of requirements (POR), or Statement of Work (SOW) as outlined by the Government and its authorized agents which include the Contracting Officer (CO), Contracting Specialist (CS), Contracting Officer Representative (COR), Project Manager (PM), and the Building Manager (BM). Along with the pricing, IDIQ Contractors shall provide a detailed narrative based on the Government’s PWS/POR/SOW, then develop their plan, which shall include a logical sequence of milestone events, delivery timelines, all work activities, and man hours that will be needed to successfully complete and closeout the project.
C.2.1.4 Provide engineering data and calculations, design details, and solutions by a professional engineer or registered architectural firm for review by the Government that resolves and eliminates the code deficiencies when required.
C.2.1.5 Provide requisite drawings and documents for proper Government review, acceptance or approval, such as, schedule of values, meeting minutes, Request for Information (RFI) log, work plans, safety plan, environmental plan, communication plan, and commissioning plan.
C.2.1.5.1 The Contractor shall comply with the following requirements pertaining to security clearances.
(a) All personnel performing work under the Contract on the project site must obtain an Enter on Duty (EOD) determination before they will be granted access to the site.
(b) To obtain an EOD determination, Contractor shall submit for all such personnel fingerprints on Standard Form 87 (SF87) and a completed Contractor Information Worksheet (CIW). (c) In addition, all such personnel who will be on site 6 months or longer must apply for and receive clearance in accordance with Homeland Security Presidential Directive 12 (HSPD-12). See Section I, Contract Clauses, GSAM/R 552.204-9.
C.2.1.6 Provide labor, labor management, construction superintendence, safety inspections, and project management throughout the period of performance and/or IDIQ contract award duration.

C.2.1.7 Create and manage individual cost-loaded project schedules that reflect key milestones, work breakdown structures, and all work activities required to complete the project in the most cost effective and shortest period of time using a critical path methodology.
C.2.1.7.1 Within a date established at the Task Order level, the Contractor shall develop and provide a detailed schedule in widely used, commercially available software such as Microsoft Project and Primavera P6 for completion of all Design Stage activities (if applicable), tasks, and submissions required herein, leading up to and including the final design development submission(s).
C.2.1.8 Upon installation, complete all start-up procedures, pre-testing, manufacturer’s adjustments, commissioning, operations and maintenance manual, as-built document delivery, demonstration & key personal training, and warranty requirements for Government acceptance.
C.2.1.9 Complete all closeout procedures as required under the individual Task Order awards (including but not limited to final contractor invoice, release of claims, HSPD-12 badge returns/updates, reply to Contractor Performance Assessment Reporting System (CPARS), and items such as the project warranty letter).
C.2.2 In the performance of the service(s) above, the Contractor shall identify all types of elevators (e.g., Traction, Hydraulic, Gearless, Passenger, and Freight) and consider the following when proposing designs for replacements with new, or refurbished in addition to others as identified during individual site surveys:
C.2.2.1 Number of service stops of each car, travel distance, speed, and electrical requirements, etc.

C.2.3 PROJECT DELIVERABLES
Task Orders may include replacement of most electrical and mechanical components of the elevator system that are referenced in the Task Order scope of work. All construction and modernization work performed by the Contractor shall include design documents, equipment catalog, cut-sheet, and product submissions, as-built drawings. Other deliverables shall include service tools, access keys, wiring diagrams, onsite owner training, and jobsite specific testing procedures with maintenance control plans (MCPs) for each piece of equipment. This list is for reference purposes only; Task Order deliverables will be defined in each individual project description.
C.2.4 PROJECT MEETINGS
The Task Order Contractor shall attend a pre-construction conference and shall participate in regularly scheduled project meetings for the Task Order work including work associated with but not directly part of the Task Order requirements including participation in project meetings for a larger effort.
C.2.5 KEY PERSONNEL
Certain skilled experienced professional and/or technical personnel are essential for successful Contractor accomplishment of the work to be performed under this Contract and associated Task Orders. These are defined as "Key Personnel" and are those persons whose resumes or resume-like content were submitted to receive a contract award. The Contractor agrees that such personnel shall not be removed from the Contract or replaced without approval as described in this section.
C.2.5.1 If one or more of the Key Personnel for whatever reason becomes, or is expected to become, unavailable for work under this Contract for a continuous period exceeding thirty (30) work days, or is expected to devote substantially less effort to the work than indicated in the proposal or initially anticipated, the Contractor shall immediately notify https://easi.pbs.gsa.gov/suite/tempo/records/item/lMBinLDeHJegYbgj4pEnkiRCI1DbSUsup2_hohwKZP-PMZ6RM6HfLGBnnd78tRtXyJtR0OFWj2DUcaFe8VlPUkMIERLRnQQgJqrGD6YHTCoNn-PDw/view/summary
18/95 the CO and shall, subject to the concurrence of the CO, promptly replace such personnel with personnel of at least substantially equal ability and qualifications.
C.2.5.2 All requests for approval of substitutions hereunder must be in writing and provide a detailed explanation of the circumstances necessitating the proposed substitutions.
They must contain a complete resume for the proposed substitute, and any other information requested by the CO or needed by him/her to approve or disapprove the proposed substitution. The CO or his/her authorized representative will evaluate such requests and promptly notify the Contractor of his/her approval or disapproval thereof in writing.
C.2.5.3 If the CO determines that suitable and timely replacement of Key Personnel who have been reassigned, terminated or have otherwise become unavailable for the contract work is not reasonably forthcoming or that the resultant reduction of productive effort would be so substantial as to impair the successful completion of the contract or the services ordered, the Contract may be terminated by the CO for default or for the convenience of the Government, as appropriate, or, at the discretion of the CO if he/she finds the Contractor at fault for the condition, the Contract price or fixed fee may be equitably adjusted downward to compensate the Government for any resultant delay, loss, or damage.
C.2.5.4 No Key Personnel shall work on this Contract or associated Task Order without prior resume-type submission and verification by the CO. If proposed personnel are not currently employed by the Contractor, the proposed personnel’s resume shall be accompanied by a commitment letter signed by both the individual and the Contractor.
Failure to provide a signed commitment letter shall make the Contractor’s quote invalid.
C.2.5.5 IDIQ CONTRACT MANAGER - KEY PERSONNEL
The primary IDIQ Contract Manager shall be the Contractor’s designated central point of contact tasked with serving as an overall manager of the IDIQ and resultant Task Orders.
The primary Contract Manager should be an individual with administrative oversight responsibilities.
The primary Contract Manager shall ensure that a written annual report is provided to the IDIQ Contracting Officer after contract award. The annual report shall summarize the contract status identifying both pending and issued Task Orders. The report shall also provide a summary indicating the value of the pending and issued Task Orders and identify the contracting activity that has issued the pending and issued Task Orders including the small business participation plan updates as applicable.
A minimum of 5 years of experience managing multiple elevator contracts is required as well as direct experience in the elevator construction and modernization industry.
C.2.5.6 TASK ORDER PROJECT MANAGERS - KEY PERSONNEL
Task Orders shall be have at least one key personnel assigned for specific Task Order work.
Although each task order may increase the requirements, the project manager should be an individual with administrative oversight responsibilities but also expertise in elevator construction and modernization. 19/95 in the elevator construction and modernization industry; and a minimum of 5 years demonstrated history working with elevators using complex transition systems.
Direct experience in the elevator construction and modernization industry is defined as experience (1) reading and interpreting blueprints to determine the layout of elevator system components and to select the elevator equipment needed for elevator installation or modernization-level repair; (2) assembling elevator cars and components; (3) managing the interface between elevator control panels and motors; (4) testing newly installed elevator equipment to ensure that it meets specifications and elevator certification and elevator industry standards; (5) troubleshooting malfunctions in brakes, motors, switches, and control systems; (6) dismantling elevators; (7) diagnosing, troubleshooting, and resolving other elevator components during installation to ensure elevator returns to fully operational status;
(8) managing elevator construction and modernization work in a fully occupied building; (9) responding to warranty concerns; and (10) related elevator construction and modernization experience.
C.2.5.7 ELEVATOR EXPERTS
Elevator Experts are listed as Key Personnel and are required for the firms. Elevator Experts are defined as experts in the elevator industry. Elevator Experts must have more than 20 years of elevator experience. Prior experience must include work in the design and construction, modernization, and service/maintenance of elevators. Direct experience is defined in the section above under project managers; however Elevator Experts experience must include serving as the elevator authority in conferences, publications, high profile elevator projects, or another demonstration of contributing to the enhancement of the elevator construction field. Although not required to be current, elevator experts must have had at least a history of being Certified Elevator Inspectors and have completed training programs or workshops with the National Association of Elevator Safety Authorities (NAESA), NAESA International or with the National Association of Elevator Contractors (NAEC).
C.3 UNAUTHORIZED WORK AND COMMITMENTS
The COR, Task Order COR (TOCOR), PM, Task Order PM (TOPM), GSA Qualified Elevator Inspector (QEI), or any other government representative is not authorized to change any of the Terms and Conditions of the Contract. The CO or Task Order CO (TOCO) is the only authorized Government Official able to make changes, if any. Any changes including requirements, schedule, or other modifications performed by the Contractor without a written, signed modification from the CO or TOCO shall result in (1) the Contractor having to re-adjust schedule or work to the original requirements; (2) a denial of any resulting request for equitable adjustment or quantum meruit; (3) poor Contractor Performance Assessment Reporting System (CPARS) results; (4) a Government requested change in the Contractor’s lead contact; or (5) a combination or all of the items listed.
Although the Contractor may be entitled to additional consideration under conditions such as the CO or TOCO issuing change orders or a unilateral modification, it is the Contractor's duty to include in proposals for equitable adjustment or other consideration all compensation to which it may be entitled including cost and time. C.4 SMALL BUSINESS PARTICIPATION PLAN
All Other than Small Business firms must comply with the Small Business Participation Plan (SBPP) incorporated into the Contract that was approved with the proposal submission.
C.4.1 The minimum acceptable small business participation is 15% of the total Task Order value using the small business designations that were negotiated and incorporated in the
SBPP.
C.4.2 During contract execution, the Contractor’s compliance with its SBPP will be monitored and evaluated in accordance with the negotiated and finalized SBPP incorporated as a contract attachment.
C.4.3 Small Business Participation data shall be submitted on an annual basis, in accordance with the SBPP incorporated at contract award.
C.4.4 The Contractor shall report actual small business utilization achievements relative to proposed small business participation in performance of the Task Orders issued from the Contract (including subcontracting dollars/percentages relative to total value / total subcontracting).
C.4.5 In addition, the report shall include the results of efforts to continue to meet or exceed committed targets.
