About this file

This is a Request for Proposal (RFP) solicitation for the Operation and Maintenance (O&M) of eight Navajo-class T-ATS (Tactical Auxiliary Tug Supply) vessels operated by the Department of the Navy Military Sealift Command. The contract requires the contractor to provide comprehensive operation and maintenance services for the USNS Billy Frank Jr., USNS Navajo, USNS Solomon Atkinson, USNS Cherokee Nation, USNS James D. Fairbanks, USNS Saginaw Ojibwe Anishinabek, USNS Muscogee Creek Nation, and USNS Lenni Lenape. Services include crew staffing, daily vessel operations, maintenance and repair, port services, training, and logistics support. The contract is structured as a firm fixed-price arrangement based on per diem rates that vary by operational status: Full Operating Status (FOS), Reduced Operating Status (ROS), Repair Availability (RAV), and three Nucleus periods (NUC-1, NUC-2, NUC-3) for new ship familiarization and turnover. The contract includes a 12-month base period commencing on or about April 1, 2027, with four 12-month option periods, with individual vessel delivery dates ranging from April 2027 through December 2030 from Austal USA (Mobile, Alabama) and Bollinger Mississippi Shipbuilding (Pascagoula, Mississippi).

The pricing structure includes three Contract Line Item (CLIN) categories per ship: OPHIRE/Per Diem (fixed-price), Pass-throughs (Navy Working Capital Funds), and Pass-throughs (General Funds). Pass-through reimbursable expenses cover crew travel and training, port and canal charges, overhauls, industrial assistance, ship spares, crew overtime, alterations, and utilities. Specific per diem rates and pass-through budgets are marked "TBD" pending proposal submission. Invoicing is submitted electronically through the Wide Area WorkFlow (WAWF) system, with per diem invoices submitted every 15 days and reimbursable expenses submitted monthly or as incurred. The contractor must obtain comprehensive Protection and Indemnity (P&I) marine insurance with minimum coverage of $3,080,000,000 per vessel per incident, including war risk coverage and Second Seamen's War Risk insurance. The solicitation requires offerors to acknowledge receipt of any amendments and submit proposals in compliance with all terms and conditions. The Government anticipates award decisions following proposal evaluation, with detailed specifications and performance requirements outlined in the Performance Work Statement contained in Attachment 1.

B-1.3 Pass-through Items. See Section G.

All quantities within this contract and its attachments are estimates, unless this contract expressly states a specific quantity B-1.4 Estimates.

is a "guarantee." If a stated quantity does not state that it is a "guarantee" then it shall not serve as the basis for additional compensation under the contract.

B-1.5 Holidays. Holidays referenced in this contract are those days listed in 5 USC 6103(a). Holidays.

B-1.6 Continuing Rate. See Section F-1(b) regarding voyage in progress on the date of contract expiration.

B-1.7 Full Operating Status (FOS) Per Diem. The FOS Per Diem rates shall include an on turnover period as required -board in Attachment 1 when replacing shipboard key billets listed in Attachment 1. The FOS Per Diem rates shall include the full wages and fringe benefits for each crew member IAW Attachment 1. In addition, any overtime incurred for the purpose of maintaining the required "watches" IAW Attachment 1 shall be part of the Per Diem rate. This includes the routine gangway watch, also referred to as the gangway security watch, which includes roving patrol duties. The FOS Per Diem payment shall be considered payment in full for all FOS services, equipment, supplies, operation and maintenance of the ship and Government equipment, and all Contractor personnel under this contract including, but not limited to, all penalty time, bonuses, payments and emoluments payable to contractor personnel for services under this contract.

B-1.8 Reduced Operating Status (ROS) Per Diem. The firm-fixed-price ROS Per Diem rates provided under this contract shall be payable at the applicable, fully burdened Per Diem rates stipulated in the Section B rate schedule. The ROS Per Diem rates shall include an on turnover period as required in Attachment 1 when replacing shipboard key billets. The ROS Per Diem rates -board shall include the full wages and fringe benefits for each crew member IAW Attachment 1, including crew watch overtime and weekend/holiday wages. The ROS Per Diem rates shall also include the full wages and fringe benefits to fulfill security/watch requirements listed in Attachment 1 while the vessel is in a non-FOS status.

Gangway security-watch overtime, when required, will be reimbursable when the COR preapproves the expenses; therefore, it should not be included in the firm-fixed-price Per Diem rates. The ROS Per Diem payment shall be considered payment in full for all ROS services, equipment, supplies, operation and maintenance of the ship and Government equipment, and all Contractor personnel under this contract including, but not limited to, all penalty time, bonuses, payments and emoluments payable to Contractor personnel for services under this contract.

B-1.9 Adjustments to ROS Crew Size. The Government reserves the right to make minor crew adjustments during periods of ROS (e.

g. reduction of steward crew when ROS ships are nested and multiple ships crews are fed on one ship, the addition of an Electronics Officer, or the addition of crew for enhanced security). During times in which the ROS crew is modified, the per-diem rate will be increased or decreased by the total amount of the crew member's Total Wages/Fringes/Payroll Taxes as depicted in Attachment 21 , Pricing Forms A, B, and C. If the requested crew billet is not listed on Pricing Forms, the Contractor shall provide a union approved rate for that billet, adjusted only by the addition of contractor-provided fringe benefits and payroll taxes. The Government will not consider or pay adjustments to the Per Diem rate for Contractor overhead, general and administrative cost, material handling costs, profit, fees, or any other cost except for reasonable direct expenses for:

Subsistence for the crew member(s) remaining onboard with the prior written approval of the Contracting Officer;

Transportation costs of crew members leaving or returning to the ship because of a government directed ROS crew size adjustment; and

Any extraordinary expense incurred with the Contracting Officer's prior approval. The Contractor shall exercise prudent judgment to minimize all such direct costs and shall request the Contracting Officer's prior approval of any action affecting such costs, including crew members remaining onboard, whenever practicable.

B-1.10 Alternate ROS. The Government has the right to designate an alternate ROS based upon an activation timeline of more or less than five days (e.g., ROS-4, ROS-30). During Alternate ROS, the Per Diem rate will be increased or decreased by the total amount of the crew member's Total Wages/Fringes/Payroll Taxes as depicted in Attachment 21, Pricing Forms A, B and C. Other direct costs will be negotiated using the costs identified by the Contractor on Form A as the basis for negotiation.

B-1.11 Repair Availability (RAV) Per Diem. The RAV Per Diem rates shall include full wages and fringe benefits for each crewmember IAW Attachment 1. The RAV Per Diem rates shall also include the full wages and fringe benefits to fulfill security /watch requirements listed in Attachment 1. The crew shall reside onboard the vessel for the duration of the shipyard availability unless the Contracting Officer approves shoreside accommodations due to special circumstances. Per Diem payments shall be considered payment in full for all RAV services, equipment, supplies, operation and maintenance of the ship and Government equipment, and all contractor personnel under this contract including, but not limited to, all penalty time, bonuses, payments and emoluments payable to contractor personnel for services under this contract.

Section F - Deliveries or Performance

-ASection F - Deliveries or Performance

F-1 PERIOD OF PERFORMANCE

The period of performance for this contract includes a 12-month base period period and four, 12-month option periods. The base period will begin prior to the first vessel delivery from the shipyard and designated on the contract award and is anticipated to occur on or about 01 April 2027; however, this may change based on schedule delivery shifts from the shipyard. Periods of performance of the contract are as follows:

Period Days

Base 366

Option 1 365

Option 2 365

Option 3 365

Option 4 366

(a) The period of performance for each subsequent vessel will be adjusted to the remaining number of days in the base period and based upon actual delivery.

(b) Any voyage in progress on the date of contract expiration shall be completed by the Contractor. If the vessel has a voyage in progress on the date of contract expiration, the applicable per diem rate for that vessel for the period beyond the expiration date shall be the per diem rate that is in effect on the last day of the contract.

(c) Performance of phase-out services may be required beyond the scheduled termination date as stated in RFO Clause 52.237-3, .Continuity of Services

(d) Periods may be shortened through the effect of the contract expiration/termination provisions. The period of time required for performance of the joint inventory at the termination of the contract shall also be deemed to be within the contract performance period.

(e) The performance period commencement date may be shifted day-for-day to accommodate delays in performance attributable to protests, weather delays in vessel arrival, and delays in vessel availability due to on-going missions/voyages, which preclude turnover after the days shown in Section F below. During that period, the per diem rate that is in effect for the final performance period will apply.

(f) Nothing herein shall prevent the Contractor and the Government from mutually agreeing to the termination of a RAV period and changing operating status to FOS or ROS prior to the time required by these notice provisions.

F-2 PLACE AND DATE OF DELIVERY

(a) The ships are not currently operated by a Contractor. The Government shall deliver the ships to the Contractor at a Government-determined site (tentatively identified below) which could be a current layberth or a load-out port. The location is subject to change.

The familiarization/turnover/phase-in period shall occur IAW the requirements in Attachment 1. Variation of delivery date or delivery point shall not excuse the Contractor's duty to accept delivery of the ship for operation under this contract, nor shall any such variation be a basis for any adjustment to the contract price. The Government shall provide actual layberth and scheduled date of delivery of the ship by giving written notice to the Contractor not less than 15 days in advance of such anticipated delivery.

(b) Projected delivery dates and layberth/load-port sites of delivery:

See Attachment 1 for information about emergency sorties.

(c) During ROS periods, the vessel shall not be deemed to be in RAV status pursuant to contract RAV provisions.

(d) The Government will give the Contractor written notice to place the ship in ROS status specified in subparagraph (a) above.

(i) shall not be less than 48 hours subsequent to the receipt of such notice by the Contractor or its representative, or

(ii) shall be a later time at which the vessel can reasonably be brought to a safe port for the duration of the ROS period. The Government shall give the Contractor written or electronic notice within a reasonable period of time (or in the event notice is given by telephone, written or electronic confirmation) of termination of the period of ROS.

(e) At any time, the Government may, at its option and upon written notice to the Contractor, make crew adjustments during ROS periods IAW Section B.

F-4 REPAIR AVAILABILITY STATUS (RAV):

(a) The Contractor shall be placed in RAV status IAW the provisions of subparagraph (d) during regular overhaul, dry-docking and midterm availabilities or during any period when the ship is undergoing alterations for the Government's account.

(b) During such RAV periods, the then current daily RAV rate contained in the Section B Rate Schedule will apply. In addition, the Government shall reimburse the Contractor for the direct expenses of any additional approved crewmembers in excess of the minimum required by Attachment 1.

(c) Subject to the notice provision in subparagraph (d) below, the RAV shall commence no earlier than 48 hours after entering the shipyard, repair facility or berth and shall cease five days prior to sea trials or at the end of the availability period, whichever comes first.

(d) The Government shall give the Contractor written notice of exercise of RAV specified in subparagraph (a) above. Such notice shall specify the time at which the period of RAV is to commence. The Contractor shall give the Government written notice at least 72 hours (Saturdays, Sundays and holidays excluded) prior to the completion of the maintenance and repair type work and readiness of the ship to resume full operational status.
