About this file

This is Amendment #2 to a Request for Proposals issued by the State of South Carolina Department of Administration for SCEIS Modernization: Platform, Infrastructure S4/HANA Migration, and Optional Managed Application Services. The solicitation number is 5400026039, issued on November 27, 2023, with a procurement officer of George Rozes (803-737-5769, grozes@mmo.sc.gov). Prospective offerors must submit offers online by January 29, 2024, with a revised deadline of February 12, 2024, at 11:00 AM ET. Questions must be received by December 15, 2023, at 2:00 PM ET. A virtual pre-proposal conference is scheduled for December 5, 2023, at 10:00 AM ET, with login information available from the procurement officer. The award will be posted on August 21, 2024. The maximum contract period extends from the effective date through an initial five-year term, followed by five one-year renewal options, with the State expecting and planning for a twelve-year maximum contract period, assuming approximately two years for migration and implementation services.

Amendment #2 addresses two issues: a scrivener's edit modifying the contract order of precedence from four to three documents in subsection (c), and a clarification note regarding the term of contract and renewal options. The amendment specifies that the maximum contract period encompasses the initial effective date through commencement of service delivery under the modernized SCEIS solution, followed by the initial five-year period and up to five one-year renewal options. The contract documents will consist of Parts 1 and 2 of the Uniform Contract Format, attachments identified as contract documents in Section J.1, and any purchase orders issued by the State. All offers must be submitted through http://www.procurement.sc.gov, with one redacted copy required if necessary. Offerors must acknowledge receipt of Amendment #2 in their submissions.

IMPORTANT NOTICE: Admin amends this Solicitation with Amendment #2.

This Amendment #2 includes and is limited to two issues: one (1) scrivener’s edit and one (1) clarification note. Prospective offerors should review the edit and note when preparing their on-line offers. The single document change and the clarification note follow.

A. SCEIS Solicitation. Contract – Order of Precedence – Integration. Subsection (c) The number 4 is deleted and replaced with the number 3. Documents (1) through (4) (3) Contract - Order of Precedence – Integration

(a) Contract. Any contract resulting from this solicitation shall consist of (1) Parts 1 and 2 of the Uniform Contract Format as described in the Table of Contents on the Cover Page; (2) any attachments identified as contract documents in Section J.1; and (3) any purchase order(s).

(b) Precedence. Except as follows, documents (1) and (2) in subsection (a) above shall be read to be consistent and complementary: (1) Notwithstanding any other term of this contract, Part 2 shall be given full effect prior to the application of any other term in the contract, and to the extent of any remaining inconsistency or conflict, the terms in Part 2 take precedence over any similar terms in the contract. Within Part 2, Sections I.1 and I.2 shall be given full effect prior to the application of Sections I.3 and I.4, and to the extent of any inconsistency, Sections I.1 and I.2 take precedence over Sections I.3 and I.4.. (2) Documents (1) and (2) in subsection (a) above shall apply notwithstanding any additional or different terms and conditions in any other document, including without limitation, (i) a purchase order or other instrument submitted by the State after award, (ii) any invoice or other document submitted by Contractor, or (iii) any Commercial Supplier Agreement. Except as otherwise allowed by Part 2, the terms and conditions of all such documents shall be void and of no effect.

(c) Integration. Documents (1) through (4) (3) in subsection (a) above constitute the entire agreement between the parties and supersede all other prior or contemporaneous agreements, representations, or discussions, whether oral or written.

(d) Unauthorized Documents. No contract, license, or other agreement containing contractual terms and conditions will be signed by any Using Governmental Unit. Any document signed or otherwise agreed to by persons other than the Procurement Officer shall be void and of no effect.

B. Clarification Note Attachment I.4 –Negotiated Terms and Conditions Term of Contract - Option to Renew (MODIFIED):

The Maximum Contract Period refers to the period from the Effective Date (the first day of the contract) followed by the Offeror commencing migration and implementation services for the State, through the Commencement Date (the agreed date that will occur after the State accepts in writing that the migration and implementation period has ended and service delivery under the SCEIS modernization solution will begin) for an initial five (5) year period, and then through the end of the five (5) one (1) year renewal option periods. With the assumption that migration and implementation services will require approximately two (2) years of work, the State expects and plans a twelve (12) year Maximum Contract Period.
