About this file
This is an Attachment H document establishing the Form of Work Order framework for Solicitation No. 5400026039 SCEIS Modernization, issued by the Department of Administration. The document provides a template and standardized terms for creating individual work orders under the master contract. Work orders established under this framework will include defined scopes of work, milestones, deliverables with specific acceptance criteria, work order plans detailing design methodology and implementation processes, staffing requirements organized by skill set, and designated timelines for completion. Each work order will specify the Work Order Effective Date, Work Order Term commencement and end dates, and required resources. Work order managers and technical leads are subject to consumer approval, and service providers must submit detailed cost estimates organized by skill set descriptions and associated rates. The work order planning process requires approval from all parties—the administrator, consumer, and service provider—prior to execution.
Compensation under each work order is tied directly to deliverable completion according to payment schedules specified in the individual work order, with all fees reported and invoiced in accordance with the contract's business model and invoicing provisions. No additional fees or expenses are payable by the administrator unless expressly specified in the work order. The administrator retains the right to terminate any work order at any time, at which point the service provider shall cease new work, cooperate in winding down activities, and deliver all existing deliverables. The administrator has no obligation to compensate the service provider for unperformed work as of the termination effective date or for any subsequent phases. Upon termination, the service provider may provide termination assistance services as defined in the master contract, with ownership and licensing rights to deliverables governed by the contract's general provisions.

Work Order Planning Each Work Order shall list the milestones relating to Service Provider’s obligations under such Work Order and the Deliverables to be completed by Service Provider. The Work Order shall specify any Critical Deliverable Credits or payments associated with the successful completion of each milestone or Deliverable in accordance with its acceptance criteria. The acceptance process for milestones and Deliverables is set forth in Exhibit 1.4 (General Provisions), Section 2.5 Acceptance.
A project plan shall be attached to each Work Order (“Work Order Plan”). The Work Order Plan shall describe Service Provider’s overall approach, including: (i) the overall design, methodology, steps, construction, validation, testing, and/or implementation processes; (ii) major activities and schedules for each phase or release; and (iii) any modified timeframes relating to acceptance testing and completion, as further described in Exhibit 1.4 (General Provisions), Section 2.6 Projects. Each Work Order Plan must be approved by Admin, Consumer, and Service Provider. Service Provider shall have those additional Work Order responsibilities set forth in Exhibit 1.4 (General Provisions), Section 2.6 Projects.
Service Provider shall permit Consumer the option to interview and approve Service Provider lead positions on all Work Orders (Work Order Managers, technical leads).

All Work Order Fees shall be reported in accordance with Exhibit 4.0 (Business Model), Section 1.2 Invoicing and Payments.
All fees and expenses (if any) to be invoiced in accordance with Exhibit 4.3 (Form of Invoice). Termination Rights Admin may terminate a Work Order at any time. Upon receipt from Admin of notice of termination, Service Provider shall not undertake any new work relating to the terminated Work Order and Service Provider shall cooperate with Admin, as reasonably requested by Admin, to wind-down all work under the terminated Work Order. In no event shall Admin be obligated to compensate Service Provider for any work under a Work Order that has not been performed as of the effective date of such termination or, if applicable, the end of any Termination Assistance Period, or for any subsequent phases of such Work Order or related Work Orders, regardless of whether work under such subsequent phases or Work Orders has been scheduled.
