About this file
This document is a federal contract clause addressing requirements for gray market and counterfeit item prevention in procurement activities.
The clause mandates that vendors supply only new Original Equipment Manufacturer (OEM) items and prohibits the provision of used, refurbished, or remanufactured supplies or equipment/parts. Gray market items—defined as OEM goods sold outside authorized sales territories or by non-authorized dealers—are explicitly forbidden. Additionally, vendors are prohibited from providing counterfeit supplies or equipment/parts, including unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or misrepresented as authentic OEM products. Specific examples of prohibited counterfeit items include used items represented as new and false identification of grade, serial number, lot number, date code, or performance characteristics. Vendors must be an OEM, authorized dealer, authorized distributor, or authorized reseller, with authorization verified through an authorization letter or other documentation from the OEM. All software licensing, warranty, and service associated with equipment or systems must comply with OEM terms and conditions.
