About this file
This is a federal contract clause establishing records management obligations for contractors working with the Department of Veterans Affairs (VA), specifically the Veterans Health Administration (VHA).
The clause applies to all contractors whose employees create, work with, or handle Federal records, regardless of format or medium. Federal records are defined broadly under 44 U.S.C. § 3301 to include all recorded information made or received by a Federal agency in connection with public business, and specifically encompass VHA records and contract deliverables. Contractors must comply with the Federal Records Act, NARA regulations at 36 CFR Chapter XII Subchapter B, the Privacy Act of 1974, and the Freedom of Information Act. All records created for Government use and delivered to or under Government control become Federal records subject to mandatory management and disposition schedules. Contractors are prohibited from alienating, mutilating, or unlawfully destroying records, with violations subject to penalties under 18 U.S.C. § 2701. Contractors must immediately notify the Contracting Officer of any unauthorized disclosures or inadvertent removal of records and must return or hold all information until directed. Record destruction is expressly prohibited except in accordance with official agency schedules and with written approval from the Head of the Contracting Activity. The VHA retains unlimited rights to all data and deliverables produced under the contract.
Additional requirements include contractor responsibility for obtaining Contracting Officer approval before engaging subcontractors with access to sensitive information, prohibitions on creating or maintaining records containing non-public VHA information not authorized by contract, and restrictions on retaining, using, selling, or disseminating deliverables containing Privacy Act-protected or FOIA-exempt information. All contractor employees handling records must complete VHA-provided records management training, including initial and annual refresher training. Contractors must comply with HIPAA Privacy and Security Rules, implement appropriate administrative, technical, and physical safeguards, and subject all subcontractors to these same requirements through written acknowledgment and flow-down clauses in subcontracts, with violations by subcontractors attributed to the prime contractor.
