The selected CM@R firm must provide preconstruction services including design review, cost estimating at 30%, 60%, and 80% design milestones, value engineering recommendations, procurement strategy development, and establishment of a Guaranteed Maximum Price. The contractor is responsible for all permits, labor, materials, equipment, scheduling, and coordination while maintaining cruise terminal operations throughout construction. The contract will be executed in compliance with Florida Statutes Chapter 287.055 (Consultants Competitive Negotiations Act) and incorporates the AIA Document A133-2009 Standard Form of Agreement as the contract template, with provisions for a Public Construction Bond and comprehensive insurance requirements including $10,000,000 general liability limits.

REQUEST FOR PROPOSALS

The Canaveral Port Authority is seeking proposals from qualified Construction Management at Risk firms for the Cruise Terminal 10 Landside Improvement project (RFP-25-16 / PN 25-045B) for the Canaveral Port Authority, Cape Canaveral, Florida. Preconstruction services, establishment of a Guaranteed Maximum Price (GMP) and the potential execution of a GMP Amendment will be required. The project includes improvements to accommodate larger vessels with capacities of approximately 7,000 passengers. An expansion of the building to provide additional queueing areas, improve the passenger security screening, general (750 seats) and VIP (250 seats) passenger seating, and a separate building for luggage laydown area is anticipated. Minimum work is planned for the Customs and Border Protection (CBP) Federal Inspection Service (FIS) area. The cruise terminal will not cease operations during construction. The improvements will be completed in phases during non-ship days or night shifts.

A non-mandatory pre-proposal meeting and site visit is scheduled for 10:00 AM on October 15, 2025, at the Maritime Center, 445 Challenger Rd, Cape Canaveral, FL 32920.

Sealed written Proposals will be received by the undersigned at the Canaveral Port Authority, Maritime Purchasing Center, 399 Challenger Rd., Cape Canaveral, Florida until November 6, 2025, at 2:00 PM- EST (Eastern Standard Time). The Maritime Purchasing Center is open week days from 8 AM to Noon and from 1 PM to 5 PM. Also, by the specified date and time, an electronic copy of the Proposal must be uploaded through VendorLink. These services will be acquired in compliance with the Consultants Competitive Negotiations Act, Florida Statues 287.055.

A selection committee meeting will be held on Thursday, November 13, 2025, at 2:00 PM for the purpose of reviewing proposals and preparing a shortlist. If deemed required by the selection committee, the shortlisted firms will participate in presentations/interviews followed by another selection committee meeting to prepare the final ranking on Thursday, November 20, 2025, at 2:00 PM. The final ranking will be presented to the Canaveral Port Authority Board of Commissioners for approval at the December 10, 2025, regularly scheduled commission meeting. The selection committee meetings will be held in the Conference Room of the Maritime Purchasing Center, 399 Challenger Rd., Cape Canaveral, Florida and will be open to the public.

It is anticipated that only one firm will be selected. The Owner reserves the right to reject all proposals with or without cause, to waive technical errors and informalities, and to accept the proposal that best serves the Owner.

INSTRUCTIONS TO PROPOSERS

PART 1 - BACKGROUND

Canaveral Port Authority (CPA) is seeking to perform improvements to Cruise Terminal 10(CT10) which to accommodate larger vessels with capacities of approximately 7000 passengers. An expansion to provide additional queuing, passenger security screening, general (750 seats) and VIP (250 seats) passenger seating, a new baggage screening building, additional luggage laydown area, replacement of the chiller unit, electrical improvements, road and pier deck improvements are anticipated. Minimum work is planned for the Customs and Border Protection (CBP) Federal Inspection Service (FIS) area.

This Request for Proposal is seeking a Construction Manager (CM) at Risk Firm (Proposer) to permit and construct the work as described above. Following selection, a pre-construction services contract will be executed with the selected proposer. During pre-construction services, the selected CM at Risk firm will work with the Port’s designer(s) on the development of the design drawings. The CM at Risk Firm will provide the Port a Guaranteed Maximum Price (GMP) at the 30%, 60% and 80% design completion level. If the GMP is acceptable to CPA, the pre-construction services agreement will be amended to include the GMP, with a contingency as specified in the contract documents.

The selected Proposer will be responsible for all maintenance of traffic, coordination with other construction contractors and for providing maximum support to the Canaveral Port Authority in maintaining their cruise operations and other Port functions at times specified by the Owner during construction. Other construction contracts are expected to be constructed simultaneously with the renovation of the Terminal Building. Those Projects will include but are not limited to CT10 Waterside Improvements.

The Scope of Services for the Proposer as part of this Request includes all elements related to construction management services including but not limited to preconstruction services, estimating, value engineering, scheduling, permitting, bidding and contracting, supervision of the work, document control of all submittals, RFI's, ASI's, etc., material testing, coordination of inspections, commissioning, training and project close-out. It will be the responsibility of the awarded CM firm to coordinate their activities and schedules with the other contractors to minimize conflicts and delays. Special coordination and a high level of expectation by the Owner will be held on the selected Proposer to provide maximum coordination, support, and professionalism to this project as CT10 will not cease operations during the construction phase.

This Request for Proposal is a one step process involving a Qualifications and Price package.

It should be understood by all participating Proposers that the Canaveral Port Authority reserves the right to supplement, expand, and modify the information and requirements prior to distribution of the final Addendum.

PART 2 - RFP SPECIFIC INFORMATION

2.01. DEFINITIONS

Whenever the following terms appear in the Proposal, the intent and meaning shall be interpreted as follows:

A. Contract: A single contract with a firm for the construction management services

00 21 16 - 2 including but not limited to preconstruction services, estimating, value engineering, scheduling, permitting, bidding and contracting, construction services, supervision of the work, document control of all submittals, RFI's, ASI's, etc., material testing, coordination of inspections, commissioning, training and project close-out. The Agreement will include the Construction Documents prepared by the selected designer and accepted by the Owner, this RFQ, along with any written addenda and other written documents, which are expressly incorporated by reference.

B. Contractor/Construction Manager/CM: A partnership, corporation, or other legal entity that is certified under F.S. 489.119 to engage in contracting through a certified or registered general contractor as the qualifying agent with whom Owner has entered into the Agreement.

C. Board: The Canaveral Port Authority Board of Commissioners, its successors and assigns.

D. Contract Documents: for purposes of this RFP, contract documents will consist of the

Owner's standard CM at Risk Construction Contract.

E. Designer (Owner’s Architect or Owner’s Consultant): The Architectural firm (BA &

Partners, LLC) and the Port Engineer and staff are responsible for the preparation of the Criteria presented in the Contract Documents including the technical design parameters and requirements that will be used by the Proposer to prepare the schedule, shop drawings, fabrication and installation of the project.

F. Owner (the Canaveral Port Authority and Board): The Entity with whom the CM Firm has entered into the Agreement and for whom the work is to be performed. Canaveral Port Authority, Florida the public body, agency or instrumentality for which contract is to be performed. In all respects hereunder, the Canaveral Port Authority’s performance is pursuant to its’ position as the Owner of a construction project. In the event the Canaveral Port Authority exercises its regulatory authority as a governmental body, the exercise of such regulatory authority and the enforcement of any rules, regulations, laws and ordinances shall be deemed to have occurred pursuant to the Port's authority as a governmental body and shall not be attributable in any manner to the Port as a party to the Contract.

G. Notice to Proceed: A written notice to firm authorizing the commencement of work fixing the date on which the contract times will commence to run and/or which CM Firm shall start to perform the work under the Contract documents.

H. Plans and/or Drawings: The graphic representations of the construction project, including specifications and product data prepared by the Designer and/or their consultants as the Engineers and Architects of Record.

I. Proposer: Any individual, or corporation submitting a proposal for the project, acting directly or through a duly authorized representative. For the purpose of this RFP, Proposer shall mean the same thing as the CM Firm, Construction Manager at Risk, CM Contractor or Prime Contractor once a Contract has been awarded.

J. Selection Committee: A group of at least 3 individuals assigned by the Owner to review and rank the proposals.

K. Project: All work associated with the design, permitting and construction of “CRUISE

TERMINAL 10 IMPROVEMENTS”.

2.02 SCOPE OF WORK

A. The Project includes, but is not limited to, pre-construction services, furnishing all permits, payment of fees, labor, materials, supplies, equipment, shop drawings and incidentals necessary to complete the work at CT10 located in Port Canaveral, Florida.

B. Budgeted funds for this project - $50,000,000.00 U.S. Dollars for terminal landside work and associated sitework.

C. Schedule for the Project will be the following

Pre-Construction Services: estimated to be 3 months beginning in January 2026, after the December 10, 2025 CPA Commission approval.

Construction Services: All Improvements shall be substantially complete by September 30, 2027.

The Architectural design schedule is as follows:

Milestone, Design Package: On or Before New luggage screening building March 1st, 2026 Balance of Improvements:

30% Design: March 31, 2026 60% Design June 30, 2026 100% Design September 1st, 2026

D. Liquidated Damages will be assessed for non-compliance with the project Schedule.

Liquidated damages will be $10,000.00 per day Based on the Substantial Completion Date.

2.03 PRE-PROPOSAL MEETING

A. There will be a pre-submittal walkthrough of CT-10 on Wednesday, October 15, 2025 at 10:00 AM at 445 Challenger Rd, Cape Canaveral, FL 32920.

2.04 PROPOSALS

This is a 1-step process: These services will be acquired in compliance with the Consultants Competitive Negotiations Act, Florida Statues 287.055. Qualifications Submittals, shall be received at the time and place designated in the Request for Proposals.

Failure by a potential Proposer to ask questions or request changes by the dates indicated shall constitute the Proposer's acceptance of the requirements set forth in this Step 1 process.

2.05 DELIVERY OF PROPOSALS

All Proposals, whether mailed or delivered in person, shall be submitted neatly organized in bound files with divider tabs and in duplicate (six copies). Proposals shall be submitted in a single sealed envelope or box that clearly bears on the outside, the title of the Project as identified below, proposal date and time, and Proposer’s name, address, and telephone number.

Also by the specified date and time, an electronic copy (tabbed pdf format) of the proposal must be loaded through VendorLink.

Hand-carried proposals shall be turned in at the Maritime Purchasing Center, 399 Challenger Rd., Cape Canaveral, Florida 32920. The Maritime Purchasing Center is open weekdays from 8 AM to Noon and from 1 PM to 5 PM.

The responsibility for delivering the Proposals to the Canaveral Port Authority on or before the stated time and date is solely the responsibility of the Proposer. The Canaveral Port Authority is not responsible for delays caused by the mail service or any other occurrence.

Proposal time is scrupulously observed. Under no circumstances will late proposals be accepted. Any late Proposals will be returned to the Proposer unopened. Proposer shall not include information or responses to proposal requests for more than one project in any one envelope or box.

Failure to provide the required copies and information may result in the proposal not being considered. Submittals shall be clear, concise, indexed by subject, typed on letter size paper, and individually bound. Packages shall be received in the Canaveral Port Authority Maritime

Purchasing Center by the advertised deadline. Each Proposer should ensure that they have received any/all addenda and amendments to this process before submitting their proposal.

Delivery of a package to any Canaveral Port Authority location other than the Maritime Purchasing Center does not constitute official receipt by the Canaveral Port Authority. Any package delivered after the advertised deadline will not be considered. Proposals shall be submitted in the order listed below.

In the instance where a specific requirement(s) may not apply to the project in question, a statement must be inserted at the tab location stating the reason(s) of non-applicability.

During the entire solicitation and evaluation process all contact must be channeled through the designated Purchasing Agent. Failure to comply with these procedures shall be cause for disqualification of the Firm’s expression of interest.

2.06 RIGHT TO REJECT PROPOSALS

The Owner reserves the right to reject any and all Proposals; with or without cause, and to waive technical errors and informalities; and to accept the proposal, which, in its judgment, best serves the Owner.

2.07 POSTPONEMENT OF DATE FOR SUBMITTING PROPOSAL

The Owner reserves the right to extend the date for receipt of Proposals and will give five (5) calendar days notice of any such postponement to each Prospective Proposer.

2.08 QUALIFICATION PACKAGE GUIDELINES

1. To facilitate analysis of its qualifications package, the Proposer shall prepare its qualifications package in accordance with the instructions outlined in this section. If the Proposer’s qualifications package deviates from these instructions, such qualifications package may, in the Port’s sole discretion, be rejected. Qualification packages must be submitted in English.

2. The Canaveral Port Authority emphasizes that the Proposer concentrate on accuracy, completeness, and clarity of content.

3. Cross Referencing - To the greatest extent possible, each section shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross-referencing to other sections of the qualifications package. Information required for evaluation of qualifications, which is not found in its designated section, will be assumed to have been omitted from the qualifications package.

4. Glossary of Abbreviations and Acronyms -Each section shall contain a glossary of all abbreviations and acronyms used, with an explanation for each. If no abbreviations and/or acronyms are used, then a glossary is not required.

5. Page Size and Format - Page size shall be 8.5 x 11 inches, not including foldouts.

Pages shall be single-sided. The text size shall be 11 point or larger. Use at least three-quarter (3/4) inch margins on all sides. Pages shall be numbered sequentially to verify page count. Maximum number of pages shall not exceed 80-pages, including tables of contents, text, photos, charts, glossaries and appendices. Covers and backs will not be

00 21 16 - 6 considered part of the 80-page count. Divider tabs will not count as pages provided no additional information or company propaganda is included on those pages.

6. Legible tables, charts, graphs and figures shall be used wherever practical to depict organizations, systems and layouts, implementation schedules, plans, etc. These displays shall be uncomplicated, legible and shall not exceed eleven (11) by seventeen

(17) inches in size. Foldout pages shall fold entirely within the section. Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics; and not for pages of text.

7. Binding and Labeling - All sections of the qualifications package should be bound, with section tabs, which shall permit the qualifications package to lie flat when opened.

Staples shall not be used.

PART 3 - SELECTION PROCESS

To expedite the evaluation of qualifications packages, it is mandatory that Proposers follow the format and instructions contained herein. Applications that do not comply with the instructions including information outlined in the Qualification Package Guidelines will not be considered. All information received will be maintained with the project file and cannot be returned.

3.01 1 STEP PROCESS

A one-step selection process has been developed to solicit and select the best qualified Proposer:

A.

1. Proposals will introduce firms, establish each firm's experience, introduce and identify key personnel, and explain the proposed process for successfully constructing the proposed project. As a part of this submittal, data is required to be submitted in order to evaluate the teams experience with similar projects, past performance of the various team members, and intended policies to safeguard the project, and to provide quality control. It is the Owner's intent that the successful Proposer shall demonstrate proficiency in the construction and management of similar projects, with minimal change orders and claims; provide proof of insurance and proof of adequate bonding capability as described herein;

demonstrate successful experience in CM at Risk projects of similar scope and size.

2. Selection Committee will review the submitted information/references and based on the established scoring criteria, These documents combined with the Proposers submittal requirements listed here-in will establish the basis for the Contract Documents. The physical layout of the Proposed Project may be altered; however, the design philosophy and function will be established by the Documents developed during the Pre-Construction period working with the Port’s Designer.

3. Addenda to the Proposal Requirements: The Owner reserves the right to amend this Proposal or request additional clarifying information from any or all Proposers prior to determination of a short list. Any change to this document will

00 21 16 - 7 be brought to the attention of all prospective Proposers; only written Addenda will be binding. Proposer shall also acknowledge receipt of all addenda by addendum number and date.

4. All questions about the meaning or intent of the RFP Documents shall be submitted in writing to Owner, using the VendorLink link (https://www.portcanaveral.com/business/vendor-services/bids-solicitations).

Replies will be issued through VendorLink to all parties recorded as having received the RFP Documents. Questions received less than seven (7) days prior to the date for submittal of Proposal due date will not be answered. Only responses to questions issued through VendorLink will be binding to the Contract. Verbal and other interpretations or clarifications will be without legal effect to the Solicitation/Contract.

5. Contract: The Contract and all the terms and conditions therein, shall be subject to approval by the Board. A Standard (Sample) Construction Contract will be provided in the documents. The Owner reserves the right to add/modify such terms and conditions as it deems in the best interests of the Owner. Short-listed Proposers are advised to take into account these terms and conditions in formulating their Proposal, it being understood that the actual terms and conditions will be presented by the Owner at the time of Contractual negotiation.

6. The Selection Committee reserves the right to ask questions for clarification of any or all proposers. As part of the Evaluation Process, the Proposer shall have Officials present, including the Project Manager, on a designated date(s) scheduled in advance by the Owner. The Proposer should be prepared to present to the Board and Selection Committee in Power Point® or equivalent format an overall briefing regarding the manner in which all contractual obligations will be accomplished. Two separate presentations/interviews may be required.

3.02 SUBMISSION REQUIREMENTS (TABBED SECTIONS)

Tab 1 General Information and Table of Contents. (non-scored) Provide general information of the firm including Principal, contact person, address, phone, facsimile and e-mail, not to exceed 1 single sided page maximum. Any addenda received shall be noted on this page.

A brief profile of the Firm (or Firms if more than 1 Firm is listed on the Proposal), including a brief history of the company which clearly identify the following in a tabular or bullet point format:

Proposers must demonstrate that they have successfully completed a minimum of 2 passenger terminal projects (cruise, maritime and aviation) of at least $20,000,000 in construction costs; 2 sitework/utilities/paving projects with at least one with upgraded underground utility work for electric systems/equipments storm, water, and sewer. All projects must have been completed within the last 10 years. List the projects in priority order, with the most current project first. For each of the listed projects, provide the following information:

1. Name and location of the project including a project picture.

2. Nature of the Firm’s responsibility on this project.

3. Project owner’s representative name, address, and current phone number and e-mail.

4. Start dates - completion/anticipated completion date.

5. Size of project - gross area of construction, number of levels, number of parking spaces, appurtenances (stairs, elevators, escalators).

6. Cost of project - original construction cost, final construction cost, including cost per car/parking space.

7. Listing of the Firm’s project manager and other key professionals on the listed project and note those who would be assigned to the Port's project.

8. The name, address and current telephone number and e-mail of the project architect/engineer.

Tab 4 Regional Knowledge. (15 points)

List projects (minimum of 5) with a construction value of $10,000,000 or more performed within the State of Florida within the last 10 years. For each of the listed projects, provide the following information:

1. Name and location of the project including a project picture.

2. Nature of the Firm’s responsibility on this project.

Tab 5 Organizational Chart, Resumes` and Current Workload . (20 points)

For the Prime Contractor and Subcontractors; provide an organization chart as it relates to the project indicating key personnel and their responsibilities for this project.

Responsibilities include on-site and off-site activities, coordination and interaction with the Port Authority, permitting agencies, consultants, and other Firms working on related projects. It should be understood that it is the intent of the Canaveral Port Authority to insist that staff indicated as the Project Team in this response actually execute the project. Identify the lead contact for the project and who will have signing authority for the project. Identify those individuals that would be on site full time, part time or working remote.

List resumes` of key individuals to be involved in the various aspects of the Project and an explanation of each individual's role in the Project from Superintendent and lead Professionals on up. For each individual listed, provide the following information:

1. Name of Individual

2. Years with current firm

3. Total years in the industry

4. Current title with company

5. Any licenses, credentials or certifications relative to this project

6. Role assigned to this project

7. Project currently assigned to and anticipated completion date

8. Past project experience with current firm for past 10 years

List each project currently under contract or pending contract. Describe how you will meet your current contract obligations and our project(s) if selected. Identify key personnel on these projects that would be assigned to the Port's project and their current obligations and how they plan to transition over to the Port's project.

Describe your firm’s methodology to implement the services required of this contract including quality control and record keeping during both the pre-construction and construction phases. Discuss the coordination your firm will incorporate for this project as it impacts this project and the other projects related to the cruise terminal construction on the same site.

Attach a copy of the Firm’s Business Occupational License and all applicable Professional Registrations from the appropriate governing board. A Firm must be properly registered at the time of its submittal to practice their profession in the State of Florida. Provide evidence that the firm and all sub-consultants are licensed to conduct business in the State of Florida. Copies of current State of Florida professional registration license renewals for the Proposer’s key professional personnel to be used on the project. Proposer shall be properly registered to practice in the State of Florida with the appropriate state board governing the services offered. The Selection Committee may verify the current status with the appropriate state board. Provide copies of all current State of Florida Department of Professional Regulation licenses or certificates.

Tab 8 References. (15 points)

Provide a minimum of three (3) reference letters from different owner representatives for different projects, preferably local that your Firm has provided / is providing professional services which are similar in scope to this RFP. Reference letters shall be current, dated within three (3) years of this solicitation. The reference from the owner representative must be from different owners, provided on their letterhead, and include details regarding your Firm’s role on the project. Letters from Canaveral Port Authority staff shall not be considered.

Provide a minimum of two (2) reference letters from different subcontractors or vendors from different projects that your firm has worked with in the last three (3) years of this solicitation. The reference from the subcontractors and vendors must be from different projects, provided on their letterhead.

Tab 9 Litigation. (non-scored)

Identify all litigation or arbitration and/or pending litigation or arbitration your firm or consultant's firm has been a party to, legal action (including arbitration, administrative proceedings, etc.) or lawsuits during the last five (5) years involving a client, contractor or subcontractor for claims. Include a brief legal description of the dispute and its current status. Describe the particular circumstances giving rise to the dispute and the actions which your Firm took to attempt to settle the matter prior to and after suit being filed.

Identify if your firm has ever been removed or relieved from a contract or duties on a project. Identify if your firm has ever defaulted on a contract or had a bond recalled.

Identify whether your firm has ever been assessed liquidated damaged or delay damages.

Identify any disputes or claims in which your firm has been a party to and was resolved without legal action during the last five (5) years.

Tab 10 Safety. (10 points) Submit a statement on each firms corporate position on safety as well as a list of any OSHA Recordable safety violations or incidents recorded and non-recorded that have occurred within the last 5 years. Provide copies of the OSHA 300A (Summary of Work Related Injuries and Illnesses) Form for the last 3 years.

Attach evidence of required insurance coverage or proof of insurability in the amount of two million dollars of professional liability insurance. Proposer must provide evidence of Workers' Compensation ($1,000,000), General and Excess Liability ($5,000,000/$10,000,000), and Automobile Liability Insurance ($1,000,000) for both on-site and off-site activities. Proposer must submit a sample verification of insurance in the form of a Certificate of Insurance on a standard ACORD form 25-S. Forms must contain the correct solicitation and/or project number and the Canaveral Port Authority.

Identify the insurance company contracted to handle each type of insurance and their company’s AM Best rating.

State the Firm’s current EMR and those for the past 3 years.

Proposers to provide a detailed line item breakdown cost for pre-construction services, general conditions (including insurance, not including builders risk coverage), fee (amount and percentage) of the project using the supplied proposal form. Price shall consider the services described in the Summary of Work Section. CM shall describe the staff and resources that will be utilized during the Pre-Construction Services. Price breakdown should show the following:

The Proposing Firm shall submit in a separate sealed envelope an updated financial statement for the Firm, prepared within the past 60 days, itemizing present financial resources, liabilities and capital equipment. This will be opened and reviewed for the selected firm only by the Port's Chief Financial Officer. All financial statements will be held until contracts are awarded at which time the unopened statements will be shredded. If a Proposing firm requests that their financial statement be returned unopened, provide a stamped self-addressed envelope for its return.

Presentations/Interviews and Q&A (if Required). (25 Points)

During each Proposer's presentations/interviews, they will be graded on their ability to answer questions on the understanding of their construction and scheduling methods, their Team's interaction with the Port Staff, the presentations/interviews of the intangibles that are inherent in any presentations/interviews.

PART 4 - GENERAL PROVISIONS

4.01 SIGNATURE ON PROPOSAL

The Proposer shall sign his Proposal as specified. Proposals made by individuals shall include the Proposer’s name and P.O. address. If a firm or partnership submits a Proposal, the name and physical address of each Principal or Officer of the firm or partnership shall be identified.

For Proposals submitted by a Corporation, the authorized person signing the Proposal shall identify the name of the State under the laws of which the Corporation is chartered. In addition, the names and business addresses of the Corporation’s President, Secretary, and Treasurer shall be listed. The Proposal shall bear the seal of the Corporation, attested by the Corporation’s Secretary. Anyone signing the Proposal as an Agent shall include with the Proposal, legal evidence of his authority to act as an Agent.

4.02 LAWS AND REGULATIONS

A. Proposers shall note that all applicable State Laws, and the Rules and Regulations of Authorities having Jurisdiction over construction, shall apply to the Contract’s entirety.

The Authorities of Jurisdiction shall be deemed to be included in the Contract, the same as though herein written out in full. Failure to be familiar with the Authorities of Jurisdiction will in no way relieve the Proposer from Contract obligations. Federal Prevailing Wage Laws do not apply under this Contract.

B. Trench Safety Act: The Occupational Safety and Health Administration Excavation

Safety Standards, 29 CFR 1926.650 Subpart P, Trench Safety Standards, will be in effect during the period of construction of the Project. In compliance with current Florida Statutes, the Proposer shall provide documentation required by the Florida Trench Safety Statute to the Owner, with the Bid Form submittal.

C. Unless noted otherwise in this Section, the Proposer shall be a Division I General

Contractor, as defined by Florida Statutes CH-489 entitled “Contracting”. All Subcontractors performing under this Contract shall be a Division II Contractor as defined by Florida Statutes CH-489 entitled “Contracting”. Any and all Certified or Registered Contractors meeting the Division I requirements for the State of Florida shall be considered a qualified Proposer regardless of geographical location. A copy of the Proposer’s license or certificate shall be attached to the bid proposal.

D. In either case, the Proposer shall be required to subcontract the utilities, electrical, mechanical, plumbing, roofing, sheet metal and air conditioning work unless the Proposer holds a State of Florida Certificate of Competency or a Florida County/municipality Registration for those specialties.

E. All subcontractors shall be certified in the State of Florida or registered in a Florida

County/Municipality and shall hold an Occupational License in the Municipality in which they are based.

4.03 EXAMINATION OF SITE AND CONTRACT DOCUMENTS

A. Before the Proposer submits a Proposal, it is highly recommended that the Proposer

00 21 16 - 14 visit the site of the proposed Work. The Proposer shall be familiar with the Scope of Work and all local conditions that affect the Work to be completed and the equipment, materials and labor required to perform this Work. The Proposer shall examine and successfully complete the Contract Documents and application for the Public Construction Bond. The Proposer shall become familiar with all conditions and requirements that may adversely affect the Work to be performed under this Contract.

In addition, the Proposer shall fully examine the Contract Documents to verify, with the Table of Contents on both the drawings and specifications, that all pages and drawings have been provided.

4.04 DISQUALIFICATION

A. Proposer may be disqualified and their proposals rejected for any of the following:

1. Reason to believe that collusion exists among Proposers.

2. Determination by Owner for lack of competency as may be revealed by qualification statements, financial statements, experience records, or other questionnaires.

3. The Proposer's backlog of uncompleted work load, which in the judgment of the Owner, may impact the proposer’s ability to and cause detrimental impact or prompt completion of this Contract.

4. The Proposer is involved in any litigation against the Owner.

5. The Proposer has defaulted on any Contract or is in arrears on any existing

Contract.

6. Litigation that could impact the ability of the Construction Management Firm to complete the Project on schedule.

7. Architects and Engineers lacking the minimum requirements to design this type of Project.

4.05 AWARD OF CONTRACT

Award of the Contract, if awarded, will be to the responsible Proposer whose qualifications are in the best interest of the Owner and whose Proposal complies with the requirements of the Request for Proposal and does not exceed the funds available. The Contract shall not be awarded until all pertinent investigations are made with respect to the capabilities of the Proposers. The Owner shall be satisfied that the Proposers are qualified to complete the Contract and have the required organization, finances, manpower and equipment to perform the Contract obligations to complete the project within the timelines specified and budget available.

4.06 RETURN OF PROPOSAL GUARANTY

After the Proposals have been compared, the Owner utilizing his discretion, may return the Guarantee Deposit accompanying such Proposals to Proposers not considered for the Contract Award. The remaining Proposal Guarantees will be held until the Contract and Bonds have been executed; after which, the Proposal Guarantees will be returned to the respective Proposers. The Owner reserves the right to hold all Proposals and Bid Guarantees for a period not to exceed 60 days after the date Proposal is due.

4.07 FAILURE TO EXECUTE THE CONTRACT

The failure of the successful Proposer to execute the Contract, as required by the proposal, is just cause for the annulment of the Award. The amount of guarantee deposited with the Proposal, either in the form of a certified or cashier's check or a Bid Bond, will be retained or be paid upon demand to the Owner, not as a forfeiture, but rather will be for liquidated damages, for the breach of the Contract. This being agreed to by each Proposer, in advance, that the Owner sustains damages by reason of the failure of the Proposer to execute the Contract. Such damages are equal to the amount of the guarantee deposit, or exceed the same, and in no event shall the Proposer thereafter be permitted to legally contest to the contrary and waives such rights upon executing the Proposal.

4.08 SECURITY FOR FAITHFUL PERFORMANCE

Prior to executing the Agreement, the successful Proposer shall furnish a Public Construction Bond in the full amount of the Contract as security for faithful performance of the Contract and furnishing materials in conjunction with this Contract as specified in the General Conditions included herein. The Surety on such Bond or Bonds shall be a duly authorized Surety Company satisfactory to the Owner and licensed to do business in the State of Florida. Attorneys-inFact, who sign Bid Bonds or Contract Bonds, must file with each Bond a certified and effectively dated copy of their Power of Attorney, indicating- the monetary limit of such power.

4.09 INSURANCE

Prior to executing the Agreement, the successful Proposer shall furnish the Owner evidence of insurance coverage’s defined in the General Conditions.

4.10 CONTRACT TIME

By signature and by execution of the Proposal, the Proposer accepts the schedule and liquidated damages clauses defined in the bid documents and Contract.

4.11 OWNER OPTION TO ELECT ALTERNATIVE

For Proposals containing additive or deductive bid items, the Owner reserves the option to include any or all of the additive or deductive bid items in the Scope of the Work and Contract.

The Proposals for additive items shall remain valid for 60 days following the date of executing the Contract. Contract time and completion dates shall be renegotiated if the Owner elects additive or deductive items to be included in the Contract after execution of the Contract. The Owner reserves the right to negotiate the contract or scope with the selected firm if added changes in scope are required.

4.12 FUEL

Deliveries of fuel to CM Firm’s equipment in the water, either by barge or across the bulkhead, within Port Canaveral shall be limited to suppliers licensed by Canaveral Port Authority. Rates charged by the Canaveral Port Authority shall be consistent with other similar fuel deliveries within the Canaveral Port Authority’s jurisdiction.

4.13 PERMITS

The Canaveral Port Authority Building Department will issue a Structures Permit for the project which must be applied for by the selected Firm. The Port Authority will cover the cost for the

Permit. The Permit issued must be strictly complied with by the Firm during their performance of the Work. Any re-inspection fees for failed inspections will be the responsibility of the Firm.

As in all construction, the selected firm must adhere to EPA Guidelines mandated to the State of Florida for NPDES General Permit relative to Stormwater Discharge and file the required certifications.

4.14 E-VERIFY

All Proposers shall be advised that upon subsequent execution of the Contract, the Canaveral Port Authority (CPA) shall utilize the U.S. Department of Homeland Security's E-Verify system, in accordance with the terms governing the use of the system, to confirm the employment eligibility of all persons, including subcontractors, assigned by the CPA to perform work pursuant to the Contract between CPA ad the selected Proposer.

MEETINGS

PART 1 - GENERAL

1.01 PRE-PROPOSAL MEETING

A. A non-mandatory pre-proposal meeting walk-through will be held for proposing firms at 10:00 AM EDT on Wednesday, October 15, 2025. Meeting will be held in the Canaveral Port Authority's Maritime Center - 445 Challenger Road, Cape Canaveral, Florida 32920. Meeting will begin in the Maritime Center followed by a site visit.

1.02 PRESENTATIONS (IF REQUIRED)

A. Presentations for CRUISE TERMINAL 10 LANDSIDE IMPROVEMENTS will be scheduled for November 20, 2025. Firms will be notified by C.O.B on November 13, 2025 for the time of their presentation.

a) Each firm will be given 5 minutes to set-up. First firm must be ready to go at

8:00AM.

b) Each firm will start at the time stated above.

c) Each firm will be given 20 minutes to give their presentation followed by a question and answer period.

d) A 5 minute warning will be given to each team prior to the 20 minute mark.

e) Each firm will be given 15 minutes for questions and answers.

f) Each firm will be given 5 minutes to breakdown.

g) Each team may request to exceed the 20 minute mark for their presentation but realize this will reduce the amount of time for questions and answers which could affect the Port’s decision if the selection committee’s specific questions are not answered in the presentation.

NON-COLLUSION CLAUSE

By signing this offer, the Proposer certifies that this offer is made independently and free from collusion. Proposer shall disclose below, to the best of his or her knowledge, any Canaveral Port Authority officer or employee, or any relative of any such officer or employee as defined in Section 112.3135(1), Florida Statutes, who is an officer or director, of, or has a material interest in the Proposer's business and who is in a position to influence this procurement. Any Canaveral Port Authority officer or employee who has any input into the writing of specifications or requirements, solicitation of offers, presumed, for purposes hereof, to be in a position to influence this procurement. For purposes hereof, a person has a material interest if he or she directly or indirectly owns more than 5 percent of the total assets or capital stock of any business entity, or if he or she otherwise stands to personally gain if the contract is awarded to this proposer.

Failure of a Proposer to disclose any relationship described herein shall be reason for disqualification and/or termination in accordance with the provisions of the Canaveral Port Authority.

NAME RELATIONSHIPS

If the Proposer does not indicate any relationship by leaving the above section blank, it shall be deemed to be an affirmation by the Proposer that no such relationship exists.
