About this file

This document is an example surface use lease agreement between the Michigan Department of Natural Resources (DNR), Forest Resources Division, and a lessee for utility-scale solar photovoltaic development on state-owned land. The lease authorizes the lessee to access, construct, operate, protect, and maintain ground-mounted solar energy systems with associated fencing and infrastructure on approximately XXX.XX acres. The initial lease term is twenty-five (25) years, with options to renew in increments of up to five years for a maximum total term of forty (40) years, subject to the lessee providing 120 days' written notice and agreement to any additional terms and rent modifications proposed by the lessor. The lessee is permitted to use an approved access drive on a non-exclusive basis and must submit a detailed site plan at least thirty days prior to the expected installation date. Upon lease expiration, abandonment, or cancellation, the lessee has 180 days to submit an abandonment and site restoration plan and remove all installations from the premises.

The annual use fee is $XX,XXX per annum, with payment due within five days of each lease anniversary date; failure to pay results in a $50 per day late fee and potential lease termination. The lessee must provide a performance bond of $50,000.00 as a guarantee of faithful performance and must maintain general liability insurance with limits of $2,000,000 per occurrence for both property damage and bodily injury with a $4,000,000 aggregate, workers' compensation insurance, automobile no-fault coverage, and pollution liability insurance with limits of not less than $1,000,000. The lessee is responsible for all maintenance, repairs, utilities, snow removal, waste disposal, and site cleanliness, and may be subject to real property taxation. The lessor retains the right to inspect the premises, grant additional rights-of-way and easements that do not interfere with the lessee's use, and cancel the lease with thirty days' notice for specified defaults, material breaches, discrimination violations, or abandonment of the permitted use.
