State of Illinois Chief Procurement Office for General Services Information and Technology Contract V.26.1
1. DESCRIPTION OF SUPPLIES AND SERVICES
1.1. GOAL: The Illinois Department of Innovation and Technology (“DoIT,” “Agency,” or “State”) is establishing a contract with the Vendor to provide outbound Short Message Service (“SMS”) and automated Voice call delivery services (collectively, the “Messaging Service”) used to support multi‑factor authentication (MFA) for State systems and to support Agency‑authorized outbound notifications to end users. The Messaging Service will be made available for use by State-supported systems and operated in accordance with this Contract’s specifications, service levels, and statutory requirements.
In recent years, the State’s usage of outbound authentication messaging has averaged approximately 2.5 million SMS messages and 60,000 voice minutes per month. This information is provided for context to assist the Vendor in planning capacity, scalability, and pricing assumptions and does not constitute a guaranteed minimum or maximum volume.
1.2. SUPPLIES AND/OR SERVICES REQUIRED: The Vendor shall provide a fully managed Messaging Service that delivers outbound SMS messages and automated Voice calls required to support the State’s multi‑factor authentication processes and other Agency‑approved outbound notifications. The service shall operate reliably at the volumes required by the Agency and must support timely delivery of authentication codes and other messages initiated through the Agency’s Authentication Services Provider. The Vendor shall provide a fully documented and supported API that enables Agency applications to send SMS and Voice messages and shall furnish all technical materials, training, and assistance necessary for Agency staff to use and maintain the integration.
The Vendor shall:
1.2.1 Complete all work required to transition the Agency from its current messaging provider, including any configuration, testing, and coordination/ cooperation with Agency and Authentication Provider personnel. Vendor shall work with the Agency to develop a Statement of Work that will encompass the full transition, User Acceptance Testing and Go-Live of the new solution.
1.2.2 Provide technical and client support, complete training for staff including documentation and reference material, available in electronic format, for any solution.
1.2.3 Schedule maintenance to minimize disruption to the State and its customer. Scheduled maintenance must be performed between 2:00 a.m. – 3:00 a.m. (CST) each Monday, or at such times as agreed to by State and Offeror, with no more than six (1) hour per week scheduled maintenance.
The Messaging Service shall:
1.2.4 Be compatible with Agency’s current Authentication Services Provider (Okta) so it can deliver a message that contains a code that can be used by end users to log into systems.
1.2.5 Submit messages to carriers within five (5) seconds of request, and will attempt redelivery three (3) times before reporting the failure to the Agency’s Authentication Services Provider (Okta) for resolution.
1.2.6 Include administrative, technical, and automated controls to prevent unauthorized use, detect and respond to suspected misuse of the messaging service; detect, alert, and respond to suspected misuse or anomalous activity; and provide the Agency with reporting and monitoring capabilities necessary to manage consumption and prevent unanticipated charges.
1.2.7 Include controls to prevent abuse of the service including, but not limited to, use of the Messaging Service by unauthorized individuals, use of service to communicate with numbers that result in additional charges, sending to blacklisted numbers, and volumetric related abuse.
1.2.8 Scale to support current and future messaging volumes and that all messaging activities comply with applicable laws, regulations, and State requirements, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN‑SPAM Act, the Illinois Automatic Telephone Dialers Act, and the Illinois Consumer Fraud and Deceptive Business Practices Act.
1.2.9 Host the Messaging Service in a Vendor‑maintained cloud environment that complies with all State of Illinois Cloud Security Requirements as detailed in the attached Cloud Hosting Appendix, and ensure that all components of the service, including associated data, are not stored, maintained, or accessed outside locations approved by the State.
1.2.10 Provide high availability, ensuring Messaging Service remains available for use at all times, including during times of scheduled maintenance.
1.2.11 Comply with the Illinois Information Technology Accessibility Act (“IITAA”) (see: http://www.illinois.gov/iwas ) as well as accessibility requirements that apply to Federal agencies under (the amended) Section 508 of the Rehabilitation Act of 1973. Offeror must test its system and courseware for such compliance. Should compliance with any provision of those standards (Section 508 and IITAA) not be practical or feasible, the vendor must identify and describe the problem and propose a solution acceptable to the State. Vendor must test its system for compliance with Section 508 requirements and IITAA and provide results of such testing to the State in advance of implementation of the system.
1.2.12 Treat the content of SMS messages as confidential, including considering the authentication code itself as a password which should be delivered to the recipient but not be logged nor displayed as part of the service.
For procurements conducted in BidBuy, the State may include in this Contract the BidBuy Purchase Order as it contains the agreed Supplies and/or Services.

2. PRICING
2.1 FORMAT OF PRICING:
2.1.1 Pricing for this Contract shall be as follows.
2.2 TYPE OF PRICING: The Illinois Office of the Comptroller requires the State to indicate whether the Contract price is firm or estimated at the time it is submitted for obligation. The total price of this Contract is firm.
2.3 EXPENSES ALLOWED: Expenses are not allowed.
2.4 VENDOR’S PRICING: Vendor’s pricing is located in the Items Tab in the BidBuy Purchase Order. The State includes in this contract the BidBuy Purchase Order as it contains the agreed pricing.
2.5 RENEWAL COMPENSATION: If the contract is renewed, the price shall be at the same rate as the final year of the initial contract term, unless a different compensation or formula for determining the renewal compensation is stated in this section.

Agency Formula for Determining Renewal Compensation will be based upon CPI and determined as follows:
2.5.1 One upward price adjustment may be applied no more frequently than once during any given one-year period during the renewal term. Such adjustment shall be based on the Consumer Price Index for All Urban Consumers as posted by the U.S. Bureau of Labor Statistics.
The below equation shall be used to calculate the allowable price increase:

2.5.6 Requested adjustments shall include the contract number, item number, line number, bid price and requested price adjustment.
2.5.7 In all cases, the vendor must file a claim in writing for such adjustment prior to the services being performed or delivery of items. In any event, the claim for such adjustment will not apply to release orders provided prior to the date the ITPO approved the economic adjustment request.
2.5.8 If the Vendor has unresolved complaints filed against it for non-delivery of or poor-quality service, its request may be denied until such time as all past complaints are resolved to the satisfaction of the State.
MAXIMUM AMOUNT: The total payments under this Contract and all renewal options shall not exceed $Click here to enter text without a formal amendment.

3.2 RENEWAL:
3.2.1. Any renewal is subject to the same terms and conditions as the original Contract unless otherwise provided in the pricing section. The State may renew this Contract for any or all of the option periods specified, may exercise any of the renewal options early, and may exercise more than one option at a time based on continuing need and favorable market conditions, when in the best interest of the State. The Contract may neither renew automatically nor renew solely at Vendor’s option.

If not cured by that date the State may either: (a) immediately terminate the Contract without additional written notice or (b) enforce the terms and conditions of the Contract. Additional causes allowing for termination under this section include but are not limited to: failure to perform the services or deliver the goods within the time specified; failure to perform any other material requirement; failure to make sufficient progress so as to endanger performance; or any other breach of Contract. Vendor shall not be entitled to any anticipated profits or unearned compensation as a result of a termination for cause.
For termination due to any of the causes contained in this Section, the State retains its rights to seek any available legal or equitable remedies and damages. In the event the State covers a resulting loss by contracting with an alternate vendor, Vendor shall be liable for any difference in cost between this Contract price and the replacement price for the remaining term, as well as any other damages, including delay damages. Vendor shall be liable to the State for all reasonable costs incurred by the State in enforcing any provision of this Contract, including attorneys’ fees.
However, if, after termination, a court of competent jurisdiction determines that Vendor’s actions were excusable under this Contract, then the rights and obligations of the Parties shall be the same as if the termination had been issued as a Termination for Convenience. The State may, in its sole discretion and for its sole benefit, elect to exercise this right if it determines that it is in the best interest of the State.
3.4 TERMINATION FOR CONVENIENCE: The State may, for its convenience and with thirty (30) days’ prior written notice to Vendor, terminate this Contract in whole or in part and without payment of any penalty or incurring any further obligation to Vendor.

If Federal funds are expected to be used, then the percentage of the good/service paid using Federal funds and the total Federal funds expected to be used will be provided to the awarded Vendor in the notice of intent to award.
4.1.6 Invoicing: By submitting an invoice, Vendor certifies that the supplies or services provided meet all requirements of this Contract, and the amount billed and expenses incurred are as allowed in this Contract. Invoices for supplies purchased, services performed, and expenses incurred through June 30 of any year must be submitted to the State no later than July 31 of that year; otherwise, Vendor may have to seek payment through the Illinois Court of Claims. 30 ILCS 105/25. All invoices are subject to statutory offset. 30 ILCS 210.
4.1.6.1 Vendor shall not bill for any taxes unless accompanied by proof that the State is subject to the tax. If necessary, Vendor may request the applicable Agency’s Illinois tax exemption number and federal tax exemption information.
4.1.6.2 Vendor shall invoice at the completion of the Contract unless invoicing is tied in this Contract to milestones, deliverables, or other invoicing requirements agreed to in the Contract.
4.1.6.3 Vendor shall issue invoices separately for each order, with each invoice corresponding to a single order. Charges for multiple orders may not be combined into a single invoice.

4.2 ASSIGNMENT: This Contract may not be assigned or transferred in whole or in part by Vendor without the prior written consent of the State.
4.3 SUBCONTRACTING: For purposes of this section, subcontractors are those with contracts with an annual value exceeding the small purchase maximum established under 30 ILCS 500/20-20 , and who are specifically hired to perform all or part of the work covered by this Contract. Vendor must receive prior written approval before use of any subcontractors in the performance of this Contract. Vendor shall describe, in an attachment if not already provided, the names and addresses of all authorized subcontractors to be utilized by Vendor in the performance of this Contract, together with a description of the work to be performed by the subcontractor and the anticipated amount of money that each subcontractor is expected to receive pursuant to this Contract. If required, Vendor shall provide a copy of any subcontracts within fifteen (15) days after execution of this Contract. All subcontracts must include the same certifications that Vendor must make as a condition of this Contract. Vendor shall include in each subcontract the Standard Illinois Certifications form available from the State. If at any time during the term of this Contract, Vendor adds or changes any subcontractors, then Vendor must promptly notify, by written amendment to this Contract, the State Purchasing Officer or the Chief Procurement Officer of the names and addresses, the expected amount of money that each new or replaced subcontractor will receive pursuant to this Contract, and the general type of work to be performed. 30 ILCS 500/20-120.
4.3.1 Vendor shall be fully responsible for the performance of any subcontractors. Vendor shall supervise and guarantee the work of its subcontractors and shall ensure that all subcontractors comply with all requirements of this Contract just as if they were Vendor’s own employees. If a subcontractor fails to perform or violates any Contract requirement, Vendor shall promptly remedy the issue (including, if necessary, by replacing the subcontractor). Vendor shall be liable for any acts, omissions, or breaches by its subcontractors or agents to the same extent as if performed by Vendor. The State’s approval of any subcontractor does not relieve Vendor of its obligations under this Contract.
4.4 AUDIT/RETENTION OF RECORDS: Vendor and its subcontractors shall maintain books and records relating to the performance of the Contract or subcontract and necessary to support amounts charged to the State pursuant the Contract or subcontract. Books and records, including information stored in databases or other computer systems, shall be maintained by Vendor for a period of three (3) years from the later of the date of final payment under the Contract or completion of the Contract, and by the subcontractor for a period of three (3) years from the later of final payment under the term or completion of the subcontract. If Federal funds are used to pay Contract costs, Vendor and its subcontractors must retain their respective records for five (5) years. Books and records required to be maintained under this section shall be available for review or audit by representatives of: the procuring Agency, the Auditor General, the Executive Inspector General, the Chief Procurement Officer, State of Illinois internal auditors or other governmental entities with monitoring authority, upon reasonable notice and during normal business hours. Vendor and its subcontractors shall cooperate fully with any such audit and with any investigation conducted by any of these entities. Failure to maintain books and records required by this section shall establish a presumption in favor of the State for the recovery of any funds paid by the State under this Contract or any subcontract for which adequate books and records are not available to support the purported disbursement. Vendor or subcontractors shall not impose a charge for audit or examination of Vendor’s or subcontractors’ books and records. 30 ILCS 500/20-65. Vendor and its subcontractors shall upon reasonable notice appear before and respond to requests for information from the Illinois Works Review Panel. 30 ILCS 559/20-25(d).
4.5 CONTINUING PERFORMANCE: Time is of the essence with respect to Vendor’s performance of this Contract. Vendor shall continue to perform its obligations while any dispute concerning the Contract is being resolved unless otherwise directed by the State.
4.6 NO WAIVER OF RIGHTS: Except as specifically waived in writing, failure by a Party to exercise or enforce a right does not waive that Party’s right to exercise or enforce that or other rights in the future.
4.7 FORCE MAJEURE: Failure by either Party to perform its duties and obligations will be excused by unforeseeable circumstances beyond its reasonable control and not due to its negligence, including acts of nature, acts of terrorism, riots, labor disputes, fire, flood, explosion, and governmental prohibition (a “Force Majeure Event”). In the event of Vendor non-performance due to a Force Majeure Event, Vendor must promptly notify the State in writing describing the Force Majeure Event, the expected duration of the inability to perform, and any action being taken to mitigate the effect of the event. During the period of non-performance, the Vendor shall explore all reasonable alternatives to fulfill the Contract. The State may terminate this Contract in whole or in part without penalty if performance does not resume within thirty (30) days of the declaration. This provision shall not excuse: (a) late delivery of goods specifically manufactured or sourced for this Contract, if such goods are readily obtainable from other sources in a timely manner; or (b) any failure to implement disaster recovery or business continuity procedures where the implementation of such procedures would be reasonable, industry standard, or otherwise required by this Contract. This provision does not excuse Vendor’s obligation to resume full performance when the Force Majeure Event no longer causes an inability to perform. If a Force Majeure Event causes a shortage of materials or resources, Vendor will allocate any available materials or resources to meet the State’s requirements first before any allocation to other customers.
4.8 CONFIDENTIAL INFORMATION: Each Party to this Contract, including its agents and subcontractors, may have or gain access to confidential data or information owned or maintained by the other Party in the course of carrying out its responsibilities under this Contract. Vendor shall presume all information received from the State or to which it gains access pursuant to this Contract is confidential. Vendor information, unless clearly marked as confidential and exempt from disclosure under the Illinois Freedom of Information Act (“FOIA”) (5 ILCS 140), shall be considered public. Unless otherwise agreed by the Parties, and then only upon receipt of the State’s prior written consent, Vendor and its subcontractors shall not access or attain any personally identifiable information or sensitive information on or from the State’s systems, and Vendor agrees that any such information is the confidential information of the State. In any event, Vendor shall implement and maintain reasonable security measures to protect any and all data, information, and records disclosed by the State under this Contract from unauthorized access, acquisition, destruction, use, modification, or disclosure. No confidential data collected, maintained, or used in the course of performance of this Contract shall be disseminated except as authorized by law and with the written consent of the disclosing Party, either during the period of this Contract or thereafter. The receiving Party must return any and all data collected, maintained, created or used in the course of the performance of this Contract, in a non-proprietary, readily usable format, promptly at the end of this Contract, or earlier at the request of the disclosing Party, or notify the disclosing Party in writing of its destruction. The foregoing obligations shall not apply to confidential data or information lawfully in the receiving Party’s possession prior to its acquisition from the disclosing Party; received in good faith from a third Party not subject to any confidentiality obligation to the disclosing Party; now is or later becomes publicly known through no breach of confidentiality obligation by the receiving Party; or that is independently developed by the receiving Party without the use or benefit of the disclosing Party’s confidential information.
4.9 USE AND OWNERSHIP: The parties shall respectively retain any pre-existing intellectual property ownership rights (“Preexisting I.P.”) in effect at the time of Contract execution. However, any work product created under this Contract (“Work Product”) will be the State’s sole property if: (1) it is developed using the State’s equipment, supplies, facilities, or trade secrets; or (2) it results from Vendor’s work for the State under this Contract. Vendor shall not incorporate any of its Preexisting I.P. into Work Product, except as specifically agreed to by the parties in this Contract.
4.9.1 WORK FOR HIRE: To the extent permissible under applicable law, Work Product will be considered work made for hire pursuant to the U.S. Copyright Act, 17 U.S.C. §§ 101 et seq., and any foreign equivalent thereof.
4.9.2 ASSIGNMENT OF RIGHTS: Where Work Product contains no Vendor Preexisting I.P., to the extent if any that the State still does not own full right, title, and interest in and to the Work Product, Vendor hereby assigns to the State all of its ownership, right, title, and interest in and to all Work Product, without limitation.
4.9.3 MORAL RIGHTS: In addition to the foregoing transfers and allocations of rights, Vendor hereby irrevocably transfers and assigns to the State any and all “moral rights” Vendor may have in or with respect to the Work Product, excluding any Vendor Preexisting I.P. Vendor also hereby forever waives and agrees that it shall never, including after Contract termination, assert any moral right with respect to the Work Product. “Moral rights” include any rights to claim authorship of or credit on a work of authorship, to object to or prevent the modification or destruction of a work of authorship, or to withdraw from circulation or control the publication or distribution of a work of authorship, and any similar right, existing under judicial or statutory law of any country or subdivision of a country, or under any treaty, regardless of whether or not such right is described as a “moral right.”
4.9.4 BACKUP LICENSE: To the extent, if any, that (i) the Parties agree in this Contract to allow Work Product to incorporate any Vendor Preexisting I.P., or (ii) to the extent the above assignment provision otherwise does not provide the State with full ownership, right, title, and interest in and to the Work Product, Vendor hereby grants the State a perpetual, irrevocable, fully paid, royalty-free, worldwide license to use, reproduce, create derivative works from, and publicly display and publicly perform the Work Product. Vendor grants this license under copyright, patent, and all other applicable forms of intellectual property law.
4.10 (A) INDEMNIFICATION: Vendor shall indemnify and hold harmless the State, its agencies, officers, employees, agents, and volunteers (collectively, "Indemnified Parties") from any and all liabilities, losses, damages, claims, demands, costs, settlements, judgments, and expenses (including attorneys’ fees and expenses, whether in-house or contracted) that the Indemnified Parties may incur related to:
(a) any breach or violation by Vendor of any of its certifications, representations, warranties, covenants, or agreements;
(b) any act, activity, or omission of Vendor or any of its employees, representatives, subcontractors, or agents; or
(c) any actual or alleged death or injury to any person, damage to any real or personal property, or any other damage, harm, or loss claimed to result in whole or in part from negligent or wrongful acts or omissions of the Vendor, its employees, representatives, subcontractors, or agents;
(d) any actual or alleged claim that the products or services provided under this Contract infringe, misappropriate, or otherwise violate any intellectual property rights (including but not limited to patent, copyright, trade secret, or trademark rights) of a third party.
Vendor shall also defend (subject to the consent of the Office of the Attorney General (“OAG”)) the State against any and all third-party claims related to this Contract. In accordance with Article VIII, Section 1(a) and (b) of the Constitution of the State of Illinois and 1973 Illinois Attorney General Opinion 78, the State may not indemnify private parties absent express statutory authority permitting the indemnification.
(B) LIMITATION OF LIABILITY:
(1) Damage Cap. Vendor’s entire liability to the State for all claims arising under or related to this Contract will not exceed five (5) times the total sum paid and payable to Vendor under this Contract (the “Damage Cap”). The Damage Cap is cumulative for all claims and not per incident.
(2) Consequential Damages. Neither Party to this Contract will be liable to the other for any indirect, special, consequential or punitive damages (“Consequential Damages Exclusion”).
(3) Unlimited Liability. Neither the Damage Cap nor the Consequential Damages Exclusion will apply to any of the following:
(i) Vendor’s obligations under section 4.10(A), 4.10.1, 4.10.2, and 4.10.3;
(ii) Infringement of rights in intellectual property;
(iii) Gross negligence, willful misconduct, or fraud;
(iv) Bodily injury, death, or damage to property;
(v) Data breach, loss, or corruption; and
(vi) Intentional repudiation of contract.
4.10.1 ADDITIONAL VENDOR OBLIGATIONS: In the event any actual or alleged claim that the products or services provided under this Contract violate any intellectual property rights, Vendor shall, at its own expense, promptly: (a) secure for the State the right to continue using the affected product, software or service; (b) replace or modify the affected product, software or service to make it non-infringing, provided such modification or replacement does not materially degrade any functionality; or (c) subject to the State’s consent, refund or forego: (i) the purchase price, if a product; or (ii) if a license fee or service, the fees paid or due to be paid for every month remaining in the term following the date after which the State ceases use of that software or service.
4.10.2 DATA BREACH PREVENTION, NOTICE, AND REMEDIATION: To the extent related to or in furtherance of the Vendor’s performance under this Contract, Vendor shall ensure the security, storage, and integrity of the State’s content, data, computers, networks, and systems (which may include the use of encryption technology to protect the State’s content and data including personally identifiable information and sensitive information) from unauthorized access. Vendor shall implement and maintain all appropriate safeguards to prevent unauthorized disclosure of, access to, or use of State data and any personally identifiable and sensitive information. For purposes of this Section, unauthorized disclosure of, access to, or use of data or personally identifiable or sensitive information is defined as a “Data Incident.”
In the event Vendor becomes aware of or suspects a Data Incident, Vendor shall: (1) promptly, and in no event greater than 24 hours (unless required to give notification earlier by law or State policy), give notice to the State of that Data Incident; and (2) provide the State with daily updates, or as requested by the State, regarding findings and actions to resolve the Data Incident to the State’s satisfaction. Notifications shall be sent via email to DoIT.Security@illinois.gov, with the subject line: “Breach Notification” as it relates to Data Incidents.
