About this file

This document is the General Conditions for a construction contract issued by the Ontario International Airport Authority (OIAA), a California municipal entity, for the Zero Emissions Initiatives Phase 1 project. The project involves installation of seventeen new electric vehicle charging stations to support Electric Ground Support Equipment operations at Ontario International Airport, with work performed at Terminal 2 and Terminal 4 apron areas and within existing and new electrical rooms throughout both terminal buildings. The contract establishes comprehensive terms governing contractor responsibilities, including prosecution of work, scheduling requirements using Critical Path Method, quality standards, safety protocols, and coordination with other airport operations and contractors. The document specifies that contractors must submit a Baseline Project Schedule prior to receiving Construction Notice to Proceed, maintain detailed progress schedules with weekly updates, and achieve substantial completion and final acceptance milestones as established in the contract documents. Contractors are required to employ or retain a Construction Scheduler with minimum five years of verifiable experience and maintain site-specific safety procedures addressing hazards, access control, risk assessment, emergency response, and security protocols.

The General Conditions establish detailed payment procedures including progress payments based on OIAA-approved Schedules of Values, five percent retention on all progress payments until final acceptance, and final payment contingent upon receipt of satisfactory evidence that all payrolls, material bills, equipment costs, and other indebtedness have been paid. Contractors must procure Performance and Payment Bonds equal to one hundred percent of the contract price, maintain comprehensive insurance coverage including general liability and workers' compensation with OIAA named as additional insured, and comply with prevailing wage requirements and California Labor Code provisions. The contract incorporates liquidated damages for failure to meet milestone completion dates and allows for compensable delays only when caused by OIAA direction, material breach by OIAA, or active negligence by OIAA, provided the contractor meets strict notification and documentation requirements. All change orders over approximately one hundred thousand dollars require OIAA Commission approval, and the contractor must indemnify and hold OIAA harmless from claims arising from the contractor's performance, including patent infringement, hazardous substance contamination, and third-party liability.

In the event any covenant, condition, or provision herein contained is held to be invalid by final judgment of any court of competent jurisdiction, the invalidity of such covenant, condition, or provision shall not in any way affect any other covenant, condition, or provision herein contained, which shall be granted full force and effect and interpreted to implement the lawful intent of the Contract Documents.

B. It is the intention of the parties hereto that if any provision of this Contract is capable of two constructions, one of which would render the provision void, and the other of which would render the provision valid, then the provision shall have the meaning which renders it valid.

GC- 6. NO ALTERATION OF CONTRACT TERMS

Contractor has no authority to alter, modify, amend, or change the terms of this Contract or any agreement entered into with OIAA or any agreement for any work to be performed on or relating to this Project, except by an executed Change Order executed in compliance with the Contract and subject to the limits on Change Orders expressed in the Contract.

G. Changes in the Work or extensions of time made pursuant to the Contract shall in no way release the Contractor or surety from its obligations. Notice of such changes or extensions shall be waived by the surety.

H. The Contractor shall record the Executed Payment Bond and Executed Performance Bond at the San Bernardino Hall of Records at 222 W. Hospitality Lane, San Bernardino, CA 92415. Include with the recorded bonds the San Bernardino County Document Cover Sheet. A fillable PDF of the cover sheet can be found online at https://sbcountyarc.org/wp-content/uploads/arcforms/cover_sheet.pdf. On this set, the Contractor shall record daily all changes and deviations in a neat and legible manner. Any deviation between Contract Drawings and Technical Specifications and the Work actually done, no matter how insignificant, must be recorded. Of special concern is that all underground utility structures encountered in performing the Work be correctly located on such Drawings by means of physical ties or dimensions to permanent monuments or structures.
