• These slides are not to be interpreted as a comprehensive description of the requirements in the DRFP.
• To the extent there are any inconsistencies between this briefing and any future RFP, the RFP will govern.
Purpose of Pre-proposal Conference
• The purpose of this Pre-proposal Conference is to help industry understand the Government’s requirements.
• Questions:
• Index cards are available for written questions for both the conference and tours.
• Following the conference presentation this morning initial responses to written questions will be provided.
• Initial responses to verbal questions will be provided during the Cost/Price Workshop and the Prime One-on-One Sessions.
• To provide consistent information on all tours please submit questions in writing on the index cards provided.
• OFFICIAL responses to all questions will be posted without attribution to the MSOC procurement website after this conference.
• The deadline for submitting questions regarding this conference, the Technical
Reference Library (TRL) and the DRFP is July 7, 2016, at 12:00 p.m. CDT. See the cover letter to the DRFP for additional guidance related to questions about the TRL and DRFP.

• What it is:
• Contains FOD technical data associated with the SOW, Task Orders and other contract requirements
• Library table of contents and description file included
• Organized by type for ease of use
• Ensures a reasonable set of background information is available for all Offerors to consider in their response to the RFP
• All content is located in a single technical library
• Final RFP release is planned for August 15, 2016 at which time the online TRL is planned to be frozen (i.e. no documents added or removed).
• Any updates to the TRL after this point will be announced on the MSOC procurement portal.

MSOC Online TRL - Export Control Notice:
• Offerors are reminded that the library contains material which has not been reviewed for Export Control considerations and should therefore be treated as if it is export controlled.
• This library also contains material that is considered sensitive and therefore all files shall be treated as sensitive material.

• In accordance with provision L.14, Offeror Acceptance Period, proposals submitted in response to this solicitation shall remain firm for at least 365 calendar days after the date specified for receipt by the Government and shall contain a statement to this effect. In addition, Offerors shall complete Block 12 of Standard Form 33, Solicitation, Acceptance, and Award accordingly.
Section B – Supplies or Services and Prices/Costs

• H.13 No Cost Reimbursement or Fee for Business Development Associated with the Non-Governmental Use of NASA Facilities
• The Government will not reimburse, either directly or indirectly, any costs associated with the Contractor’s efforts to market, solicit, capture, or otherwise establish agreements with customers for the non-Government use of Government equipment and/or facilities as identified in clause H.12, Non-Government use of NASA Facilities. Such business development costs are determined to be unallowable in accordance with FAR 31.201-6, Accounting for unallowable costs. • An Offeror must be eligible for award in accordance with FAR subpart 9.104, Responsible Prospective Contractors. Business System Adequacy, Government Property adequacy and Organizational Conflict of Interest Information are used to determine responsibility. However, these items may not constitute all eligibility considerations that will be addressed by the SEB pursuant to FAR 9.10
M.7 MODEL CONTRACT AND ADDITIONAL REQUIREMENTS
• The model contract will not be evaluated for selection purposes. It will, however, be reviewed to ensure that it was signed by a person authorized to commit the Offeror, that there is completion of all fill-ins, and that it accurately captures the content as set forth in the Offeror’s proposal. Errors or inconsistencies in the Model Contract may result in an Offeror being removed from consideration for award.

Waiver of Service Contract Labor Standards
• The Contracting Officer has made a determination that FAR 52.222-41: Service Contract Labor Standards is not applicable to the MSOC contract.
• “The SCA applies to every contract entered into by the United Stated or District of Columbia, where the principle purpose is to furnish services through the use of service employees.
• In practice, a 10 to 20 percent guideline has been used to determine whether there is more than a minor use of service employees. (Preamble at 48 Fed. Reg. 49736, 49743-44 (Oct. 27, 1983).)”
• Historically, the percentage of non-exempt employees that perform the MSOC functions has been less than 10%.
• Because the Service Contract Labor Standards has been waived, a wage determination and the following clauses will not be incorporated into the MSOC contract.

Waiver of Service Contract Labor Standards
• Offerors are still required to submit a Total Compensation Plan (TCP) (DRD- MSOC-0035) with their initial proposal.
• The proposed compensation of all MSOC employees will be evaluated in terms of its impact upon recruiting and retention, its realism, and its consistency with a total plan for compensation. (FAR 52.222-46 and NFS 1831.231-71)
• Be advised that if the percentage of non-exempt employees increases to 20% or more during contract administration, then the MSOC Contractor will be subject to FAR 52.222-41 and the corresponding wage determination.
Total Compensation Plan (TCP)
• The TCP (DRD-MSOC-0035) is due with the proposal.
• TCPs identify and discuss wages, salaries, and fringe benefits for professional employees and non-exempt service employees for both the prime and all major subcontractors.
The SEB is required to evaluate TCPs per FAR 52.222-46, “Evaluation Of Compensation for
Professional Employees” and NFS 1852.231-71, “Determination of Compensation Reasonableness”.
• Offeror teams can submit a separate TCP for each team member, a combined TCP for all team members, or any combination thereof.
• Submit Compensation Templates a-d in your Cost/Price volume.
• Tip: Be specific when describing employee fringe benefits.

• Block 6 - References: The reference to FAR 52.222-41: Service Contract Labor Standards is removed for the MSOC TCP.
• Block 8 – Scope: “The Total Compensation Plan and Compensation Templates (a) through (d) shall be required for both the prime team members and all subcontractors that meet the criteria in NFS 1831.205-670(b).”
Note that the threshold for subcontractors has changed.
“The subcontract has a total potential value expected to exceed the threshold for requiring certified cost or pricing data as set forth in FAR 15.403-4.”
This subcontractor threshold for TCPs is different than the thresholds used for pricing or past performance evaluations.

• Block 8 – Scope: “The Total Compensation Templates shall be provided as part of the Cost/Price Volume of the proposal, and will be evaluated as part of both the Total Compensation Plan and the Cost/Price Volume.”
All team members that submit a TCP are required to submit the Compensation
Templates.
• Item 1.0: “State the company name(s) of the prime offeror (or joint venture team members) and subcontractor(s), using the subcontractor definition found at NFS 1852.231-71(b).”
The team structure must be defined in the TCP even if the structure is defined elsewhere in the proposal.
Recent Updates to the TCP DRD (3 of 3)
• Item 1.0: “For subcontractors that will submit a TCP, state whether the Government can share your compensation data with the prime offeror.”
This information is important so the source evaluation board can protect subcontractor data, as requested, when writing Mission Suitability findings and questions/comments on the Cost/Price Proposal.
• Distribution: Reports are now submitted electronically and no longer in hard copy.
• DRL: The TCP is included in the Mission Suitability 500 page limitation.
FAR 52.222-17, Nondisplacement of Qualified Workers
• FAR 52.222-17 applies to service contracts for performance by service employees (non-exempt) of the same of similar work at the same location.
• Predecessor non-exempt employees are offered a right of first refusal only for positions for which they are qualified and a position is available.
• The successor contractor is not obligated under this clause to pay the incumbent employees their current wages.
• There is no requirement to hire exempt (professional) employees; although many contractors choose to hire a significant number of incumbent employees for their expertise and relationships with the technical community.
