This is a Request for Proposal (RFP) from the U.S. Navy for a lease-to-purchase of warehouse distribution space for Navy Exchange Service Command (NEXCOM) West Coast located in Chino, California.
The Government seeks to procure approximately 400,000 to 600,000 square feet of modern distribution center space within a 50-mile radius of the existing facility at 4250 Eucalyptus Avenue, Chino, California. The lease will have an initial one-year firm term with fourteen one-year renewal options (total potential 15 years), with the Government holding purchase options during the initial term and four subsequent option periods. Offerors must provide firm purchase prices for each of the first five years, and failure to provide purchase options renders an offer non-responsive. Occupancy is intended to commence 8-10 months after award. Offers are due by 12:00 PM EST on July 13, 2026, submitted electronically to tracy.a.chapman.civ@us.navy.mil, and must remain valid for six months from the due date.
Minimum Technical Requirements include facility age not exceeding 35 years; minimum 400,000 SF building size with approximately 8,000+ SF office/administrative space; minimum 30-foot interior height; square or rectangular building shape; 24/7 utility access with lessor-provided maintenance; 24/7 site access including parking; and full lessor-provided building maintenance and HVAC. Specifications mandate minimum 65 dock doors (9' x 10' preferred, 8' x 10' acceptable) with dock leveler ramps, dock aprons, Stop/Go lights, and fans; 5,000 SF primary office space at main entry and 3,000 SF secondary office space on warehouse floor; lighting averaging greater than 20 foot-candles; 200 automobile parking spaces; heavy-duty asphalt/reinforced concrete trailer yard accommodating 100 trailers plus dock positions with perimeter fencing and guard shack; special purpose areas including 1,500+ SF aerosol storage, 4,000 SF sensitive storage, 10,000 SF material handling/battery charging station, 4,000+ SF maintenance shop, and 1,000+ SF HAZMAT storage; 2,800+ SF break room with heating/air conditioning; AT/FP Level 1 security compliance; sealed warehouse flooring meeting ACI 302.1R-04 standards with Fmin35 flatness tolerance; fire alarm system with in-rack sprinkler capacity and NFPA 101 egress compliance; accessible restrooms sized for 250 employees; 480-volt, 3-phase, 3,200-amp, 65,000 AIC electrical services; and powered louvers with roof exhaust fans for ventilation. Tenant Improvements costs must be provided as a separate lump sum and will not be adjusted after submission. The Government will conduct facility security assessments per Interagency Security Committee standards. Proposals will be evaluated using a best-value tradeoff approach based on three equally or hierarchically weighted factors: Price (Factor 1), Technical Requirements and Specifications (Factor 2 – greatest importance, equal to Factor 1), and Area of Consideration (Factor 3 – second highest importance). The RFP requires submission of standard forms including SF-2 (lease agreement), SF-25 (performance bond), GSA Form 3518 (representations and certifications), seismic certifications, and prelease fire protection evaluation forms. Award is contingent upon fund availability and NEPA compliance.

Section A: EXECUTIVE SUMMARY
1. This Request for Proposal (RFP) is to competitively procure a lease-to-purchase of approximately
400,000 to 600,000 square feet (SF) for a modern distribution center within a 50-mile range of the existing West Coast Distribution Center for Navy Exchange Service Command (NEXCOM) located in Chino, CA (see Attachment (7) Map showing Area of Consideration). NEXCOM intends to commence operational occupancy 8-10 months after award of lease for an initial term of one (1) year, with fourteen (14) one (1) year renewal options. The Government shall have the option to purchase the facility during initial term and subsequent four (4) option periods.
Offeror(s) are required to provide purchase prices for each of the first five (5) years, and the
Government reserves the right to negotiate the purchase price based on Fair Market Value.
Offeror(s) that do not provide purchase options are considered non-responsive. The Government shall have no obligation to purchase the facility at any time.
The leased space must meet all Minimum Technical Requirements as stated in Section C.1, Minimum Technical Requirements, at the time of the Offer submission. In addition, the leased space must also meet all Specifications as set forth in Section C.2, Specification, below, and
Attachment (2) – Facility Requirements., at the time of Government’s occupancy.
In the event the proposed location does not meet all Specifications listed within this RFP at the time of Offer submission, the Offeror may elect to perform whatever improvements necessary to meet the Specifications (Tenant Improvements) and include the total cost of these improvements as a lump sum amount with the Offer, separate from the annual rental amount. Due to the nature of this being one (1) year firm term lease, the Government is prepared to provide to the Lessor, upon completion, review, and acceptance of the work, a lump sum payment for the Tenant
Improvements. The Offeror is expected to accurately identify what improvements will need to be conducted and the total cost to perform this work at the time of submission. No additional amendments or modifications to the cost of Tenant Improvements will be accepted by the
Government.
Upon occupancy, the Government will need to make additional alterations and additional improvements, not required to be performed by the Lessor or contained in this RFP, to the facility in order to conduct operations, considered as “Government Furnished/Government Installed
(GF/GI)” equipment. Examples of GF/GI equipment are a conveyor/racking system, storage racks, material handling equipment, and related material and/or personal property. The Offer shall clearly indicate the Offeror’s authorization to allow the Government, utilizing Government-procured contractors and support personnel, to make the necessary improvements on the leased premises after taking occupancy to the leased facility. However, the improvements and
U.S. Navy Request for Proposal: N62470-26-RP-00006 4 installation of GF/GI equipment shall be documented with execution of a bilateral amendment to the lease, and the Government shall retain the right to remove the GF/GI equipment or abandon it in place should the Government terminate the lease for any reason.
Tradeoff procedures will be utilized for this lease-purchase action in order to ensure selection of the source evidencing the best overall capability to comply with lease-purchase requirements in a manner most advantageous to the Government when considering all evaluation factors.
Offeror(s) are encouraged to demonstrate approaches maximizing value and advantage to the
Government. The Offeror(s) proposing the most advantageous offer for the Government will be selected. The Government intends this RFP to result in the acquisition of the right to use distribution space for the stated purpose and the right to make improvements and install GF/GI to conduct operations. These rights will be prescribed in the lease and a bilateral amendment lease that the Government will subsequently enter into with the successful Offeror. A sample lease is provided for reference as Attachment (1).
Offers are due to the designated representative Tracy Chapman by 12:00 PM (noon) EST on
July 13, 2026 at tracy.a.chapman.civ@us.navy.mil RE: Navy Contract Number N62470-26-RP-
00006 and must include all information specified in this RFP. Please send a separate email to tracy.a.chapman.civ@us.navy.mil to ensure proposal was received due to file size capacity.
Offers shall remain valid for six (6) months from the offer due date. There will be no public opening of offers, and no information will be disclosed regarding offers until an award has been made. Offers and accompanying documents are prepared at the exclusive cost and risk of the
Offeror. The Government may, at its option: (1) accept an initial offer without discussions or negotiations, or (2) award to other than the lowest priced offered, or (3) reject any and all offers without stating justification.
Within ten (10) days of award, the successful Offeror must execute the lease provided as
Attachment (1). The selected Offeror, if providing Tenant Improvements, shall provide a
Performance Bond, Attachment (3), and the final design of the leased space incorporating these improvements within sixty (60) days of final award notification. The final design will be promptly reviewed and must be approved by the Government prior to construction commencement.
This Executive Summary is informational, not binding, and if there is a discrepancy between the
Executive Summary and the remainder of the RFP, provisions of the remainder of the RFP control.

Email: tracy.a.chapman.civ@us.navy.mil
B.4 Who May Submit an Offer
An Offeror may be an individual, partnership, corporation, association, municipality, or government or quasi-government authority, such as an airport commission, that possesses legal ownership of the facility and is authorized to enter into a leasehold agreement with the Government to lease the property.
The forming of a Joint Venture, an association of two or more persons, corporations, partnerships, and/or associations, to carry out a single business enterprise for profit, for which purposes the parties combine their property, money, efforts, skill and knowledge, is considered an acceptable business entity under this RFP. However, if the Offeror is a Joint Venture, it must (1) be established prior to the submission of initial offers, and (2) the initial offer submitted must contain the Agreement for Joint
Venture or similar documentation of a resolution signed by all participating parties.
U.S. Navy Request for Proposal: N62470-26-RP-00006 9
B.5 Multiple Offers
Offeror(s) may submit multiple offers. Separately price each offer and distinctly mark each package and page so that if the pages become separated, the reader can clearly identify which offer the package or page applies to. Each offer shall meet the requirements of this RFP separately to enable evaluation without the need to request additional information.
B.6 Amendment(s) to RFP
This RFP shall not be changed or amended except by a formal written Amendment signed by the RECO.
If this RFP is amended, all record holders of the RFP will be provided a dated copy of the Amendment.
Furthermore, all terms and conditions which are not modified shall remain unchanged and shall continue in full force and effect. Offerors shall acknowledge receipt of any Amendment by signing and returning one copy of the Amendment to the RECO. The RECO must receive the signed acknowledgement of the
Amendment by the time and at the place specified in the RFP for the receipt of offers.
B.7 Late Submission, Modifications or Withdrawals of Proposals
(a) Any offer received at the office, designated in section B.1 above, after the exact time specified for receipt will not be considered unless it is received before award is made and:
(1) It was sent by email to the designated Point of Contact not later than July 13, 2026 specified for receipt of proposals, or
(2) It is determined that late receipt was due solely to mishandling by the Government after receipt at the proper Government office, or
(3) It is the only proposal received.
B.8 Evaluation Process
(a) All offers will first be evaluated to determine whether the offer(s) meets the Minimum Technical
Requirements as described in Section C.1, and Attachment (2). Offer(s) that do not meet the
Minimum Technical Requirements shall be considered non-responsive.
(b) The Government reserves the right to eliminate from consideration for award any or all offers at any time prior to award of the contract; to negotiate with offerors in the competitive range; and to award the contract to the Offeror submitting the proposal determined to represent the best value the proposal(s) most advantageous to the Government, price and other factors considered.
(c) The Government intends to evaluate proposals and award a contract without discussions with
Offerors (except clarifications as described in FAR 15.306(a)). The Government reserves the right to conduct discussions if the RECO later determines them to be necessary. In addition, if the RECO determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the RECO may limit the number of proposals in the competitive range to the greatest number that will permit efficient competition among the most highly rated proposals.
U.S. Navy Request for Proposal: N62470-26-RP-00006 10
NOTE: The Government intends to make award on initial offers. If the Government, at its sole discretion, determines discussions are necessary, a competitive range with the most competitive offers will be established. If discussions are held, Offerors will be provided an opportunity to revise their proposals at the conclusion of discussions.
(d) Evaluation Factors:
(1) The Government will select a successful Offeror using the Best Value Source Selection
Process. The Government will use “Tradeoffs” as the source selection approach. A tradeoff process is appropriate when it may be in the best interest of the Government to consider award to other than the lowest priced Offeror or the highest technically rated
Offeror. The Government will award the lease to the Offeror whose offer demonstrates best value and is most advantageous to the Government. The
Government will evaluate each Offer independent of all others.
(2) The Evaluation Factors represent key areas of importance and emphasis. Proposals will be evaluated based on Factors 1 - 3, identified below.
NOTE: Factors 1 and 2 are of the greatest importance and weighed equally as the two highest of the three factors. Factor 3 is of the second highest importance.
i. Factor No. 1: Price
The Total Annual Rent, the total cost of Tenant Improvements, as well as the purchase prices offered for each of the first five (5) years of the lease term will be evaluated together to determine the Offer most advantageous to the Government. Offers requiring none or minimal Tenant Improvements in order to meet the Specifications as described in Section
C.2 may be preferred. No adjectival rating will be utilized for this factor; however, the
Government reserves the right to assign greater preference to an Offer requiring Tenant
Improvements or proposing higher overall cost if one, or both, of the Factors 2 and 3 are determined to be most advantageous to the Government.
ii. Factor No. 2: Technical Requirements and Specification
Minimum Technical Requirements will be evaluated on “Met” or “Not Met” basis. All proposals that do not meet one or more Minimum Technical Requirements as described in Section C.1 will be considered non-responsive and will not be considered further. In addition, Offers that currently do not meet all Specifications as described in Section C.2.
and does not propose to meet those Specifications through Tenant Improvements will be considered non-responsive and will not be considered further. Each Offer will be evaluated using the adjectival ratings as described in Section B.8(h) of this RFP based on how it meets or proposes to meet all Specifications. Proposals may offer facilities or designs that exceed the baseline Specifications described in Section C.2. Offers will be evaluated based on physical condition of the facility and all required fixtures and appurtenances as well as operational efficiency of the layout. Greater preference may be given to properties that are newer and allow ability for the Government to expand. The
U.S. Navy Request for Proposal: N62470-26-RP-00006 11
Government will evaluate the Proposals to determine which facility will provide the most benefit to the Government's operations in terms of efficiency and capabilities. Proposals that offer greater operational capability and efficiency may be evaluated more favorably.
iii. Factor No. 3: Area of Consideration:
All proposals with facilities located outside the delineated area as indicated with a red line on Attachment (7) (“Area of Consideration”) will be considered non-responsive and will not be evaluated further. The Government will consider all properties located within the Area of Consideration and evaluate them using the adjectival ratings described in
Section B.8(h) of this RFP. Greater consideration will be given to properties that are within shorter driving distance to existing West Coast Distribution Center, 4250
Eucalyptus Avenue, Chino, California, 91710.
(h) The Government will evaluate Factor 2, Technical Requirements and Specifications and Factor 3, Area of Consideration using the below adjectival ratings.
Rating Evaluation Excellent Proposal/factor demonstrates thorough and detailed understanding of requirements. Technical approach and capabilities significantly exceed performance and capability standards. Proposal/factor offers one or more strengths.
Strengths significantly outweigh weaknesses, if any. The proposal/factor represents a high probability of success with no apparent risk in meeting the Government’s requirements. See preferences provided in factors 1-3 above.
Satisfactory Proposal/factor demonstrates acceptable understanding of requirements. Technical approach and capabilities meet performance and capability standards.
Proposal/factor offers no strengths, or, if there are any strengths, these strengths are offset by weaknesses. The proposal/factor represents a reasonable probability of success with overall moderate degree of risk in meeting the Government’s requirements. See preferences provided in factors 1-3 above.
Marginal Proposal/factor demonstrates a lack of understanding of requirements. Technical approach and capabilities do not meet performance and capability standards necessary for acceptable contract performance. Proposal/factor contains major errors, omissions, significant weaknesses and/or deficiencies. The proposal/factor represents a very low probability of success with an extremely high degree of risk in meeting the Government’s requirements. Proposal/factor could only be made satisfactory with major revision of the proposal. See preferences provided in factors 1-3 above.
(i) Price Analysis
The Government will perform analysis by one or more of the following techniques to ensure a fair and reasonable price:
(1) Comparison of proposed prices received in response to the RFP.
(2) Comparison of proposed prices with the Independent Government Estimate (IGE).
(3) Comparison of proposed prices with available historical information.
(4) Comparison of market survey results.
U.S. Navy Request for Proposal: N62470-26-RP-00006 12
B.9 Award
(a) Award of this lease and all agreements related to the obligation of the Government to make payments pursuant to the award of the lease contemplated in this RFP are subject to U.S. law, including but not limited to, Anti-Deficiency Act, 31 U.S.C.1341, and the availability of appropriations. Award of any contract under this RFP is contingent upon the availability of funds from which the payments can be made. No legal liability on the part of the Government under this RFP or for any payment may arise until funds are made available to the RECO for a lease contract and until the Offeror receives notice of such availability, to be confirmed in writing by the RECO. In the event sufficient funds are not made available, the Government shall not make an award under this RFP.
(b) A lease will be awarded to the responsive Offer determined to be the best value to the
Government based on Evaluation Factors. Accordingly, the Government, in its sole discretion may: (1) reject any Offer the Government deems non-responsive in accordance with the stated criteria in this RFP; (2) award on initial Offer without discussions; or (3) award to an Offeror other than the lowest priced Offeror.
(c) The Government may accept an Offer whether or not there are negotiations after its receipt, unless the Offeror submits a written notice of withdrawal to the Government before award.
Negotiations conducted after receipt of an Offer does not constitute a rejection or a counteroffer by the Government. The acceptance of the Offer and award of the lease by the Government will occur upon notification of unconditional acceptance of the Offer or execution of the lease by the
RECO and mailing or otherwise furnishing written notification or the executed lease to the successful Offeror. After conclusion of negotiations, if required, the RECO will require the
Offeror selected for award to execute the proposed lease prepared by Naval Facilities
Engineering Systems Command, Atlantic which reflects the proposed agreement of the parties.
Execution of the proposed lease may not occur until the Government completes the environmental analysis required by the National Environmental Policy Act (NEPA).
(d) Lease Terms
(1) The lease that the Government and successful Offeror will enter into will be based on the following terms, among other standard provisions required for U.S. Government real estate contracts. Offerors should consider these main terms when preparing their Offers.
i. Firm Term and Option Periods. The firm term will be for one (1) year with options for the Government to renew the lease for fourteen (14) additional periods of one year each.
The total potential term is fifteen (15) years. The Government will provide written renewal notice to the successful Offeror at least one hundred eighty (180) days prior to the expiration of each term.
ii. Occupancy Date. Occupancy shall commence upon the mutually agreed date of the parties with consideration given to completion of Tenant Improvements. In accordance with the National Environmental Policy Act of 1970 (NEPA), the Government may not award the lease to the successful Offeror until the Government has completed an assessment of the potential impact to the environment of the proposed action.
U.S. Navy Request for Proposal: N62470-26-RP-00006 13
iii. Lease Payments. The Government will pay a prorated amount of Total Annual Rent on quarterly basis, unless otherwise negotiated, in arrears to the successful Offeror in exchange for the right to use the premises in accordance with the terms of the lease. The
