SECTION L – INSTRUCTIONS, CONDITIONS, & NOTICES

L.1 MANDATORY REQUIREMENTS

Offerors shall meet all of the mandatory requirements. In addition, all mandatory requirements shall be maintained throughout the life of the contract. The mandatory requirements are as follows:

Requirement 1 – Facility Clearance: The prime contractor’s primary facility supporting this requirement must have a Facility Security Clearance of SECRET with SECRET storage and processing capability. Offerors shall meet this facility clearance requirement at time of award.

Requirement 2 – Personnel Security Clearances: Contractor personnel shall obtain and maintain a security clearance at the appropriate level based on the level of access required by the work being performed. DoD Industrial Security Clearance in JPAS SECRET. Interim clearances are acceptable. Interim security clearances shall be in place no later than 30 days after award of the contract. AIT Management and Support personnel working within contractor offices need the appropriate clearance for the information being handled/discussed, space designations, etc. If the Management and Support personnel do not handle classified information, a clearance will not be required.

L.2 GENERAL INFORMATION

(a) The Government intends to award a single stand-alone, “C-Type” contract with the potential of Cost and/or Cost-Plus-Fixed-Fee (CPFF) CLINs. Award will be made to the responsible Offeror whose offer, conforming to the solicitation, will be most advantageous to the Government under the section criteria set forth in Section M of the solicitation.

(b) The Government may reject any or all proposals if such action is in the Government’s best interest.

(c) The Government intends to evaluate proposals and award a contract upon initial submissions without discussions. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a cost or price and technical standpoint. However, the Government reserves the right to conduct discussions with Offerors if it is determined by the Contracting Officer to be in the Government's best interest.

(d) No classified data shall be included within proposals. Appropriate security classification markings shall be included, and handling instruction followed, for all submitted data. Strict compliance with applicable law;

regulation; and DoD directives, instructions, and manuals is required.

(e) “Pricing information,” is defined as facts, statistics, or data describing the consideration an Offeror will receive in exchange for furnishing the supplies and services described in this Solicitation. Pricing information may only be included within Volume III: Cost Proposal. Inclusion of pricing information within any other Volume will likely result in rejection of the Offeror’s proposal, as well as the Offeror being determined ineligible for award.

(f) Each Offeror shall submit only one proposal. No alternate proposals will be accepted, and submission of multiple proposals will result in disqualification of the submitting Offeror. The Offeror’s proposal submission should contain the Offeror’s best terms from a price and technical standpoint.

(g) Offerors are reminded past performance information is proprietary source selection information. The Government will only discuss past performance information directly with the prospective prime or subcontractor that is being reviewed. If there is a problem with a proposed subcontractor’s past performance, the prime may be notified of a problem, but no details will be discussed without the subcontractor’s permission.

(h) Each Offeror must submit all information required by this Solicitation. The Offeror’s proposal shall be based on the requirements contained in this Solicitation (including those documents, exhibits, and other attachments to the Solicitation identified in Section J). Failure to comply with the terms and conditions of the Solicitation and/or failure to provide all of the requested information may result in the Offeror’s proposal being rejected, and may result in the Offeror being determined ineligible for award.

(i) Solicitation information and amendments will be made available through Government-wide point of entry (GPE) at: www.sam.gov.

(j) The Government may post additional information relating to this Solicitation to the GPE (e.g., a Solicitation amendment, responding to submitted Offeror questions). It is the Offeror’s responsibility to check the GPE for any such information.

(k) All notional dates included within this Solicitation (e.g., 12 months after contract award) will be changed unilaterally by the Contracting Officer to actual calendar dates (e.g., 5 February 2022) at contract award.

(l) The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the Offeror specifies otherwise in the proposal.

(m) Exchanges with Offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

(n) A cost realism analysis will be performed, and will be considered in evaluating performance or schedule risk. However, the cost realism analysis may be limited to only those proposals that stand a reasonable chance of award.

L.3 CONDITIONS, INSTRUCTIONS FOR SUBMISSION OF OFFERS, & NOTICES DEFINITIONS

(a) “Discussions” are negotiations that occur after establishment of the competitive range that may, at the Contracting Officer’s discretion, result in the Offeror being allowed to revise its proposal.

(b) “In writing,” “writing,” or “written” means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

(c) “Proposal modification” is a change made to a proposal before the solicitation’s closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

(d) “Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.

(e) “Time,” if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

START DATE FOR USE IN COST PROPOSAL

In order to allow for procurement lead time and a fair and equal evaluation of all proposals submitted under this competitive procurement, all proposals shall be based on a Contract start date of 27 June 2022. This date is only an estimate of the anticipated Contract start date and will be used for the purpose of proposal evaluation only. A definitive start date will be incorporated into the Contract award document.

L.3.1 PROPOSAL SUBMISSION

(a) Submission of proposals shall be made electronically via directions within the Government Point of Entry www.sam.gov by the time and date specified in Block 9 of Standard Form 33, Solicitation, Offer and Award.

The submission via email constitutes the official response to this Solicitation. Offerors are strongly encouraged to start the proposal submission process well in advance (at least 48 hours) prior to proposal due date/time.

(b) Offers must be received via email by the closing date and time in order to be considered for award. In the event email cannot be transmitted, the Offeror shall immediately notify the Contracting Officer via email prior to the Solicitation closing date and time. Failure to notify the Contracting Officer prior to Solicitation closing will automatically deem an Offeror's proposal as late. Utilization of DoD SAFE is permitted, at https://safe.apps.mil. If DOD SAFE is utilized, the offeror shall submit a request for drop off by 05 January

2022, 1300 EST.

(c) Subcontractors cost proposals are to consist of the subcontractors’ unsanitized cost proposal spreadsheet and supporting cost narrative. Subcontractors or consultants not possessing a DUNS number and CAGE code shall transmit their unsanitized cost proposal in an appropriately password protected manner to their respective prime contractor for inclusion within the prime contractor's proposal submission package. The subcontractors and Consultants submitting their password-protected cost proposals through the prime contractor in this manner shall ensure that the applicable passwords are communicated via email to the Contract Specialists and Contracting Officer at anthony.duran3@navy.mil, chad.a.baldwin@navy.mil and joel.walor@navy.mil.

(d) Offerors must comply with the instructions for content for the proposals; proposals that do not comply may be considered non-responsive and may render the Offeror ineligible for award. Proposals shall be limited to the content requested.

(e) In order to maximize efficiency and minimize the time for proposal evaluation, it is required that all Offerors submit their proposals in accordance with the format and content specified. The electronic proposal shall be prepared so that if an evaluator prints the proposal it meets the following format requirements:

• Submissions shall be clearly legible and on 8.5 x 11 inch paper.

• All files shall be compatible with Microsoft Office Suite.

• Adobe (.pdf) files are allowable for documents containing original signatures.

• The cost proposal shall contain spreadsheets in Microsoft Excel software.

• All spreadsheets provided shall include all calculations in the cells (i.e. show formulas).

• Reviewers must be able to recognize what cells are involved in calculating results.

• Spreadsheets shall be formatted for printing on 8.5 x 11-inch paper (NOT legal sized paper) landscape format. Minimum font size shall be 10.

• Include the Offerors name and solicitation number in the margin of all page. This is the only information that shall be displayed within the one-inch top or bottom margin.

• Spreadsheets shall be formatted such that column and row headings/labels appear on each printed page.

(f) Offerors shall use a standard Page Numbering system to facilitate proposal references. The numbering of pages shall be consecutive within sections as identified L.3.5 PROPOSAL ORGANIZATION AND CONTENT below. Charts, graphs and other materials shall be page numbered as part of the page numbering system.

(g) Page limitations for each proposal volume are identified in L.3.5 PROPOSAL ORGANIZATION AND CONTENT below. Page limitations shall be treated as maximums. Pages which exceed the maximum will not be read or considered in proposal evaluation. When both sides of a sheet display printed material, it shall be counted as two pages. Graphs, charts, and tables are included in the page count.

(h) Each Volume shall contain the following (not counted against the page limitations) for their respective volumes):

(1) Title Page. The title page shall contain the Solicitation Number, Proposal Volume, Point of Contact Information for the Offeror: address, CAGE code, DUNS number, telephone and e-mail address.

(2) Table of Contents, Tables, and Figures. The Table of Contents shall include the first through third level section titles. A separate list of tables and figures utilized in the proposal volume should be appended at the end of the Table of Contents.

(3) Glossary of Terms, Abbreviations, and Acronyms. The Glossary of Terms, Abbreviations, and Acronyms shall include all utilized abbreviations, acronyms, and all terms which are either newly introduced, uncommon, or specialized.

(4) Index of Terms. The Index of Terms shall include key words, phrases, or alphanumerical terms, and refer to where they appear in the text of the proposal volume.

(5) Cross Reference Matrix (CRM), identifying affirmative response to each solicitation requirement.

(i) The PCO and Legal Counsel will review all Organizational Conflict of Interest (OCI) submissions by the Offerors to ensure that there is no OCI associated with each Offeror’s submission.

The above requirements apply equally to all subcontractors.

L.3.2 CROSS REFERENCE MATRIX

(a) Offerors shall submit a CRM for Volume II, similar to the example below, to help ensure that all solicitation requirements are addressed and to facilitate the evaluators’ review of the Offeror’s proposal. The CRM should be a single integrated matrix and cross reference the proposal volumes and paragraphs to specific solicitation requirements, as well as other parts of the proposal that contain relevant information. The Offeror’s CRM may be identical to the example below or revised such as to add columns to indicate the page number on which information may be found, identify where other relevant information in the proposal is located, or provide other comments. The lowest practicable section reference shall be used. The CRM does not count

Each proposal Volume shall be written as a stand-alone to the greatest extent possible, minimizing the amount of cross-references to the other Volume.

(b) Offerors shall also provide a CRM for Volume III, which shall reference Cost Proposal contents with the requirements of the solicitation. This requirement applies equally to all subcontractors.

L.3.3 GENERAL PROPOSAL GUIDANCE

(a) Comprehensive responses to the requirements of this Solicitation are required to enable the Government to evaluate the Offeror’s understanding of the stated requirements and the Offeror’s capability and approaches to accomplish the requirements. The contents of the Offeror's proposal will be the sole basis for evaluating the merits of the offer, with the exception of the evaluation of the Past Performance factor where the Government may consider other information not contained in the proposal but relevant to the evaluation of Past Performance. Accordingly, the Offerors are responsible for providing a sufficiently specific, detailed, and complete proposal that demonstrates a thorough comprehension of the requirements of this Solicitation and the ability to perform in accordance with the requirements of the contract resulting from this Solicitation.

(b) General statements such as "the Offeror understands," "will comply with the SOW,” standard procedures will be employed," "well known techniques will be used" and general paraphrasing of the SOW are considered inadequate. The proposal must explain the manner in which the Offeror will comply with the requirements of the solicitation. In addition to the contents of the proposal, relevant and recent Past Performance information will also be evaluated.

(c) The Offeror’s proposal in response to this Solicitation, as amended, and all solicitation attachments (completed as necessary) will constitute the offer and must indicate the Offeror’s unconditional acceptance of the terms and conditions of this solicitation. Objection to any of the terms and conditions of this Solicitation may constitute a deficiency, deeming the offer nonresponsive and ineligible for award.

(d) Offerors should perform a quality check between the values entered in Section B and the values provided in their summary spreadsheets to ensure consistency between the values provided. In the event of inconsistencies between Section B and the summary spreadsheets, Section B will govern.

L.3.4 RESTRICTION ON DISCLOSURE AND USE OF DATA

(a) Offerors must identify any data in their proposal that is not to be disclosed to the public, or is to be used by the Government for evaluation purposes only. Such data shall be marked with:

(1) Mark the title page with the following legend:

“This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed-in whole or in part-for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this Offeror as a result of, or in connection with, the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]”; and

(2) Mark each sheet of data it wishes to restrict with the following legend:

“Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.”

Page(s), paragraph(s), and/or sentence(s) containing such data must be specifically identified.

L.3.5 PROPOSAL ORGANIZATION AND CONTENT

(a) Offerors shall prepare the proposal as set forth in the table below. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits specified in the table.

(b) The Offeror is responsible for the organization of delivered proposals.

(c) Each proposal in response to this Solicitation must consist of three (3) Volumes, submitted as follows:

(d) Multiple files may be submitted for each Volume; however, each file must clearly identify the Volume number and the sequence to which it relates. The remainder of each Volume shall follow the same general order and organizational structure as provided above.

(e) Each page of the Offeror’s proposal shall be labeled with the Offeror’s name and the Solicitation number, except for the Offeror’s signed Letter of Transmittal to this Solicitation and any amendments, which shall be submitted on plain paper exclusive of any additional markings. Any pages that may be revised as a result of discussions (if required) shall contain revision numbers and dates.

(f) Include the Offeror’s point of contact (name, email address, and telephone number) that can assist the Contracting Officer with technical questions/problems, if any, associated with the electronic files.

(g) In the event that any portion of the proposal is prepared by someone who is not a bona fide employee of the Offeror, a certificate to this effect shall be signed by a responsible officer of the Offeror and shall show the person's name, employment capacity, the name of the firm, the relationship of that firm to the Offeror, and the portion(s) of the proposal prepared by that person.

(h) Proposals must be clearly and concisely written, indexed (cross-indexed as appropriate), and logically assembled. All pages of each Volume shall be appropriately numbered, identified with the name of the Offeror, the Solicitation numbers, and a legend in accordance with Solicitation Section L.3.4, Restriction on Disclosure and Use of Data, as appropriate, on each page. This is the only information that must be displayed within the one-inch top, bottom, and side margins.

(i) Material submitted in excess of the stated page limitation will not be evaluated.

L.4 PROPOSAL CONTENT

L.4.1 VOLUME I – OFFER & CONTRACT INFORMATION

(a) Section 1.1: Letter of Transmittal: Volume I shall contain a Letter of Transmittal which includes the following information:

(1) The name, address, CAGE code, DUNS number, telephone, and e-mail address of the Offeror.

(2) Title of proposal, proposal number, and solicitation number.

(3) Reference the solicitation number and acknowledge that it transmits an offer in response to the solicitation.

(4) The names, titles, telephone and facsimile numbers, and email addresses of persons authorized to negotiate on the Offeror’s behalf with the Government in connection with this solicitation.

(5) The name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent’s authority, unless that evidence has been previously furnished to the issuing office

(6) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the Solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item.

(7) A statement that the proposal is valid through 365 calendar days from the date specified for receipt of proposals.

(8) Identify all enclosures being transmitted as part of its proposal.

(9) Identify proposed subcontractors/team members to be utilized under the Contract and type of subcontract the prime will have with each subcontractor.

(10) The name, telephone number, and electronic mail address of the Offeror’s assigned DCAA Auditor.

(11) The name, telephone number, and electronic mail address of the Offeror’s assigned DCMA Administrative Contracting Officer.

(12) Verification that the Offeror is currently registered in the System for Award Management (SAM) at www.sam.gov.

(13) A statement providing unconditional agreement with all terms, conditions, and provisions included in the Solicitation;

(b) Section 1.2: SF 33 Solicitation, Offer and Award - The following are to be completed and provided in Volume I:

(1) Executed SF33 – Solicitation, Offer and Award, with blocks 12 through 18 completed by the Offeror, and any subsequent Amendment(s) (SF30-Amendment of Solicitation/Modification of Contract) acknowledgments. The Offeror shall enter an acceptance period in Block 12 of the SF33 of at least 365 days unless a longer period is offered. Additionally, the Offeror shall acknowledge any amendments by completing Block 14 of the SF33. The Offeror shall provide one fully executed SF33 for the requirement.

(i) The individual signing the SF33 must have the authority to commit the Offeror, fully recognizing that the Government has the right, by terms of the Solicitation, to make an award without further discussion if it so elects.

(ii) By the Offeror signing the SF33, it is agreeing to accept the contract as written and that no exceptions are taken.

(iii) The SF33 will be used to make the award to the successful Offeror. The Offeror shall use the version of the solicitation through the last amendment prior to the Solicitation closing date.

(iv) The representative who signs this form must be authorized to contractually bind the Offeror providing the proposal. Block 12 must indicate that the proposal is valid for at least 365 calendar days from the closing date of the Solicitation.

(c) Section 1.3: Solicitation Responses: Volume I shall contain the following Solicitation Response sections:

(1) Section B:

(i) As stated in Section B, the price for NSP items shall be included in the price of Labor CLIN(s). The Offeror shall propose $0.00 for this Line Item.

(ii) Offerors shall also complete the Fee Table in Section B. At time of award, the number of labor hours listed in Section B of the solicitation as 0.0 LH in the Base Period, each Option Period will be changed to coincide with the Level of Effort provided in Section H, H-216-H002 LEVEL OF EFFORT – ALTERNATE I (NAVSEA)(OCT 2018) clause and the number of hours reflected in the cost proposal of the successful Offeror.

(2) Section H: Offerors shall complete the clause H-216-H002 Level of Effort – Alternate I as instructed (Paragraphs b and d), separately identifying compensated and uncompensated hours (inclusive of prime, subcontractors, and consultants).

(3) Section K: Offerors shall complete the Representations and Certifications as instructed in Section K - Representations, Certifications and Other Statements of Offerors.

(4) Organizational Conflict of Interest - The Offeror shall certify compliance with the OCI clause H-209-H004 ORGANIZATIONAL CONFLICT OF INTEREST (NAVSEA)(DEC 2018) in Section H and L-209-H009

NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF INTEREST (NAVSEA) (DEC

2018) in Section L or present an acceptable plan to neutralize any actual or perceived organizational conflicts of interest. The certification and/or mitigation plan shall cover all Team Members. If the Offeror submits an OCI Mitigation Plan, the following shall be addressed, as a minimum, as applicable: roles and responsibilities;

physical, organizational and/or electronic separation; non-disclosure agreements; OCI training and debriefing statements; restrictions on personnel assignments/transfers; data/documentation separation and control; soft copy documentation control; corporate and Government reviews; records control; prime contractor flow-down policy to subcontractors/consultants; and recusal from specific tasks for specific Team Members.

L.4.2 VOLUME II – TECHNICAL PROPOSAL

L.4.2.1 Section 2.2 Factor 1: Technical Understanding/Capability/Approach

(a) Element 1.1 – Statement of Work

(1) Each Offeror shall address their technical approach and capability to support the technical requirements delineated within the SOW.

(2) If subcontracting or teaming is proposed, the Offeror shall state the specific portions of the SOW that each subcontractor/consultant or team member will perform and the technical reason(s) for selection of each subcontractor/team member.

(3) The Offerors shall address their approach to managing the technical efforts relating to all elements described in the SOW and their inter-relationships.

(4) The Offerors shall address their major milestones, reviews, and other meetings associated with the SOW including objectives, and travel.

(5) Identification of key technical and management aspects (risk, risk mitigation strategies, special requirements, assumptions) that may impact the proposed solution to or success of the requirement.

(b) Element 1.2 – Sample Technical Scenario:

Sample Technical Scenario is Attachment 5. In order to facilitate proposal evaluation, responses to the sample Technical Scenario shall be provided. The Offeror’s response must provide sufficient details to clearly demonstrate their understanding of and approach to the sample TI. The Offeror’s response shall consist of three (3) parts.

(1) Part 1 – Understanding of Requirements. The Offeror shall demonstrate its knowledge of the overall sample Technical Scenario requirements, to include the identification of key technical and management aspects (risks, special requirements, assumptions) that may impact the proposed solution to or success of the requirement; delineation of the team composition proposed to accomplish Technical Scenario objectives, and rationale therefore.

(2) Part 2 – Technical Scenario Approach. The Offeror shall delineate the specific technical and management solutions for accomplishing the sample Technical Scenario requirements, to include Offeror’s planned approach for accomplishing the technical objectives; the methodologies for mitigating identified risks and managing special requirements; the management procedures that will be implemented to control all aspects of Technical Scenario performance; and the proposed allocation of resources (labor, material, travel, other direct costs) .

(3) Part 3 – Specific Qualifications and Experience. The Offeror shall delineate the proposed team’s qualification and experience as it relates to the specific sample Technical Scenario requirements, to include the identification of personnel proposed and their qualifications (education and/or work equivalent, skills and experience) as it relates to the specific requirements, and a description of recent corporate contract efforts (completed or underway within the past five years of proposal submission) that are directly applicable to the requirements of the Technical Scenario.

L.4.2.2 Section 2.3 Factor 2: Workforce

(a) Element 2.1 – Key Personnel Resumes

(1) Offerors shall identify key personnel in their proposals. Offerors shall also provide a rationale for the labor categories, number, and utilization of proposed key personnel. Offerors should provide a resume for all proposed key personnel. Key Personnel must be available full-time. Each resume is limited to three (3) pages.

The individuals proposed shall be clearly identified. In order to facilitate proposal evaluation, resumes shall be submitted with the required and desired qualifications and the following minimum information:

• Employee Name

• Current Position Title

• Chronology of Work Experience equivalent/related to the SOW requirements (to include employer name/company, tenure dates, position title, responsibilities.)

• Education History (to include college education achieved to include dates(s), degree(s) held, and the school, college or university from which accomplishments were attained.)

• Professional certifications/licenses or Related training (to include title, dates, and educators.)

• Current level of security clearance.

• Current geographic location of employee.

• Current employment status to Offeror.

The cut-off date for any employee certified experience shall be no later than the closing date of the solicitation.

The Offeror is required to submit a current, signed “Letter of Intent” for all personnel that are contingent hires and whose resumes are submitted as part of the proposal. The letter must be signed by the employee and the Offeror. The meaning of “current” as used in this factor, is defined as “dated within 30 days prior to submission of proposal.” A “Letter of Intent” that states that personnel working on other contracts in various global locations are willing and ready to support the contract (signed by the company and employee) must be submitted. The offer letters may be submitted as an attachment to the Technical Proposal; however, if the offer letters are attached to the Technical Proposal they shall not include salary information, and will not count in page limitations. The Cost Proposal shall contain a copy of this letter with the agreed-to salary included.

(2) Resumes for the following number of Full-Time Equivalents (FTEs) are required. Offerors should not exceed the number of FTEs resumes shown below:

(b) Key Personnel Labor Category qualifications have been categorized as “Desired” as follows:

Key Position 1: Program Manager (One Required)

The Program Manager requires the training, skills, and expertise to organize, direct, and manage all aspects of planned and ongoing tasks and support functions involving multiple complex and inter-related project tasks and managing teams of contract support personnel at multiple locations. Ensure conformance with program task schedules and costs and contract requirements. Leads teams on large projects or significant segment of large complex projects. Analyzes new and complex project related problems and creates innovative solutions involving finance, scheduling, technology, methodology, tools and solution components.

Desired Qualifications:

Clearance: Secret

Education and Experience: It is desired that the Program Manager have a Bachelor’s degree, or higher, from an accredited University in the area of Business, Management, Finance or Engineering and fifteen (15) years of experience with Navy Combat Systems installations. Ten (10) of those fifteen (15) years of experience are desired to be in the shipbuilding industry along with demonstrated knowledge of Earned Value Management (EVM) reporting requirements. Ten (10) of those fifteen (15) years of experience are desired to be in scheduling, budgeting, forecasting, and execution of shipboard/shore activity modernization/installations. It is desired that experience reflect the ability to develop and present briefings to senior Navy management.

In addition, it is desired that the Program Manager have demonstrated experience with coordinating and managing resources (material, equipment, and contractors) to support multiple large Navy modernization installations.

Key Position 2: Manager, Program/Project II (i.e. Installation Manager) (Four Required)

The Installation Manager oversees the actual shipboard equipment installations; duties include the successful planning, execution and closing of a project. The Installation Manager is responsible for applying the appropriate knowledge, skills, tools and techniques to efficiently manage the different project resources and processes. The Installation Manager communicates, collaborates and coordinates with the contractor installation personnel and applies appropriate resources, including Government Furnished Material (GFM), to ensure the installation proceeds according to schedule. The Installation Manager coordinates contractor personnel then articulates installation status, related information and/or concerns with Navy AIT Management personnel.

Clearance: Secret

Education and Experience:

Education: Bachelor degree (BS/BA), or higher, in a related field, or a minimum of 10 years of experience gained from in-depth experience and specialized knowledge in the related field.

Experience: The following desired experience may run concurrently: Seven (7) years of experience with DoD/Navy installation processes, program management, Industry or Government technical management. Five

(5) years of supervisory experience. Five (5) years of experience in communicating, interacting, and working among DoD/Navy AIT Management personnel.

(c) Element 2.2: Staffing Plan/Matrix:

(1) Offerors shall provide a matrix demonstrating how they shall provide personnel to support areas described in the SOW. Attachment 7 provides the format for the Staffing Plan Matrix.

(2) The Offeror shall also describe their hiring process to provide individuals that are fully qualified and capable of performing all requirements of the SOW both at award and throughout the life of the Contract.

(3) In the event that a contractor has not identified a firm candidate for proposed positions, said positions shall be addressed as "Pending Hire" in lieu of an individual’s name.

(4) A copy of a signed current Letter of Intent indicating acceptance by the individual shall be provided for each contingent hire. The letters may be submitted as an attachment to the Technical Proposal, this letter shall not contain salary information. The Cost Proposal shall contain a copy of this letter with the agreed-to salary.

(i) The meaning of “current” as used in this factor, is defined as “dated within 30 days prior to submission of proposal.”

(ii) A “Letter of Intent” that states that personnel working on other contracts in various global locations are willing and ready to support the contract (signed by the company and employee) must be submitted. Typed signatures are not acceptable.

(5) The Staffing Matrix shall be clearly traceable to the Cost Proposal.

L.4.2.3 Section 2.4 Factor 3 – Management

(a) Element 3.1: Organizational Control Plan: The Offeror shall discuss its plan for controlling all aspects of the prime contractor/subcontractor organization and relationships to ensure successful support of this program.

This discussion shall include the following:

• Fully describe the structure of the proposed organization (including major subcontractors/team members), how that organization fits into its overall corporate structure, and the reporting and review relationship with corporate management. Delineate organizational responsibilities, clear lines of authority, and effective spans of control as well as how the Offeror will control the flow of information and communications among team members, customers, Contracting Officer’s Representatives, and the Contracting Officer. Discuss any unique business practices that will be implemented to facilitate the successful execution of the program. The Management Approach shall include an Organizational Chart detailing the proposed support organization. The Organizational Chart of the proposed support organization shall include subcontractors, if applicable.

• Fully describe how they intend to management and coordinate, at both the prime and subcontractor level, the task efforts of this contract. Describe in detail the methods that will be employed to manage the TI requirements to completion of the effort. Include a discussion on how the prime Offeror will assess the technical and contractual requirements of the requirement, determine the most effective allocation of effort among prime and subcontractors/team members, and submit quality estimates to the Government technical lead in an expedited timeframe (i.e., generally 7 days or less). Describe the procedures for planning, allocating, and controlling resources and costs for each TI. Include the process for scheduling, budgeting, and accumulating expenditures (hours and dollars); identifying expenditure and schedule problems; tracking TI performance; and providing timely detailed performance status to corporate management and the Government.

Explain the process for accounting and collecting expenditures for separate sources of funds. Describe how the proposed cost reporting system will generate information required by the Monthly Progress Report as well as sub-paragraph (e) of the Wide Area Work Flow (WAWF) clause in Section G of this solicitation. Identify other contracts currently being performed where one or both of these requirements exist. Address the process for timely incorporation of subcontractor/team member technical, schedule and financial performance data into the prime's monthly reports for individual TIs. Describe the number, location, and function of their indirect charge support personnel. If support personnel are proposed for direct change, the function of these personnel will also be discussed.

• Fully describe the teaming/subcontract arrangements and management. Provide a detailed description of all teaming/subcontracting arrangements (e.g., traditional prime-sub relationship, and/or other formal or informal team arrangement) to include identification of the lead contractor and the roles/responsibilities of all participants. Identify any foreseen risks associated with the proposed teaming/subcontract arrangement(s) and address how those risks will be mitigated to ensure successful contract performance. For Offerors proposing under a formal or informal teaming arrangement, provide a copy of the fully executed agreement to include signatures of all parties. (Note: copies of these executed agreements do NOT count against page limits.) The Offeror shall further describe its approach for managing these team members/subcontractors and maintaining organizational control over their contractual efforts. The discussion shall include the processes that will be employed to maintain privity of contract restrictions while, at the same time, efficiently conveying Government technical requirements to team members/subcontractors, implementing changes in technical direction, monitoring/measuring their performance, and ensuring that all task objectives are achieved.

(b) Element 3.2: Resource Management Plan: The Offeror shall delineate its plan for efficiently resourcing, managing, and controlling costs of requirements for the entire life cycle of the contract and TIs. The plan shall include the Offeror’s approach for obtaining, allocating, monitoring and controlling all resources and costs required to ensure the successful attainment of contract objectives. Specific attention to repeated support, approach to actual spares, organic corporate internal resources that maybe applied, etc. This discussion shall consist of the following:

• Recruitment and Retention Plan. Describe the corporate mechanisms applicable to all employees (practices, policies, procedures, and tools) that will be employed by the Offeror and major subcontractors/team members to recruit, retain, and replenish (when necessary) a sufficient number of qualified personnel with the requisite knowledge, skills, education and/or work equivalent, and experience to ensure successful accomplishment of the proposed technical and management approaches throughout the life of the contract. As a minimum, the plan shall address recruitment and hiring practices, termination policies and procedures, employee development tools, and compensation policies to include, but not limited to: overtime (compensated and uncompensated), temporary duty, travel, per diem, remote location allowances, leave, compensatory time, sick leave, health benefits, bonuses, severance pay, incentive pay, educational assistance and any other policies that would serve to obtain and maintain the personnel resources necessary to successfully perform this effort.

Provide corporate retention rates for the past three years for the Offeror and each major subcontractor/team member.

• Available Facilities/Assets. Describe the number, types, and locations of the facilities (prime and major subcontractor/team member) that will be used in performance of this effort. Identify the effort that will be performed at each location, the percentage support personnel to be located at each facility, and the levels of facility clearance and classified storage capability. Discuss any other assets that the Offeror/subcontractor/team member will use in performance of this effort and their benefit to successful execution of requirements. In addition, the Offeror shall address how work will be managed throughout all proposed facilities.

(c) Element 3.3: Quality Control Plan. The Offeror shall include flow charts that fully describe the processes and procedures that will be implemented to control the quality of support and to ensure all products and support delivered conform to TI requirements. The overall effectiveness of these procedures will be judged by the quality of both the technical and cost proposals in terms of form (technical content, spelling, grammar, etc.)

and responsiveness to solicitation requirements. These flowcharts of workload shall pay specific attention to the inter-communications requirements between performing activities. Discuss the specific inspection methods to be used and identify the type of inspection records that will be maintained and made available to the Government. Specific interest in avoidance of counterfeit and suspect parts.

L.4.2.4 Section 2.5 Factor 4 – Past Performance

(a) Offers shall submit past performance information, in the format specified in Attachment 3 – Past Performance Information Form, for a minimum of one (1) and maximum of three (3) contracts completed within the five (5) years prior to the solicitation posting date or from contracts currently in process. A completed contract is one in which the services have been rendered or the end product has been delivered; it has not necessarily been closed. Emphasis shall be placed on Navy contracts that are similar in nature to the work required by this Solicitation or that demonstrate the Offeror’s ability to perform the proposed effort. If the Offeror does not have information for Navy contracts or is not currently performing any Navy contracts, the Offeror shall submit information for its contracts with other DOD agencies, other Federal agencies, state and local Governments, and/or private companies in that order of preference.

(a) In addition to the information required in paragraph (a), Offerors shall submit performance information for one (1) contract for each proposed subcontractor whose total subcontract price (inclusive of all options) is greater than or equal to 10% or more of the total proposed price (inclusive of all options).

(b) For each contract cited as recent and relevant past performance, Offerors shall provide:

(1) Contract Number

(2) Contract Type

(3) Customer/Program Name

(4) Total Contract Cost

(5) Period of Performance

(6) Valid name and phone number of Contracting Officer and Contracting Officer Representative

(7) Description of work performed and how the scope of the Contract identified relates to the requirements described the SOW in regards to size and scope.

(c) The Government intends to obtain and review past performance information from the Government-wide CPARS system, and any other existing past performance information on relevant contracts. For Offerors without a Government contract past performance history, the Offeror shall submit copies of any award fee determinations, performance evaluation reports, small business achievements, or other documentation that reflects the formal performance assessments of the Offeror by its customer on the performance cited in the proposal. Performance assessments and small business achievement are excluded from Technical Proposal, page limitation.

(d) The Government reserves the right to determine the relevancy of past performance information and to verify statements and representations made in the Offeror’s proposal. Each instance of past performance provided must be in sufficient detail to enable the Government to conduct an evaluation in accordance with the Solicitation’s Section M. Past performance information must include points of contact.
