AMENDMENT 1
The purpose of this amendment is to provide responses to questions.
1) Question: Can an Offeror provide access to the TDP to its suppliers with whom it is seeking quotes?
Response: The TDP is subject to the International Traffic in Arms Regulations (ITAR). The offeror is responsible for ensuring compliance with ITAR in its provision of the TDP to its suppliers if it elects to provide the TDP directly to that supplier. Alternatively, if a supplier needs the TDP and it is under the Joint Certification Program, it can request a copy of the TDP from the Government.
2) Question: If an Offeror can provide access to the TDP to its suppliers for quoting purposes, will the Government provide additional CDs for Offeror to provide to its suppliers? Or is there an electronic means for Offeror to provide such access to its suppliers?
Response: The TDP is subject to the International Traffic in Arms Regulations (ITAR). The offeror is responsible for ensuring compliance with ITAR in its provision of the TDP to its suppliers if it elects to provide the TDP directly to that supplier. 4) Question: The Disposition of Technical Data Package and Technical Drawings paragraph states that "Offeror shall not make additional copies, paper or electronic, of the provided data" and "Offerors shall not download any files from DoD SAFE or the TDP CD to any local area network or integrated digital environment." In order to generate Bill of Materials and Pricing, and given current COVID restricted environment, Offeror will need the ability to load information in Offeror's local area network to permit interface with internal engineering/supply chain applications and access by employees at their applicable work locations. Will the Government permit Offeror to download and copy the TDP onto a local area network if Offeror internally restricts access to the TDP information in a secure folder structure and access is tracked and monitored?
Response: The TDP is subject to the International Traffic in Arms Regulations (ITAR) and the Government's guidance not to download or make copies of the TDP were done to minimize the risk of a violation of the ITAR. If an offeror downloads the TDP, it is responsible for ensuring proper access restrictions are created to ensure there is no violation of the ITAR.
5) Question: Section 4.0 lists the kits and their components. 5598314-9, Transformer Power Assy, is called out as a component in the OBRP, INCO, and Depot Spares kits but no drawing or parts list for 5598314 has been provided on the TDP CD. Please provide?

AMENDMENT 3
The purpose of this amendment is to provide responses to questions and update clauses
The following questions (#1-#7) refer to attachment JS-1 Pricing Summary MTP v.2 of the solicitation.
28) Question: Attachment JS-1 lists the “Unit” for CLINs 1000AA through 1000AD as “Set” while the RFP section B lists the “Unit” for these same CLINs as “Each.” We believe “Set” to be the correct unit for these CLINs as the CLINs are for the MTP #1 – MTP #2 – STP Set which includes 8660382-9, 8660384-9, and 5497369-19. Please confirm.
Response: CLINs 1000AA through 1000AD, the “Unit” has been corrected to “Set” from “Each.”
29) Question: Both Attachment JS-1 and the RFP section B list the “Unit” for CLINs 1100, 1200, 1300, and 1400 as “Each.” We believe “Set” to be the correct unit for these CLINs as the CLINs are for the MTP #1 – MTP #2 – STP Set which includes 8660382-9, 8660384-9, and 5497369-19. Please confirm.
Response: CLINs 1100, 1200, 1300, and 1400, the “Unit” has been corrected to “Set” from “Each.”
30) Question: Attachment JS-1 lists the “Unit” for CLINs 2000AA through 2000AD as “Each” while the RFP section B lists the “Unit” for these same CLINs as “Set.” We believe “Each” to be the correct unit for these CLINs as the CLINs are for the MT-System Transformer which only includes 5497369-19. Please confirm.
Response: CLINs 2000AA through 2000AD, the “Unit” has been corrected to “Each” from “Set.”
31) Question: Both Attachment JS-1 and the RFP section B list the “Unit” for CLINs 2100 and 2400 as “Set.”
We believe “Each” to be the correct unit for these CLINs as the CLINs are for the MTP - ST which we believe only includes 5497369-19. Please confirm.
Response: For MTP CLINs 2100 and 2400 should be “Set”, for STP CLINs 2100 and 2400 should be “Each.”
32) Question: The RFP section B lists CLINs 2200AA and 2300AA as MTP – STP MAM CMPNTS. JS-1 lists these CLINs only as “ST.” Furthermore section C of the RFP does not define a MAM CMPNTS Kit as it does for the other kits in the RFP. We currently believe that CLINs 2200AA and 2300AA should call out MTP-ST (5497369-19 only) as the other 2X00 CLINs do. Please confirm.
Response: The CLINs 2200AA and 2300 now listed as “ST” both the JS-1 and SOW now reflect said changes.
33) Question: Please confirm that the unit of “Set” as listed in JS-1 and Section B of the RFP for CLIN series 3000, 4000, 5000, and 6000 is used due to these CLINs being Kits and not a single deliverable.
Response: The Unit is correct as “Set.”
34) Question: The Maximum Quantities on RFP page 7 and JS-1 Column F are defined as the maximum number of VLS MTP production units and associated kits that can be purchased under this contract. Are the quantities listed for CLINs 1100, 1200, 1300 and 1400 a combined total of both the MTP #1 and MTP #2 quantities, or are the quantities for each MTP unit (CLIN 1100 max quantity would actually be 96 MTP (+48 MTP-ST)). Please clarify and confirm.
Response: The unit is “SET” which is both MTP #1 and MTP #2 combined for a set.
The following question (#8) refer to attachment WS20130C of the Solicitation.
35) Question: WS 20130 production environmental test requirements for vertical launch system is called out in the RFP as noted but WS 20130 is not referenced on any drawing or parts in the TDP. Please confirm and provide direction on which of the assemblies does WS20130 apply.
Response: Attachment for details will be sent via DoD Safe.
The following question (#9) refer to attachment MTP-STP Kits contents_16December2021 of the solicitation.
36) Question: There seems to be no information regarding what makes up the VLS MTP-STP and MTP-ST.
Will this information be released?
Response: MTP set defines as quantity 1 of MTP #1 and quantity one of MTP #2.
Section B - Supplies or Services and Prices
NOTE A
STEPLADDER PRICING
Stepladder pricing is utilized in this solicitation to provide Offerors an opportunity to propose different pricing for separate quantity ranges within applicable Contract Line Items (CLINs). Price evaluation of step ladder CLINs will utilize a randomly selected quantity. Notwithstanding the option to propose different unit pricing for different quantities, the Offeror may propose the same unit price for all quantities.
For all option CLINs with stepladder pricing, the Government may unilaterally exercise a given line item more than once. Option CLINs with stepladder pricing may be exercised until the total quantity purchased equals the maximum quantity listed for that option CLIN in Section B.
MAXIMUM QUANTITY MULTIPLE OPTION QUANTITY CLINS
CLINs, SLINs or other provisions in this contract set forth option quantities associated with option exercise periods.
Offerors should use those estimated quantities for planning purposes and in the preparation of its proposals. After award of the contract, the Government may need to move quantity between these option CLINs. The contract resulting from this solicitation will have a maximum dollar value or a maximum number of units that may be purchased. The Government, may, through contract modification, move quantities of items, labor or estimated costs between the option CLINs as long as the contract maximum is not exceeded.
If pricing varies by option exercise period, the pricing applicable is the pricing applicable when the option is exercised. For example, items moved from option year 4 to option year one will be payable at the rates applicable in option year one.
The following table provides the approximate timeframes that the CLINs and associated SLINs, where applicable, will be awarded or exercised. This information is provided for planning purposes only and is subject to change depending on need and funding availability.

CLAUSES INCORPORATED BY FULL TEXT
B-215-H002 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA) (OCT 2018)
(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (excluding economic purchase quantity considerations) or changes in market conditions.
(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:
(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.
(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.
(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice, the price of the part or item apparently exceeds its intrinsic value.
(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the Government is entitled to a refund.
(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor.
Upon return of the item to its original point of Government acceptance, the Contractor shall refund in full the price paid.
If no agreement pursuant to paragraph (d) above is reached, and return of the item by the Navy is impractical, the Contracting Officer may, with the approval of the Head of the Contracting Activity, issue a Contracting Officer's final decision on the matter, subject to Contractor appeal as provided in the "Disputes" clause (FAR 52.233-1).
(f) The Contractor shall make refunds, as required under this requirement, in accordance with instructions from the Contracting Officer.
(g) The Contractor shall not be liable for a refund if the Contractor advised the Contracting Officer in a timely manner that the price it would propose for a spare part or item of support equipment exceeded its intrinsic value, and with such advice, specified the estimated proposed price, the estimated intrinsic value and known alternative sources or item, if any, that can meet the requirement.
(h) This requirement does not apply to any spare parts or items of support equipment whose price is determined through adequate price competition. This requirement also does not apply to any spare part or item of support equipment if the Contractor submitted, and certified the currency, accuracy and completeness of, cost or pricing data applicable to the item.
