DESIGN-BID-BUILD CONSTRUCTION CONTRACT FOR DIEGO GARCIA BRITISH-INDIAN

OCEAN TERRITORY (BIOT)

NOTE: The following question and answer is provided for INFORMATION ONLY. The RFP remains unchanged unless it is amended in writing on a Standard Form 30. Please be advised that the Government may not respond to questions submitted less than 10 days before the proposal receipt due date.

RESPONSES DEFERRED FROM NOTICE NO. 2 DATED 31 OCTOBER 2013

17. DFARS 252.225-7045, BALANCE OF PAYMENT PROGRAM--CONSTRUCTION MATERIAL

UNDER TRADE AGREEMENTS: Please advise if Contractor can purchase and use construction materials or components such as stones/boulders, aggregates, sand and cement from countries not in the “Designated country” listing under this DFAR clause.

ANSWER: No, unless an exemption applies.

19. Section 00202, page 9: As part of the Management Plan, Offeror’s are to submit a proposed schedule for each of the seed projects indicating the number of calendars from the contract award for mobilization, design etc… Will the government please provide the anticipated award date for scheduling purposes?

ANSWER: See Amendment 0002.

21. Section 01 14 00.00 22, paragraph 1.8.2.a, Section 01 14 00.00 22, paragraph 1.8.2.a, 3rd sentence reads "Shower, toilet, dining and laundry facilities shall also be provided." Please amend the specification to not require the Contractor to provide dining facility to personnel. The Contractor will obtain meals either from the BOSC TCN Dining Facilities or NSF CDF Galley.

ANSWER: See Amendment 0002.

46. Document 00202 FACTOR B, Past Performance: Evidence of customer satisfaction shall be from the contracting agent and/or their representative responsible for the construction or design contract administration. Will offeror’s be allowed to utilize prior completed PPQ’s as the contracting agent and/or their representative responsible for the construction/design are no longer available to complete a new one?

ANSWER: Yes, offeror’s will be allowed to utilize prior completed PPQs as the contracting agent and/or their representative responsible for the construction/design are no longer available to complete a new one.

66. The proposal requires a cost breakdown for mobilization and demobilization as a factor for both technical and pricing considerations. While there are 2 contractors currently performing work on the British Indian Ocean Territory and their LSAs, Equipment, and Staff are fully dedicated to the projects at hand. Can you please confirm that all potential bidders whether currently on the BIOT or not would have to consider a full and complete mobilization of new staff, life support facilities, and required equipment to the BIOT in order to allow for a fair and reasonable comparison of cost that would not impact current projects under performance.

ANSWER: Response Deferred.

NOTICE NO. 3

84. Solicitation Document Part One - Attachment A, Indirect Rate Submission

a. How is Attachment A used in the proposal evaluation?

b. Would it be applied only to future and negotiated task orders or would it be part of the evaluation criteria and basis of award of this contract?

c. Since all proposals must be a Joint Venture with a British Firm, what is intended by the “PRIME

RATES”?

ANSWER:

a. Attachment A – Indirect Rate Submission will be evaluated for price reasonableness by ensuring that proposed rates are fully justified and supported. Reasonableness may also be determined by comparison with the independent Government Estimate and/or other offers received. Reference Document 00202, para 2.2.

b. Proposed rates for the Base Period shall be part of the priced Seed Project 1 and Seed Project 2 and thus part of the basis of award of this contract. The rates shall be evaluated for reasonableness for the Base and all Option Periods and shall be used in pricing future negotiated task orders. Reference Document 00202, para 2.2 and Amendment 0002, Attachment (A) Notes.

c. If the JV entity has its own indirect rates, then that would constitute the “Prime Rates”.

If the work is performed and estimated by the JV partners as separate entities, then each of the JV partners would submit its rates as separate entities under “Joint Venture Partner Rates”. See Amendment 0002, Attachment (A) Notes.

85. Document 00202, Para 2.2 Price Evaluation. The total price proposed for 2 seed projects will be listed from lowest to highest. Per Item a of para 2.2 price proposals will not be assigned an adjectival rating but shall be evaluated for completeness and price reasonableness. This section is referenced to Unit Priced Labor and Priced Labor Composite Hourly Rates (Exhibits A through E) and Indirect Rates Submission (Attachment A). Between the total proposed prices of 2 seed projects and proposed rates in Exhibits A through E and Attachment A, how will the government rate/score the price proposals of the Offerors?

ANSWER: The Govt. will add the total prices for the 2 Seed Projects to determine the Total Evaluated Price. The contract will be awarded to the responsible Offeror with the lowest Total Evaluated Price. In addition, to be awarded the contract, the responsible Offeror must also submit Unit Priced Labor and Indirect Rates (Exhibits A through E and Attachment A) that the Govt determines are fair and reasonable.

86. Exhibit A, CLIN 0001 through 0005, ELIN 0700. U.S./Expat Project Management Hourly Rate – Is this intended for the “Project Manager” only? If the Offerors have Expat Superintendent and/or Expat Foreman planned on the project, should there be three (3) or more different rates under Project Management Hourly Rate?

ANSWER: U.S./Expat Project Management Hourly Rate shall capture as a composite rate all U.S./Expat categories other than U.S./Expat SSHO and U.S./Expat QC Specialist. Include Expat Superintendent and/or Expat Foreman in determining the composite U.S./Expat Project Management Hourly Rate.

87. Task Order Cost Support sheet. It is noted on this sheet that the above portion of the Format is example only and Offerors shall propose costs in accordance with their established accounting system.

However, it is not noted if the Offerors can modify the lower portion of this sheet. Under Direct Labor, can we add line items such as Expat Superintendent, Expat Foreman etc. in the format?

ANSWER: No.- U.S./Expat Project Management Hourly Rate shall capture as a composite rate all U.S./Expat categories (e.g. Expat Superintendent, Expat Foreman, etc.) other than U.S./Expat SSHO and U.S./Expat QC Specialist.

88. SF 1442 – Enforceability of Proposals, Document 00100 Para. 1.14(f)(4) and (f)(6), and Document 00202 Part II Para 2.1. These noted specifications conflict regarding the number of IDIQ Contracts to be awarded. Please clarify if only one or more IDIQ Contracts will be awarded.

ANSWER: Per Document 00202 Part II Para 2.1, “The Government will not make multiple awards”. (Please note that Document 00100 Para. 1.14(f)(4) and (f)(6) is taken from the FAR).

Only one IDIQ contract will be awarded.

89. Section 00801 Para 21, Housing for Diego Garcia, Para c, Page 8. Demobilization of housing is required within 90 days after acceptance of any task order. This will present excessive and unnecessary cost to the Government if other task orders are being solicited or plan to be solicited. Please clarify the Government intent and confirm the requirement.

ANSWER: Since the timing of the projects is not known at this time, demobilization of housing within 90 days after acceptance of any task order is included in the RFP. Should the timing of the projects result in concurrent/consecutive work, the requirement for mobilization/demobilization of specific items of work will be negotiated on each successive task order.

90. Enclosure (I) DD 1155 Price Proposal

a. Please clarify what are included in pricing the “Mobilization/Demobilization” CLINs of the two (2) seed projects. Is it the mob/demob cost of all of the Contractor’s plant, equipment and personnel to/from Diego Garcia?

b. Should we include the shipping costs of housing facilities to/from Diego Garcia in the “Man Camp” CLINs?

c. What is the intent for proposing on future task orders regarding man camps and mob/demob?

Is it the intent that providing for these items under Seed Projects 1 & 2 will negate the need for these provisions in future task orders?

a. Yes, for that task order. The mobilization and demobilization cost shall include all of the Contractor’s plant, equipment and personnel.

b. Response Deferred.

c. See #89.

91. Section 00801 Page 8, Housing for Diego Garcia. If Contractor-owned housing facilities are available on Diego Garcia, can they be utilized in this contract where they currently exist in lieu of mobilizing and demobilizing new man camps?

ANSWER: Existing contractor-owned man camps are not available. Offerors shall provide for new man camps necessary for housing its personnel in accordance with Section 00801 para 21 (current para 26).

133. Reference: ELIN A0707 Indirect Rates

The Bid Schedule requires the contractor to complete Indirect Rate Line Items for each term of the IDIQ which are to be firm fixed price rates that apply to all non-labor related costs. Also the line item is to be supported by an Indirect Rate Submission worksheet (Attachment-A) which will be incorporated in the contract. Beyond this point it becomes a little confusing due in part to the use of unfamiliar terms & the absence of units of measure in the Indirect Rate Line Items.

a. What is intended by Indirect Rate Pools?

b. Is it the Government’s expectation that both Prime Rates & Joint Venture Partner Rates be provided?

c. Is the preferred unit of measure a fixed percentage, calendar day or lump sum?

d. Attachment A is provided as an example but would the Government consider further elaboration by way of a working example?

a. Indirect Pools refers to an Offeror’s indirect rates from its established accounting system (Attachment A lists common examples such as Field Overhead, Material Overhead, and G&A).

b. If the JV entity has its own indirect rates, then that would constitute the ‘Prime Rates”.

If the work is performed and estimated by the JV partners as separate entities, then each of the JV partners would submit its rates as separate entities under “Joint Venture Partner Rates”.

c. Indirect Rates shall be proposed in accordance with the Offeror’s established accounting practice. If there is no established accounting practice (e.g. new JV entity), provide a fixed percentage to be applied to the allocation base (e.g. G&A % = G&A indirect pool expense $ divided by Total Cost Input base $). See Amendment 0002, Attachment (A).

d. See c above for example.

134. NOT USED.

135. NOT USED.

136. For EXHIBIT LINE ITEM NUMBERS, EXHIBIT A - ELIN -A0700 for U.S./Expat Project Management Hourly Rate and A0703 for Third Country National (TCN), it states that “wages, fringe benefits, payroll taxes, and other support costs” should be part of the rate. Is the definition of “other support costs” the same as is shown in Document 00202 Evaluation Factor for Award page 2 for (1) Unit Priced Labor and Priced Labor Composite Hourly Rates which states “(iv) identify and apply indirect cost percentages and any other costs (e.g. employee support costs such as housing, travel, meals, overheads, and general & administration) to calculate the composite unit price. “ Please clarify the items which contractors should include in support costs.

ANSWER: Support costs included as part of Unit Priced Labor and Priced Labor Composite Hourly Rates shall be in accordance with the Offeror’s established accounting practice. For instance, if travel (to the site) and meals (at the site) are normally included as part of the labor rate, then they should be priced accordingly. Any labor related indirect costs such as Labor Fringe Benefits, Labor Overheads, and G&A shall be included as part of the Hourly Rates. If Offeror’s established accounting system account for meals and travel as non-labor costs (e.g. Other Direct Costs), then these costs shall not be included in the Unit Priced Labor and Priced Labor Composite Hourly Rates. Because housing is included as fixed priced items in the Seed Projects (CLIN 000102 and 000202 Man Camp), housing costs shall not be duplicated in the Unit Priced Labor and Priced Labor Composite Hourly Rates. Reference to contractor’s accounting system in Document 00202 para 2.2(1) Indirect Rate(s), page 3.

137. EXHIBIT A - ELIN -A0700 for U.S./Expat Project Management Hourly Rate, what is defined as an Expat Project Management category? Do we use a composite rate for Project Director, Assistant Project Director, Project Engineer, Project Manager, General Superintendent, Superintendent, General Foreman, Foremen, etc. or do we price out each position individually? All of these positions would fall under the Project Management category.

ANSWER: Offerors shall include their proposed site organization (other than U.S. Expat Project SSHO, U.S. Expat QC Specialist, TCN Project SSHO, TCN QC Specialist) as composite labor rates as U.S./Expat Project Mgmt, TCN Mgmt, or TCN Laborer. Include in the composite U.S./Expat

Project Mgmt rate labor categories for Project Director, Assistant Project Director, Project Engineer, Project Manager, General Superintendent, Superintendent, General Foreman, Foremen.

138. In pricing out for EXHIBIT A - ELIN -A0700 for U.S./Expat Project Management Hourly Rate, what duration do we use since there are signification tax impacts? Meaning if an expat has a contract less than one year vs greater than one year, certain tax exempt US laws may apply.

ANSWER: Duration would be the periods covered by the Base Period, Option Period 1, Option Period 2, Option Period 3, and Option Period 4, respectively. Employee contract duration is up to the Offeror and related costs shall be priced accordingly.

139. EXHIBIT A - ELIN -A0703 for Third Country National (TCN), , what duration do we use since there are signification impacts on travel costs factored into the hourly rate if the employee is on contract of a short term vs long term (greater than 1 yr.) since this will change the hourly rate costs.

ANSWER: Duration would be the periods covered by the Base Period, Option Period 1, Option Period 2, Option Period 3, and Option Period 4, respectively. Employee contract duration is up to the Offeror and related costs shall be priced accordingly.

140. Document 00202 Evaluation Factor for Award page 2 for (1) Unit Priced Labor and Priced Labor Composite Hourly Rates which states “(iv) identify and apply indirect cost percentages and any other costs (e.g. employee support costs such as housing, travel, meals, overheads, and general & administration) to calculate the composite unit price. “ For the “travel” portion, do we include in hotels while in transit or delayed in Singapore, taxi cabs, meals in Singapore and R & R travel costs in the employee contracts? What employee contract duration do we use as the basis in helping determine the hourly rate? If we use a short term, such as 3 month duration, this substantially increases the employee hourly rate vs if a 1 year contract duration is utilized.

ANSWER: Support costs included as part of Unit Priced Labor and Priced Labor Composite Hourly Rates shall be in accordance with the Offeror’s established accounting practice. If R&R travel costs are accounted for as labor fringe benefits, then they should be included as part of the Unit Priced Labor and Priced Labor Composite Hourly Rates. If travel costs such as hotels while in transit or delayed in Singapore, taxi cabs, meals in Singapore are accounted for as non-labor (e.g. Other Direct Costs), then they should not be included as part of the Unit Priced Labor and Priced Labor Composite Hourly Rates. Employee contract duration is up to the Offeror and related costs shall be priced accordingly.

141. “ For the “housing” portion, do we include in the cost of shipping for the housing unit to Diego, monthly utility costs such as electricity, water supply & water delivery, sewer, porta johns, dumpster services, telephone and internet while on Diego, purchase cost of the housing unit, furnishing to be purchased for the housing unit, maintenance cost of the unit and the demobilization costs?

ANSWER: Because housing is included as fixed priced items in the Seed Projects (CLIN 000102 and 000202 Man Camp), housing costs shall not be duplicated in the Unit Priced Labor and Priced

Labor Composite Hourly Rates. Housing will be deleted and revision will be issued in amendment 0002.

142. For the “overheads” portion, do we include:

Small Tools, Safety Items, Expendable tools , Labor agency fees for recruitment, Medical exams before mob, CPR/ First Aid Training, drug testing.

ANSWER: Support costs such as Small Tools, Safety Items, Expendable tools , Labor agency fees for recruitment, Medical exams before mob, CPR/ First Aid Training, drug testing shall be priced in accordance with the Offeror’s established accounting practice. If Offeror established accounting practice accounts for these costs as labor, then they should be included as part of the Unit Priced Labor and Priced Labor Composite Hourly Rates. If Offeror’s established accounting system accounts for these costs as non-labor (e.g. Other Direct Costs), then they should not be included as part of the Unit Priced Labor and Priced Labor Composite Hourly Rates. Reference to contractor’s accounting system in Document 00202 para 2.2(1) Indirect Rate(s), page 3.

143. For ENCLOSURE (1) DD 1155 Price Proposal, it shows in the chart that we are to list separately the 000202 Man Camp costs but yet under Document 00202 Evaluation Factor for Award page 2 for (1) Unit Priced Labor and Priced Labor Composite Hourly Rates which states that “housing” is to be included in the Composite Hourly Rate. Please clarify.

ANSWER: Housing as part of the Composite Hourly Rates was included as an example by mistake.

The Govt’s intent is that housing cost be priced as a direct cost in the 2 Seed Projects – CLINs 000102 and 000202 Man Camp and not duplicated in the Composite Hourly Rates. Housing will be deleted and revision will be issued in amendment 0002.

144. The ENCLOSURE (1) DD 1155 Price Proposal for line 000203 Mob/Demob lists a LS amount to be shown but under Document 00202 Evaluation Factor for Award page 2 for (1) Unit Priced Labor and Priced Labor Composite Hourly Rates states that “travel” is to be included in the Composite Hourly Rate.

Does the Mob/Demob include travel costs for employees?

ANSWER: Support costs included as part of Unit Priced Labor and Priced Labor Composite Hourly Rates shall be in accordance with the Offeror’s established accounting practice. If the Offeror’s established accounting practice is to include Travel as part of its fully burdened labor rate, then travel costs in Mob/Demo should be priced as part of labor costs in Mob/Demob. If the Offeror’s established accounting practice is to account for Travel as non-labor cost (e.g. Other Direct Cost), then travel costs in Mob/Demob should be separately priced. Reference to contractor’s accounting system in Document 00202 para 2.2(1) Indirect Rate(s), page 3.

145. For ENCLOSURE (1) DD 1155 Price Proposal under the TASK ORDER SUPPORT form, the chart for “1-Direct Labor. Provide labor hours for U.S./Expat and TCN categories and Composite Hourly rate applied. The Composite Hourly rates shall be the same as proposed for the Base Period, ELINs A0700 through A0707 “shows that the U.S./Expat now have the Composite Hourly Rate required under both Seed Projects. This appears to conflict with EXHIBIT LINE ITEM NUMBERS SOLICITATION/CONTRACT #N62742-13-R-1303 EXHIBIT A - ELIN -A0700 for U.S./Expat Project

Management Hourly Rate, which does not show a Composite Hourly Rate for U.S. / Expats. Please clarify.

ANSWER: The term “U.S./Expat” encompasses the categories U.S./Expat Project Mgmt;

U.S./Expat Project SSHO; and U.S./Expat QC Specialist. Similarly the term “TCN” encompasses the categories TCN Mgmt; TCN Project SSHO; TCN QC Specialist; and TCN Laborer.

146. For ENCLOSURE (1) DD 1155 Price Proposal under the TASK ORDER SUPPORT form section “2. Indirect Costs (e.g. Overhead; G&A). Provide indirect costs (rates and allocation base) in accordance with offeror's established accounting system. The proposed indirect rates shall be the same as proposed for the Base Period, ELIN A0707, Exhibit B, Indirect Rates” states that the indirect rates should be the same rates as in Exhibit B but we do not find a specific line item in Exhibit B that allows for the indirect rate breakdown. Please clarify.

ANSWER: ELIN A0707 refers to Attachment A. The indirect rate format for Base and all Option Periods is in Attachment A “Indirect Rate Submission”.

150. Reference: Standard Form 1442 and the Price Proposal

Comment:

The Seed Project Price Proposals includes Line Item breakouts for Mob/Demob (items 000103/000203) immediately following the Line item breakouts for the Man Camp (items 000102/000202).

Standard Form 1442 states that, the Government reserves the right to award the SEED Projects within 90 days of the IDIQ Base Period contract award effectively, creating a moratorium on any activity during this interval. The Price Proposal in its current form has no provision addressing a value for the Base IDIQ contract.

a. SEED PROJECT - Is it the Government’s intention that the IDIQ Contractor includes the cost of demobilization of all facilities required to support the Seed Projects, including the Man Camp, following completion of the individual Seed Projects.

b. Standard Form 1442 – Would the Government consider introducing Line Items in the Price Proposal under the heading of Base Bid that address the Mob/Demob of temporary facilities that will be in common use throughout the life of the IDIQ program i.e. Man Camp, Project Office, Warehousing & Equip Repair/Maintenance.
