10. Post-Award Limitations on Subcontracting Certification

In accordance with the provisions of FAR 52.219-14, Limitations on Subcontracting (Nov 2011), 13 CFR 124.510, and 13 CFR 125.6, all 8(a) Contractors must agree that:

(1) In the case of a contract for services (except construction), the concern will perform at least 50 percent of the cost of the contract incurred for personnel with its own employees.

(2) In the case of a contract for supplies or products (other than procurement from a non-manufacturer in such supplies or products), the concern will perform at least 50 percent of the cost of manufacturing the supplies or products (not including the costs of materials).

(3) In the case of a contract for general construction, the concern will perform at least 15 percent of the cost of the contract with its own employees (not including the costs of materials).

(4) In the case of a contract for construction by special trade contractors, the concern will perform at least 25 percent of the cost of the contract with its own employees (not including the cost of materials).

In the performance of this contract, the Contractor must certify at the end of every six-month period with a written determination that the Contractor will ultimately comply with the requirements listed above. The Contractor shall utilize the “Post Award Limitations on Subcontracting Report”, Exhibit F, unless otherwise instructed differently by the Contracting Officer.

52.212-2 -- Evaluation -- Commercial Items.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(1) Technical capability of the Offeror:

Factor 1– Recent, Relevant Experience of the Firm Factor 2 – Past Performance on Recent, Relevant Projects Factor 3 – Management Approach Factor 4 – Safety

(2) Price;

All technical factors when combined are of equal importance to the performance confidence assessment (past performance) rating; and all technical factors and the performance confidence assessment (past performance) rating, when combined are equal to price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of Provision)

1. The Government reserves the right to eliminate from consideration for award any or all offers at any time prior to award of the contract; to negotiate with offerors in the competitive range; and to award the contract to the offeror submitting the proposal determined to represent the best value—the proposal most advantageous to the Government, price and other factors considered.

2. As stated in the solicitation, the Government intends to evaluate proposals and award a contract after conducting discussions with offerors whose proposals have been determined to be within the competitive range. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the range to the greatest number that will permit an efficient competition among the most highly rated proposals.

3. The tradeoff process is selected as appropriate for this acquisition. The Government considers it to be in its best interest to allow consideration of award to other than the lowest priced offeror or other than the highest technically rated offeror.

4. As stated in the solicitation, all technical factors when combined are of equal importance to the performance confidence assessment (past performance) rating; and all technical factors and the performance confidence assessment (past performance) rating, when combined are equal to price.

5. Any proposal found to have a deficiency in meeting the stated solicitation requirements or performance objectives will be considered ineligible for award, unless the deficiency is corrected through discussions. Proposals may be found to have either a significant weakness or multiple weaknesses that impact either the individual factor rating or the overall rating for the proposal. The evaluation report must document the evaluation board’s assessment of the identified weakness(s) and the associated risk to successful contract performance resulting from the weakness(s). This assessment must provide the rationale for proceeding to award without discussions.

B. ADJECTIVAL RATINGS/DESCRIPTIONS

1. The technical rating reflects the degree to which the proposed approach meets or does not meet the minimum performance or capability requirements through an assessment of the strengths, weaknesses, significant weaknesses, deficiencies, and risks of a proposal.

a. A combined technical/risk evaluation considering risk in conjunction with the strengths, weaknesses, significant weaknesses, and deficiencies in determining technical ratings shall be used.

The technical risk evaluation shall utilize the combined technical/risk ratings listed in the following table. Adjectival ratings and rating descriptions will be used to assign an overall rating to each technical proposal and to assign a rating for each technical factor. Use upper case letter ratings for major technical factors as well as the overall rating. The addition of plus (+) or minus (-) to an adjective rating is not allowed.

(Rev Apr 11) Table 1. Combined Technical/Risk Ratings

Rating Description

Outstanding (O)

Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Good (G)

Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable (A)

Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Marginal (M)

Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.

Unacceptable (U) Proposal does not meet requirements and contains one or more deficiencies. Proposal is unawardable.

2. Definitions: The following definitions are provided to assist evaluators in the evaluation of each non-price factor.

a. Strength: An aspect of an offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

b. W eakness: A flaw in the proposal that increases the risk of unsuccessful contract performance.

c. Significant W eakness: A flaw that appreciably increases the risk of unsuccessful contract performance.

d. Deficiency: A material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

C. SAFETY EVALUATION

1. Per NFAS 15.304(d), solicitations utilizing source selection procedures for procurements within the 50 United States and the District of Columbia shall contain a standard “Safety” technical evaluation factor. This factor shall be included as a stand-alone evaluation factor and not as a sub- factor.

This action will result in the selection of contractors that have consistently demonstrated a commitment to safety and the ability to properly manage and implement safety procedures for themselves and all tiers of subcontractors under their purview.

2. The safety evaluation has three elements: Experience Modification Rate (EMR), Occupational Safety and Health Association (OSHA) Days Away from W ork, Job Restriction, or Transfer (DART), and Technical Approach to Safety.

3. The three elements of safety identified above, are not sub-factors. The evaluators should collectively consider all elements of safety when assigning an overall adjectival rating for this factor. The SSEB will need to make a qualitative determination of the rating for this factor, taking into account the risk ratings for EMR and DART and the subjective evaluation of the narrative.

4. Evaluators will not average the rating from the three years for the EMR and the DART.

5. The following should be utilized by evaluators as a general guideline to evaluate the

EMR

and DART rates:

Risk EMR Very Low Risk Less than 0.6 Low Risk From 0.6 to less than 0.8 Moderate Risk From 0.8 to 1.0 High Risk Greater than1.0 to 1.1 Extremely High Risk Greater than 1.1

Risk DART Rate Very Low Risk Less Than 1.0 Low Risk From 1.0 to 1.99 Moderate Risk From 2.0 to 2.99 High Risk From 3.0 to 4.0

Extremely High Risk Greater than 4.0

D. PAST PERFORMANCE EVALUATION

1. The past performance evaluation results in an assessment of the offeror’s probability of meeting the solicitation requirements. The past performance evaluation considers each offeror’s demonstrated recent and relevant record of performance in supplying products and services that meet the contract’s requirements.

One performance confidence assessment rating is assigned for each offeror after evaluating the offeror’s recent past performance, focusing on performance that is relevant to the contract requirements.

2. There are two aspects to the past performance evaluation. The first is to evaluate the offeror’s past performance to determine how relevant a recent effort accomplished by the offeror is to the effort to be acquired through the source selection. For this solicitation, the Offeror will be required to submit Past Performance Questionnaires (Exhibit B) for each project included in Factor 1 for Recent, Relevant Experience of the Firm. The Offeror should provide completed Past Performance Questionnaires (PPQ) in the proposal.

Offerors may provide any information on problems encountered and the corrective actions taken on projects submitted under Factor 1 – Recent, Relevant Experience of the Firm. Offerors may also address any adverse past performance issues.

3. This source selection requires a greater level of discrimination within the past performance evaluation, therefore, the relevancy ratings in the following table shall be used:

Table 4. Past Performance Relevancy Ratings Rating Definition

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

4. The second aspect of the past performance evaluation is to determine how well the contractor performed on the contracts. The past performance evaluation performed in support of a current source selection does not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts.

5. Performance Confidence Assessment. In conducting a performance confidence assessment, each offeror shall be assigned one of the ratings in Table 5 below:

Table 5. Performance Confidence Assessments Rating Description

Substantial Confidence

Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence

Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence the Government has a low expectation that the offeror will

No Confidence the Government has no expectation that the offeror will be able to

Unknown Confidence (Neutral)

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

F. EVALUATION FACTORS FOR AWARD

1. The solicitation requires the evaluation of price and the following non-price factors:

Factor 1– Recent, Relevant Experience of the Firm Factor 2 – Past Performance on Recent, Relevant Projects Factor 3 – Management Approach Factor 4 – Safety

2. The relative order of importance of the non-price evaluation factors (Factor 1- Recent, Relevant

Experience of the Firm, Factor 2 Past Performance on Recent, Relevant Projects, Factor 3- Management Approach, and Factor 4- Safety) are of equal importance to each other. When the proposal is evaluated as a whole, the technical factors (i.e., the non-price evaluation factors) are approximately equal to price.

3. Basis of Evaluation and Submittal Requirements for Each Factor.

(a) Price:

(1) Solicitation Submittal Requirements

The Offeror shall submit the following as part of their Volume I, Price Proposal in a sealed envelope.

i. SF1449 (Solicitation, Offer, and Award) with blocks 14 through 20c completed.

ii. The Offeror shall submit their prices using the MS Excel

ELIN Price Schedule included in the solicitation as a separate sealed envelope, as part of Volume I, Price Proposal. Offerors shall also include an electronic copy of their MS Excel ELIN Price and Summary Schedule on the required CD and shall round all unit prices to the second place behind the decimal (i.e. $1.00 vice $1.004):

Complete all Price ELINs (A001 through E009)

iii. Exhibit D Financial Questionnaire (in sealed envelope from financial institution).

Offerors shall submit the Financial Questionnaire to their financial institution and request that the financial institution complete the questionnaire with regard to the Offeror’s firm. Upon completion of the questionnaire, the financial institution should place the completed questionnaire in a sealed envelope showing the return address of the financial institution and forward it to the Offeror so that the Offeror can include the questionnaire (in the sealed envelope) with the Offeror’s proposal.

If the Offeror is a joint venture, information should be submitted for the joint venture. If there is no information for the joint venture, information should be submitted for each joint venture partner.

The Joint Venture Agreement, Financial Questionnaire and Representations and Certifications will not be rated. They will, however, be considered in assessing the Offeror’s responsibility.

iv. A print-out of the Offeror’s filled out Representations and Certifications and Active and Inactive Exclusions from the System for Award Management (SAM).

v. Also, per the RFP, fill-out responses to FAR clause 52.219-1 “Small Business Program Representations” (APR 2012) and DFARS clause 252.209-7993 REPRESENTATION BY

CORPORATIONS REGARDING AN UNPAID DELINQUENT TAX LIABILITY OR A

FELONY CONVICTION UNDER ANY FEDERAL LAW-FISCAL YEAR 2014

APPROPRIATIONS (DEVIATION 2014-000009) (FEB 2014)

(2) Basis of Evaluation

The price evaluation is based on the total estimated quantity specified in the solicitation for the base year performance plus four (4) 12-month option years for a total maximum duration of 60 months which equates to the sum of ELINS A001 through E009. The Government intends to evaluate all options and has included the provision FAR 52.217-5, Evaluation of Options (JUL 1990) in the solicitation. In accordance with FAR 52.217-5, Evaluation of Options will not obligate the Government to exercise the option(s). Analysis will be performed by one or more of the following techniques to ensure a fair and reasonable price:

i. Comparison of proposed prices received in response to the solicitation

ii. Comparison of proposed prices with the independent Government Estimate

iii. Comparison of proposed prices with available historical information.

iv. Comparison of market survey results.

Exhibit line item numbers (ELIN) unit prices shall be multiplied by the estimated quantity to determine the total price for each ELIN. In the event the total price for an ELIN does not mathematically equate to the product of the unit price and estimated quantity, the unit price shall take precedence over the total price. The unit price shall be considered the Offeror’s intended bid price for the ELIN.

A price that is found to be either unreasonably high or unrealistically low in relation to the proposed work may be indicative of an inherent lack of understanding of the solicitation requirements, or in the case of unrealistically low prices, may pose an unacceptable performance risk, and may result in the overall proposal not being considered for award.

The Government may determine that an offer will not be considered if the option prices are significantly unbalanced. Any inconsistency whether real or apparent, between proposed performance and price must be clearly explained in the price proposal. For example, if unique and innovative approaches are the basis for an apparently unbalanced or inconsistently priced proposal, the nature of these approaches and their impact on price must be completely documented. The burden of proof of price realism rests solely with the offeror.

Each ELIN shall be priced independent of other ELINS as if it were stand-alone work (unless otherwise noted in the schedule or elsewhere in the solicitation). Proposals that appear to be unbalanced relative to unit prices may not be considered for award.

(b) Non-price Factors:

(1) Factor 1 – Recent Relevant Experience of the Firm:

(i) Solicitation Submittal Requirements: The offeror must provide their relative experience information on Exhibit A under Tab 1 of the technical proposal for evaluation under this factor:

A. The offeror must submit a minimum of three (3) and a maximum of five (5) projects or contracts for the

Offeror and its Team on Exhibit A that have been completed within the past five (5) years preceding the closing date for receipt of proposals. Current projects or contracts which have been in place for at least one

(1) year preceding the closing date for receipt of proposals will also be considered for evaluation. The Offeror may submit relevant experience information for predecessor companies and subcontractors that will perform major or critical aspects of the work. Offerors who submit projects or contracts for a subcontractor or predecessor company must explain how this subcontractor or predecessor company will participate on the solicited contract. If the Offeror fails to make clear how the proposed subcontractor or predecessor company will participate on this contract, the project or contract will be removed and discarded prior to evaluation.

Any contracts submitted by the offeror for evaluation must be ongoing or must have been completed within the past five (5) years preceding the closing date for receipt of proposals. Contracts listed may include those performed for Federal, State, and local governments and for private entities.

(ii) Basis of Evaluation: The basis of evaluation will include the Offeror and its Team’s extent of experience on preventive maintenance and repair of HVAC and Boiler systems with associated Direct Digital Control (DDC) systems similar in scope, size (project dollar value), type, and complexity to the technical requirements of the Request for Proposal (RFP). The evaluation will take into account information regarding predecessor companies and subcontractors, when information is relevant to this procurement.

A higher rating for this factor may be achieved where the Offeror’s Team demonstrates experience on four (4) or more contracts that are similar in scope and complexity to services required in this solicitation.

Proposals that demonstrate combined experience of the Offeror and its Team may be rated higher. If no shared contract experience is demonstrated, proposals that fail to submit contracts for each of the proposed Team members may be rated lower. Offerors and their Teams are still limited to a total of five (5) contracts combined.

All contracts which are (1) outside of the five-year period specified, or (2) above the maximum number of projects allowed will be discarded prior to evaluation and no credit will be given.

Failure to use Exhibit A will result in a lower rating for this factor.

Failure to provide all requested data will result in a lower rating for this factor.

(2) Factor 2 – Past Performance on Recent, Relevant Projects:

i) Solicitation Submittal Requirements: Offeror must provide their past performance information immediately following the project submitted under Factor 1 to which they pertain on Exhibit B under Tab 2 of the technical proposal for evaluation under this factor:

The projects submitted for Factor 1 on Exhibit A must match the projects submitted on the Past Performance Questionnaire, Exhibit B. Any contracts submitted by the offeror for evaluation must be ongoing or must have been completed within the past five (5) years preceding the closing date for receipt of proposals. Contracts listed may include those performed for Federal, State, and local governments and for private entities. Offerors may provide information on problems encountered on the identified contracts and the offeror’s corrective actions.

The evaluation will take into account past performance information concerning predecessor companies and subcontractors that will perform major or critical aspects of the service work. The Government will consider past performance information obtained from the offeror, the offeror's references, and from any other sources. The Government will use this information to determine if the record indicates accomplishment of performance objectives, any problems and corrective actions taken on prior contracts, standards of good workmanship, foreseeing and controlling costs, adhering to schedules, a reputation for reasonable behavior, and generally a business-like concern for the customer’s interest. Offerors may be given an opportunity to address adverse past performance information if the offeror has not had a previous opportunity to respond to the information. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available the offeror will not be evaluated favorably or unfavorably concerning past performance.

A COMPLETED CPARS EVALUATION IS AVAILABLE; IT SHALL BE SUBMITTED WITH THE

PROPOSAL. IF THERE IS NOT A COMPLETED CPARS EVALUATION, the Past Performance Questionnaire (PPQ) included in the solicitation is provided for the offeror or its team members to submit to the client for each project the offeror includes in its proposal for Factor (insert applicable factor number, usually Factor 1, and insert factor title, usually Corporate Experience). AN OFFEROR

SHALL NOT SUBMIT A PPQ W HEN A COMPLETED CPARS IS AVAILABLE.

IF A CPARS EVALUATION IS NOT AVAILABLE, ensure correct phone numbers and email addresses are provided for the client point of contact. Completed PPQs should be submitted with your proposal. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Exhibit B), which will provide contract and client information for the respective project(s). Offerors should follow- up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government's point of contact, Marlanea Kirkbride, via email at marlanea.kirkbride@navy.mil prior to proposal closing date. Offerors shall not incorporate by reference into their proposal PPQs or CPARS previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation.

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS) using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

A copy of the blank Past Performance Questionnaire to be used for requesting client references is included as Exhibit B.

(ii) Basis of Evaluation: Past performance information is one indicator of an offeror’s ability to perform the contract successfully. The currency and relevance of the information, source of the information, context of the data, and general trends in contractor’s performance shall be considered.

(3) Factor 3 –Management

i) Solicitation Submittal Requirements: Offeror must provide the Factor 3 submittals under Tab 3 of the technical proposal for evaluation under this factor:
