B.3 CLIN COST

For CLINs 0001-0006, 1001-1006 below, the terms “Quantity” and “Max Quantity” and “Cost” and “Max Cost” actually mean “Estimated Quantity” and “Estimated Cost.” It is a default title systematically generated by SPS (Standard Procurement System), the government contract writing software.

B.4 ORDER ESTIMATING RATES

The estimated rate and fixed fee rate information stated below will be used by the government to establish the Independent Government Cost Estimate (IGCE) to issue task orders in accordance with the streamlined ordering procedures of Section H clause, Streamlined Ordering Process and Fee Determination (AUG 2018).

The IGCE will include the task order’s estimated cost ceiling and the fixed fee amount. To establish the estimated cost ceiling for a cost plus fixed fee (CPFF) Labor CLIN, the government will multiply the associated estimated rate per labor category by the estimated hours per labor category. The sum of the ordered labor costs will determine the Labor CLIN’s estimated cost ceiling. IGCEs that cross multiple years will be estimated by the government using the estimated rates for each year in proportion to the order’s anticipated period of performance.

A CPFF CLIN’s fixed fee amount will be paid in accordance with clause 5252.232-9510, “Payment of Fixed Fee.” The maximum fixed fee rate proposed shall not exceed 10% in accordance with FAR 15.404-4(c)(4)(i)(c). After contract award, the fee rate applied on Task Orders shall not exceed the maximum fixed fee rate identified below. Charges above the maximum fixed fee rate will be considered unallowable.

For CPFF CLINs, the Prime contractor’s maximum fixed fee rate to be applied to a CLIN’s estimated cost ceiling amount is (to be completed by the offeror)% and the Prime contractor’s maximum fixed fee rate to be applied to subcontractor efforts is (to be completed by the offeror)%. (These percentages shall be used to determine the Fixed Fee dollar amounts on awarded task orders. The negotiated fixed fee percentages shall apply throughout the duration of the contract for all task orders issued and shall not be re-negotiated on individual task orders.) To determine a CPFF CLIN’s fixed fee amount, the government will multiply the CPFF CLIN’s estimated cost ceiling by the fixed fee rates, as applicable.

The cumulative estimated cost ceilings and fixed fee amounts of all task orders issued under the contract shall not exceed the cost ceiling of the basic ID/IQ contract without further negotiation as set forth in the Level of Effort clause. While Cost and CPFF CLINs’ cost ceilings will be based on estimates, the contractor’s invoicing shall be based on actual costs incurred.

The following labor estimated rates by labor category are fully burdened, exclusive of the Prime contractor’s fixed fee. The government reserves the right to adjust the estimated rates to accommodate the cost impact of Department of Labor (DoL) area wage determination (AWD) revisions, in accordance with the Service Contract Act (SCA), or other substantive changes.

**The column labor hour totals and the labor category totals are estimates only, not individual ceilings.

(b) FAR Clause 52.232-20, "Limitation of Cost" applies to fully funded orders and FAR Clause 52.232-22, "Limitation of Funds" applies to incrementally funded orders. Nothing in this clause amends the rights or responsibilities of the parties hereto under either of those two clauses. In addition, the notifications required by this clause are separate and distinct from any specified in either FAR Clause 52.232-20 or FAR Clause 52.232-22.
(c) In the event that less than one hundred (100%) percent of the established level of effort of the contract/order is actually expended by the end of the performance period, the Government shall have the option of:
(1) Requiring the Contractor to continue performance, subject to the provisions of the FAR Clause 52.232-20 or 52.232-22, as applicable, until the effort expended equals 100% of the established Level of Effort; or
(2) Effecting a reduction in the fixed fee by the percentage by which the total expended man-hours is less than one hundred (100%) percent of the established Level of Effort.
(d) The contractor agrees that effort performed in fulfillment of level of effort obligations under this contract shall include only verifiable effort in direct support of the work specified. It shall not include efforts such as work performed in transit to or from an employee's usual workplace, work during lunchtime activities, or effort performed at other non-work locations.
(e) In performing the contract/order, the contractor may use any reasonable combination of hours for the labor categories in support of Section C of this contract/order.
(f) Although this is not a requirements services contract, in part because it is not possible to identify the numerous government activities from around the country that have aviation maintenance service requirements, the practical application of the contract is that the government needs the contractor to perform maintenance services on the aircraft and aviation components that come into the Navy’s maintenance facilities identified in this contract in times of peace and times of war. While the program office has done its best to estimate its aviation maintenance service needs based upon historical data, a level-of-effort contract is used because the needs for Navy aviation maintenance service cannot be predicted. Thus, if the government has ordered the estimated maximum number of labor hours set forth above, but the ordering period of the contract has not ended, the government may negotiate an in-scope contract modification to this contract under the Changes clause to add more services via estimated labor hours and a new fee, subject to traditional considerations involved with an in-scope analysis under the Changes clause. The government may not, however, extend the ordering period of performance beyond the basic and option ordering period of this contract. In other words, while it would be an in-scope change to acquire more of the same kinds of services within the ordering period of performance, it would not be an in-scope change to acquire more time. Extending the ordering period beyond the basic and option ordering period would require competition or a sole-source Justification and Approval.

Section F - Deliveries or Performance

PERIOD OF PERFORMANCE

The basic ID/IQ contract, exclusive of option to extend services (FAR 52.217-8), has a sixty (60) - month basic ordering period from the time of award with an additional one-year option period (12 months). Alternatively, at the Contracting Officer's discretion, if the Contracting Officer finds the contractor to be at fault for the condition, he may equitably adjust (downward) the contract price or fixed fee to compensate the Government for any delay, loss or damage as a result of the contractor's action.
