SUMMARY OF CHANGES
SECTION SF 30 - BLOCK 14 CONTINUATION PAGE
The following have been added by full text:
CHANGES MADE BY THIS A0003
Other changes not specified below in the answered questions below are listed here:
Section L-7(B)(2)(b)(i)(1), L-7(B)(2)(b)(ii)(1), and L-7(B)(2)(b)(ii)(2) have been updated to add the language “at least two” for clarity.
Section L-7(B)(2)(b)(ii)(3) has been updated to add dry dock experience to be “in the United
States or outside the United States,” as the initial dry dock experience only stated “in the United
States.”
The mention of ACOR has been removed from the RFP, and replaced with COR. See edits at C-
2.5.4.2 and C-2.5.7.4.2
The responses to the questions presented below constitute an amendment to this solicitation:
1. Due to COVID-19 Pandemic and Social Distancing practices required for the health and safety of our organizations, we respectfully request that MSC consider a digital submission either via email or through SAFE rather than hard copies of binders and discs.
A: Yes, any proposals submitted in response to the T-AGOS/T-AGM solicitation shall be submitted via DOD SAFE. No hard copies will be accepted or reviewed. See Section L-6 for updates. Answered via Amendment 0001.
2. Please clarify if the Shore Side Personnel Qualifications should follow Section C-3.8 or the requirements in Section L-7(B)(2)(a), pages 247-248?
A: The contractor shall meet Section C requirements in performing the contract, but is only required to demonstrate compliance with Section L in its proposal .
3. The RFP asks for Key Shoreside Personnel in Section L-7(B)(2)(a) on page 247, in Section L-
7(B)(2)(b)(i)(3) on page 249, and also in Section L-7(B)(3)(c) on page 251 . Please clarify where we should include Key Shoreside Personnel .
Additionally, Corporate Experience is in two sections on page 249, Section L-7(B)(2)(b) and
Section L-7(B)(2)(b)(ii)(1). Please clarify where we should include Corporate Experience.
A(a): Section L-7 L-7(B)(2)(b)(i)(3) has been removed from Section L for clarity. Offerors are required to address the remaining two sections discussing Key Shoreside Personnel in Section L.
A(b): Section L-7(B)(2)(b)(ii)(1) has been renamed “Maintenance Experience” for clarity.
4. In C-3.7.2.a. Contract Specific Key Shoreside Personnel: Are resumes required for all positions in the table, or just for those marked “X” in the final column “Key (KBA )”?
A: See bullet on page 135 of RFP, “The contractor shall submit resumes to the Contracting
Officer with clearly defined experience summaries for all key shore side personnel.” Further, Section L further articulates that resumes are required for proposed key shoreside personnel. To be clear, resumes are required for all positions in the table that are marked with an ‘X’ in the final column, “Key (KBA)”, in section C-3.7.2.a. Section C requirements are for performance only; please see Section L for proposal submission requirements.
5. Do we need to provide Letters of Intent for current company employees ?
A: Yes, see Section L-7(B.)(2) and L-7(B)(2)(a): Proposal shall include: resumes and signed letters of intent for all proposed key shoreside personnel listed below. . .”
6. We request that MSC consider a two week extension to the due date of the RFP to January 20, 2021. This request is based on questions submitted that have not been answered, time needed to prepare a hard copy submission, and we have not received CBAs from the labor unions. In addition to these outstanding items we are faced with lost time due to the upcoming holiday season. We respectively request your favorable consideration to this request and ask for a response as soon as possible.
A: Proposal deadline extended to January 20, 2021. Time deadline remains the same at 12:00 p.m. EST. Answered via Amendment 0001.
7. Section B-1.7 Full Operating Status Per Diem – stipulates all penalty time, bonuses, emoluments , … are included however the remaining sections of the RFP are silent to Crew restriction to ship designated by the operational commander, or US Government, outside of a war zone. Please confirm that restriction to ship by the operational commander for purposes other than war zone are considered reimbursable since a contractor has no ability to estimate unknown operational requirements.
A: The contract’s clauses and terms and conditions address the circumstances that may arise as a result of COVID-19. In the event the contractor believes it may be entitled to an equitable adjustment to the contract price, it may submit a request for equitable adjustment using the standard FAR clause or other appropriate and applicable FAR clause. Requests for equitable adjustment will be considered on a case-by-case basis, in consideration of the particular circumstances of each contract.
8. Will MSC reimburse the contractor for all direct costs to comply with MSC’s COVID instruction (“MSC COVID QMS N2.35.6100.1-Q Novel Coronavirus Disease Response Plan
(Current Rev)”? This includes additional wage costs associated with ships under a “gangway up” order. This document has been continuously revised, therefore difficult to quantify actual fixed costs.
A: Reference question and response to #7.
9. C-1.3.2.a - Are the PEP numbers for ROS and RAV or only FOS ?
A: Only for FOS. Added a TOTAL column at C-1.3.2.a for clarity.
10. C-1.3.10 - This section states that the contractor shall replace these items. As they are for
PEP and TEP, are they Reimbursable ?
A: No, these items are not reimbursable.
11. G-3 (p); Also SOW ref & C-1.8.2 - Section G-3 (p) states that travel shall be billed within 90 days of completion of travel. Given Section C-1.8.2, the contractor cannot bill for training costs until the crewmember completes a standard tour onboard a BOBO Class ship. It is possible a crewmember could have traveled for training more than 90 days before they are assigned to and complete their tour on a Bobo Class vessel. Does this 90-day rule apply to travel for training?
A: This solicitation does not mention BOBO class ships. The solicitation does not require completion of a tour aboard any vessel before the contractor can invoice for travel reimbursement.
12. C-2.5.4.2 - This section requires ACOR approval for every IA subcontract >$10K; this will be pre-approval for nearly every IA PO – is this the government’s intent?
A : Yes, the contractor shall obtain the COR’s approval prior to entering into any IA subcontract greater than the Federal Acquisition Regulation’s (FAR) micro purchase limits. As such, the second bullet under C-2.5.4.2 is deleted for clarity.
13. Attachment B – Attachment B for the SIU does not provide information on when overtime is payable. Can you confirm that on the T-AGM vessels overtime is paid for all hours worked in excess of 8 hours M-F and for all hours worked on Holidays?
A : See Section B-1.15 and Section C-1.7.10.2. The Government will reimburse overtime that is not required to be built into the fixed rate. Offerors are encouraged to comply with the Wage
Determination and their respective CBAs.
14. Attachment B – Attachment B for the SIU does not provide information on when overtime is payable. Can you confirm that on the T-AGOS vessels overtime is paid for all hours worked in excess of 8 hours M-F and for all hours worked on Holidays?
A: See Section B-1.15 and Section C-1.7.10.2. The Government will reimburse overtime that is not required to be built into the fixed rate. Offerors are encouraged to comply with the Wage
Determination and their respective CBAs.
15. C.1.1.3.8.1 - Does the requirement for the crew to work 7 days a week include national holidays?
A: The contractor’s proposal should include pricing for the crew working 7 days a week including national holidays.
16. C-1.4.2 - Will expenses associated with COVID-19 be reimbursable?
A: Reference question and response to #7.
17. C-3.3.1 - The referenced DFAR section does not specify any certification requirement.
Please clarify what certification you will require.
A: Reference DFARS 252.204-7012(c)(3) for DFARS certificate requirement.
18. C-1.8.1.a - Please confirm that periodicities listed in column 2 can be completed prior to the start date of the contract as there is no stated qualification that the initial training for the purposes of this matrix cannot be met by the STCW training required for MMC as long as that certification is less than 5 years old at the time of assignment.
A: C-1.8.1 that the “crewmembers shall successfully complete all required training prior to assignment to a ship or position.” Yes, training can be completed prior to start of the contract.
All mariners assigned must have valid training, and the offeror is required to ensure that training does not expire prior or during a mariner’s scheduled deployment.
19. C.1.1.3.4 - Please provide the number of times a year a vessel has been downgraded to ROS under this provision over the last 5 years.
A: One ship was downgraded to ROS status within the last three years. Our office does not have data available for the two (2) years prior.
20. C-1.1.21 - The section has an error message instead of requirements.
“The contractor shall support the requirement listed in Error! Reference source not found. and
Error! Reference source not found.”
Please provided the requirement references.
A : See Section C-1.1.21 as amended to state “The contractor shall support the requirements as listed in the following paragraphs.”
21. C-1.1.21.C - This section is missing information. Please provide.
A: Section C-1.1.21.c. is deleted.
22. C-1.2.2 - Have all vessels maintained UMS status throughout the current contract ?
A: No.
23. Are any of the vessels on a USCG targeted-vessel or ABS oversight list?
A: No.
24. Please provide a copy of the current class survey report with parts .
A: If offerors wish a copy, please contact the MSC contracting office POCs for a copy.
25. C-4.2.3 - In the List of Annual O&M Budget Items, Port Charges and Canal Fees, references agent supplied communication (cell phones, etc.). Does this mean that cell phones in port are reimbursable?
A:Yes, the Government will reimburse cell phone use in port for ship business only.
26. Pricing form L - Pricing form L does not have a column for FOS-AMMO while pricing form
P does. Please provide an updated form L if the ships are required to carry ammo .
A: Ships are not large enough to carry an amount of ammo that would trigger the ammo bonus.
27. Reference L-6 (3): Each proposal shall be submitted on paper and in three separate volumes.
Question: Please list the number of copies of each volume to be submitted.
A: Reference updated section L-6 from Amendment 0001.
28. Reference: Key personnel resumes are requested in three different sections of the RFP: L-
7.B(2)(a), L- 7.B(2)(b)(i)(3), and L-7.B(3)(c). Question: “Can resumes be included per L-
7.B(2)(a), or would the Government prefer to repeat the resumes in all three locations of the proposal?”
A: Reference response to question #3a.
29. Reference: L-7.C, which states “The offeror shall provide information using Attachment I on up to five reference Government or commercial contracts…”
And “The completed Attachment I shall be no longer than 10 pages total in length…”
Question: “Is the Government requesting a single Attachment I (inclusive of all five contract references) limited to 10 pages total, and if so, is the offeror to repeat the contract details table within the Attachment for each contract reference?”
A: The offeror shall utilize the contract details table for each referenced contract. The completed
Attachment I for the Past Performance Proposal shall be no longer than ten pages length in total for the Past Performance Proposal submission. Attachment I is revised to no longer state below table “No longer than 10 full pages,” for clarity.
30. Reference: RFP page 82, C-1.8.4 and page 138, C-3.9 - Question: Can the contractor use a
3rd party school that offers accredited MSC courses?
A: Yes.
31. Reference: RFP page 241, L-6 (1) - Question: Given the pandemic, parcel distribution demand has risen and has created a growing backlog and subsequent shipment delays during this holiday season. We do not believe that the couriers will be able to clear their respective backlogs by early January therefore, we request an extension of the due date of 10 days or accept hand and/or electronic (via DoD SAFE perhaps) deliveries on January 6.
A:Reference response to questions #1 and #6.
32. Reference: RFP page 192, H-5 (n) Question: End of paragraph (n) denotes “AMEND 08”, is there an additional document that corresponds to this reference?
A: Section H-5(n) has been edited to remove this wording.
33. Will the Government consider modifying the methodology for submitting proposals via the
DoD Safe electronic submission as is being done by other MSC Program Offices? Handing in hard copies in person does not seem consistent with current COVID protocols.
A: Reference response to question #1.
34. The current due date for proposals is going to cause a great inconvenience for all bidders as it comes during the time period when year end closing impacts resources available. Will the
Government consider extending the due date a minimum of 2 weeks?
A: Reference response to question #6.
35. Section B 1.7.1 titled "Ammo Bonus Surge Ships" references using an FOS Ammo Bonus
Rate if explosives are places in sufficient quantity. Please confirm if these vessels are capable of storing ammo in a sufficient quantity that would trigger an ammo bonus and if these vessels are considered Surge.
A: These vessels are not capable of storing ammunition that would trigger an ammo bonus and are not considered surge. This section is now removed in the solicitation.
36. Section C-1.1.3.b shows OPTEMPO for FY 25 and FY 26 as TBD. There is published information that the VICTORIOUS could be disposed of in 2026. Should a ship or ships be taken out of service will the contractor be allowed to adjust the rate on the remaining ships to account for the spread of overhead over a smaller fleet?
A: Hypotheticals will not be answered. Adjustments in vessels will be addressed though appropriate contract, terms, conditions, and clauses (e.g. Changes or Termination Clause).
37. Section C-1.3.2.a requires as fixed price for food and hotel services for the PEP and; C-
1.3.2.3 requires a reconciliation quarterly of PEP and TEP and a credit to be issued. At what rate is the contractor to credit MSC; the rate reflected in C-1.3.2.1 or the cost the contractor used in pricing the PEP & TEP?
A: Rate credits should be in accordance with what the Government has stated at C-1.3.2.1.
38. Section C-1.3.10 requires contractor to provide linens. Are these expenses fixed price or reimbursable? If fixed price will the linens be new upon contract commencement?
A: Reference question and response to #10. Linens should be new upon contract commencement.
39. Section C-1.6.5 requires contractor to provide a single lockable (gated and cipher lock) access to the ships in ROS. Are these expenses fixed price or reimbursable?
A: Sentence referring to gated and cipher locked has been removed from Section C-1.6.5 for clarity.
40. Section C-3.7.1.1 requires a deduction for shortages of Key Shoreside Staff. What is considered a shortage other than the position is vacated due to resignation, dismissal and retirement and not immediately filled?
A: A shortage is defined as when no one is performing the position duties as required under the contract.
SECTION B - SUPPLIES OR SERVICES AND PRICES
The following have been modified:
SECTION B
B-1.0 General. The rates for services provided under this contract shall be payable at the applicable, fully burdened per diem rates stipulated in the Section B rate schedule. Said payments shall be considered payment in full for all services, equipment, supplies, operation and maintenance of Government equipment, and all contractor personnel under this contract, including all penalty time, bonuses, payments, and emoluments payable to contractor personnel for services under this contract, irrespective of the geographic scope of said services, vehicular cargoes, bulk cargoes, general cargoes and the carriage of hazardous cargoes. For explosives bonus (ammo bonus), see Section B-
1.7.1 below. Said payments do not include those items specifically identified as reimbursable under this contract, which will be reimbursed in accordance with (IAW) Section G below. The periods of this contract are not tied to any specific fiscal year and may not align with the fiscal year. No adjustments will be made to the per diem rates for startup costs or Collective Bargaining Agreement (CBA) wages.
B-1.1 Per Diem Rate for Operation and Maintenance. Per diem rates shall cover the cost of daily operation, maintenance, equipment, personnel, and services required to operate and maintain the ships and ships’ equipment, unless an expense is specifically listed in the contract as being reimbursable.
B-1.2 Familiarization. The Contractor’s fixed price per diem shall include all costs associated with the ship familiarization period (IAW Section C) for the specified timeframes prior to ship deliveries. Familiarization costs include, but are not limited to: crew wages & fringes, travel cost, travel wages, lodging, subsistence, training, insurance, administrative cost and any other costs associated with start-up costs not otherwise included in the offeror’s per diem rate.
B-1.3 Reimbursable Items. See Section G.
B-1.4 Estimates. All quantities within this contract and its attachments are estimates, unless this contract expressly states a specific quantity is a “guarantee.” If a stated quantity does not state it is a “guarantee,” then it shall not serve as the basis for additional compensation under the contract.
B-1.5 Holidays. Holidays referenced in this contract are those days listed in 5 USC 6103(a) Holidays.
B-1.6 Continuing Rate. See Section F-1(b) regarding voyage in progress on the date of contract expiration.
B-1.7 Full Operating Status (FOS) Per Diem. The FOS per diem rates shall include an on board turnover period as required in Section C when replacing shipboard key billets listed in Section C. The FOS per diem rates shall include the full wages and fringe benefits for each crewmember IAW Section C. In addition, any overtime incurred for the purpose of maintaining required “watches” IAW Section C shall be part of the per diem rate. This includes the routine gangway watch, also referred to as the gangway security watch, which includes roving patrol duties. The
FOS per diem payment shall be considered payment in full for all FOS services, equipment, supplies, operation and maintenance of the ship and Government equipment, and all contractor personnel under this contract, including but not limited to, all penalty time, bonuses, payments and emoluments payable to contractor personnel for services under this contract.
B-1.8 Reduced Operating Status (ROS) Per Diem. The firm-fixed-price ROS per diem rates provided under this contract shall be payable at the applicable, fully burdened per diem rates stipulated in the Section B rate schedule.
The ROS per diem rates shall include an on board turnover period as required in Section C when replacing shipboard key billets. The ROS per diem rates shall include the full wages and fringe benefits for each crewmember
IAW Section C. The ROS per diem rates shall also include the full wages and fringe benefits to fulfill security/watch requirements listed in Section C while the vessel is in a non-FOS status. Gangway security-watch overtime, when required, will be reimbursable when the COR preapproves the expenses; therefore, it should not be included in the firm-fixed-price per diem. The ROS per diem payment shall be considered payment in full for all ROS services, equipment, supplies, operation and maintenance of the ship and Government equipment, and all contractor personnel under this contract, including but not limited to all penalty time, bonuses, payments and emoluments payable to contractor personnel for services under this contract.
B-1.9 Adjustments to ROS Crew Size. The Government reserves the right to make minor crew adjustments during periods of ROS (e.g. reduction of steward crew when ROS ships are nested and multiple ships crews are fed on one ship, the addition of an Electronics Officer, or the addition of crew for enhanced security). During times in which the ROS crew is modified, the per diem rate will be increased or decreased by the total amount of the crew member’s Total Wages/Fringes/Payroll Taxes as depicted in Attachment P, Pricing Form A for ROS (also see
Sections B and F). If the requested crew billet is not listed on Pricing Form C for ROS, the Contractor shall provide a union-approved rate for that billet, adjusted only by the addition of contractor-provided fringe benefits and payroll taxes. The Government will not consider or pay adjustments to the per diem rate for Contractor overhead, general and administrative cost, material handling costs, profit, fees, or any other cost with the exception of reasonable direct expenses for:
Subsistence for the crew member(s) remaining onboard with the prior written approval of the Contracting
Officer;
Transportation costs of crew members leaving or returning to the ship because of a Government directed
ROS crew size adjustment; and
Any extraordinary expense incurred with the Contracting Officer’s prior approval. The Contractor shall exercise prudent judgment to minimize all such direct costs and shall request the Contracting Officer’s prior approval of any action affecting such costs, including crew members remaining onboard, whenever practicable.
B-1.10 Alternate ROS. The Government has the right to designate an alternate ROS based upon an activation timeline of more or less than five days (e.g., ROS-4, ROS-30). During an alternate ROS, the per diem rate will be increased or decreased by the total amount of the crew member’s total wages/fringes/payroll taxes, as depicted in
Attachment P, Pricing form A for ROS (Also see Pricing form Sections B and F). Other direct costs will be negotiated using the costs identified by the Contractor on Form A as the basis for negotiation.
B-1.11 Repair Availability (RAV Per Diem). The RAV per diem rates shall include full wages and fringe benefits for each crewmember IAW Section C. The RAV per diem rates shall also include the full wages and fringe benefits to fulfill security/watch requirements listed in Section C. The crew shall reside onboard the vessel for the duration of the shipyard availability unless the Contracting Officer approves shoreside accommodations due to special circumstances. Per diem payment shall be considered payment in full for all RAV services, equipment, supplies, operation and maintenance of the ship and Government equipment, and all contractor personnel under this contract, including but not limited to all penalty time, bonuses, payments and emoluments payable to contractor personnel for services under this contract.
B-1.12 Transition Costs. When transitioning a ship from ROS to FOS, FOS to ROS, FOS to RAV or RAV, ROS to
Alternate ROS, Alternate ROS to ROS, Alternate ROS to FOS, or RAV to FOS to meet the requirements in Section
C, expenses incurred to make the transition are reimbursable.
B-1.13 Dock Trials. See Section C for dock trial requirements. The Government anticipates Dock trials shall be conducted at a minimum of once per quarter for any vessel in ROS status. Additional expenses incurred above the designated status per diem rate will be reimbursable when the COR preapproves the expenses.
B-1.14 Ship Turnover. See Contract Clause 52.237-3 (Continuity of Services) and Section C. All reimbursable costs under Contract Clause 52.237-3 shall be reimbursed by the Government at the ship’s per diem status in effect during the turnover process.
B-1.15 Contractor’s Expense. All overtime, penalty time, bonuses, and other emoluments, payable for whatever reason, shall be at Contractor’s expense except those expressly authorized by the contract or pre-approved by the
Contracting Officer.
B-1.16 Contract Line Item Number (CLIN) Structure. The CLIN structure may be unilaterally changed by the
Government anytime during the life of the contract to accommodate the funding format.
B-1.17 Operational Commanders, National Command Authority, Fleet Commanders, and MSC Area
Commanders. This contract gives authority to Operational Commanders, the National Command Authority, Fleet
Commanders and Area Commanders to direct the contractor to take action on specific matters. When exercising this authority, they are not authorized to make changes to the scope of the contract. If compliance with their direction will result in expenses that exceed available funding obligated to the contract, then the Contractor shall obtain preapproval IAW section G-7, prior to incurring the expense.
FUNDING INFORMATION ONLY
CLIN Structure. Two CLINS (per diem and reimbursables) will be used for each contract year.
Per Diem CLIN Structure. Below is the general CLIN structure that will be used for the fixed-price elements of the contract. This is subject to change at the unilateral discretion of the Government. The parent CLINs for perdiem will be established as follows:
