SUMMARY OF CHANGES
SECTION A - SOLICITATION/CONTRACT FORM
The following have been added by full text:
AMENDMENT 0001
Changes made to Solicitation N00421-18-R-0017 and responses to questions from industry via Amendment 0001 are outlined below. The proposal due date and time has not changed; all submissions shall be in accordance with Block 9 of the Solicitation cover page.
1. Question 1): “Section C, paragraph 3.1.5.1.1 lists numerous CONUS locations where work may be performed during the contract period of performance, yet only WD 15-4279 (Rev 5) for St. Mary’s County, MD is included with the RFP. If an offeror intends to propose SCA staff at several of the locations listed in paragraph 3.1.5.1.1 should they use the included WD for St. Mary’s County for bid pricing, or select the appropriate WD for that area and notify the government of that selection in the offeror’s cost volume.”
Answer 1): The offeror shall use the WD for St. Mary’s County and consider other locations as potential travel locations. (See Question 4)
2. Question 2): “The DoD 2018 Small Business Subcontracting goals (statutory goals) are 5% WOSB, 5% SDB, and 3% SDVOSB based on total subcontract value (TSV). The Solicitation lists the same percentage goals for each socio-economic category, but states they are based on total contract value (TCV). We request that the overarching small business participation goal remain based on TCV with the socio-economic goals based on TSV.”
Answer 2): Language in Section L, Part B, paragraph 1.3.3.1 has been changed from “total contract value” to “total subcontract value.”
3. Question 3): “The RFP states ‘Graphs and tables shall be presented in no smaller than a Times New Roman 12 pt Normal font and should contain a grid, which allows values to be read directly from the graph. Graphic resolution, including such data as tables or charts, shall be no smaller than 10 pt font and should be consistent with the purpose of the data presented.’ Will the government please clarify whether 10 pt or 12 pt font should be used when presenting tables?”
Answer 3): Section L, Part A, paragraph 2.1 has been corrected to say “Graphs and tables shall be presented in no smaller than a Times New Roman 10 pt Normal font……”
4. Question 4): “The RFP includes Department of Labor Wage Determination 15-4279 Rev 05 Dated 1/10/2018 for ST. INIGOES, MD (ST. MARY’S COUNTY). This is not the most recent wage determination scale for this locale. Wage Determination 15-4279 Rev 06 was issued on 7/18/2018. Please confirm that offerors should use WD 15-4279 Rev 5 for this solicitation.”
Answer 4): Offerors shall use WD 15-4279 Rev 6 dated 7/18/2018. Attachment 6 has been updated to the correct reference.
5. Question 5): “Instructions for Attachment P6 and P7 direct the offeror not to type in any colored areas. Some areas such as Column A (Labor Categories) on each of the Term Year pages in the workbooks need to be edited in order to be clear and provide needed information. Will the government allow the offeror to edit colored cells if necessary to show required information or will the government modify the colored cells within the spreadsheets?”
Answer 5): Attachments P6 and P7 have been modified to remove colors in some cells in Column A.
6. Question 6): “The Instructions for P6 and P7 direct the offeror not to change the government inserted formulas. These formulas may not be consistent with the offeror's disclosed practices. Will the government allow modifications to the formulas in order for the offeror to remain in compliance with their disclosure statement?”
Answer 6): Offerors may modify the formulas, if necessary, in order to remain in compliance with their disclosure statement. (See Section L, Part B, paragraph 3.3.1.)
7. Question 7): “The instructions for P4, Cell C3, direct the offeror to include fully rates ‘but should not include Fully Burdened Other Direct Costs (ODCs) such as Materials, Travel, and Cost of Money costs’. Is it the government's direction not to include any Cost of Money on the fully burdened labor rate?”
Answer 7): The intent is that the offeror not include ODCs with the fully burdened labor rates. COM, as applicable to the labor rate, may be included in the fully burdened labor rate. COM, as applicable to ODCs, should not be included in the fully burdened labor rate.
8. Question 8): We request an extension of at least 10 days to the due date to allow offerors to update their pricing models in response to the directions above, once received from the government.
Answer 8): No extensions will be granted at this time.
9. Question 9): On page 116 of the RFP the total Government estimates for Travel and Material are $13,088,377.79 and $13,088,377.79 respectively. On P6 the ODC worksheet, the total Government estimates for Travel and Material are $2,094,140 and $19,632,567 respectively. Would the Government please clarify what amounts are to be proposed for the Travel and Material?
Answer 9): Attachment P6 has been updated to reflect the correct ODC amounts.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
SECTION L
L – 1 CONTENT OF PROPOSALS (SERVICES)
PART A GENERAL INSTRUCTIONS
1.0 GENERAL
1.1 The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.
1.2 In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.
1.3 The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or sub factor clearly may be considered a deficiency. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
1.4 The Government advises the Offeror that taking exception or deviating from any term or condition of the RFP may result in the assessment of a deficiency to the proposal.
1.5 Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 20% of the proposed total price/cost (excluding the Offeror’s profit/fee), for the contract or provides one or more Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.
1.6 Questions: Offerors may submit questions requesting clarification of solicitation requirements by emailing Kara Marie Ridgell, Contract Specialist at kara.ridgell1@navy.mil and Amy G. Davis, Contracting Officer, at amy.g.davis@navy.mil. It is required that all questions be received within 10 calendar days of the date this solicitation is issued. Questions received after 10 calendar days may not be answered prior to the proposal due date.
2.0 PROPOSAL FORMAT
2.1 Written proposals must be formatted using a Times New Roman 12 pt. Normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. Offeror's proposal shall not utilize compressed or condensed spacing between lines or characters in order to circumvent the provided page limits; any proposal that utilizes compressed or condensed spacing will be deemed non-compliant, will not be evaluated, and will be ineligible for award. All pages should be numbered with section and page numbers. When foldout pages are used they must not exceed 11 x 17 inches and will be counted as 1 page. Drawings may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. Graphs and tables shall be presented in no smaller than a Times New Roman 10 pt. Normal font and should contain a grid, which allows values to be read directly from the graph. Graphic resolution, including such data as tables or charts, shall be no smaller than 10 pt. font and should be consistent with the purpose of the data presented.
2.2 The Offeror shall provide one complete copy of the proposal to the Procuring Contracting Officer (PCO) as electronic files fully compatible with Microsoft 2010 and for information not supported by MS Office products, with the latest Adobe Acrobat reader on a CD-ROM. The Offeror will ensure that the Price/Cost Volume is provided on a separate CD-ROM. Each CD-ROM is to be labeled with Offeror’s name and include “For Official Use Only” and “Source Selection Information – See FAR 2.101 and 3.104.” If a discrepancy exists between the original paper copy of the proposal and the disk copy, the paper copy will take precedence.
3.0 PROPOSAL CONTENT AND VOLUMES
3.1 The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its Volume and paragraph number matches the Proposal Instructions Volume and paragraph number provided in section “Part B Specific Instructions” to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide any reason(s) it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, section, and element, etc., in the Offeror’s proposal.
3.2 Each volume of the proposal shall be submitted as one original paper copy and additional copies as specified in the table below. The table below supersedes the copies requested in Block 9 of the Standard Form (SF) 33. All volumes of the original proposal shall be delivered to the address provided in Section 4.0 prior to the closing date/time stated in this solicitation. Page limitations for each volume, if any, are also specified in the table below; title pages and table of contents pages do not count towards the page limit. (a) Offerors may choose one of two options when submitting the Attachment P1 – Past Performance Information Form:
(i) Offerors may fill in the information in the Contract Effort Description box of the Attachment, if the response is concise enough to fit within the limitations of the form and the information is viable when the form is printed; OR,
(ii) Offerors may designate within the Contract Effort Description Box “See Continuation Page”, and then submit a second PDF or MS Word document in order to provide the required information for the Contract Description Box of the Attachment P1 – Past Performance Information Form.
2.1.4 The primary source of past performance information will be PPIRS. If a Contractor Performance Assessment Report (CPAR) exists for multiple years for the same contract/order, all periods of performance for that contract/order will be used for evaluation. In the event a CPAR does not exist for a past performance reference, the Offeror shall submit a Contractor Performance Assessment Questionnaire (CPAQ), Attachment P2, to the Program Manager who is the Assessing Official. The Offeror shall provide the instructions to the Program Manager within two weeks of solicitation release. This will allow the customer approximately two weeks to complete and provide their response via e-mail to Kara Marie Ridgell Contract Specialist, at kara.ridgell1@navy.mil AND Amy G. Davis, Contract Officer at amy.g.davis@navy.mil. All CPAQs should be received by the Government concurrently with the Offeror’s proposal submission.
3.0 VOLUME 3: PRICE/COST PROPOSAL
If proposed, subcontractors and/or consultants shall provide the same information required for the prime contractor, unless otherwise noted below.
3.1 Volume Content:
3.1.1 This Volume shall contain the Contract Compliance information specified below as follows:
a. Offeror Summary Table: The Offeror shall complete the table below. The Offeror shall include all subcontractors and team members who will be involved with the performance or management of the contract and list all sites where the work will be performed. If a teaming or subcontracting arrangement is proposed, identify the work share, distribution elements, and ratios that each contractor will perform using the table below. Also provide a definition of the legal relationship between the entities if it is other than a Prime/subcontractor relationship. (Only required from Prime contractor.)
Contractor Name (Indicate Prime, Team Member, or Sub)
| CAGE Code |
| Place of Performance |
| DUNS # |
| % of Total Proposed Price |
| b. | Signed SF33 for basic solicitation and acknowledgment of each amendment, including completion of any RFP clause or provision that requires a fill-in or response. (Only required from Prime contractor). | |
| c. | Signed Representations, Certifications, and Acknowledgements and/or System for Award Management (SAM). | |
| d. | Guarantee the length of proposal validity (for at least 210 days after proposal submission). |
3.1.2 This Volume shall also contain a copy of Section B with the Contract Line Item Number (CLIN) and Sub-CLIN Unit Prices and, for evaluation purposes, the Total Prices filled in using the estimated quantities value in the solicitation and the instructions below. Section B prices shall be provided separately in one digital data copy in MS Office 2010 Excel format on CD-ROM media. (Only required from Prime contractor.) Within all Excel spreadsheets, the Offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected.
3.1.3 All price/cost and price/cost supporting information shall be contained in Section B and the price/cost proposal. No price or pricing information shall be included in any other proposal volume including cover letters. Offerors are responsible for submitting sufficient information to enable the Government to fully evaluate their price/cost proposal.
3.2 Ground Rules and Assumptions:
3.2.1 As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.
3.2.2 The Offeror shall provide sufficient information to support its price/cost as well as an explanation of all ground rules and assumptions that affect the price/cost estimates.
3.3 Price/Cost Information:
3.3.1 Offerors shall submit their fully completed price/cost proposal utilizing the Cost Summary Format (Attachments P6 and P7 for the Prime and Subcontractor respectively). The spreadsheet shall be formatted on letter size (8.5 X 11) paper and shall be unprotected and unlocked, with formulae intact to show mathematical operations. The Offeror shall use the CLIN Summary tab to breakout total proposed costs by CLIN.
3.3.2 RESERVED
3.3.3 To facilitate the establishment of streamlined task orders, the offeror shall complete Attachment P4, Streamlined Rates for Order Pricing.
3.3.3.1 Composite Fully Burdened Rates: Attachment P4 spreadsheet will consist of composite fully burdened rates for each of the key and non-key labor categories, inclusive of fee. Fully burdened rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fees, and subcontractor pass-through costs where applicable. These rates will be incorporated into Section B of the contract. The Government will utilize the rates when developing estimated labor ceilings for task orders by using the estimated hours per labor category multiplied by the composite rates found in Section B. (Only required from Prime contractor.)
3.3.3.2 Fixed Fee (Non-Performance Based/Level of Effort): Fixed Fee will be calculated based on fee per hour. The fee per hour is the total fee proposed for all ordering periods divided by the total number of hours for all ordering periods. The offeror shall identify the Fixed Fee in Attachment P4, Streamlined Rates for Order Pricing. The spreadsheet shall be formatted on letter size (8.5 X 11) paper and shall be unprotected and unlocked, with formulae intact to show mathematical operations. The rates will be incorporated into Section B of the contract. (Only required for Prime Contractor)
3.3.3.3 Labor Tripwire: Offerors shall complete Attachment P5 detailing the fully burdened labor rates per ordering period, hours to be performed per ordering period and total annual salary per ordering period for all prime contractors and their subcontractor personnel. This shall be provided for both on-site and offsite locations. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fees and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rate shall be inclusive of any pass-through charges (e.g. subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. The total annual salary is the total of the hours performed applied to the fully burdened labor rate. Proposed fully burdened labor costs may be subject to the NAVAIR labor tripwire in Section M. Offerors that propose a fully burdened per employee labor cost exceeding the labor tripwire shall provide rationale in their cost proposal narrative section that justifies the reasonableness of the tripwire costs for the applicable employee. If a proposed employee’s fully burdened labor rate exceeds the labor tripwire but the contractor chooses to apply a lower rate, then the contractor shall propose an H-clause to identify the unallowability of the employee’s fully burdened rate to exceed the labor tripwire to the contract.
3.3.4 The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed price/cost that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.
3.3.5 Direct/Indirect Rates: The Offeror shall submit Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements (CBAs), and Area Wage Determinations (AWDs) as applicable for all proposed personnel. The Offeror shall identify whether the labor rates proposed are FPRAs, CBAs, AWDs, ACO/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs). The Offeror shall propose in compliance with the current hourly rate set forth in the Department of Labor Wage Determination as applicable. The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows: A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. The Offeror and proposed subcontractors shall provide: the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation; payroll verification for currently employed proposed personnel; and any other information necessary to substantiate the rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct. For key personnel contingent hires, the offeror shall provide contingent offer letters outlining salary information for contingent hire employees. For any prospective hires for non-key labor categories, provide information to substantiate the rates proposed. All contingent hires shall have a letter of intent submitted under the Cost Volume. Any proposed consultants shall have a consultant agreement substantiating the rates proposed. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed. Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document.
3.3.5.1 If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification, a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates. Offerors and subcontractors shall provide the last three (3) years of actual indirect and escalation rates. The Government may compare a prospective Offeror’s labor category rate to the average labor rate from industry.
3.3.5.2 As this requirement contains cost type CLINs, the Offeror shall also provide documentation verifying that it has a DCAA approved Cost Accounting System or state that its Cost Accounting System has not been approved by DCAA, pursuant to the requirement at FAR 16.301-3(a)(3). It is the prime Contractor’s responsibility to ensure that each subcontractor with a proposed cost-reimbursement subcontract type has an adequate accounting system. If a subcontractor does not have an adequate accounting system, they should be priced on a Firm-Fixed-Price (FFP) or Time-and-Materials (T&M) basis. The prime Contractor shall provide a list of all subcontractors/consultants by name and shall specify the type of subcontract (i.e., CPFF, FFP, T&M, etc.). For those subcontractors who will be priced on a cost-type basis, documentation verifying possession of a DCAA approved Cost Accounting System shall be provided.
In addition, the Prime Offeror shall provide the following:
Contractor’s Estimating System: Date determined acceptable by ACO (DFARS 215.407-5);
Contractor’s Accounting System: Date determined adequate by CAO/DCAA (FAR 16.301-3);
Disclosure Statement: Date determined current, accurate and complete by ACO (FAR 42.302(a)(11);
Contractor Purchasing System: Date determined to be approved by the ACO (FAR 42.302(50), FAR 44.304);
Property System: Date reviewed for acceptability by ACO (FAR 45.105).
3.3.6 For all Cost type CLINS (e.g., CPFF, Cost – No Fee), under the solicitation, the Offeror shall fully disclose the buildup of price/cost of each CLIN.
3.3.7 When completing the Cost Summary Spreadsheets (Attachments P6 and P7), the Offeror shall not utilize any fully burdened hourly rates when pricing the labor of its employees.
3.3.8 Offeror’s labor classification should cross reference to Department of Labor (DOL) wage determination classifications as much as possible.
3.3.9 This solicitation contains some labor categories that are subject to the Service Contract Act of 1965, as amended, and to FAR clause 52.222-41, contained in Section I of this solicitation. Offerors shall propose employee’s wages for the labor categories marked SCA in accordance with the Wage Determination shown under Attachment 6. As part of the Price/Cost proposal, the Offeror shall furnish the names of the proposed labor categories and the corresponding labor categories from the attached Wage Determination as well as documentation of compliance with the minimum monetary wages and fringe benefits for service employees as specified in the Wage Determination (provided as an attachment in Section J of this solicitation). Offerors are required to submit a total compensation plan setting forth salaries and fringe benefits proposed for employees (including temporary and part time employees) who will work under the contract and are subject to the Act, and explain how the compensation plan complies with the Service Contract Act.
3.3.10 RESERVED
3.3.11 Offeror shall provide a narrative that addresses any assumptions made during the preparation of the Price/Cost proposal and discuss the basis for the cost elements listed below:
· Direct labor rates by category. The Offeror is required to submit labor rates for all proposed current, contingent, and prospective hire individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary provide a narrative to describe derivation of labor rates, use of uncompensated overtime, pools to which indirect rates are applied, historical /provisional billing rates for indirect rates for the last 3 years and description, and amount of proposed other direct costs. If the Offeror requires the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor CLIN not the ODCs CLIN.
· Escalation on labor. Offerors, including subcontractors, shall address escalation for all labor categories, and shall provide rationale for the specific escalation rate used. Offerors that do not include escalation, or an explanation as to why it is not included, may be considered unrealistically low and may have their proposals adjusted by the Government to include escalation.
· Historical indirect costs (e.g., Overhead, Fringe Benefits, General & Administrative (G&A), etc.) for the past three years.
· Information needed to explain the offeror’s estimating practices.
· Profit/Fee: Identify profit/fee rate and total amounts proposed and identify the various cost elements to which the profit/fee is being applied. Profit, Base, Award, and Incentive fee rates, as applicable in Section B, must be clearly distinguishable. Profit/Fee shall not be applied to ODCs.
· Other Direct Costs (ODCs) by specific cost element (e.g., Travel & Material). Reimbursement for Travel will be in accordance with the Joint Travel Regulations. If the Offeror proposes burdens on the Government provided ODC estimates, the Offeror shall provide a percentage breakdown of the Offeror’s indirect costs and burdens added to the Government estimates for any and all Cost Reimbursable CLINs in Section B.
· When the Offeror elects to claim Cost of Money (COM) as an allowable cost, the Offeror must submit a COM form and show the calculations of the proposed amount.
3.4 Total Professional Compensation Plan:
3.4.1 The Offeror shall provide a Total Compensation Plan in accordance with FAR 52.222-46 and FAR 22.1103 for each proposed professional employee. For evaluation purposes, see Section C, paragraph 3.4.7 for the labor categories deemed to be professional. The Plan shall include, but not limited to, the following items:
a. The proposed direct labor rate for each professional employee proposed;
b. The total cost of the proposed fringe benefits package for each professional employee proposed, including:
i. list and brief summary of the benefits that make up the fringe package (e.g. vacation time, sick leave, stock, incentive plans, family leave, life insurance, severance pay, bonus plans, health insurance, holidays, location allowance, retirement benefits); and
ii. an itemization of the benefits that require employee contributions, and the amount of that contribution as a percentage of the cost of the particular benefit; and
c. Data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used by the Offeror in establishing the total compensation structure.
