L – [ 1 ] CONTENT OF PROPOSALS (SERVICES) (19 March 2018)

PART A GENERAL INSTRUCTIONS

1.0 GENERAL

The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation.

The Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.

In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation.

Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.

The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or sub factor clearly may be considered a deficiency. Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

The Government advises the Offeror that taking exception or deviating from any term or condition of the

RFP may result in the assessment of a deficiency to the proposal.

Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 20% of the proposed total cost (excluding the Offeror’s profit/fee), for the contract or provides one or more Key Personnel. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.

Questions: Offerors may submit questions requesting clarification of solicitation requirements by emailing

NAWC-AD Contracts at sherry.stewart@navy.mil and candice.byrd@navy.mil. It is required that all questions be received within 7 calendar days of the date this solicitation is issued.

2.0 PROPOSAL FORMAT

Written proposals must be formatted using the following:

Times New Roman 12 point Normal font (no reduction permitted)

Single-spaced

1-inch margins all around

Formatted for standard 8.5 x 11 inch paper

All pages numbered with section and page numbers

All pages have header with Company Name and Solicitation Number

Foldout pages are not to be used

Graphs and tables shall be presented in no smaller than a 10 point font and should contain a grid, which allows values to be read directly from the graph.

Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented.

The Offeror shall provide one complete copy of the proposal to the Procuring Contracting Officer (PCO) as electronic files fully compatible with Microsoft Office 2013 and for information not supported by MS

Office products, with the latest Adobe Acrobat reader on a CD-ROM. The Offeror will ensure that the

Cost Volume is provided on a separate CD-ROM. Each CD-ROM is to be labeled for content and the

Offeror’s name and “For Official Use Only. Source Selection Sensitive Information – See FAR 2.101 and

3.104.” If a discrepancy exists between the original paper copy of the proposal and the disk copy, the paper copy will take precedence.

3.0 PROPOSAL CONTENT AND VOLUMES

The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its Volume/paragraph number matches the Proposal Instructions Volume/paragraph number provided in section “Part B Specific Instructions” to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must answer all parts of the section and provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, section, and element, etc., in the Offeror’s proposal.

Each volume of the proposal shall be submitted as one original and additional copies as specified in the table below. The table below supersedes the copies requested in Block 9 of the Standard Form (SF) 33.

All volumes of the original proposal shall be delivered to the address provided in Section 4.0 prior to the closing date/time stated in this solicitation. Suggested page limitations for each volume, if any, are also specified in the table below; title and table of contents pages do not count towards the page limit. Utilizing the maximum number of suggested pages is not required and Offerors are encouraged to follow the instructions from earlier in this section related to 1) clarity and brevity being emphasized in the proposal and 2) unnecessary proposal data beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

Annex submissions are limited to the information required in Section L, Part B, Specific Instructions.

Information that may be required as an annex to the proposal includes statements of work for submitted contracts under the Past Performance volume, manuals, specifications, plans, procedures, and policies that exist as an official document of the company or facility, as well as other information requested in Part B

Specific Instructions. Page limitations for Annexes, if any, are specified below. The authorized Annexes, if any, are summarized in the table below.

2.0 VOLUME 2 PAST PERFORMANCE

Note: This volume shall not contain any reference to the cost or price aspects of the proposal.

The following is a list of Section J Attachments that the Offeror shall utilize to provide past performance information for this volume:

Attachment P1 - Past Performance Information Form

Attachment P2 – Contractor Performance Assessment Questionnaire

Attachment P3 – CPARS Update Questionnaire

Attachment P4 – Past Performance Contract Data

For this volume, the Offeror shall identify relevant contracts, or those portions of a relevant contract, whose performance is within five years of the RFP release date and contains efforts similar to those efforts as described in the appropriate Attachment P4. Subcontractor Past Performance will not be evaluated. As a result, Offeror’s shall not submit present/past performance contract references for any proposed subcontractors. Offerors shall also identify relevant contracts within the past five years that had any show-cause notices, cure notices, or termination for default.

Contract Performance Assessment Reporting System (CPARS) and Contractor Performance Assessment

Questionnaires (Attachment P2) will be the primary customer feedback data used to evaluate the Offeror’s past performance. The Past Performance Information Reporting System (PPIRS) will be the primary method used to retrieve the CPARS for this source selection. If a CPAR for a submitted contract that is still ongoing is not current, and up-to-date in PPIRS, the Offeror shall send a CPARS Update Questionnaire

(Attachment P3) to the Assessing Official.

For all contracts identified that do not have a CPAR, the Offeror shall forward a copy of the Contract

Performance Assessment Questionnaire (Attachment P2) to that contract’s COR, PM or PCO; or commercial contractor equivalents. Please forward all applicable questionnaires within two weeks from this solicitation’s release date to allow adequate time for the recipient to respond. Note that the Offeror should not reference this solicitation’s number when distributing the past performance questionnaires to customers. The Offeror shall include instructions for the customers to send completed questionnaires within two weeks of its receipt via e-mail to Sherry Stewart, Contracts Specialist, at sherry.stewart@navy.mil. The Offeror shall ensure that all points of contact are current and include an email address and phone number. The Offeror shall not conduct follow-up actions with regard to these questionnaires, other than to confirm receipt by the recipient. The Government may contact customers identified by the Offeror to obtain follow-up Past Performance Information as needed.

Offerors are reminded that the Government reserves the right to use information to evaluate past performance obtained from sources other than those identified by the Offeror. The Government may send additional questionnaires and/or obtain information from other sources.

2.1 Past Performance Information Point of Contact

Any Past Performance information that requires further coordination will be with Sherry Stewart, Contracts

Specialist, at sherry.stewart@navy.mil.

2.2 Relevant Contract Data

In order to support an efficient evaluation, it is requested that Offerors provide at least three, but no more than five contract references as part of the Past Performance Volume. For each contract identified for past performance in Attachment P1 (Past Performance Information Form) the Offeror shall complete an

Attachment P4 (Past Performance Contract Data) provided within the attachment and submit it within this section and as a separate electronic file (Microsoft Excel). Please note that this form is a summary of the prime’s or JV team members’ relevant contract data. All detailed information and comparative analysis of the past performance references to the AVMI requirement shall be provided in Volume 2, Section 2.3

(Evaluation), of the Offeror’s proposal. The contract references submitted in each P1 attachment (Past

Performance Information Form) shall be used in completing this Volume and all contract references shall be numbered the same throughout the Offeror’s past performance proposal (i.e. the first contract reference shall be designated “PP1”, the second contract reference shall be designated “PP2”, etc.). File names or contract references shall be formatted in the following manner: N00421-XX-X-XXXX PP1, N00421-XX-

X-XXXX PP2, etc. where “N00421” is replaced with the actual UIC as necessary.

2.3 Evaluation

The burden of providing thorough and complete past performance and systemic improvement information remains with the Offeror.

For each contract identified in each P4, the Offeror shall provide contract data regarding relevancy, past performance information, and demonstrated systemic improvement as described below, organized by contract. Offerors shall submit a separate Attachment P4 (multiple tabs within the same Excel file is acceptable) for each individual present/past performance contract reference and label them appropriately

(i.e. P4_PP1, P4_PP2, etc., or if using tabs, PP1, PP2, PP3 etc.). Individual DO/TOs are considered separate contract references and will be evaluated for Relevancy (Scope, Magnitude, and Complexity) at the order level, not at the overall contract level. As this information is presented in the proposal, demonstrate the relevancy of the Prime’s and JV team members’ past performance with respect to the

AVMI requirements. For any contracts referenced where the Prime and/or JV team members are aware of problems, the Offeror shall describe the issues in section 2.3.b (Past Performance Information). For each past performance problem identified, describe the status of the systemic improvement efforts in section

2.3.c (Demonstrated Systemic Improvement) and explain how the improvement effort reduces the risk of the problem reoccurring.

a. Relevancy: Offerors are required to explain what aspects of the contracts are deemed relevant to the

AVMI requirements. To demonstrate relevancy, Offerors shall provide a comparative analysis to the

AVMI requirements with regard to the criteria identified in their P4 submissions. In Annex #3, Offerors shall provide one electronic copy of the Statement of Work/Performance Work Statements

(SOW/PWS) from each of the referenced contracts identified within Attachment P1 (Past Performance mailto:sherry.stewart@navy.mil

Information Form). The SOW/PWS files only need to be submitted electronically, a hard copy is not required.

To ensure the past performance evaluators know where to find the relevant scope and complexity elements in the submitted SOW/PWS, Offerors shall identify the applicable portions (sections, paragraphs and page numbers) of the referenced contract’s SOW/PWS to clearly identify how past tasks performed are similar to the AVMI requirements and are aligned with their P4. Do NOT provide self-assessed relevancy ratings. Only provide the comparative analysis as stated.

The completed P4 attachment should also be included as part of Annex #3, but offerors shall provide an electronic file (Excel) as well as two hard copies (one original and one copy per the table in Part A, Section 3.0). For the electronic submission of the referenced SOW/PWS files the referenced sections only need to be referenced/identified, and do not need to be broken out separately from the complete

SOW/PWS. Submitting the entire electronic file for the referenced contract is acceptable as long as the offeror clearly states where to find the relevant scope, complexity and magnitude elements.

(1) The Offeror is advised that the Government will assess each present/past performance contract reference and assign a relevancy rating as outlined in Section M, Part B, Paragraph

2.0 Past Performance.

(2) Offerors are advised that contracts assessed as not relevant by the Government will not be considered in the Past Performance assessment. As related to the relevancy determination, the government will only issue Evaluation Notices (ENs) for contract references that are determined to be Not Relevant.

b. Past Performance Information: Provide a brief description of performance in delivering quality services in each of the Attributes identified below. Include in these descriptions any information that demonstrates the level of performance obtained; where available, provide quantifiable measures/trends to demonstrate past and current performance. Also describe past problems, including when they occurred, what the circumstances were surrounding the situation, and what the consequences were as a result of the problem.

(1) Technical Performance: meeting technical requirements (meeting technical requirements (i.e., the quality of your technical performance, e.g., performing analysis, design, testing, etc.);

(2) Schedule Performance: meeting schedule requirements (i.e., schedule performance, e.g., on time or late delivery, modification of original schedules and reasons for any changes, etc.);

(3) Cost Performance: controlling contract cost (i.e., cost performance e.g., within the budget, actual vs. contract cost, and cost metrics);

(4) Management Performance: managing the contracted effort (i.e., program management, e.g., cooperation with customer, subcontract management); and

c. Demonstrated Systemic Improvement: Identify systemic improvement actions taken to resolve any past problems identified in 2.3.b Past Performance Information. Provide the records of such results and indicate where they are documented, preferably in Government record systems. Describe the techniques, elements, and tools used to correct problems on the contract and, if applicable, how these techniques, elements, and tools may be used to prevent such problems from occurring on this contract.

Provide quantifiable evidence or metrics that substantiate or demonstrate claims of improvement and to demonstrate that the past problem will not occur on this contract. It is incumbent upon the Offeror to explain the relevance of the data provided and substantiate that improvements from past performance problems are being made. The Government does not assume the duty to search for data to cure the problems it finds in the information provided by the Offeror. Consideration for discounting problems may be given when those problems are addressed through demonstrated systemic improvement. Demonstrated Systemic Improvement may be indicated by information as it relates to preventing recurrence of past problems, including: identification of the root cause of a problem, a corrective action plan that systemically addresses the past problem, how and when the plan was implemented, documented timeframe to demonstrate when corrective action was implemented and became successful; and performance data, preferably through Government records, to show performance improvements.

iv. Guarantee the length of proposal validity (for at least 180 days after proposal submission).

(b) This Volume shall also contain a copy of Section B with the Contract Line Item (CLIN) and Sub-

CLIN Unit Prices and, for evaluation purposes, the Total Prices filled in using the estimated quantities value in the solicitation and the instructions below. Section B prices shall be provided separately in one digital data copy in MS Office 2013 Excel format on CD-ROM media. Within all Excel spreadsheets, the

Offeror shall use formulas and functions to the maximum extent possible and avoid using output type

“value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected.

(c) All cost and cost supporting information shall be contained in Section B and the cost proposal. No price or pricing information shall be included in any other proposal volume including cover letters. Offeror are responsible for submitting sufficient information to enable the Government to fully evaluate their cost proposal.

(d) Government Agency Information: Offerors shall provide the mailing address, telephone number, email addresses and facility codes for the Offeror’s local Defense Contract Management Agency

(DCMA), Defense Contract Audit Agency (DCAA), and Government Paying Office. If the Offeror’s

Administrative Contracting Officer (ACO) at the DCMA is known, Offerors shall provide the name and contact information for that individual

3.2 GROUND RULES AND ASSUMPTIONS:

(a) As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR

15.406-2.

(b) The Offeror shall provide sufficient information to support its cost as well as an explanation of all ground rules and assumptions that affect the cost estimates.

(c) If subcontractors are proposed, they shall provide the same information required for the prime contractor, unless otherwise noted below.

3.3 COST INFORMATION:

Offerors shall submit their fully completed cost proposal utilizing the Cost Summary Format (Attachment

P5). The spreadsheet shall be formatted on letter size (8.5 X 11) paper and shall be unprotected and unlocked, with formulae intact to show mathematical operations. The Offeror shall use the CLIN Summary tab to breakout total proposed costs by CLIN.

Complete Attachment P5, (Burdened CPFF Labor Rates tab), detailing the fully burdened labor rates for all prime contractors and their subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Proposed fully burdened labor costs may be subject to the NAVAIR labor tripwire identified in

Section M. Offerors that propose a fully burdened per employee labor cost exceeding the labor tripwire shall provide rationale in their cost proposal narrative section that justifies the reasonableness of the tripwire cost for the applicable employees.

(a) Reasonableness and Consistency between the Technical and Cost Volumes. Demonstrate that the unit prices and the total proposed cost are reasonable, realistic, and commensurate with the work required by the solicitation and the management approaches identified in the Technical Volume of the proposal.

Show traceability with the CLINs, SubCLINs, SOW, proposed effort, proposed manning levels, and costs.

Refer to specific sections in the Technical Volume as needed to illustrate the consistency between the Cost

Volume and the Technical Volume. The Offeror shall explain any inconsistency between promised performance and cost, as well as any appearance of unbalanced pricing, in the proposal.

(b) The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed cost that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.

(c) Direct/Indirect Rates: The Offeror shall submit Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements (CBAs), and Area Wage Determinations (AWDs) as applicable for all proposed personnel. The Offeror shall identify whether the labor rates proposed are FPRAs, CBAs, AWDs, ACO/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs). The Offeror shall propose in compliance with the current hourly rate set forth in the Department of Labor Wage

Determination as applicable. The Offeror shall provide Defense Contract Audit Agency (DCAA)

Information/Payroll Verification information as follows: A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. The Offeror and proposed subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate

Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation, payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct. For key personnel contingent hires, the offeror shall provide contingent offer letters outlining salary information for the contingent hire employee. All contingent hires shall have a letter of intent submitted under the Cost Volume. The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at contract award. For any prospective hires for non-key personnel, provide information to substantiate the rates proposed. Any proposed consultants shall have a consultant agreement substantiating the rates proposed. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed. Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document.

The following definition applies:

- A “contingent hire” is an individual who has committed, under a signed letter of intent, inclusive of salary information, to being employed by the Offeror if the Offeror is awarded the contract.

If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification, a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates. The Offeror shall also provide documentation verifying that it has a

DCMA approved Accounting System in accordance with DFARS clause 252.242-7006, or state that its

Accounting System has not been approved by DCMA. Offerors shall provide the last three (3) years of actual indirect information. The Government may compare a prospective Offeror’s labor category rate to the average labor rate from industry.

(d) Except for FFP type of CLINs (e.g., CPFF, CPIF, or CPAF) under the solicitation, the Offeror shall fully disclose the buildup of cost of each CLIN.

(e)When completing the Cost Summary Spreadsheet (Attachment (P5)), the Offeror shall not utilize any fully burdened hourly rates when pricing the labor of its employees.

(f) Offeror's labor classifications should cross-reference to Department of Labor (DOL) wage determination classifications as much as possible. All labor categories and SCA codes (if applicable) are found in Attachment 2 to the solicitation.

(g) This solicitation is, and the resulting contract will be, subject to the Service Contract Act of 1965, as amended, and to FAR clause 52.222-41, contained in Section I of this solicitation. Offerors shall propose employee’s wages in accordance with the attached Wage Determination. As part of the cost proposal, the Offeror shall furnish the names of the proposed labor categories and the corresponding labor categories from the attached Wage Determination as well as documentation of compliance with the minimum monetary wages and fringe benefits for service employees as specified in the Wage

Determination (provided as an attachment in Section J of this solicitation). Offerors are required to submit a total compensation plan setting forth salaries and fringe benefits proposed for employees (including temporary and part time employees) who will work under the contract and are subject to the Act, and explain how the compensation plan complies with the Service Contract Act. Offerors are reminded that in accordance with FAR clause 52.222-43, proposals shall not include any allowance for any contingency to cover increased costs for which adjustment is provided under this clause.

If the Offeror’s proposed employees are under a collective bargaining agreement, the Offeror shall provide a copy of the agreement.

Limitation on Subcontracting (per 13 CFR §125.6(e)(2), compliance with the limitation on subcontracting shall be an element of responsibility).

This requirement is being set-aside for the small business. Provide a breakout to demonstrate how the prime contractor will perform at least 50% of the cost of the contract incurred for personnel with its own employees for each period of performance in accordance with FAR clause 52.219-14. Cost of contract incurred for personnel includes direct labor cost, overhead that has only direct labor as its base, and the small business’s General and Administrative (G&A) rate multiplied by the labor cost.

(h) The Offeror shall provide a narrative that addresses any assumptions made during the preparation of the cost proposal and discuss the basis for the cost elements listed below:

Direct labor rates by category. The Offeror is required to submit labor rates for all proposed current, contingent, and prospective hire individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary provide a narrative to describe derivation of labor rates, use of uncompensated overtime, etc. If the Offeror requires the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor CLIN not the ODCs CLIN.

o As this is an SCA covered procurement and the Non-displacement of Qualified Workers

Clause (FAR 52.222-17) applies, the Offeror receiving award of the contract must offer the SCA labor category positions to the incumbent workforce. To assist in the preparation of the cost proposal, the Government provides the average historical labor rates for the personnel performing under SCA labor categories on the current contract in the tables below. The current Area Wage Determination rates for the SCA labor categories are listed in the table below in accordance with Attachments 8, 9, and 10. In addition, the average direct rate for each SCA labor category required under the current

AVMI contract has been calculated. The average calculated direct rate for each SCA category in the table below falls within the range of rates provided by the Government within the table.
