SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

INSTRUCTION, CONDITION &NOTICE

1. GENERAL

The Government intends to award a contract that results from this solicitation to the responsible Offeror whose proposal is the most advantageous to the Government under the selection criteria set forth in Section M of the solicitation. The Government may reject any or all proposals if such action is in the Government’s interest. Exchanges with Offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

The Offeror shall submit all information required by this RFP. Proposals that do not comply may be considered nonresponsive and may render the Offeror ineligible for award. The Offeror’s proposal shall be based on the requirements contained in this RFP (including those documents, exhibits, and other attachments to the RFP identified in Section J).

The Government intends to evaluate proposals and award a contract upon initial proposals. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms in relation to the evaluation criteria. However, in accordance with the clause FAR 52.215-1, Instructions to Offerors - Competitive Acquisition, the Government may contact all or a limited number of Offerors with questions concerning their responses.

Offerors are hereby notified that from time to time, the Government may post additional information to the FEDBIZOPPS website (www.fbo.org) relating to this solicitation (e.g. responses to questions, amendments, etc.). It is the Offeror’s responsibility to check the FEDBIZOPPS website for any such information.

It is the Offeror's responsibility to bring to the attention of the Contracting Officer at the earliest possible time, but prior to the closing date, any ambiguities, discrepancies, inconsistencies, or conflicts between the SOW and other solicitation documents attached hereto or incorporated by reference. All questions shall be submitted via email to jonathan.mauro@navy.mil. Only questions transmitted electronically will receive a response. Offerors are requested to submit written questions within ten days after release of the RFP in order to allow the Navy adequate time to prepare and issue responses to all Offerors prior to the date and time set for receipt of proposals. While questions may be submitted up to the time of solicitation closing, the Contracting Officer cannot guarantee those late-submitted questions will be thoroughly answered in advance of closing. It is the Government's intention that questions and responses will be provided via an amendment to the solicitation. Information provided with each question shall include the document name, document date, specific page, paragraph, clause, or other definitive citation requiring clarification.

2. PROPOSAL PREPARATION REQUIREMENTS

Offerors shall prepare their proposals in accordance with the following organization, content, and format requirements to assist the Government in making a complete and thorough evaluation of all proposals. Proposals shall be submitted as four separate documents, as follows:

All additional supporting cost data shall also be provided, as detailed in Section 3b, as follows:

SECTION 3b SUPPORTING COST DATA

Supporting cost data shall be submitted as required herein. Omitted data may result in Government assumptions regarding the omitted data. A conservative approach using the maximum the Government may experience under the assumption may be used; therefore, the Offeror is encouraged to submit as complete a disclosure of their pricing methodologies as they deem appropriate.

The Offeror shall round dollar amounts to two places to the right of the decimal point for rate tables only. Other tables should be rounded to the nearest dollar. The Offeror shall round ratios, factors, and decimal numbers to four places to the right of the decimal point.

The supporting cost data shall be organized as described below. Each section shall be titled and tabbed for easy identification. The Offeror shall provide cost and price data, and supporting explanations and rationale, in an orderly, organized, and easy-to-follow format. The summary estimates shall track to detailed bases of estimates.

The Offeror shall provide a narrative or description, in sufficient detail, to demonstrate price reasonableness, credibility, and reliability for each cost element. The Offeror shall provide its assumptions and methodologies used to estimate each cost element. The following information shall be included in this section and arranged and referenced by CLIN.

A. Direct Costs - This section shall include the following:

a. The Offeror’s estimate of direct labor hours for each priced Sample Task, by labor category and CLIN, necessary to perform the effort required by the resultant contract.

b. To substantiate proposed labor rates, the Offeror and their subcontractors shall provide a screen-capture (or equivalent) from the employee’s payroll system for each name in the Offeror’s personnel. If there is no payroll data available for one or more of the individuals proposed, the Offerors shall provide payroll data for a comparable position and a brief analysis of how the proposed position is comparable to the position corresponding to the payroll data supplied. Any additional supporting documentation may be provided at the Offeror’s discretion. The proposed rates provided in this attachment must be the exact rates utilized in the pricing Section B, proposed in the cost analysis narrative, and provided in the Cost Summary Format (Attachment (4)). If any individual’s proposed rate is different than the actual incurred rate provided on the screen-capture, the Offeror shall explain the reason for the difference in the narrative. The Offeror shall also provide (as an additional tab in the Cost Summary Format spreadsheet) fully burdened rates for all proposed Offeror and subcontractor personnel. The spreadsheet shall identify the formula showing how the Offeror arrived at the fully burdened rate.

c. The Offeror shall identify their uniform escalation factor/rate, and how, when, and where it is applied.

d. The Offeror shall provide costs for any shipping with suitable rationale. The Offeror shall not apply fee or profit to shipping costs.

B. Indirect Costs - This section shall include the following:

a. Regarding proposed indirect rates, if a Forward Pricing Rate Agreement (FPRA) or a recent audit report exists (for the prime or proposed subcontractor(s)), copies shall be submitted by the Offeror and their subcontractor(s). Absent such agreements/reports, the Offeror and their subcontractor(s) shall state the basis of their proposed indirect rates. Substantiating documentation may be subsequently requested by the Government. The above information may be used by the Government for purposes of a cost realism analysis.

b. For each proposed indirect rate include a complete description of all cost elements under that indirect rate as well as the allocation base to which these cost elements apply. Examples of indirect costs are consumable rates; subcontractor consumables rates; Information Technology rates; subcontractor handling fees; material handling fees; Fringe; General and Administrative (G&A); Overhead; reproduction; and consumable material.

c. Clearly identify the allocation base(s) for total costs, in a way that corresponds with the Excel spreadsheet formulas.

d. Identify the basis of proposed rates and indirect costs (e.g., FPRA and date of agreement, proposal rates, and the date of submission or actual rates used and the effective date, billing rates and the date of approval, etc.).

e. Cost of money (COM) will only be an allowable cost if proposed; see FAR 15.408(h) and 15.408(i).

C. Subcontractor Costs - The Offeror shall furnish all information required under the paragraphs above for each major subcontractor. Offerors may arrange for subcontractor cost and pricing information to be submitted directly to the PCO as an individually wrapped submittal and indicated as an attachment to the Offeror’s submittal. Subcontractor submittals must be received prior to the date and time established for solicitation closing. Subcontractors shall include the DCAA Branch Office for their company, with the name, telephone number, and email address of the applicable DCAA Point of Contact who is familiar with the company.

D. Fees - Identify the fee rate and total amount proposed and identify the various cost elements to which the fee is being applied. This information shall not conflict with the fill-in information submitted in Section B of the proposal.
