(a) SECTION A: FACTOR 4: COST PROPOSAL 416 The offeror’s Cost Proposal shall consist of the following: 418
(1) The offeror shall complete Section B of the RFP in accordance with the instructions provided for each 420 CLIN. Dollar amounts shall be rounded to the nearest whole dollar. 421
(2) Offerors shall propose level of effort by labor category in accordance with the Government’s estimated 422 labor mix provided below. In the event that the Offeror’s labor category designations do not align 423 precisely with the Government labor category designations, Offerors may propose in accordance with 424 their own labor category designations; however, if providing its own labor category designation, the 425 Offeror shall provide a cross reference to the Government labor categories to include narrative 426 regarding qualifications for each category. 427
a. LABOR HOURS/MIX 428
i. The offeror should propose these costs in accordance with the labor mix (categories 429 and hours) stated in Section L-TXT-08. Although Section L-TXT-08 contains the 430 Government's best estimate of the number of hours the contractor will be required to 431 provide during contract performance based upon historical data and projections of 432 future requirements, actual contract performance may vary from this estimate. 433 Accordingly, the Government cannot guarantee the contractor will perform either the 434 estimated quantities of man-hours shown for individual labor categories or the total 435 estimated hours. Labor rates for all individuals are based on the employee's home 436 office location. For example, if an individual employed/based in Charleston, SC, 437 travels from there to Pascagoula, MS, the wage determination does not change to 438 Pascagoula, MS, because Pascagoula is only the travel destination. 439

(1) As discussed in FAR 52.237-10, “Identification of Uncompensated Overtime”, 444 actual hourly rates submitted shall be derived by dividing the proposed 445 individual’s actual annual salary by 2,080 hours, which is based on a 40-hour 446 work week. Any uncompensated overtime proposed shall be clearly identified 447 within the cost proposal and will be evaluated in accordance with FAR 52.237-448 10 and L-TXT-10 of this solicitation. 449
(2) Labor categories to be used in the performance of the proposed contract shall be 451 included in Attachment, 14 Prime Contractor and Subcontractor Cost 452 Spreadsheets. Hours required by the solicitation shall be accounted for in the 453 Attachment 14, Prime Contractor and Subcontractor Cost Spreadsheets. 454
(3) Failure to provide this information may impact the Government’s evaluation of 456 offeror’s proposals. If this information is proprietary to subcontractors, it may 457 be provided under separate cover. However, it must be easily identifiable and 458 readily combined with the rest of the proposal. 459
(3) The offeror shall populate the Government-provided MS Excel cost templates (Attachment 14, Prime 461 Contractor and Subcontractor Cost Spreadsheets) with the formulas intact. 462
(4) The offeror and their subcontractors shall each provide a summary description of the standard 464 estimating system or methods utilized for the Cost Proposal. The summary description shall cover 465 separately each major cost element (i.e., direct labor, direct labor escalation, indirect costs, and fixed 466 fee). The offeror and their subcontractors shall each submit a copy of their most current Forward 467 Pricing Rate Agreements (FPRA) and Forward Pricing Rate Recommendations (FPRR) if available; 468 payroll records for employees, letters of intent that indicate agreed upon salary for new hires and 469 market surveys as applicable; and the last three years of historical indirect rates. 470
(5) The offeror and any proposed subcontractors with a proposed total labor cost without fee above $13.5 472 million shall provide a copy of their cost proposal narrative in PDF format and their Attachment 14 473 Prime and Subcontractor Cost Spreadsheets in Microsoft Excel, to the cognizant DCAA office. The 474 Microsoft Excel version of the proposal must be functional with working formulas, i.e., NOT read-475 only. The Microsoft Excel version of the proposal should be annotated with the solicitation number 476 and closing date and advise DCAA as follows: ‘DO NOT DISCARD OR DESTROY. REQUEST 477
FROM SPAWAR HEADQUARTERS SAN DIEGO PENDING.’ 478
(6) The offeror must have an established cost accounting system, approved by the Administrative 480 Contracting Officer at the Defense Contract Management Agency (DCMA). The offeror shall provide 481 information as to the offeror’s fiscal year, and a general description of their cost accounting system 482 along with whether DCAA has determined it to be adequate. The same information shall be provided 483 for subcontractors. Failure to meet this requirement may result in the proposal being removed from 484 consideration for contract award. 485
(7) The offeror shall provide a Professional Employees Compensation Plan 487
(8) The offeror shall provide a statement of the offeror’s policy on Uncompensated Overtime (if any) 489
(9) The offerors shall provide identification of cognizant DCAA and DCMA, name, address, telephone 491 number, fax number, and e-mail address 492
(10) The offeror shall notify the Government if the offeror waives the evaluation adjustment under FAR 494 52.219-4, “Notice of Price Evaluation Preference for HUBZone Small Business Concerns.” Reference 495 Section I. 496
(b) SECTION B: REQUIREMENT FOR INFORMATION OTHER THAN COST AND PRICING DATA 498
L-12
In accordance with FAR 15.403-3(b), the following information as prescribed below is required for the purposes of 500 assisting the Contracting Officer in determining the cost realism of competing offers. The terms “Cost Realism” and 501 “Information Other Than Cost or Pricing Data” are defined in FAR 2.101. 502 The offeror and subcontractor(s) shall provide a comprehensive narrative support for the Cost Proposal. Costs shall 504 be summarized and presented for each contract line item. At a minimum, the offeror shall address separately the 505 following areas to support proposed contract costs. 506
(1) DIRECT LABOR - The labor specified under this category shall only be for the prime contractor’s 508 direct labor and shall not include any subcontracted labor (see “Subcontracted Labor” below). For the 509 Service Contract Act (SCA) categories, offerors are required to comply with the appropriate SCA 510 occupation codes. If this solicitation requires work to be performed at both the Government and 511 contractor sites, then the proposal must include company policy concerning any stipulations as to when 512 Government site / contractor site rates are effective. 513
Current, actual unloaded rates are to be submitted for any proposed individual. A “proposed 515 individual” is defined as a current employee specifically proposed to perform an estimated number of 516 hours for a labor category. In accordance with the offeror’s disclosed estimating system practices, 517 average unloaded direct labor rates may be submitted for remaining labor categories/hours, i.e., those 518 labor categories/hours not accounted for under the proposed individual’s data. Do not submit 519 composite rates encompassing more than one labor category. This cost information shall include, at a 520 minimum, the cost data elements contained in Attachment 14, Prime Contractor and Subcontractor 521 Cost Spreadsheets. Note: Labor categories shall be escalated for each year. Offerors shall use an 522 annual labor escalation rate of 2% for each year for the SCA labor categories, which are subject to the 523 applicable wage determinations, for cost realism purposes. For the non-SCA (exempt) labor categories, 524 offerors shall use actuals, if known, or rates based on historical data, standard practice, or those 525 accepted by DCAA for bidding purposes. The Cost Proposal must include supporting rationale for the 526 escalation rate proposed. 527
(3) FRINGE BENEFITS - If applicable and in accordance with offeror’s normal accounting procedures, 529 identify the fringe benefit rate(s) and total fringe benefit cost being proposed and identify the cost 530 elements for which the fringe benefit rate is being applied. 531
(4) OVERHEAD - Identify the current and/or projected overhead rate(s) and total overhead cost being 533 proposed under this solicitation and identify the various cost elements for which overhead is being 534 applied. 535
(5) SUBCONTRACTED LABOR - Identify, if applicable, any proposed subcontracting labor intended for 537 use under this contract. Identify the labor categories for which subcontracting is being proposed and 538 include the subcontractor’s direct labor rates, number of hours proposed for each labor category, fringe 539 benefits, overhead, G&A, fee, etc., that has been submitted by the subcontractor to the prime 540 contractor for consideration under this contract. If this solicitation requires work to be performed at 541 both the Government and contractor sites, then the proposal must include company policy concerning 542 any stipulations as to when Government site / contractor site rates are effective. For the SCA 543 categories, offerors are required to comply with the appropriate SCA occupation codes. This 544 information may be submitted by the subcontractor under separate cover directly to the Contracting 545 Officer. 546
Current, actual unloaded rates are to be submitted for any proposed individual. A “proposed 548 individual” is defined as a current employee specifically proposed to perform an estimated number of 549 hours for a labor category. In accordance with the subcontractor’s disclosed estimating system 550 practices, average unloaded direct labor rates may be submitted for remaining labor categories/hours, 551 i.e., those labor categories/hours not accounted for under the proposed individual’s data. Do not 552 submit composite rates encompassing more than one labor category. This cost information shall 553 include, at a minimum, the cost data elements contained in Attachment 14, Prime Contractor and 554
L-13
Subcontractor Cost Spreadsheets. Subcontractors should include additional elements such as overtime 555 rates/hours, premium time rates/hours, etc. as applicable. Note: Labor categories shall be escalated for 556 each year. Subcontractors shall use an annual labor escalation rate of 2% for each year for the SCA 557 labor categories, which are subject to the applicable wage determinations, for cost realism purposes. 558 For the non-SCA (exempt) labor categories, subcontractors shall use actuals, if known, or rates based 559 on historical data, standard practice, or those accepted by DCAA for bidding purposes. The Cost 560 Proposal must include supporting rationale for the escalation rate proposed. 561
(6) OTHER COSTS: 563
(a) Materials - Offerors are to propose Materials at the Not to Exceed (NTE) value identified in 565
Section B of the RFP. 566
(b) Other Direct Costs and Travel – Offerors are to propose ODCs and travel costs at the Not to 568 Exceed (NTE) value identified in Section B of the RFP. The decision as to whether costs are 569 handled as direct or indirect costs rests with the offeror, but shall be consistent with the offeror’s 570 approved cost accounting practices as disclosed in the offeror’s Disclosure Statement, or 571 consistent with the offeror’s established practices if the offeror is not required to submit a 572 Disclosure Statement. 573
(c) Indirect Costs - Identify any other indirect cost element (e.g., Facilities Capital Cost of Money) 575 being proposed which has not been included above and identify the various cost elements for 576 which the rate is applied. Advise if the rates proposed are in accordance with any Forward 577 Pricing Rate Agreements and period of the agreement. 578
(7) GENERAL AND ADMINISTRATIVE EXPENSE - Identify the General and Administrative Expense 580
(G&A) rate(s) and the total G&A cost proposed and identify the various cost elements for which the 581 G&A is being applied. 582
(8) ACCOUNTING SYSTEM - Provide information as to the offeror’s fiscal year, and a general 584 description of their cost accounting system along with whether DCAA has determined it to be 585 adequate. The same information shall be provided for subcontractors with a proposed total labor cost 586 without fee above $13.5 million. 587
The cost breakdown shall indicate the offeror’s total estimated proposed price for each year and the cumulative 589 proposed price for all years. Any information submitted must support the cost proposed. Include sufficient detail or 590 cross references to clearly establish the relationship of the information provided to the cost proposed. Support any 591 information provided by explanations or supporting rationale, as needed to permit the Contracting Officer and 592 authorized representatives to evaluate the documentation. 593 The offeror’s proposal shall include a completed RFP Section B for each CLIN. Dollar amounts provided in 595 response to these instructions shall be rounded to the nearest whole dollar. The FFP CLIN amount, as specified in 596 Section B, shall be added to the offerorors’ proposed cost. 597 The names and telephone numbers of persons authorized to conduct negotiations, as well as the name of the official 599 authorized to contractually bind the offeror’s organization, shall be clearly identified in the Cost Proposal. 600 As this is a competitive acquisition and adequate price competition is anticipated, the price supporting 602 documentation requested is not considered certified cost or pricing data and shall not be certified in accordance 603 with FAR 15.403-5. Should adequate price competition not exist after receipt of proposals, the PCO reserves the 604 right to obtain certified cost or pricing data pursuant to FAR Part 15. By submitting a proposal, the Offeror grants 605 the PCO, or an authorized representative, the right to examine records that form the basis of the pricing proposal. 606 This examination and review can take place at any time before award. 607
(d) SECTION C: PROFESSIONAL EMPLOYEES COMPENSATION PLAN 609
L-14
Professional Employee Compensation Plans will be evaluated in accordance with FAR 52.222-46, “Evaluation of 611 Compensation for Professional Employees.” The plan is required on both key and non-key professional (exempt) 612 employees. For subcontractors/individual team members, a plan is not required unless assigned a meaningful 613 number of professional (exempt) key and non-key employees. The term “meaningful” is defined as the equivalent of 614 five Full-Time-Equivalent work years of professional (exempt) employee hours (at least 9,400 hours annually). The 615 offeror shall indicate which proposed employees under any resulting contract will be eligible for which of the 616 benefits, and at what benefit level. The plan shall include, but not be limited to, the following: 617
(1) Section I - Salaries. The offeror shall submit proposed annual salaries for each category of 619 professional employee to perform under the contract. The annual salaries shall be delineated for each 620 year of performance specified in the contract. If fewer than 40 hours per week are worked, hours and 621 hourly rates shall be specified. The salaries proposed shall track back to the cost proposal submitted. 622 In addition, the total estimated annual hours and total estimated hours to be worked under the contract 623 shall be included. 624
(2) Section II - Fringe Benefits. The offeror shall submit proposed fringe benefits for professional 626 employees to perform under the contract. The offeror shall specify each benefit proposed and also 627 shall specify the percentage of the proposed fringe benefits to the proposed annual salary. 628
