CLAUSES INCORPORATED BY FULL TEXT

NOTE A: Offeror shall complete the "Price Group" and "Estimated Total Price" blocks of each data item on the

Contract Data Requirements List(s), attached to individual Delivery Orders.

NOTE B: Because there are firm fixed price (FFP) CLINs included in this solicitation, a DCAA approved cost accounting system is not required to be eligible for award of a prime contract. However, it is contemplated that cost type orders will be issued. Successful awardees would not be eligible to receive a cost plus fixed fee (CPFF) or flexibly priced delivery order, in accordance with FAR 16.301-3, unless they have a DCAA approved cost accounting system. For those offerors without a DCAA approved cost accounting system, a pre-award survey of the offeror’s accounting system will be initiated. Documentation will be provided to the successful awardees that will need to be completed and returned to the Government before the audit request can be initiated. Financial capability reviews are now being conducted by DCMA instead of DCAA. Documentation for this review will need to be provided to DCMA upon request by the Government. This will be required after award has been made so no submission is required with the current proposal.

NOTE C: CPFF CLINs 0002, 0004, and 0006 will remain unpriced without a NTE Ceiling. Orders may be placed against these CPFF CLINs using the remaining ceiling limits of Sister FFP CLINs. For example: if the NTE ceiling on CLIN 0003 is $10,000,000 then that ceiling is shared with CLIN 0004.

NOTE D: The Facilities Capital Cost of Money (FCCOM) is not a fee bearing cost under this contract. However, such amount is included in the total estimated cost for the purpose of the “LIMITATION OF COST” clause in this contract.

NOTE E : Supplies/services under all CLINs are subject to Section H Special Contract Requirement entitled: “FAIR OPPORTUNITY PROCESS (ORDERING PROCEDURES)”

NOTE F: Travel costs are not fee-bearing costs under this solicitation and subsequent orders. The Contractor shall obtain prior written approval by the ACO per trip occurrence. All estimated and incurred travel costs shall be in accordance with FAR 31.205-46 and the Joint Travel Regulations (JTR). Airfare costs in excess of the lowest priced airfare available to the contractor during normal business hours are unallowable unless approved in writing as meeting an exception identified in FAR 31.205-46(b) by the ACO prior to commencement of the travel.

NOTE G: Contract Data Requirements List (CDRLs), DD Form 1423, will be issued under each Delivery Order when required (CLIN 0009).

NOTE H: FIXED SHIP REPAIR LABOR AND MATERIAL BURDEN RATES (CEILING RATES)

1. The Contractor’s proposed fully burdened ship repair labor rate will be used as a ceiling for negotiating Firm

Fixed Price (FFP) delivery orders, growth work, and new work to be performed under this IDIQ-MAC for each delivery order. The fully burdened ship repair ceiling labor rate is a fixed hourly rate that includes all wages, overhead, general and administrative expenses, Facilities Capital Cost of Money (FCCOM) and profit. The fully burdened ship repair labor rates (straight time) represent the respective ceilings for the blended labor rates of the offeror, including labor transferred between divisions, subsidiaries, or affiliates of the offeror under a common control.

Delivery order modifications shall include only man-hours as the fully burdened ship repair labor rate includes all production support functions (whether charged directly or indirectly by the offeror’s accounting systems). For these purposes, direct production man-hours are those hours expended in direct production as exemplified but not limited to the following functions:

Abrasive cleaning/blasting

Boiler-making

Brazing

Burning

Carpentry

Design Support

Diesel Mechanics

Electrical Work

Engineering

Fire Watch

General Labor

Lagging

Painting

Pipefitting

Rigging

Sheetmetal Work

Shipfitting

Staging/Scaffolding

Welding Machinists (inside and outside)

Note: Offers shall provide the list the labor categories used to price Attachment S-2 under each CLIN

Section, highlighted in yellow (see Attachment S-2). Travel price in the Attachment S-2 are fixed “plug numbers” and shall not be adjusted.

2. Consumable materials are goods used in the ordinary course of work performance such as office supplies, paper, rags, vehicle or equipment fuel costs, cleaning chemicals, disposable tools, welding rods, paint buckets, paint brushes, protective clothing, etc. that are consumed/used in the process of repair and do not become an integral part of the repaired vessel. Consumable material shall not be separately priced but shall be included in the contractor’s proposed fully burdened ship repair labor rate (Attachment S-2).

3. For changes to FFP delivery orders involving subcontractors, subcontractor quotes will be treated as Other Direct

Costs (ODCs) and will be subject to the delivery order specific material markup rate. Subcontractor quotes must be competitively acquired and submitted with the Change Order Price Analysis (COPA) submitted by the contractor in response to a Request for Contract Change (RCC) issued by the Contracting Officer (see Section C-1.1.15

Paragraph). This does not apply to the procurement of work performed by Original Equipment Manufacturers

(OEMs) and Government directed subcontractors.

NOTE I: IDIQ MAC I HOLDERS (The “Big MAC”) that have the capability of performing all work both CONUS and OCONUS. MAC I (BIG MAC) proposals shall include all CLINs 0001-0009.

NOTE J: IDIQ MAC II HOLDERS (The “Little MAC”) that have the capability of performing CONUS PM, FM, and CC only. MAC II (Little MAC) proposals shall include CLINs 0001, 0002, 0007 and 0009.

NOTE K: The max fee shall not be greater than eight percent (8%), applicable to only Cost Plus Fixed Fee CLINs.

HQ B-2-0004 EXPEDITING CONTRACT CLOSEOUT (NAVSEA) (DEC 1995)

(a) As part of the negotiated fixed price or total estimated amount of this contact, both the Government and the

Contractor have agreed to waive any entitlement that otherwise might accrue to either party in any residual dollar amount of $500 or less at the time of final contract closeout. The term “residual dollar amount” shall include all money that would otherwise be owed to either party at the end of the contract, except that, amounts connected in any way with taxation, allegations of fraud and/or antitrust violations shall be excluded. For purposes of determining residual dollar amounts, offsets of money owed by one party against money that would otherwise be paid by that party may be considered to the extent permitted by law.

(b) This agreement to waive entitlement to residual dollar amounts has been considered by both parties. It is agreed that the administrative costs for either party associated with collecting such small dollar amounts could exceed the amount to be recovered.

HQ B-2-0014 PAYMENTS OF FEE (S) (COMPLETION) (NAVSEA) (MAY 1993)

(a) For purposes of this contract, "fee" means "target fee" in cost-plus-incentive-fee type contracts, "base fee" in cost-plus-award-fee type contracts, "fixed fee" in cost-plus-fixed-fee type contracts for completion and phase type contracts.

(b) The Government shall make payments to the Contractor, subject to and in accordance with the clause in this contract entitled "FIXED FEE" (FAR 52.216-8) or "INCENTIVE FEE", (FAR 52.216-10), as applicable. Such payments shall be equal to NTE eight percent ( 8%) of the allowable cost of each invoice submitted by and payable to the Contractor pursuant to the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR

52.216-7), subject to the withholding terms and conditions of the "FIXED FEE" or "INCENTIVE FEE" clause, as applicable (percentage of fee is based on fee dollars divided by estimated cost dollars, including facilities capital cost of money). Total fee(s) paid to the Contractor shall not exceed the fee amount(s) set forth in this contract.

(c) In the event of discontinuance of the work under this contract, or any specified phase of the contract, in accordance with the clause of this contract entitled "LIMITATION OF FUNDS" (FAR 52.232-22) or

"LIMITATION OF COST" (FAR 52.232-20), as applicable, the fee shall be equitably adjusted by mutual agreement to reflect the diminution of work. If the adjusted fee is less than the sum of all fee payments made to the Contractor under this contract, the Contractor shall repay the excess amount to the Government. If the adjusted fee exceeds all payments made to the Contractor under this contract, the Contractor shall be paid the additional amount, subject to the availability of funds. In no event shall the Government be required to pay the Contractor any amount in excess of the funds obligated under this contract at the time of the discontinuance of work.

(d) Fee(s) withheld pursuant to the terms and conditions of this contract shall not be paid until the contract has been modified to reduce the fee(s) in accordance with paragraph (c) above, or until the Procuring Contracting Officer has advised the paying office in writing that no fee adjustment is required.

HQ B-2-0016 PROVISIONING TECHNICAL DOCUMENTATION – WITHHOLDING OF PAYMENT

(NAVSEA) (SEP 1990)

(a) For the purpose of paragraph (c) of the "PROGRESS PAYMENTS" clause of this contract, if included, the requirement that the Contractor develop and deliver Provisioning Technical Documentation (PTD) is considered to be a

"material requirement of this contract," and Contractor failure to make adequate progress in the development of PTD, or to deliver acceptable PTD on a timely basis, may result in reduction or suspension of Progress Payments as provided in said paragraph.

(b) The PTD is considered to be a part of the "Technical Data" specified to be delivered under this contract for the purposes of the "TECHNICAL DATA--WITHHOLDING OF PAYMENT" (DFARS 252.227-7030) clause. The terms and conditions of the clause entitled "LIMITATION ON WITHHOLDING OF PAYMENTS (FAR 52.232-9), if included in this contract, shall not apply to withholding of payment for failure to make timely delivery of the PTD or delivery of deficient PTD.

HQ B-2-0017 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA) (SEP 1990)

(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will only be made for the difference between the intrinsic value of the item at the time an agreement on price was reached and the contract price. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (beyond economic purchase quantity considerations) or changes in market conditions.

(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:

(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.

(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in

FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.

(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice: the price of the part or item apparently exceeds its intrinsic value.

(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the Government is entitled to a refund.

(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor. Upon return of the item to its original point of Government acceptance, the Contractor shall refund in full the price paid. If no agreement pursuant to paragraph (d) above is reached, and return of the item by the Navy is impractical, the Contracting Officer may, with the approval of the Head of the Contracting Activity, issue a

Contracting Officer's final decision on the matter, subject to Contractor appeal as provided in the "DISPUTES" clause (FAR 52.233-1).

(f) The Contractor will make refunds, as required under this requirement, in accordance with instructions from the

Contracting Officer.

(g) The Contractor shall not be liable for a refund if the Contractor advised the Contracting Officer in a timely manner that the price it would propose for a spare part or item of support equipment exceeded its intrinsic value, and with such advice, specified the estimated proposed price, the estimated intrinsic value and known alternative sources or item, if any, that can meet the requirement.

(h) This requirement does not apply to any spare parts or items of support equipment whose price is determined through adequate price competition. This requirement also does not apply to any spare part or item of support equipment with a unit price in excess of $100,000; or in excess of $25,000 if the Contractor submitted, and certified the currency, accuracy and completeness of, cost or pricing data applicable to the item.

HQ B-2-0019 TRAVEL COSTS (NAVSEA) (MAY 1993)

(a) The Contractor shall not charge, and the Government shall not pay, as an allowable cost under this contract, any manhour costs (whether straight-time or overtime) for Contractor personnel or subcontractor personnel traveling to or from worksites, including travel to worksites other than the Contractor's facility for performance of contract work.

(b) Workers being paid under this contract, as prime contractor personnel or subcontractor personnel, will complete a full shift at the worksite, and no compensation will be paid for travel time before or after the shift.

(c) This requirement pertains only to payments for travel time before or after these workers' regular shifts, and does not apply to legitimate travel costs incurred during normal working hours, provided that those costs are otherwise reasonable, allocable and allowable. This requirement does not apply to manufacturer's representatives or Original

Equipment Manufacturer (OEM) representatives when specifically required by the Government work specifications.

(d) Additionally, the Contractor shall not charge, and the Government shall not pay, any transportation costs under this contract associated with transporting Contractor or subcontractor personnel between the Contractor's facility (or subcontractor's facility), and any other worksite to perform Phased Maintenance Availabilities (PMAs)/Drydocking

Phased Maintenance Availabilities (DPMAs). Transportation costs include, but are not limited to, bus fare, car fare, train fare, or boat fare, paid by the work force, or paid by the Contractor on behalf of the work force.

HQ B-2-0023 CONTRACT SUMMARY FOR PAYMENT OFFICE (COST/FIXED PRICE) (FEB 1997)

Section C - Descriptions and Specifications

STATEMENT OF WORK

1.0 PURPOSE

The U.S. Navy must maintain and modernize its ships to meet current and future operational requirements. To that end, the Government intends to utilize this supply contract for the repair, maintenance and modernization requirements of Littoral Combat Ships (LCS) homeported in the San Diego, CA homeport. Accordingly, the primary place of performance is the San Diego, CA port where the Southwest Regional Maintenance Center

(SWRMC) will administer the contract. However, work will also be accomplished in other states within the continental United States (CONUS) and outside continental United States (OCONUS) locations as specified on the delivery order (DO). OCONUS Delivery Orders will be administered by different Ordering Activities per Section H:

Special Contract Requirements Fair Opportunity Process (Ordering Procedures).

1.1 DESCRIPTION

This Indefinite Delivery Indefinite Quantity Multiple Award Contract (IDIQ- MAC) vehicle for LCS Class ships shall encompass emergent, Commander Naval Operations (CNO) scheduled and continuous maintenance, modernization and repair efforts, planned maintenance, facilities maintenance and corrosion control, both CONUS

AND OCONUS.

The Navy Modernization Program (NMP) is a CNO managed program to develop, plan, fund and accomplish ship changes and alterations in accordance with current policies. Modernization is executed in accordance with

COMUSFLTFORCOMINST 4790.3 Joint Fleet Maintenance Manual (JFMM) Volume VI, Chapter 36 (Surface

Ships/Aircraft Carriers) & SL720-AA-MAN-030 Navy Modernization Process Management and Operational

Manual (NMP-MOM) and applies to all alterations to commissioned ships using the most current Revision at the time of DO issuance.

For LCS, modernization is any changes to the ship's configuration that comprises, but is not limited to:

Addition of new technologies/systems introduced to the ship;

Modification to existing ship system/configuration to increase dependability, reliability, maintainability, and lethality;

Increases to the ability to defend the ship/battle groups/ally forces, US assets and interests through increased communication and detection;

Modernization efforts are not restricted to availability types. All efforts will be made to perform the modernization during CNO Availabilities. Modernization is not limited to hull mechanical and electrical (HM&E) changes;

upgrades, changes, and improvements to systems (new or existing) from other SYSCOMs other than NAVSEA will be accomplished as necessary.

The Contractor shall coordinate with the Planning Yard (PY) for class design, specifications, material identification, and material ordering. This coordination shall include all material management issues such as obsolescence; and

Command, Control, Communications, Computer, Combat Systems and Intelligence (C5I)/Software Support

Activities’ installations. The Contractor shall also coordinate with the Execution Planning (EP) Contractor for coordination of Long Lead Time Material (LLTM) and for any issues arising out of the work package development.

The Contractor shall submit CDRLs as directed in the individual delivery orders.

The Contractor, under the direction of SWRMC or other Ordering Activities but as an independent Contractor and not as an agent of the Government, shall furnish the labor, material, equipment, support and facilities necessary for the accomplishment of the work and material identified in each DO. Typical ship repair efforts include management, planning, engineering, quality control, shipboard/off ship production and component/system testing and trials.

The successful IDIQ-MAC I holder will be responsible for all work required under a DO, regardless of whether specific work items are performed with in-house resources or are subcontracted. The Prime Contractor(s) are responsible for all contracted and sub-contracted labor, management, supervision, coordination, quality control, quality assurance, quality management, safety management, environmental management, material, equipment, and transportation necessary to perform the requirements of each ship maintenance, modernization and repair DOs issued to deliver the mission-ready vessel(s). The Prime Contractor(s) shall ensure adequate resources are dedicated to comply with the standards, guidelines and procedures as stated to satisfy the requirements of DOs.

1.1.1 NAVY SUPPLY/MATERIAL PROCUREMENT

The Contractor and its subcontractors shall use Department of Defense (DoD) Supply systems as the first source(s) to identify and procure material. The prime contractor and subcontractors shall prepare and submit transactions to the DoD Supply System via Defense Logistics Agency Transaction Services(DLATS)/ Defense Automatic

Addressing System (DAAS) in standard MILSTRIP/MILSTRAP format using Routing Identifier “NRP”. The preferred method of submission of material requisitions to the DoD Supply systems is via NAVSUP’s One Touch

Support (OTS). The prime contractor and subcontractors shall determine if material supports the requisite timeframe(s) to successfully execute the performance of work, as defined in this contract, to meet cost and schedule goals.

The Contractor and subcontractors shall record all usage demand data including material procured outside the DoD supply system, during the period of performance of this contract CDRL A004/DI-MGMT-81806A.
