PART A GENERAL INSTRUCTIONS
1.0 GENERAL
1.1 The Offeror must respond to all requirements of the solicitation and not alter or rearrange the solicitation. The Offeror is advised that the Government may incorporate any portions of the Offeror’s proposal into the resulting contract.
1.2 In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization shall be emphasized during proposal preparation. Statements that the prospective Offeror understands, can comply with, or will comply with, the specifications, and paraphrasing the requirements or parts thereof without supporting information are considered inadequate by the Government, and may result in assessing weaknesses and/or deficiencies.
1.3 The Offeror must include any data that illustrates the adequacy of the various assumptions, approaches, and solutions to problems. Failure to address a specific factor or subfactor clearly may be considered a deficiency.
Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.
1.4 The Government advises the Offeror that taking exception to or deviating from any term or condition of the RFP may result in the assessment of a deficiency to the proposal.
1.5 Throughout these instructions, a “principal subcontractor” is defined as a subcontractor who provides at least 20% of the proposed total price/cost (excluding the Offeror’s profit/fee) for the contract or provides one or more Key Personnel. A principal subcontractor is also any subcontractor that provides more than 20% of the total Level of Effort (LOE) hours required in the solicitation. “JV Team member” is defined as one of the entities that make up a joint venture (JV) formed for the purpose of responding to this solicitation.
1.6 Questions: The Procurement Contracting Officer (PCO) and the Contract Specialist (CS) are the sole points of contact for this procurement. Offerors may submit questions requesting clarification of solicitation requirements using PIEE via the Solicitation’s Offer Tab. Offerors shall not include any proprietary information in a question, as the Government will provide the question and answer to all potential offerors. All questions submitted in the PIEE interface are to be contained in Attachment P6 and the document is to be uploaded into the system. All questions shall be submitted in the PIEE within 10 calendar days of the date this solicitation is issued. The Government is under no obligation to try to answer questions received after that date, but may answer questions if time permits.
Questions submitted by email will not be responded to, but prospective offerors can request confirmation of receipt of questions submitted via the PIEE tool by emailing the Contract Specialist/Officer.
1.7 In accordance with (IAW) FAR Subpart 4.8 (Government Contract Files), the Government will retain one digital copy of all unsuccessful proposals.
2.0 PROPOSAL FORMAT
2.1 Electronic Proposal Format
This section is intended to provide information to the Offerors on the electronic format and application software to be used for submitting proposals. Do not submit hardcopy proposals for this solicitation. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and upload proposals and will ensure the proposals received are suitable for reading electronically during evaluation.
Proposals must be formatted using a Times New Roman 12 pt Normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for standard 8.5 x 11 inch paper. All pages should be numbered with section and page numbers. Graphs and tables shall be presented in no smaller than a 10 pt font and should contain a grid, which allows values to be read directly from the graph. Graphs and Tables that fit on an 8.5” X 14” printed page will be counted as one page. Drawing may be of any size and will count as one page. Graphic resolution, including such data as tables or charts, should be consistent with the purpose of the data presented. When using Government supplied templates (e.g. Attachment P2, Attachment P5, Attachment P6, etc.), no modifications to font or scaling required.
2.2 Electronic File Format
All proposal documents must be compatible with Microsoft Office 2016 and/or the latest Adobe Acrobat Reader Portable Document Format (PDF), where applicable, and shall be searchable. Files shall not be embedded in PDF documents. The Offeror shall ensure that each Volume is provided as a separate electronic document IAW 3.0 below.
The Offeror is responsible for ensuring electronic proposals are virus free. Offerors may use hyperlinks within proposal volumes that do not include price information, but not between volumes. However, there shall be no links from any other volume into the Price Volume or into any other portion of the proposal that contains price information. In order to reduce file sizes, the Offeror shall not embed sound or video (e.g., MPEG) files within the proposal submission. The Offeror is encouraged to simplify the color palette used in creating figures; and minimize size of graphics files; and avoid scanned images.
3.0 PROPOSAL CONTENT AND VOLUMES
3.1 The Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its Volume/paragraph number matches the Proposal Instructions Volume/paragraph number provided in section “Part B Specific Instructions” to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, section, and element, etc., in the Offeror’s proposal.
3.2 Each volume of the proposal shall be submitted as specified in the table below. The table below supersedes the copies requested in Block 9 of the Standard Form (SF) 33. All volumes of the original proposal shall be delivered IAW the instructions provided in Section 4.0 prior to the closing date/time stated in this solicitation. Page limitations for each volume, if any, are also specified in the table below; title and table of contents pages do not count towards the page limit. Any pages submitted exceeding the page limit shall be disregarded and NOT evaluated. Proposals shall not require extensive searching throughout the document(s) to locate and evaluate a particular item, and that each volume should be written, to the greatest extent possible, on a stand-alone basis.
3.3 Information submitted as an Annex to the proposal includes manuals, specifications, plans, procedures, and policies that exist as an official document of the company or facility, as well as other information requested in Part B Specific Instructions. Page limitations for Annexes, if any, are specified below. The authorized Annexes are summarized in the table below.

3.4 Each volume shall contain the following information:

3.5 FCL verification documentation shall be its own volume, Volume 1. See Section L, Part B, 1.0 for specific requirements.
3.6 The Offeror shall submit a Cross Reference Matrix (CRM) for the Technical Volume, similar to the example below, to help ensure that all solicitation requirements are addressed and to facilitate the evaluators’ review of the Offeror’s proposal. The CRM should be a single integrated matrix and cross-reference the proposal volumes and paragraphs to specific RFP requirements, as well as other parts of the proposal that contain relevant information.
The Offeror’s CRM may be identical to the example below or revised such as to add columns to indicate the page number on which information may be found, identify where other relevant information in the proposal is located, or provide other comments. The CRM does not count against any of the proposal page limitations.

4.0 PROPOSAL SUBMISSION:
4.1 The submission date for all Volumes shall be no later than the date and time specified in Block 9 of the SF 33 of the RFP.
4.2 Electronic Proposal Submission
4.2.1 Electronic copies of each volume shall be submitted through the Solicitation Module of the Procurement Integrated Enterprise Environment (PIEE) at https://piee.eb.mil via the Solicitation’s offer tab. Proposals submitted by mail or hand-carried will not be evaluated (Exception for system outage. See below). Proposals sent through proprietary or third party File Transfer Protocol (FTP) sites or DoD SAFE will not be retrieved. It is the responsibility of the Offeror to confirm receipt of proposals. All proposals received after the exact time specified for receipt shall be treated as late submissions and will not be considered except under facts and circumstances allowed by the Federal Acquisition Regulation (FAR). For instructions on how to post an offer, please refer to the Posting Offer demo: https://pieetraining.eb.mil/wbt/sol/Posting_Offer.pdf. The Government is not obligated to search for incorrectly submitted proposals in PIEE.
4.2.2 It is the Offeror’s responsibility to obtain written confirmation of receipt of all electronic files of the full proposal by the Contracting office. In the event that the Solicitation Module is down, the alternate method for proposal submission is via expedited delivery or hand-carried of electronic proposal via DVD or CD-ROM. The Offeror must obtain prior approval from the Contracting Officer to use the alternate submission method. The Contractor shall have 24 hours to provide their proposal. Offerors are responsible for ensuring electronic copies are virus-free and shall run an anti-virus scan before submission.
4.2.3 Clearly mark all electronic files with the solicitation number.
4.2.4 Offerors shall keep the file name as short as possible (i.e., under 40 characters) so that the files are accessible on Government share drives. Files with longer names may become corrupt or inaccessible. Offerors, both prime and subcontractors, shall include their name or abbreviated company name in the file name; and should use names, acronyms and volume numbers that logically correspond with the table in Section 3.3, above.
4.2.5 The Offeror should provide one electronic file for each volume and annex, containing all information requested within the volume and annex. Offerors should not provide each section/paragraph as separate files.
5.0 CLASSIFIED DATA
All proposals must be UNCLASSIFIED.
6.0 SOLICITATION CHANGES

PART B SPECIFIC INSTRUCTIONS
Cost or pricing information shall only appear in the Price/Cost volume.
1.0 VOLUME 1: FACILITY CLEARANCE (FCL) INFORMATION
1.1 The Prime shall provide evidence (i.e., written certification) to the Government of a current Top Secret Facility Clearance (FCL) commensurate with the DD Form 254 (DD-254), Contract Security Specification, and contractor’s associated CAGE code.
2.0 VOLUME 2: OFFER LETTER/SECTION K
2.1 Offer Letter
Identify at a minimum the solicitation number, enclosures being transmitted, proposed subcontractors and team members to be utilized under the task order, the CAGE code, DCMA, DCAA, and DFAS point of contacts and Department of Defense Activity Address Codes (DoDAACs) for the prime contractor and all proposed subcontractors and team members. The prime contractor is to also provide signed representations, certifications, and acknowledgements and/or System for Award Management (SAM), signed SF33 for basic solicitation and each amendment, as applicable, and state the length of proposal validity (at least 180 days after proposal submission).
i. Offeror Summary Table: The Offeror shall complete the table below. The Offeror should include all subcontractors and team members who will be involved with the performance or management of the program work and should list all sites where the work will be performed based on the LCAT. If a teaming or subcontracting arrangement is proposed, identify the work share, distribution elements, and ratios that each contractor will perform using the table below. Also provide a definition of the legal relationship between the entities if it is other than a Prime/subcontractor relationship.

ii. For the Past Performance evaluations, contract references that relate to a different CAGE code/DUNS than the proposed entity will be considered if the CAGE code/DUNS was created as a result of a corporate acquisition, reorganization, merger, or other administrative reason and refer to the same division in the same physical location for where the work is being performed or from where the work is being directed in accordance with the proposed roles and responsibilities. All current CAGE Codes/DUNS must appear in the Offeror Summary Table, which indicates a commitment of work for those entities. To facilitate the Relevancy determination for Past Performance, the Offeror shall provide a written explanation if multiple CAGE codes/DUNS for the same physical location are applicable to one entity. The written explanation shall detail the distinct roles and responsibilities for entities with different CAGE codes/DUNS at the same physical location for where the work is being performed or from where the work is being directed. The description shall include all changes in the organization as a result of a corporate acquisition, reorganization, merger, or other administrative reason and explain how the changes impact the relevance of any contract references provided.
2.2 Section K – Representations and Certifications
The Offeror shall complete and submit Section K of the solicitation. The Government requires that Offerors’ proposals include all items listed in the Section B Schedule. The Government does not intend to make a split award under this solicitation.
2.3 OCI Disclosure and Mitigation Plans
The Offeror shall include an OCI Disclosure and Mitigation Plan, based on the Offeror’s completion of NAVAIR Provision 5252.209-9511. If an Offeror affirms in NAVAIR Provision 5252.209-9511 that “No conflict of interest exists,” an OCI Disclosure and Mitigation Plan is not required.
2.4 Contractor Team Agreement
Should any Offeror form a Contractor Team Agreement as defined in FAR 9.601, a copy of that agreement shall be provided in accordance with FAR 9.603
3.0 VOLUME 3: TECHNICAL
The Offeror shall provide all information and data required to conduct a thorough and complete technical evaluation.
The Offeror shall address the following in the proposal:
3.1 Element 1: Understanding of the Work
3.1.1 Sample Task 1: Technical Support and Advisor to F-35 Joint Program Office (JPO) Chief Human Capital Total Workforce Management Team
Sample Task 1 response should include the following information and follow this outline:
(1) Technical Approach - Provide a detailed description of the approach and methodology that would be used in accomplishing the task.
(2) Performance Risk Analysis - Identify contingent events inherent to the nature of the effort that could, if they were to occur, endanger satisfactory performance. Focus on critical events that are realistically likely to occur and that would pose serious problems (do not try to identify every event that could cause some minor difficulty). In addition, cite examples of recent and relevant corporate experience performing like tasks.
(3) Work Breakdown Structure/Integrated Master Schedule - Provide a detailed schedule of events and briefly describe each activity with its inputs and outputs and the interrelationships and interdependencies among the activities.
The Offeror is tasked to provide technical support and expertise to the Total Workforce Management Team in the management and support for the employee lifecycle. The Offeror shall effectively outline an effective coordination plan for collaboration with the F-35 JPO’s resource providers (e.g. Air Force Life Cycle Management Center, Naval Air Systems Command, Naval Air Warfare Center Aircraft Division, etc.) for the purposes of attracting, recruiting, onboarding, training & developing, and retaining well qualified talent. The Offeror shall outline a plan of action that demonstrates the ability to plan, organize, and execute in-person and virtual recruitment and hiring events jointly with all resource providers with the requirement for resource providers to issue on-the-spot offers to prospective employees. Develop a plan of actions and milestones, communication plan, and an execution plan that outlines participation from all stakeholders.
3.1.2 Sample Task 2: Technical Advisor to F-35 JPO Chief Human Capital for Transitioning Human Resource Management Systems.
Sample Task 2 response should include the following information and follow this outline:
(1) Technical Approach - Provide a detailed description of the approach and methodology that would be used in accomplishing the task.
(2) Performance Risk Analysis - Identify contingent events inherent to the nature of the effort that could, if they were to occur, endanger satisfactory performance. Focus on critical events that are realistically likely to occur and that would pose serious problems (do not try to identify every event that could cause some minor difficulty). In addition, cite examples of recent and relevant corporate experience performing like tasks.
(3) Work Breakdown Structure/Integrated Master Schedule - Provide a detailed schedule of events and briefly describe each activity with its inputs and outputs and the interrelationships and interdependencies among the activities.
The Offeror is tasked to provide technical expertise and advise stakeholder on human resources business process and data migration transition from an existing human resource management system to a commercial human resource management system. The Offeror shall propose a relevant and realistic plan for managing transition timelines, reducing downtime, ensuring seamless data migration, validating stakeholder requirements are met, collaborating with the Office of the Chief Information Officer as well as multiple independent contractors who are performing the work. Provide a detailed schedule of events and describe each activity with its inputs and outputs and the interrelationships and interdependencies among the activities. Offerors shall identify risks, mitigations and opportunities associated with the plan. The Offeror’s approach should assume a 24-month timeline to implement.
Sample Task 3: Legislative affairs advisor to the F-35 JPO Strategic Communications Cell
3.1.3 Sample Task 3 response should include the following information and follow this outline:
(1) Technical Approach – Provide a detailed description of the approach and methodology that would be used in accomplishing the task.
(2) Performance Risk Analysis – Identify contingent events inherent to the nature of the effort that could, if they were to occur, endanger satisfactory performance. Focus on critical events that are realistically likely to occur and that would pose serious problems (do not try to identify every event that could cause some minor difficulty). In addition, cite examples of recent and relevant corporate experience performing the like tasks.
(3) Work Breakdown Structure/Integrated Master Schedule – Provide a detailed schedule of events and briefly describe each activity with its inputs and outputs and the interrelationships and interdependencies among the activities.
The Offeror is tasked to support the F-35 Joint Program Office’s Strategic Communications Cell’s effort to provide quarterly program briefings/updates to the Senate Armed Services Committee. The Offeror shall propose a relevant and realistic plan to ensure stakeholder engagement and collaboration for delivery of a response to said Congressional inquiry. Provide a detailed schedule of events and describe each activity with its inputs and outputs and the interrelationships and interdependencies among the activities. Offerors shall identify risks, mitigations and opportunities associated with the plan. The Offeror’s approach should incorporate a timeline reflective of the Offeror’s estimate of the proposed work involved.
3.2 Element 2: Key Personnel
The following definitions apply: A “contingent hire” is an individual who has committed, under a signed letter of intent, inclusive of salary information, to being employed by the Offeror if the Offeror is awarded the contract. A contingent hire already has an offer accepted contingent on award. A “prospective” employee has not accepted an offer contingent on award.
For all proposed Key Personnel identified for Ordering Period 1, the Offeror shall provide a resume of the work assignments, training, etc., that demonstrates the key employee’s experience and specialized qualifications of each individual proposed. The number of resumes required for submission with an offeror's proposal is one (1) resume for each of the Key Labor Categories. Each resume shall contain, at a minimum, the following information:
• Employee name
• Years of employment experience in chronological order with corresponding beginning and ending dates including narrative description of duties and responsibilities.
• Current position, title, employer, corresponding beginning date (month and year), security clearance level, and letter of intent of employment.
• Educational history to include: institution name, degree, or certification earned to include the major or concentration, and year for all degrees or certifications earned.
The Government may check educational background to verify degrees or certifications received. Key personnel shall be either current employees or contingent hires. Offerors shall not propose a prospective employee for a key labor category.
Key Personnel Update Requirement- Offerors are obligated to advise the Government of changes in proposed key personnel staffing within 3 business days after learning of the change, even after submission of proposals. Pursuant to this requirement, following such notification to the Government, Offerors may update pricing and technical proposals only when the Government elects to establish a competitive range and conduct discussions with Offerors.
All contingent hires shall have a signed Letter of Intent submitted as Annex 2 to this volume. Salary information shall be redacted.
3.3 Element 3: Management Approach
3.3.1 Management Plan
Offerors shall address in sufficient detail the following:
(a) Adequacy of corporate management and resources to support the technical requirements of the solicitation. The role of the Offeror’s Corporate Program Manager (CPM) and Corporate Contract Manager (CCM) and how these functions are managed in the lines of communication shall be included.
(b) Proposed management roles of the Offeror’s proposed workforce and the lines of responsibility, authority, and communication through which the tasks will be managed for this requirement
(c) The plan for early identification of potential performance risks and proposed risk mitigation strategies.
(d) A description of, and implementation procedures for, the Offeror’s quality control plan for work products and cost/price control plan.
3.3.2 Usage of Teaming, Recruitment/Retention Plan
The Offeror shall address in sufficient detail the following:
(a) Subcontract Management Plan: The Offeror shall detail the level of subcontract effort expected and describe how their subcontractors will be selected and managed to ensure cohesive integration into the overall management approach. Offerors shall include a description of what knowledge and skills the Offeror will be acquiring through each subcontract and how the Offeror will leverage their strengths to increase value to the customer through technical leadership, quality assurance, and process improvement.
(b) Qualification/recruitment/retention plan and procedures that demonstrate how the Offeror will meet the minimum requirements of the SOW.
i. Offeror’s understanding and approach to meeting the requirement for available qualified personnel for all labor categories and security clearances and the challenges to recruiting and hiring of the pool of labor needed to do the work under this contract, backfilling vacancies upon receipt of Government authorization with qualified personnel (within 15-calendar days for key personnel; 30-calendar days for all other personnel), and how you plan to meet and overcome these challenges. Proposal shall identify and describe specifically each challenge and Offeror’s unique approach, in detail, to overcoming it;
ii. Offeror’s understanding and approach to the challenges of retaining personnel with specified/awarded qualifications at the 75% retention rate goal; and plan to meet and overcome these challenges, including an approach for minimizing risk of task incompletion when goal is not met. Proposal shall identify and describe specifically each challenge and Offeror’s unique approach, in detail, to retaining personnel.
4.0 VOLUME 4: PAST PERFORMANCE
4.1 Sources of past performance evaluation information include information provided by the Offeror in response to the solicitation, information obtained from questionnaires, and any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information Systems, Electronic Subcontract Reporting System, or other databases; the Defense Contract Management Agency; and interviews with Program Managers, PCOs, and Fee Determining Officials..
4.1.1 The Offeror shall complete the Past Performance Information Form (PPIF), Attachment P2, for each past performance reference (contract or delivery/task order) performed within five years of the solicitation release date.
The Offeror shall submit no more than three Past Performance Information Forms: of these, no more than one for each pricipal subcontractor, and/or no more than one from each JV team member. For contract references that contain delivery/task orders, additionally provide the work description(s) for each specific delivery/task order deemed relevant by the Offeror to this solicitation’s requirements. For contract references where the Offeror performed as a subcontractor, the Offeror shall clearly identify the applicable portion of the contract requirements that they performed. The Offeror shall submit written consent from its principal subcontractor(s) and JV team member(s) that will allow the Government to coordinate any past performance issues directly with the Offeror. If the Offeror does not submit the written consent, the Government will address any past performance issues directly with the principal subcontractor JV Team member and the Offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any principal subcontractor and JV team member that does not provide the written consent, the Offeror shall provide the name, address, phone number, and email address with whom the Government may address any past performance issues.
4.1.2 The Offeror shall provide a narrative in the Past Performance Information form in the “Contract Effort Description” area that clearly describes how each contract reference has relevant work effort that matches the relevancy definitions specified in Section M of the solicitation. Additionally, the Offeror shall provide one electronic copy of the Statement of Work (SOW)/Performance Work Statement (PWS) for each contract reference as Annex 2 to this Past Performance Volume.
4.1.3 The primary source of past performance information will be PPIRS. If a Contractor Performance Assessment Report (CPAR) exists for multiple years for the same contract/order, all periods of performance within the recenct period specified above, for that contract/order, will be used for evaluation. In the event a CPAR does not exist for a past performance reference, the Offeror shall submit a JSF Past Performance Questionnaire (PPQ) Attachment P4, to the Program Manager who is the Assessing Official.
The Offeror shall include instructions for the Program Manager to send completed questionnaires within two weeks of its receipt via email to Justen Brown Contract Specialist, at Email Justen.Brown@jsf.mil and Sheila Utz, PCO, at Sheila.utz@jsf.mil thereby allowing the customer approximately two weeks to complete their response.
All JSF Past Performance Questionnaires should be received by the Government concurrently with the Offeror’s proposal submission.
5.0 VOLUME 5: PRICE/COST PROPOSAL
If subcontractors are proposed, they shall provide the same information required for the prime contractor, unless otherwise noted below.
5.1 Volume Content:
This Volume shall contain a copy of Section B with the Contract Line Item (CLIN) and, for evaluation purposes, the Total Prices filled in using the estimated quantities value in the solicitation and the instructions below. Section B prices shall be completed as part of Volume 5 and provided separately in one digital data copy in MS Office 2010 Excel format. Offerors shall submit their cost/price proposal utilizing the Cost Summary Spreadsheet (Attachment P5). The Offer shall submit a fully completed Attachment P5 along with the requested narrative information.
Within all Excel spreadsheets, the Offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected.
All price/cost and price/cost supporting information shall be contained in Section B and the price/cost proposal. No price or pricing information shall be included in any other technical volume including cover letters. Offerors are responsible for submitting sufficient information to enable the Government to fully evaluate their price/cost proposal.
5.2 Ground Rules and Assumptions:
(a) As this is a competitive acquisition with adequate price competition anticipated, certified cost or pricing data in accordance with FAR 15.403-1 is not required. However, in the event that adequate price competition does not exist after receipt of proposals, the Government reserves the right to request additional cost or pricing data as necessary from both the Offeror and subcontractors. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2.
(b) The Offeror shall provide sufficient information to support its price/cost as well as an explanation of all ground rules and assumptions that affect the price/cost estimates.
(c) If subcontractors are proposed, they shall provide the same information required for the prime contractor, unless otherwise noted in the Price/Cost Information section below
5.3 Price/Cost Information:
Offerors shall submit their fully completed cost/price proposal utilizing the Cost Summary Spreadsheet, specifically the Detailed Cost Tab (Attachment P5). The spreadsheet shall be formatted to print on letter size (8.5 X 11) paper and shall be unprotected and unlocked, with formulae intact to show mathematical operations. The Offeror shall use the Detailed Cost Summary Tab to breakout total proposed costs by CLIN.
Complete Attachment P5, specifically the Prime Fully Burdened Labor Tab; detailing the fully burdened labor rates for all prime contractors and their subcontractor personnel. Fully burdened labor rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable. For subcontractor labor, the fully burdened labor rates shall be inclusive of any pass-through charges (e.g., subcontractor handling, fixed fee on subcontractor labor, etc.) applied by the prime contractor. Proposed fully burdened labor costs may be subject to the NAVAIR labor tripwire identified in Section M. Offerors that propose a fully burdened per employee labor cost exceeding the labor tripwire shall provide rationale in their cost proposal narrative section that justifies the reasonableness of the tripwire cost for the applicable employees.
Complete Attachment P5 Composite Labor Rates tab, (Composite Labor Rate and Fee Worksheets), detailing the average fully (composite) burdened labor rates for all prime contractors and their subcontractor/consultant personnel per labor category, as well as the hourly fixed fee rate for the contract (Reference Section B, B-1 and B-2). The Composite Labor Rates are defined as the total labor costs (the sum of both prime and all subcontractor costs) for the labor category divided by the total number of labor hours for that category. The fixed fee rate per hour shall be calculated as the total fee divided by the total number of hours for the ordering period. (Attachment P5 Composite Labor Rates tab required only from the Prime Offeror.)
(a) The Government is not soliciting any investments. However, in order for the Government to properly assess a proposed price/cost that appears low due to a corporate decision to absorb costs, e.g., lower than usual burdens or rates, the Offeror shall fully identify and explain any such investments.
(b) Direct/Indirect Rates: The Offeror shall submit Forward Pricing Rate Agreements (FPRAs), Collective Bargaining Agreements (CBAs), and Area Wage Determinations (AWDs) as applicable for all proposed personnel.
The Offeror shall identify whether the labor rates proposed are FPRAs, CBAs, AWDs, Administrative Contracting Officer ACO)/DCAA recommended rates (FPRRs), or Offeror proposed rates (FPRPs). The Offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows: A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor. The Offeror and proposed subcontractors shall provide the most current DCAA Provisional Billing Rate Approval Letter, DCAA Final Billing Rate Approval Letter, and/or DCAA Forward Pricing Rate Agreement recommendation, payroll verification for currently employed proposed personnel, and any other information necessary to substantiate the rates proposed. Payroll verification shall consist of a form containing the title, direct labor rate, and a signed certification by an authorized representative of the company that the information contained in the form is correct. For contingent hires, the offeror shall provide contingent offer letters outlining salary information for contingent hire employees.
The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at contract award. For any prospective hires, provide information to substantiate the rates proposed. All contingent hires shall have a letter of intent submitted under the Cost Volume (inclusive of salary information). The letter of intent is a separate written agreement signed by the potential employee(s) to work for the Offeror effective at contract award. Any proposed consultants shall have a consultant agreement substantiating the rates proposed. If a composite rate or other pricing methodology (e.g. cost estimating relationships) is utilized, the Offeror shall demonstrate how those rates were developed. Subcontractors and team members shall provide this information either separately or included in the Offeror’s submission of this document.
If any of the rates utilized by the Offeror or any subcontractors differ from the DCAA information and/or payroll verification, a justification shall be provided for the difference. If DCAA has not reviewed the rate information for an Offeror or one of its subcontractors, the Offeror must submit a detailed justification of the proposed direct and indirect rates. The Offeror shall also provide documentation verifying that it has a DCMA approved Accounting System in accordance with DFARS clause 252.242-7006, or state that it’s Accounting System has not been approved by DCMA. Offerors shall provide the last three (3) years of actual indirect information. The Government may compare a prospective Offeror’s labor category rate to the average labor rate from industry and/or to the BLS rate within the same geographic zone where the work is to be performed.
(c) The Offeror shall fully disclose the buildup of cost/price of each CLIN.
(d) When completing the Cost Summary Spreadsheet, specifically the Detailed Cost Tab (Attachment (P5)), the Offeror shall not utilize any fully burdened hourly rates when pricing the labor of its employees.
(e) This requirement is being set-aside for the Service-Disabled Veteran-Owned Small Business (SDVOSB) program. Provide a breakout to demonstrate how at least 50% of the cost of contract incurred for personnel for contract performance will be performed by the prime itself or other SDVOSBs for each period of performance in accordance with FAR clause 52.219-27. Cost of contract incurred for personnel includes direct labor cost, overhead that has only direct labor as its base, and the SDVOSBs’ General and Administrative rate multiplied by the labor cost.
(f) Provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for the cost elements listed below:
Direct labor rates by category. The Offeror is required to submit labor rates for all proposed current, contingent, and prospective hire individuals. If composite or category averages are proposed, provide a breakdown of how rates are developed. If necessary, provide a narrative to describe derivation of labor rates, use of uncompensated overtime, pools to which indirect rates are applied, and amount of proposed other direct costs. If the Offeror requires the use of consultants in performance of the effort, the consultant cost shall be captured under the appropriate labor CLIN, not the ODCs CLIN.
Escalation on labor. Offerors, including subcontractors, shall address escalation for all labor categories, and shall provide rationale for the specific escalation rate used. Offerors that do not include escalation, or an explanation as to why it is not included, may be considered unrealistically low and may have their proposals adjusted by the Government to include escalation in the outyears.
Indirect costs (e.g., Overhead, Fringe Benefits, General & Administrative (G&A), etc.) Provide historical/provisional billing rates for indirect rates for the last 3 years and description.
Information needed to explain the offeror’s estimating practices.
Profit/Fee. Identify profit/fee rate and total amounts proposed and identify the various cost elements to which the profit/fee is being applied. Profit, Base, Award, and Incentive fee rates, as applicable in Section B, must be clearly distinguishable. Profit/Fee shall not be applied to ODCs.
Other Direct Costs (ODCs) by specific cost element (e.g., Travel and Material). Reimbursement for Travel will be in accordance with FAR 31.205-46. If the Offeror proposes burdens on the Government provided ODC estimates, the Offeror shall provide a percentage breakdown of the Offeror’s indirect costs and burdens added to the Government estimates for any and all Cost Reimbursable CLINs in Section B.
When the Offeror elects to claim Cost of Money (COM) as an allowable cost, the Offeror must submit a COM form and show the calculations of the proposed amount.
5.4 Total Professional Compensation Plan:
The Offeror shall provide a Total Compensation Plan in accordance with FAR 52.222-46 for each proposed professional employee. The Plan shall include, but not limited to, the following items:
(1) The proposed direct labor rate for each professional employee proposed;
(2) The total cost of the proposed fringe benefits package for each professional employee proposed, including:
(a) list and brief summary of the benefits that make up the fringe package (e.g. vacation time, sick leave, stock, incentive plans, family leave, life insurance, severance pay, bonus plans, health insurance, holidays, location allowance, retirement benefits); and
(b) an itemization of the benefits that require employee contributions, and the amount of that contribution as a percentage of the cost of the particular benefit; and
(3) Data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used by the Offeror in establishing the total compensation structure.
5.5 GOVERNMENT FURNISHED INFORMATION

The Offeror shall utilize the estimated amounts provided by the Government for ODCs and include all applicable burdens. If it is the contractor’s accounting practice to apply (and invoice for) burdens with regards to ODCs, then the contractor shall propose the ODC amount plus the addition of the applicable burdens. If the contractor chooses not to burden ODCs, then the contractor shall propose an H-clause to establish that burdens will be unallowable for ODCs. NO FEE SHALL BE APPLIED TO ODCs.
5.5.2 Labor Hours
The Government estimate is 574,080 hours for the entire work effort, inclusive of options. A work-year is defined as 1,920 hours exclusive of holidays and leave. For evaluation purposes, the Offeror shall propose the labor categories/hours/BLS codes as outlined in Attachment P1. In order to obtain the most accurate BLS wage data, the BLS crosswalk is available at: https://www.bls.gov/soc/2018/crosswalks.htm . The crosswalk from the 2010 Standard Occupational Classification (SOC) to the 2018 SOC matches every detailed occupation from the 2010 SOC with the corresponding new 2018 SOC code(s) and title(s).

The Government expects to select one Offeror whose proposal offers the “best value” to the Government, using the trade-off method. “Best value” means the expected outcome of an acquisition that, in the Government’s estimation, provides the greatest overall benefit in response to the requirement.
