STREAMLINED ORERING PROCEDURE
Level of Effort (LOE) Orders will be issued under this contract using the following streamlined ordering procedures:
(a) For orders that are restricted to supplies and services priced under this contract, the following procedures shall be utilized:
(1) The PCO may unilaterally issue orders for supplies and services that are priced in Section B up to the IDIQ ordering Maximum defined in 52.216-19. In the event the contractor cannot perform in accordance with the terms and conditions and within the estimated cost of the order, the contractor shall:
(i) notify the PCO within five (5) working days
(ii) submit a proposal for the work requested in the order within thirty (30) working days of notification to the PCO,
(iii) Failure to arrive at an agreement shall be considered a dispute in accordance with the clause entitled "Disputes".
(b) Notwithstanding the Government’s right to unilaterally issue orders established in paragraph (a)(1), the PCO may attempt to pre-coordinate the level of effort with the contractor. In such instances, the PCO will
(1) Provide the contractor with a TO and an Independent Government Cost Estimate (IGCE). The IGCE is an estimate of labor hours by labor category utilizing the estimated and negotiated Composite Labor rates table below to calculate the total estimated cost for the proposed TO. The TO fixed fee is calculated using Section H Clause, H-2 FIXED FEE and Section G Clause, 5252.232-9510
PAYMENT OF FIXED FEE (NAVAIR).
(2) These Composite rates are estimates, and invoicing will be based upon actual costs incurred. Ceiling for Other Direct Costs (ODC) will be priced in accordance with the Government estimate. TOs crossing multiple years will be estimated by the Government using the composite rates for each year in proportion to the period of performance of the TO. The composite rates below are exclusive of fixed fee.
(3) Contractor response:
(i) If the contractor agrees that it can perform the TO within the parameters of the IGCE, the contractor shall sign and return the DD-1155 to the PCO within three (3) working days of receipt of the TO and the IGCE. If the requirement remains valid, a priced order will be issued to the contractor;
(ii) If the contractor does not agree with the TO and/or IGCE, the contractor shall submit a proposal to the PCO within five (5) working days of receipt of the TO and IGCE, addressing only the specific areas of difference in labor categories and/or hours in the IGCE. Once the differences are resolved between the PCO and the contractor, and the requirement remains valid, a priced order will be issued to the contractor. If the contractor fails to respond to the proposed order within five (5) working days of receipt of the TO, the PCO may unilaterally issue the TO or extend the deadlines above when in the best interest of the Government. In the event the parties fail to reach agreement, the PCO retains the right to issue a unilateral order as described in paragraph (a)(1).

Composite Proposed Fully Burdened Rate, Years 1 - 5
The average Fully Burdened Labor Rate per Hour is entered in the above table as proposed for each labor category during the applicable performance year (1-5) of the ordering period.
Numbers only are entered, in U.S. dollar format ($###.##) rounded to the nearest cent. Fully Burdened Labor Rates shall include direct labor cost, fringe, overhead, G&A, subcontractor pass-through rate on total cost, exclusive of fee, and should not include Fully Burdened Other Direct Costs (ODCs) such as Materials, and Travel. This would be the total labor costs (the sum of both the prime and all subcontractors) costs for that labor category divided by the total number of labor hours for that category to arrive at the average (composite) Fully Burdened Labor Rate per Hour.
SECTION C - DESCRIPTIONS AND SPECIFICATIONS
STATEMENT OF WORK (SOW)
1.0 SCOPE
The F-35 Joint Program Office (F-35 JPO) requires Administrative and Operational Contractor Support Services (CSS) in support of the full acquisition lifecycle (development, production, and sustainment) of the F-35 Program.
The range of Administrative and Operational Support Knowledge Based Services (KBS) fall under the four (4) primary Standard Occupational Labor Categories namely: Program Manager (11-1021), Program Analyst (13- 1111), Financial Analyst (13-2051), and Administrative Assistant (43-6011), which are defined in Attachment (2), Table A.2.4, Standard Occupational Code (SOC) Labor Category Table. These services are critical to the successful fielding of the F-35 mission capabilities. They will support the prediction of future upgrade costs of emergent technologies throughout the entire program life cycle, including deployment, sustainment, and ultimate disposal.
The F-35 program is subject to unpredictable variations in the level of effort (LOE) required to maintain and implement these complex and often competing efforts. The Contractor shall furnish the necessary personnel, skills, deliverables, and other services as required to perform tasks outlined in this SOW and in support of specific requirements defined at the Task Order (T/O) level.

3.0 Requirements
3.1 General Requirements
3.1.1 Compatibility - The Contractor shall maintain the capability to prepare documents and software packages compatible with the Government IT environment. The current operating environment required for this contract includes:
Microsoft Windows 10 Microsoft Project 2016 Microsoft Office Professional Plus 2016 Adobe Acrobat DC Internet access
The Contractor shall maintain the ability to interface with and transfer data to and from requiring office software applications and their upgraded versions. The Contractor shall maintain state-of the-art anti-virus software and ensure that all media are virus free when delivered. The Contractor shall be capable of Internet and LAN communications with the F-35 Joint Program Office (JPO). Contractor personnel shall be capable of maintaining real-time communications, both voice and data transfer capabilities, with the F-35 JPO during working hours whether at Contractor work site or on travel.
3.1.2 Work Location, Facilities and Telework
3.1.2.1 Work location: All contractor personnel will provide on-site support at the Government sites listed below for approximately 50% of the time, unless otherwise specified in a TO, IAW the telework requirements below.
Government site(s) include 200 12th Street South, 201 12th Street South, and 2521 South Clark Street in Arlington, Virginia (VA). Other operating locations are at Lockheed Martin Aeronautics Company at Lockheed Boulevard, Fort Worth, TX, and Wright Patterson Air Force Base, OH. Contractors performing on-site support will be provided (examples include but are not limited to: access to workspaces, telephones, printers, facsimile machines, copy machines, shredders, computers, and network access including web servers and applicable databases or other applications necessary to carry out assigned tasks.
3.1.2.2 Reserved.
3.1.2.3 Telework: The Contractor, upon notification to, and concurrence from, the Contracting Officer's Representative (COR) that the employees' work tasking is eligible for telework, may utilize alternate worksites/locations and telework to support continued performance of its contract in accordance with company policy. Contractor discretion is required when making alternate worksite and telework decisions based upon the nature of support provided by the employees. In the event telework is utilized, the Contractor remains responsible for performance, and compliance with any applicable cost accounting standards and contract cost principles / procedures.
3.1.3 Contract Status Reporting. The Contractor shall provide the following documentation.
3.1.3.1 Monthly Status Report: The Contractor shall provide an unclassified monthly report in accordance with the Contract Data Requirement list (CDRL A003). The report shall summarize (at a minimum) the following elements on any awarded T/O as appropriate:
Any information the Contractor determines to be mission essential;
Problems and shortfalls, identification of potential problems, and identification of any anticipated technical or funding shortfall or irregularity during the specified PoP;
Projected travel and Government approval status;
Summary of completed trips;
Quality Control activities completed and the outcome, including remediation plans for any issues;
Independent of Government input, activities during reporting period, by task, to include on-going activities, new activities, activities completed, deliverables submitted, number of deliverables returned as acceptable/unacceptable for quality, and number of late deliverables;
Summary of Contractor personnel gains, losses, and staffing status;
Government actions requested; and
Recommendations for change, modifications, or improvements in tasks or processes.
As part of the Contractor’s Monthly Status Report, the Contractor shall specifically discuss quality control
(QC) activities over the reporting period and planned activities for the next period. Information shall specifically address who conducted the QC, when the QC was conducted, how the QC was executed and what findings and corrective actions were taken. Trends over time and any QC feedback from the COR shall also be addressed.
3.1.3.2 Monthly Expenditure Report: The Contractor shall provide a Monthly Expenditure Report in accordance with the Contract Data Requirement List (CDRL B001). The reports shall be submitted based on the Contractor’s approved format, as long as the report properly identifies Contract Line Item Numbers (CLIN), Sub CLIN, and other funding lines. The report shall contain (at a minimum):
Information about Labor to include:
Employee name and company;
SOW Labor category and company labor category if different;
Monthly and cumulative hours worked;
Actual fully burdened monthly and cumulative hourly rate;
Corresponding contract ceiling rate;
Current monthly total and cumulative amount billed per employee;
CLIN and;
Total monthly and cumulative amounts invoiced and funds remaining for each CLIN.
Information about travel to include:
Travel Authorization Request identifier;
Approver name and approval date;
Invoice period;
Names of person(s) that traveled;
Dates of travel and total of number of trips;
Number of days per diem charged, per diem rate used, and total per diem charged;
Transportation costs; and
Total charges.
3.1.3.3 Weekly Activity Report – The Contractor shall provide a weekly Activity report in accordance with CDRL A003. This report is required only at the discretion of the Government Leads/TPOC. If required, the reports shall contain (at a minimum):
Progress of current and future tasks with completion status;
Identification of any issues that require Government interaction for resolution;
Strategic planning necessary to draft, review, revise, and deliver documents identified within individual subtasks; and
Support provided for capabilities demonstrations and conferences and other activities.
3.1.4 Work Schedule to include Compressed Work Schedule (CWS), holidays, and installation closure.
3.1.4.1 Work schedule: The Contractor shall provide the required services and staffing coverage during normal working hours. Core hours are between 0600 to 1800 each Monday through Friday (except on the legal holidays specified in paragraph 3.1.4.1.2). Contractor staff may be required to work beyond normal core business hours. In the event that additional hours must be worked, prior approval must be obtained from the COR.
3.1.4.1.1 Compressed Work Schedule (CWS): CWS is an alternative work schedule to the traditional five 8.5 hour workdays (which includes a 30-minute lunch) worked per week. Under a CWS schedule, an employee completes the following schedule within a two-week period of time: Eight weekdays are worked at 9.5 hours each (which includes a 30-minute lunch), one weekday is alternately worked as 8.5 hours (which includes a 30-minute lunch) and one weekday is not worked by the employee. The result is 80 hours worked every two weeks, with 44 work hours one week and 36 work hours the other.
The Contractor may allow its employees to work a CWS schedule provided the requirements of this SOW are met.
If the Contractor chooses to allow its employees to work a CWS schedule in support of this contract, any additional costs associated with the implementation of the CWS schedule vice the standard schedule are unallowable costs under this contract and will not be reimbursed by the Government. Additionally, the CWS schedule shall not prevent Contractor employees from providing necessary staffing and services coverage as required by the Government to the ACOR/COR.
3.1.4.1.2 Holidays: The Government observes the following holidays listed in 5 U.S.C. 6103(a): :

President’s Birthday, the third Monday in February
Memorial Day, the last Monday in May
Juneteenth, June 19
Independence Day, July 4
Labor Day, the first Monday in September
Columbus Day, the second Monday in October

Thanksgiving Day, the fourth Thursday in November
Christmas Day, December 25
With the exception of the events in section 3.1.4.1.3 below, the Contractor is permitted to observe the above Holidays in accordance with its corporate policy.
3.1.4.1.3 Installation Closure: When Federal facilities are closed by the Government, or when Federal employees are officially excused from work due to a holiday or a special event, severe weather, a security threat, or any other Government facility related problem that prevents Federal personnel from working at the Government facility, Contractor personnel assigned to work at that facility in support of such Federal employees shall follow their parent company’s policies.
While generally Contractor personnel may not perform work on-site at a Government facility without oversight from Federal personnel, in very limited circumstances, work being performed by Contractor personnel may be deemed mission essential and performance of such mission essential work may be authorized to continue at the Government facility despite the facility being otherwise closed for normal operations. The circumstances permitting work being performed by Contractor personnel to be deemed mission essential are extremely limited and generally only apply to performance of efforts related to public health, safety, or matters related to national security. The cognizant Contracting Officer must concur with any determination that work being performed by Contractor personnel is mission essential.
3.1.5 Other Direct Costs:
3.1.5.1 Travel: Travel shall be allowable when it is essential to the performance of the tasks detailed in this SOW.
The COR shall approve all (local and long distance) travel performed in support of this contract prior to the commencement of the travel. COR approval is also required for local travel expenses. Reimbursement for travel performed shall be in accordance with the Federal Travel Regulation prescribed by the General Services Administration (www.gsa.gov/federaltravelregulation) and the Joint Travel Regulation, Volume 2, DoD Civilian Personnel, Appendix A, prescribed by the Department of Defense. Travel may include general and administrative expenses, but shall not include profit. Travel authorization request (TAR) shall be submitted on Travel Authorization Form (Attachment 5).
3.1.5.1.1 Outside Contiguous US (OCONUS) Travel: The Contractor shall follow the guidelines as prescribed in the Foreign Clearance Guide (https://www.fcg.pentagon.mil/fcg.cfm) for DoD-Sponsored Contractors. The Contractor shall ensure that all OCONUS travel is approved by the COR prior to submitting the respective country clearance request via the Aircraft and Personnel Automated Clearance System (APACS) (https://apacs.milcloud.mil/apacs).
3.1.6 Subcontractors and Consultants: Provisions stated herein shall be clearly and effectively communicated to all subcontractors providing support under this contract. All provisions of this PWS/SOW shall flow down to subcontractors providing support under this contract.
3.1.7 Management of Contractor Personnel: The Government will neither supervise Contractor employees nor control the method by which the Contractor performs the required tasks. Under no circumstances will the Government assign tasks to, or prepare work schedules for, individual contractor employees. The Contractor shall manage its employees and guard against any actions that are of the nature of personal services, or give the perception of personal services.
3.1.8 Transition Out Strategy
The Contractor’s overall transition out strategy shall be built around maintaining the mission of the F-35 JPO with minimal impact, not only in terms of timeliness of performance but also to ensure that critical data and knowledge transfer occurs. Upon termination or expiration of the contract, the Contractor shall ensure an orderly transition of responsibilities, while minimizing impact to the operation. The Contractor shall submit a Transition Out Plan, to include the minimum elements listed below in accordance with CDRL A002.
- Work Turnover. The Contractor shall provide a plan of action to effectively transfer tasked work that is in process at the expiration or termination of the contract to the successor company. Establish and maintain effective communication with the incoming contractor or Government personnel for the period of transition via weekly status meetings.
- Quality Assurance. The Contractor shall provide a plan of action to ensure continuation of quality review processes during the transition period to the successor company.
- Risk Mitigation Strategies. The Contractor shall provide a plan of action to mitigate contract performance risks (quality and schedule) encountered during the transition period.
- Data/Information Transfer. The Contractor shall provide a plan of action for the efficient inventory and transfer of program data to the successor company.
3.1.9 Management and Staffing Plan – The Contractor shall provide a management and Staffing Plan in accordance with CDRL A002. The plan shall delineate how the Contractor plans to support this effort. At a minimum, the Contractor’s Management Plan shall include the following elements:
3.1.9.1 Management Plan portion:
Team organization structure, management roles and workforce structure, including lines of responsibility, authority, and communication through which all tasks will be managed;
Subcontractor management plan to include details as to how the subcontractors will be managed (if applicable) to ensure cohesive integration into the overall management approach; describe the integration of the teaming partners into the overall management approach; how and why selected subcontractor(s) were chosen; which knowledge and skills will be acquired through each subcontract; level of subcontract effort expected;
Task dependencies and interrelationships;
Cost management plan;
Resource management plan;
Plan of action to address Government Equipment transfer and track of equipment from the F-35 JPO Operations;
Risk management plan; and
Security Plan
3.1.9.2 Staffing Plan portion:
Plan to attract, train, and retain qualified personnel to meet SOW requirements;
Plan to ensure that all personnel have the applicable level of proficiency required for the specified LCATs and do not require remedial training to complete daily tasks, to include general proficiency for commonly used commercial programs, e.g., MS Excel, Word, and PowerPoint;
Labor category titles and functional responsibilities for all key and non-key labor categories captured in the SOW, to include employee name, current position title, and company; and
Qualification for key personnel to include education history and current level of security clearance and status (final, interim, or pending) in a redacted resume and a cross-reference matrix (qualification to SOW requirement).
3.1.10 Quality Control Plan (QCP) – The Contractor shall provide a Quality Control Plan in accordance with CDRL A002. The Contractor shall establish and maintain a QCP that ensures services are performed in accordance with this requirement, applicable laws and regulations, and best commercial practices. The Contractor’s QCP shall include, (at a minimum), a detailed approach for ensuring effective control and processes as well as a remediation plan for when a deliverable fails to meet standards. Additionally, QCP procedures hall be developed and implemented to meet/exceed all requirements of this SOW and any resulting T/Os to include mitigation of any unique risk(s).
3.1.10.1 The QCP shall discuss how invoice reviews shall be conducted, to include discussion on how the primes, subcontractor, and supplier supporting data shall be reviewed for consistency with contract requirements.
3.1.11 Kick-Off Meeting and Slides – The Contractor shall attend the contract Kick-Off Meeting and submit Kick- Off slides in accordance with CDRL A001. The Contractor slides shall capture (at a minimum) the following data:
Introduction of key personnel;
Roles and responsibilities;
Communication plan and lines of communication overview;
Schedule showing major tasks and milestones with start/completion dates;
Security requirements/issues/facility access procedures (if applicable);
Sensitivity and protection of information (if applicable);
Government Furnished Information (GFI) and Equipment (GFE) (if applicable);
Current status of transition-in plan (as proposed and approved by the Government); and
Any other information the Contractor deems pertinent.
3.1.12 Operations Security Plan – The Contractor shall provide an unclassified Operations Security Plan in accordance with CDRL A002 and the timelines captured in individual task orders. The plan shall summarize (at a minimum) how the Contractor will control critical program information, classified material, and sensitive data.
3.1.13 In-Progress Reviews – The Contractor shall conduct a formal IPR to be held semi-annually at the F-35 JPO in Arlington, VA or other location as may be specified by the COR. IPRs shall include the CO, COR, Technical Point of Contact (TPOC), other key Government personnel, and any additional Government and Contractor representatives deemed necessary by the PM. The IPR will provide a forum for Government review of progress, planning and issues related to all T/Os awarded under this ID/IQ. The Contractor shall document and email IPR minutes to IPR participants. IPRs shall include, at a minimum, the following: Schedule by task, previous period activities by task, financial overview and status, personnel overview and status, planned activities for next period by task, any risks, and issues/actions required by the Government.
3.1.14 Hiring Status Report – The Contractor shall submit a hiring status report in accordance with CDRL A003.
The report shall contain (at a minimum):
Personnel name per position;
Start date;
Vacant positions and estimated fill date; and
Other pertinent data concerning hiring actions the Contractor is taking to fill the position.
3.1.15 Transition-In Plan – The Contractor shall submit a transition-in plan based on a 45-day period in accordance with CDRL A002 for Government approval. The schedule shall capture (at a minimum) the following tasks:
Timeline for onboarding of personnel (to include subcontractor personnel if applicable) as captured in the staffing plan and shall include 10-business days for Government onboarding actions prior to Contractor starting performance;
Actions to be taken for completing required CONUS and OCONUS related training in accordance with this SOW or resulting T/O requirements and training required to obtain country clearances (as applicable); and
Proposed risks and the correlating mitigation strategies that the Contractor proposes to implement for successful performance.
3.1.15.1 The Contractor shall submit requested changes for Government approval as they are required. The approved transition-in plan will be used by the Government to plan onboarding, and any changes to the plan may impact the transition schedule.
3.1.16 Travel Authorization Request – The Contractor shall submit a travel authorization request using the Travel Authorization Form (Attachment 5) no later than ten (10) calendar days before the first travel date for CONUS travel or 30 calendar days for OCONUS travel for COR approval. The request shall include (at a minimum) the following data for COR approval prior to incurring any costs:
Contract Number;
Name of Traveler;
Dates;
Origin and Destination;
Owning PMO being supported;
Organization to be visited;
Purpose of Travel;
Estimated Airfare;
Estimated Lodging within regulatory limits;
Estimated Per Diem;
Estimated Ground Transportation;
Privately Owned Vehicle (POV) Use/Costs;
Miscellaneous Costs;
Justification as to why teleconferencing or video teleconferencing cannot be used;
Employee signature; and
Supported PMO Signature
3.1.17 Trip Report – The Contractor shall submit a trip report, in accordance with CDRL C001, that includes (at a minimum) the following data unless otherwise stated in an awarded T/O:
Personnel who traveled;
Dates of travel;
Destination(s);
Purpose of trip;
Cost of the trip;
Approval authority;
Summary of events, action items, and deliverables.
3.1.18 Problem Notification – The Contractor shall submit a problem notification report, in accordance with CDRL A004, that includes the following data for Government review and feedback:
Potential costs/schedule overruns/impacts;
Delay to delivery;
Assumptions upon which tasks were based that have changed or were incorrect;
Nature and source of the problem;
If Government action is required; and
When the action will be completed.
3.1.19 Level of Effort – The Contractor shall perform to the LOE as captured in the resulting task orders. The LOE Table will initially be provided by the Government upon award, and thereafter, managed between the Contractor and the COR as a deliverable (CDRL A003) throughout the life of the contract. The Contractor shall submit updates to the LOE Table no later than 30 calendar days after award and on the 15th calendar day of each month thereafter capturing the previous month’s activities on any awarded T/O. The Contractor shall not adjust the LOE Table without COR or CO approval.
3.1.20 45-Day Report – Within 45 calendar days after completion of the work under each T/O, the Contractor shall submit the following information in writing to the Contracting Officer with copies to the cognizant Contract Administration Office and to the DCAA office to which vouchers are submitted: (1) the total number of man hours of direct labor expended during the applicable period; (2) a breakdown of this total showing the number of man hours expended in each direct labor classification and associated direct and indirect costs; (3) a breakdown of other costs incurred; and (4) the Contractor’s estimate of the total allowable cost incurred under the T/O for the period. In the case of a cost underrun, within 45 calendar days after completion of the work under the T/O, the Contractor shall submit, the amount by which the total LOE and estimate cost of this contract may be reduced to recover excess funds.
3.2 Security
3.2.1 Citizenship Requirements: Only U.S. citizens may perform under this contract. If the Contractor cannot find qualified U.S. citizens to perform the work, the Contractor shall submit a citizenship waiver request with justification to the Government Security Office and COR. The waiver request should include:
a. The individual's name, date and place of birth, position title, and current citizenship.
b. A statement that a qualified U.S. citizen cannot be hired in sufficient time to meet the contractual requirements.
c. A statement of the unusual expertise possessed by the applicant.
d. A statement that access will be limited to a specific government contract (specify contract number).
e. A statement that the Contractor has obtained an export license for the information required to perform the contract.
3.2.2 Investigative Requirements:
Classified: Support personnel may require access to the following types of material:
Communications Security (COMSEC) equipment, approval, and compliance;
Secret Internet Protocol Router Network (SIPRNet);
Formerly Restricted Data (FRD);
Controlled Unclassified Information (CUI) and Systems;
Special Access Program (SAP);
North Atlantic Treaty Organization (NATO) information; and
Foreign Government Information
All Contractor personnel shall maintain a minimum security clearance eligibility of Secret throughout contract performance. Individual TOs may require additional security clearance requirements, depending on the nature of the task to be performed..
Contractor personnel shall require access to classified information in performance of this contract tup to and including Top Secret, with no classified materials being stored at Contractor facilities. The Contractor is responsible for ensuring that all personnel receive the requisite investigation and are favorably adjudicated in accordance with DoDM 5220.22, National Industrial Security Program Operating Manual. Contractor employees who fail to meet security clearance requirements may not access classified information or perform sensitive duties. In such cases, the Contractor employee may not perform on the contract.
The Contractor shall comply with security requirements specified in the DD-254 attached to this contract.
Information or data that the Contractor accesses shall be handled at the appropriate classification level. Unclassified information shall be handled in accordance with the appropriate designation (Controlled Unclassified Information;
Covered Defense Information). Distribution is authorized to the Requiring Office's Organization and supported Activity only. Other requests for deliverables under this contract shall be referred to the TPOC/COR of this contract for approval.
Controlled Unclassified Information including Covered Defense Information (meeting the definition of 48 CFR 252.204–7012(a)) generated and/or provided under this contract shall be marked and safeguarded as specified in DoD Instruction 5200.48, Controlled Unclassified Information (CUI) available at https://www.esd.whs.mil/Portals/54/Documents/DD/issuances/dodi/520048p.PDF. Any product containing Covered Defense Information shall be assigned a distribution statement (distribution statements B through F) using the criteria set forth in DoDI 5230.24 (Distribution Statements on Technical Documents); and have this statement displayed per DoDI 5230.24, Enclosure 3.
3.2.2.1 All positions that are designated to have a SECRET clearance are required to have a SECRET clearance for performance in that position; personnel may have an INTERIM SECRET clearance unless a Special Access Required (SAR) is required. All personnel must have required security clearance at the start of the TO Period of Performance (PoP) unless otherwise indicated in the specific TO. Positions designated as SAR must have a final SECRET clearance and be eligible for access under the SAP Nomination Process prior to onboarding. The Contractor is responsible for ensuring that all personnel receive the requisite investigation and are favorable adjudicated IAW DoDM 5220.22, National Industrial Security Program Operating Manual (NISPOM). Contractor employees who fail to meet security clearance requirements may not access classified information or perform sensitive duties. In such cases, the Contractor employee may not perform on the contract. There will be task orders under this IDIQ requiring security clearances at the time of contract award, at the Top Secret (TS) Sensitive Compartmented Information (SCI) level. Access to SCI and government SCI Facilities (SCIFs) will be required for specified billets. There are no SCI deliverables; however, personnel will be required to review SCI information, attend CI threat working groups, review threat briefs, and work in a combined SAP/SCI environment. Additional billets will be adjudicated through the NAVAIR Special Security Officer (SSO), if required.
3.2.2.2 The Contractor shall possess and maintain Facility Security Clearance at the Top Secret level commensurate with the contract DD Form 254 (DD-254), Contract Security Specification.
3.2.2.3 Contractor employees shall cooperate with Government investigative agencies conducting criminal or administrative investigations.
3.2.3 Common Access Card (CAC)/Public Key Infrastructure (PKI), System Authorization Access Request (SAAR- N).
3.2.3.1 SAAR-N: All Contractor personnel requiring access to Government Information Technology (IT) systems shall have an approved System Authorization Access Request (SAAR-N) Form OPNAV 5239/14 (Rev Sep 2011) on file, and complete required Annual Information Awareness Training. New employees must submit their SAAR forms within thirty (30) days of their first day of work. SAAR-N forms shall be submitted to the Contracting Officer’s Representative (COR), Government Technical Point of Contact (TPOC), or to the assigned government Trusted Associate Sponsorship System (TASS) Trusted Associate.
3.2.3.2 Common Access Cards (CAC) / Local Badges: Contractor CACs and facility specific identification badges will be issued by the Government to on-site Contractor personnel and shall be visible at all times while personnel are at the Government site. The Contractor shall furnish all requested information required to facilitate issuance of identification badges and shall conform to JPO policy. All CACs and identification badges issued to Contractor employees shall be returned to the Government Security Department at the Government site in accordance with JPO policy following completion of the contract, relocation or termination of an employee, or upon request from the Contracting Officer’s Representative. The Government will provide the Contractor access to Government facilities, as required, for performance of tasks under this contract. Contractor personnel shall comply with JPO policy.
3.2.3.3 DD-254: The Contractor shall comply with security requirements specified in the DD-254 attached to this contract. Information or data that the Contractor accesses shall be handled at the appropriate classification level, unclassified information shall be handled as “For Official Use Only”. Distribution is authorized to the Requiring Office’s Organization and supported Activity only. Other requests for deliverables under this contract shall be referred to the TPOC and/ or COR of this contract for approval.
3.2.4 Information Security. If the work is performed at the Contractor's facility, the Contractor shall implement and maintain security procedures and controls to prevent unauthorized disclosure of classified information and controlled unclassified information (CUI) and to control distribution of CUI in accordance with DoD 5220.22-M (NISPOM), and SECNAV M-5510.36. If the work is performed at the Government's facility, the Contractor shall comply with JPO policy.
3.2.4.1 Marking: All information generated by the Contractor shall be properly marked. For Official Use Only information generated and/or provided under this contract shall be marked in accordance with DoDM 5200.01.
Technical information shall also be marked with appropriate Distribution Statements and Export Control warnings in accordance with DoDD 5230.24 and program Security Classification Guidance
3.2.4.2 Public Release for Classified and Unclassified Information: Proposed public releases shall be submitted for approval prior to release to the respective NAWC, NAVAIR HQ or PEO level PAO prior to release.
3.2.4.2.1 No information pertaining to this contract shall be released for public dissemination, including posting to any social media sites, such as Facebook or Twitter, unless it has been approved for public release by the appropriate U.S. Government authority. Proposed public releases shall be submitted to the CO for approval prior to release in accordance with clause 252.204-7000.
3.2.4.3 Loss, Compromise and/or Electronic Spillage of Classified or Controlled Unclassified Information: All instances of loss, compromise and electronic spillage of classified or controlled unclassified information shall be reported to the COR, TPOC and Government Security Office within 24 hours of the incident occurring.
3.2.5 Operations Security (OPSEC): The Contractor shall develop, implement, and maintain an OPSEC program to protect controlled unclassified and classified activities, information, equipment, and material used or developed by the Contractor and any subcontractor during performance of the contract. The Contractor shall be responsible for the subcontractor implementation of the OPSEC requirements. This program may include Information Assurance and Communications Security (COMSEC). The OPSEC program shall be in accordance with National Security Decision Directive (NSDD) 298, and at a minimum shall include:
Assignment of responsibility for OPSEC direction and implementation.
Issuance of procedures and planning guidance for the use of OPSEC techniques to identify vulnerabilities and apply applicable countermeasures.
Establishment of OPSEC education and awareness training.
Provisions for management, annual review, and evaluation of OPSEC programs.
Flow down of OPSEC requirements to subcontractors when applicable.
While performing at Government sites, the Contractor shall:
Comply with facility OPSEC program instructions and contribute to organization-level OPSEC efforts.
Include OPSEC as part of its ongoing security awareness program and take all required Agency training.
Be responsive to the Supporting OPSEC Manager on a non-interference basis.
Protect sensitive unclassified information and activities, which could compromise classified information or operations, or degrade the planning and execution of operations performed by the RO and Contractor in support of the mission.
3.2.6 Anti-Terrorism Force Protection and Emergency Management: The work performed on this contract may be Emergency Essential in accordance with OPNAVINST 3440.17A and Government Emergency Management, Antiterrorism and/or Continuity of Operations Plans. Contractor personnel shall comply with all Government Emergency Management, Antiterrorism and/or Continuity of Operations Plans and directives. Contractor personnel shall not report for work at Government facilities upon declaration of Force Protection Condition CHARLIE or in any event or emergency where Government officials direct curtailment of operations to “Mission Essential Only”.
All Contractor personnel assigned to a government facility shall complete annual Antiterrorism (Level One) and Active Shooter training.
3.2.7 Proprietary Information Agreements. The Prime Contractor and subcontractors shall obtain, and continue to maintain throughout the life of the contract, Proprietary Information Agreements (PIAs) with each of the critical F- 35 Prime and subcontractor firms as well as commercial technical information relationships with all key F-35 U.S.
and foreign Contractors. These agreements allow Contractors to share sensitive internal design documents, models, and projections. The Contractor shall have PIAs with Lockheed Martin Aeronautics, Pratt & Whitney, Northrop Grumman Air Combat Systems and Northrop Grumman Electronic Systems within 60 calendar days of the start of the transition period. A list of additional required PIAs may be given to the Contractor after award and the agreements shall be in place on an as needed basis.
3.2.8 Transition/Mobilization. The Contractor shall submit a transition-in plan, in accordance with Section 3.1.5, based on a 45-calendar day transition period, detailing tasks for assuming contractual responsibilities within 45 calendar days after award. The plan shall capture how the Contractor will fully cooperate with outgoing personnel for assumption of contractual responsibilities. The transition plan shall contain clear, detailed descriptions of how the Contractor will interface with the Government and existing Contractor personnel, what steps the Contractor will accomplish to assume responsibility for performance.
Note: The Government requires a minimum of 10-business days after submission of a proposed candidate to complete on-boarding approval actions for Contractor personnel. The Contractor shall ensure this timeframe is considered in their transition-in plan.
3.2.8.1 The Contractor shall provide the CO written notification within five (5) calendar days when the Contractor becomes aware of a pending employee resignation or dismissal regardless of the circumstances. All funded positions shall be filled in accordance with the Contractor’s approved transition-in plan. The Contractor shall strive to maintain a 75% retention rate goal for all positions throughout each respective PoP, starting on the first day after the approved transition period or on the day of T/O award, as applicable. Any vacancies realized after the transition-in phase shall be filled within 15-calendar days for key personnel and 30-calendar days for all other personnel in accordance with government approval process. The timeline mentioned in this paragraph does not include the 10-business day onboarding requirement as stated in paragraph 3.2.8 (note).
3.2.8.2 The Contractor shall submit a transition-out plan, in accordance with section 3.1.8, 90 calendar days prior to the end of the PoP based on a 45-calendar day transition-out period, detailing tasks for relinquishing responsibilities to the Government or a new Contractor. The plan shall capture how the Contractor will fully cooperate with incoming personnel for relinquishing of contractual responsibilities.
3.2.9 Contractor Quality Control. The Government will evaluate the Contractor’s performance under this contract and respective task orders in accordance with the Surveillance Activity Checklist, Attachment 3. The principal evaluator of Contractor work quality is the Government COR/ACOR in coordination with TPOC/Alternate TPOC (ATPOC). This plan is primarily focused on what the Government must do to ensure that the Contractor has performed in accordance with the performance standards. It defines how the plan will survey, observe, test, sample, evaluate, and document the Contractor’s performance standards identified in this SOW and resulting T/Os.
3.2.9.1 The Contractor shall develop and maintain an effective ID/IQ quality control program (QCP) to ensure services are performed in accordance with this SOW. The Contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The Contractor’s quality control program is the means by which the Contractor assures that work complies with the requirement of this SOW and resulting future T/Os.
3.2.9.2 The Contractor shall monitor cost, schedule and performance data for each awarded T/O. The Contractor shall make its monitoring method available to the Government no later than 30 calendar days after ID/IQ contract award as part of its QCP. The Contractor shall take immediate corrective action for any negative variances and provide specific corrective action details to the Government.
3.2.9.3 The Contractor shall maintain records of inspection that are available to the Government throughout ID/IQ contract performance and for the period after ID/IQ contract completion until final settlement of any claims under this contract. The Contractor shall maintain the inspection schedule and inspection plan as part of the record of inspection.
3.2.9.4 The Contractor shall permit the PCO or COR authorized access to all work areas, records, and data used in the performance of contracted services. The Contractor shall provide support, and not interfere with the PCO, CORs, state, federal, and other designate personnel in the performance of their official duties. Access shall be provided as soon as possible, but not to exceed one (1) workday after the request. The Contractor shall notify the Government immediately when personnel/agencies other than those specifically designated request access.
