About this file

This document is a Transition Agreement for the Massachusetts Department of Transportation (MassDOT) Service Plaza Operator procurement, which outlines the transition process for a new service plaza operator to take over management of 18 service plazas across Massachusetts. The agreement covers the transition period from the effective date until January 1, 2026, with a phased approach dividing the service plazas into two groups: Group 1 (14 plazas) to be transitioned on January 1, 2026, and Group 2 (4 plazas) to be transitioned on July 1, 2027. The document details the operator's responsibilities during the transition period, including preparing a comprehensive Transition Plan, conducting site investigations, ensuring continuity of services, and developing a Master Revitalization Plan for the service plazas.

The agreement specifies numerous conditions that must be met before the lease can be fully executed, including MassDOT's approval of various plans such as the Transition Plan, Master Revitalization Plan, Operations and Maintenance Plan, Safety and Security Plan, and Concessions Plan. The operator must also obtain necessary insurance, performance bonds, and title insurance, and provide surveys and other documentation. The lease will have an initial term of 30 years with a potential 10-year renewal option, and the operator will be required to pay a Minimum Annual Guaranteed Rent and Percentage Rent based on gross retail sales. The procurement emphasizes additional objectives such as establishing an electric vehicle charging network, incorporating sustainable building strategies, and promoting diversity through a Supplier Diversity Program that requires spending at least 1% of contract sales with certified diverse businesses.
