About this file

The document is a Responses to Proposer Questions file issued by the Massachusetts Department of Transportation (MassDOT) for the Service Plaza Operator procurement, dated February 24, 2025. The document contains 92 questions and answers from potential bidders regarding the Service Plaza Operator RFP, covering topics such as Diesel Exhaust Fluid (DEF) tank specifications, utility services, property conditions, land areas, backup power requirements, signage, and demolition responsibilities. The questions were submitted between January 10 and February 13, 2025, with responses addressing technical details, ownership clarifications, and operational expectations for the 18 service plazas along Massachusetts highways.

Key responses reveal that MassDOT will own leasehold improvements, with the operator owning fuel equipment during the lease term, and EV chargers will be owned by MassDOT. The 11 Turnpike Service Plazas have 6,500-gallon DEF tanks installed in June 2019, and the operator will be responsible for revitalization improvements, including decommissioning existing operations and constructing new buildings. The operator must provide emergency backup power for life/safety purposes, and while existing generators will remain, full backup power is not required. MassDOT is not directly involved in property tax billing, municipal water capacity testing, or detailed fueling system repair records, instead directing proposers to research municipal records and provided reference documents in the Request for Information Documents (RIDs).

76 01/27/25 General Please provide us with current DEF volumes per site

Each of the 11 Turnpike Service Plazas have a 6,500-gallon above-ground Deisel Exhaust Fluid (DEF) tank. These tanks were installed in June 2019. All other Service Plazas do not have a DEF tank located at them.

77 01/27/25 General Please provide us with further information on how SDP reporting will be managed -will this be through a MassDOT platform or via alternative means

Please refer to the form of Lease to be issued via a future addendum. See also Section 1.6.6 of the ITP.

78 01/27/25 Question 17

RFP

responses

Please clarify if this means that the existing operators are currently undergoing environmental tests. Please provide us with the scope of the audit that the existing operators are following

The current lessee of the 11 plazas on the MassPike was obligated by its lease to provide an environmental audit of each ahead of the lease termination. It has provided audit reports. MassDOT and the lessee are in discussions over whether any further steps are required under the lease.

As the environmental audits become available they will be uploaded to the RIDs.

79 01/27/25 Question 28

RFP

responses

In order to confirm our financing proposal on the Service Plazas, we would like to confirm who MassDOT proposes will own the leasehold improvements (i.e. the revitalization improvements), as well as the moveable plan equipment (i.e. EV chargers, F&B equipment). Will it be MassDOT or the Operator?

MassDOT will own the leasehold improvements, except that it will not own the fuel equipment until the lease terminates. The Operator will own the fuel equipment during the term of the Lease. EV chargers installed by the Operator will be owned by MassDOT. Certain EV chargers installed by or for third parties may remain the property of those parties.

80 01/27/25 Question 53

RFP

responses

Please clarify whether the upfront cost of obtaining power will be bourne by MassDOT? The Operator agrees that the ongoing utility costs should be bourne by the Operator.

The costs of the initial buildout are to be borne by the Operator, but are capped based upon projected costs provided by Eversource. For future buildouts the terms of the Electric Vehicle Infrastrucutre Requirements will dictate what amounts of the costs to obtain power will be borne by the Operator.

81 01/27/25 Question 56

RFP

responses

Since zoning review and approval in each jurisdiction, if it may be required, could result in design changes specific to each jurisdiction as well as schedule and cost implications it is important to understand if we should anticipate zoning review and approval for each location. With reference to the response provided to RFI 56, should this be interpreted that Planning / Zoning Board do or do not interfere with MADOT’s ability to fulfill it’s essential government purposes?

This question poses a hypothetical question about municipal government that cannot be credibly answered because of the many forms of regulation that interference can take and because of the periods of time since previous construction efforts at the Service Plazas. MassDOT believes that its previous answer states the applicable law in this area.

82 01/27/25 General Can MassDOT confirm if the current operators of the 18 Service Plazas currently pay porperty tax?

MassDOT is not in direct receipt of any tax bill for the improvements. Proposers are encouraged to research municipal records.
