About this file
This document is a draft Lease and Concessions Agreement between the Massachusetts Department of Transportation (MassDOT) and an unnamed Operator for the management, operation, and revitalization of 18 service plazas along Massachusetts highways. The lease term is 30 years, with a potential 10-year renewal option, and involves a phased approach with 14 service plazas to be delivered on January 1, 2026, and the remaining 4 plazas on July 1, 2027. The Operator will be responsible for comprehensive services including food, beverage, convenience retail, fuel, diesel, and electric vehicle charging services. The Operator must design, construct, finance, and maintain the service plazas, with a focus on revitalization and creating high-quality traveler amenities.
The financial structure includes a Minimum Annual Guaranteed Rent and a percentage-based Operational Rent calculated from gross sales. The Operator must provide substantial upfront and ongoing financial commitments, including performance bonds, construction performance bonds, and payment bonds. The lease requires significant private investment in infrastructure and services, with the Operator bearing responsibility for environmental remediation, electric vehicle charging infrastructure, and maintaining high operational standards. The agreement includes a Supplier Diversity Program requirement mandating that the Operator spend a minimum of 1% of contract sales with certified diverse businesses. Additional requirements include implementing sustainable practices, marketing Massachusetts businesses, and ensuring continuous improvement of service plaza facilities and services.
