About this file

This document is a Lease and Concessions Agreement between the Massachusetts Department of Transportation (MassDOT) and an unnamed Operator for the management, operation, and revitalization of eighteen service plazas located along Massachusetts highways. The lease covers a 30-year term with a potential 10-year renewal option, commencing with a phased approach: fourteen service plazas will be transferred on January 1, 2026, and the remaining four plazas on July 1, 2027. The Operator will be responsible for comprehensive services including food, beverage, convenience retail, fuel sales, and electric vehicle charging, with a mandate to design, construct, finance, and maintain the service plazas according to a master revitalization plan.

The financial structure includes a Minimum Annual Guaranteed Rent and an Operational Rent based on a percentage of gross sales, with the Operator required to make significant capital investments in infrastructure and services. The agreement includes robust requirements for performance bonds, environmental remediation, and compliance with diverse business spending mandates. The Operator must invest in revitalizing the service plazas, incorporating sustainable strategies, and providing high-quality amenities, with specific performance standards for operations, maintenance, and customer service. Additional financial obligations include maintaining insurance coverage, establishing a renewal and replacement reserve account, and meeting stringent reporting and operational requirements. The contract emphasizes creating a modern, sustainable service plaza network that enhances traveler experiences while generating revenue for MassDOT.
