FAR 52.212-1 Instructions to Offerors—Commercial Items:

Additional Instructions:

Addendum

INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS

A.1. OVERVIEW

The proposal process will be a single phase effort consisting of a written proposal leading to the award of an Indefinite-Delivery / Indefinite-Quantity (IDIQ) contract. The Government intends to conduct a source selection in accordance with the competitive commercial source selection procedures contained in the Federal Acquisition Regulation (FAR) Part 12 in conjunction with FAR Part 15.

The Product Manager, Total Force Information Technology System (PdM TFITS), utilizing a firm fixed price contracting approach for each Task Order, is seeking potential Offerors with the capability to provide the services described in the Performance Work Statement (PWS). Under a PWS, the Government identifies the solicitation and program requirements and performance standards offering industry flexibility to develop cost-effective solutions and the opportunity to propose innovative alternatives meeting the requirements.

Note: Any reference to “solicitation” or “this solicitation” shall be deemed to include all exhibits and attachments thereto.

A.2. NOTIFICATION OF POTENTIAL ORGANIZATIONAL CONFLICT(S) OF INTEREST

The Offeror is reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, as either a subcontractor or as a prime Contractor under this competitive procurement. Of primary concern are those existing contractual arrangements in which a Contractor provides support to programs, operations or related activities for Marine Corps Systems Command, Program Manager, Information Systems and Infrastructure (PMM-110). General guidance may be found in FAR 9.505; however, this guidance is not all inclusive. The Offeror’s attention is directed to the "Organizational Conflict of Interest" (or similar) requirement which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current "support" contract(s) or for a period after completion of the "support" contract(s).

Notwithstanding the existence or non-existence of an Organizational Conflict of Interest (OCI) clause or similar requirement in current or completed contract(s), the Offeror shall comply with FAR 9.5 and identify whether an OCI exists and not rely solely on the presence of an OCI requirement.

Offerors shall review their existing contractual arrangements to determine whether they believe a potential conflict of interest exists, at any tier. If an Offeror believes a potential conflict of interest exists, the Offeror is required to notify the Contracting Officer (KO) within seven (7) calendar days of the date of this solicitation. The Offeror shall provide at this time: (1) the contract number and name and phone number of the Contracting Officer for the contract which gives rise to a potential organizational conflict of interest; (2) a copy of the requirement; (3) the statement of work (or technical instruction) from the existing contract; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; (5) a proposed mitigation plan; (6) and any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists. The Government may independently verify the information received from the Contractor. Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source. Any Offeror who is determined to have an Organizational Conflict of Interest that cannot, in the Government’s opinion, be mitigated, will be deemed ineligible to participate in the current competition and will have their proposal rejected.

The Government will notify an Offeror of any conflict of interest within fourteen (14) calendar days of receipt of all required information. Those Offerors deemed to have a conflict of interest may be ineligible for award. Failure to provide the information in a timely manner does not waive the Government's rights to make a conflict of interest determination. The Offeror is notified that proposal preparation and any expenditure is at its own risk and will not be reimbursed by the Government if it is determined that an organizational conflict of interest exists.

Any Offeror that proposes a subcontractor later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible subcontractor. The Government reserves the right to determine which Offerors continue as part of the evaluation through the normal source selection process.

A.3. FORMAL COMMUNICATIONS

All formal communications such as requests for clarification and/or information concerning this solicitation shall be submitted in writing to following addresses:

No information concerning this solicitation or requests for clarification will be provided via telephone.

A.4. ALTERNATE PROPOSALS

Offerors shall be limited to one proposal for this Solicitation. No alternate proposal(s) will be accepted.

A.5. INSTRUCTIONS FOR PREPARATION OF OFFERS

a. Purpose. These instructions prescribe the requirements for proposals and describe the approach for the development and presentation of proposal data. They are designed to ensure the submission of information essential to the understanding and comprehensive validation of proposals. Offerors are cautioned to follow the instructions carefully. It is an Offeror's responsibility to submit a well-written proposal, with adequately detailed information which demonstrates its clear understanding of, and compliance with, the solicitation requirements. The Offeror is responsible for including sufficient details to permit a complete and accurate evaluation of the proposal. Offerors shall confine their submission to essential matters, sufficient to define their offer, and provide an adequate basis for evaluation. Likewise, Offerors are cautioned against general, vague, or unsubstantiated statements, which prevent or render difficult the Government’s evaluation of the proposal. Statements such as “will comply,” or “noted and understood” without supporting narrative to define compliance are not acceptable. Further, a proposal that merely “parrots back” the requirements of the solicitation, but fails to provide the required approach to meeting the solicitation’s requirements, is not acceptable. Finally, the Government will not assume that an Offeror possesses any capability unless identified in the proposal. An offeror who was or is an incumbent for any of the contracts being consolidated in this effort is still required to, in its proposal, meet the requirements stated in this solicitation. An Offeror shall not, based upon the Offeror’s incumbency, presume the Government’s knowledge regarding its performance, capabilities, skills, etc.

THE GOVERNMENT RESERVES THE RIGHT TO REJECT ANY PROPOSAL THAT DOES NOT SUBSTANTIALLY COMPLY WITH THESE PROPOSAL PREPARATION INSTRUCTIONS.

b. Proposal Format. The Offeror shall submit its proposal in hard copy (one original and two copies) and electronic format (CD-ROMs), in accordance with the following instructions. Should a conflict arise between the material presented in any volumes and the CD ROMs submitted, the precedent for consideration of the proposal shall be within the written word contained in the original hard copy of the proposal.

1) Proposal Volume Breakout. All proposals shall conform to the following outline. Proposals not following this format may be considered unacceptable. Confine all information pertaining to each indicated topic to the appropriate volume and section. Offerors shall insert their company’s name in the filename. Examples below are for the ABC Company. a) Pages:

i. The definition of a page is a single side of paper with text, drawings, data, or similar content. Pages shall be 8.5 by 11 inches in size except for foldouts.

ii. Page and Line Numbering. The Offeror shall use a standard page and line numbering system to facilitate proposal references. Number consecutive pages within sections. Charts, graphs and other insert materials shall be page-numbered as part of the page numbering system. All lines of text shall be consecutively numbered within Volumes.

iii. Page Limitations. Page limitations are identified for each Volume/Section of the proposal, as described in Section A5 Table 1, above, and will be treated as maximums. If exceeded, excess pages will not be read or considered in evaluation of the proposal. Included in the page count are separate pages providing graphics, charts, illustrations and pictures. Page limitations will be checked utilizing the hard copies provided. Any Volume/Section violating limitations will be removed and any corresponding information within the CD ROM and any such information will not be considered in the evaluation.

b) Margins and Fonts: The text margins shall be no less than one inch. Text font shall be in Times New Roman or Arial Narrow, no smaller than 11 point. Font for tables, figures, and other graphics shall be no smaller than 8 point Times New Roman or Arial.

c) Foldouts: Foldouts count as two pages. Limit use of foldout pages to non-textual matter.

d) Volumes and Binding: Bind each proposal volume in three-ring binders. Individual sections should be removable and replaceable to the volumes. Each volume shall contain a title page, table of contents, and list of tables and figures for that volume. Should the Offeror need, each section may also contain a title page/cover, table of contents, table of figures, and list of figures. Pages only used specifically for title page, table of contents, list of tables and figures information, and glossaries of acronyms and abbreviations will not count against volume page limitations. Use tab separators to separate required sections within a volume. Tab separators do not count against page count. Number all pages and lines sequentially. Only material required for a specific section shall be in that section.

e) Electronic Proposals: Electronic proposal volumes (except for volume IV) shall be submitted in Adobe Acrobat, Portable Document Format (PDF), Version 10.0. All Volumes (except for volumes IV and V) can be submitted on the same CD-ROM.

The font size for text contained in embedded graphics (tables and illustrations) shall be no smaller than 8 point Times New Roman or Arial Narrow font. All Attachments will be counted against page limitations when applicable.

g) Compliance: Attempts to circumvent the intent of these limitations (condensed printing, oversize paper, extensive or unnecessary use of large foldouts, utilizing the incorrect volume to submit additional information, or other similar actions) may result in removal of such material from the proposal and its exclusion from the evaluation.

c. Cost and Pricing Information. No cost or pricing information of any kind shall be included in any volume except Volume IV, Price Proposal and Volume V, Contract Information.

In such cases, the proposal will be considered a “late submission” and treated in accordance with FAR 15.208

A.9. INSTRUCTIONS FOR PREPARATION OF PROPOSAL CONTENT

For this solicitation, there are two areas (micro vs. macro) of focus in regards to technical and management approach. The first area is the micro level of an offeror’s technical and management approach to support one system. The second area is the macro level of an offeror’s technical and management approach to supporting 15 systems under one contract. To accomplish an evaluation of these areas, the Government requires the following:

a. PWS Cross Reference Matrix. The PWS Cross Reference Matrix maps each requirement from the PWS to the appropriate place in the proposal (Vol, Sect, Page and Paragraph) addressing the requirement.

b. Volume I - Technical Approach Proposal.

1) Section 1 –Overarching PWS Technical Response

a) TrP. The Offeror shall provide a TrP in accordance with Attachment 1, Overarching PWS, paragraph 2.

b) PDSSP. The Offeror shall provide a PDSSP in accordance with Attachment 1, Overarching PWS, paragraph 3.

c) SDP. The Offeror shall provide a SDP in accordance with Attachment 1, Overarching PWS, paragraph 4.

In addition, the Offeror shall include a copy of its Capability Maturity Model Integration (CMMI®) Maturity Level III (DEV) Appraisal Disclosure Statement (ADS) confirming the Level III certification (or equivalent certification) of the Offeror’s organization that will be performing the work. If the Offeror does not have the appropriate CMMI Level III ADS noted above, the Offeror may demonstrate that it has an equivalent process model. The Offeror shall provide a description of how its processes are equivalent to those processes articulated by CMMI Maturity Level III (DEV); a description of any previous equivalent model-based process maturity appraisals performed, including an identification of the organizational entity and location where the appraisal was performed, the type of evaluation, the date of the award, and the level earned; and a list of past efforts where the Offeror demonstrated its effective use of such proposed equivalent process. The information provided must be sufficient to demonstrate that the maturity process proposed reflects the characteristics and level of quality that will satisfy the Government’s needs.

The ADS or equivalent must be from the Prime offeror and be for that specific division/location of that company. An ADS (or equivalent) from a subcontractor or team member is UNACCEPTABLE.

***The Offeror may provide their Capability Maturity Model Integration Maturity Level III (DEV) Appraisal Disclosure Statement (ADS), or equivalent certification, as an appendix to the SDP that is not included in the specified page count.

2) Section 2 – TRAP TOs Technical Responses.

In an effort to create a level playing field and reduce the advantage of any one incumbent, but at the same time promote the most realistic expectations of work to be performed underneath the consolidated contract for potential offerors, Marine Corps Systems Command (MARCORSYSCOM) developed the TFITS RFP Assessment Program (TRAP). TRAP is a FICTITIOUS automated information system (AIS) created for the sole purpose of evaluating Offerors’ proposals (technical and price) for this consolidated solicitation. TRAP does not exist in reality, however the design, performance, and characteristics created for TRAP reflect typical design, performance, and characteristics a successful Offeror would encounter in the performance of Transition, PDSS, and Software Development for the TFITS contracts underneath the consolidation effort. The TRAP documentation is encompassed in Exhibits 2(a), 2(b), and 2(c) of this solicitation.

In addition, to help assist any successful offeror, the Government has provided a medium to streamline the transition of the first real TFITS systems in a Government-Contractor team environment through the Post Award Orientation and Planning Task order. This task order provides the guaranteed minimum of the contract and will be the FIRST REAL TASK ORDER issued underneath the Consolidated Contract.

For each TRAP System TO (TRAP STrP, TRAP SPDSS, and TRAP SSDP) the following are required:

a) IMS. The Offeror shall submit an IMS for each TRAP Task Order PWS in accordance with each respective TRAP TO PWS (Exhibits 2(a), 2(b), and 2(c)), paragraph 4.

b) Annexes. The Offeror shall submit a TRAP-specific Annex (STrP, SPDSS, or SSDP depending on the Task Order PWS, i.e., Exhibits 2(a), 2(b), and 2(c). The TRAP-specific Annex shall be submitted in accordance with the respective TRAP TO PWS. For the TRAP SPDSSP TO PWS, please pay attention to the need for a technical refresh as well as meeting the performance metrics.

3) Section 3 – Post Award Orientation and Planning Response. The Offeror shall provide an IMS in accordance with Post Award and Planning Task Order PWS, Attachment 4a, paragraph 4. As noted above, this is a real task order and is not part of the fictitious TRAP system.

c. Volume II – Management Approach Proposal.

1) Section 1 – PMP. The Offeror shall provide a detailed PMP in accordance with the Overarching PWS, Attachment 1, subparagraph 5.1.

2) Section 2 – TRAP System TO TMPs. The Offeror shall provide a TMP for each TRAP Task Order PWS in accordance with each respective TRAP TO PWS (Exhibits 2(a), 2(b), and 2(c)), paragraph 3:

a) TRAP STrP TO

b) TRAP SPDSS TO

c) TRAP SSDP TO

3) Section 3- Post Award Orientation and Planning TMP. The Offeror shall provide a TMP for the Post Award Orientation and Planning TO and shall be in accordance with the Post Award Orientation and Planning TO PWS (Attachment 4a), paragraph 3.

4) Section 4 – Corporate Experience. The Offeror shall:

a) Describe its qualifications and detail its specific experience conducting work of the same and/or similar nature to that described in the RFP, Attachments 1 and 4a and it experience with work similar in nature to that required by TRAP Exhibits 2(a), 2(b), and 2(c). In its narrative, the Offeror shall describe its qualifications for being the TFITS Consolidated Systems Integrator (SI), including its:

i. Experience with providing SI work encompassing the integration and management of at least three (3) IT systems simultaneously within the same contract;

ii. Experience with recognizing and mitigating risks associated with managing a complex, consolidated IT SI effort;

iii. Experience with decreasing redundancies and minimizing costs among a portfolio containing similar efforts;

iv. Development of lessons learned from the experience and how those lessons can be applied to the PWS to minimize costs;

v. Experience with managing competing requirements and methods for determining prioritization of competing requirements, including working with the Government customer regarding these efforts; and

vi. Experience with providing creative solutions or innovations in achieving or exceeding customer objectives.

b) When providing the above information, the Offeror shall clearly demonstrate the correlation between the identified capability and corporate experience and the specific PWS functional areas (included in Attachment 1, paragraphs 3-7) to which such capability/experience applies. For the above section, the Government is only interested in the Offeror’s performance as a unit, and not in the performance of its individual members or subcontractors.

c) Provide at least three, but no more than five, examples of corporate experience information for active or completed “relevant/recent” (within the last 5 years) contracts/task orders and/or subcontracts that are directly related to the services identified in RFP, Attachments 1 and 4a and the type of services required by TRAP Exhibits 2(a), 2(b), and 2(c). For this section, while the Offeror may provide corporate experience examples from team members or major subcontractors (defined as those responsible for at least 10% of the work), at least two (2) of the corporate experience examples provided must be for the prime Offeror (as opposed to team members/major subcontractors). For each example, the Offeror shall:

i. Provide the project’s value, contract type, and start and completion dates;

ii. Provide a project description;

iii. Identify the prime or core team member that performed the work;

iv. Describe any creative solutions or innovations used to achieve or exceed customer objectives;

v. Describe the applicable prime/team member/major subcontractor’s role in the project and the challenges and lessons learned from the Offeror’s experience as the prime, team member, or subcontractor.

vi. Describe the integration of resources into the customer’s environment; and

FAR 52.212-2 Addendum Evaluation – Commercial Items

A.11. EVALUATION- COMMERCIAL ITEMS EVALUATION OF OFFERS

a. The Government will evaluate proposals in accordance with the Evaluation Section below.

b. In accordance with FAR 15.306(a), Offerors may be given the opportunity for clarification of certain aspects of their proposal or to resolve minor or clerical errors.

c. Any proposal that does not substantially and materially comply with all of the requirements of this solicitation may be rejected and not considered for further evaluation. Rejection of a proposal on this basis does not constitute creation of a “competitive range.” Substantially and materially comply includes, but is not limited to: 1) Equal Opportunity Compliance, 2) an acceptable Small Business Subcontracting Plan; 3) a complete compensation plan; and 4) proof of VETS 100 compliance.

d. The Government’s written evaluation will be based upon factors in Section A.13 below.

A.12. BASIS FOR AWARDS

a. The following conditions must be met in order to be eligible for award:

1) The proposal must comply in all material respects with the requirements of the law, regulation and conditions set forth in the solicitation.

2) The proposal must meet all mandatory solicitation requirements.

3) The Offeror must be determined responsible according to the standards of FAR Part 9, Subpart 1.

b. In accordance with 52.215-1 (included by reference in this RFP) the Government intends to evaluate proposals and award a contract without discussions with Offerors. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a technical and price standpoint. If the Government awards without discussions, any proposal that receives at least one factor rating of “Marginal” or “Unacceptable” will be unacceptable for award and will not be considered during the Best value trade-off.

However, the Government reserves the right to conduct discussions if the KO later determines them to be desired. If the Government decides to conduct discussions, then, in accordance with FAR 15.306(c)(1), the Government will establish a competitive range comprised of all of the most highly rated proposals. In setting this competitive range, the Government may determine that a proposal that receives a rating of “Marginal” or “Unacceptable” for any one, or any combination, of factors is not amongst the most “highly rated” proposals and may choose to exclude it from the competitive range.

Furthermore, in accordance with FAR 15.306(c)(2), if the KO determines that the number of proposals that would be in the competitive range exceeds the number at which efficient competition can be conducted, the KO may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

In addition, if after discussions are complete any proposal that receives at least one factor rating of “Marginal” or “Unacceptable” will be unacceptable for award and will not be considered during the Best value trade-off.

c. The Government anticipates a single award resulting from this solicitation. The contract award decision will be determined based on the Government’s evaluation of each Offeror’s complete proposal against the evaluation factors identified below. Award will be made to the Offeror whose proposal contains the combination of factors offering the best value to the Government within each category. Best Value award will be to the responsive and responsible offeror whose proposal, conforming to the solicitation, represents the best value to the Government price and other factors considered.

A.13. EVALUATION CRITERIA

a. Evaluation Areas, Factors & Relative Order of Importance

The Government will utilize the following evaluation non- price factors along with price to identify the best value proposal. The evaluation factors represent key areas of importance to be considered in the source selection decision. The factors have been chosen to support meaningful discrimination between and among competing proposals. The proposals will be evaluated against the Government’s requirements using the following:

· Factor 1 – Technical Approach

· Factor 2 – Management Approach

· Factor 3 – Past Performance

· Factor 4 – Small Business Participation While the evaluated price to the Government is a substantial area to be taken into consideration in the integrated assessment of offers, the non-price factors, when combined, are substantially more important than price. Nevertheless, Offerors should submit competitive pricing. Because this is a best value procurement, the Government may award to other than lowest price offer or to other than the offeror with the highest technical rating if the Source Selection Authority determines that doing so would result in the best value to the Government. However, the Government will not make an award at a significantly higher price to achieve only slightly superior performance capability.

Factors 1 through 4 are listed in descending order of importance, weighted as follows: Factor 1 is more important than Factor 2. . Together, Factors 1 and 2 are significantly more important than Factor 3. Factor 3 is significantly more important than Factor 4, and Factor 4 is the least important non-price factor. Elements within factors are not weighted.

b. Technical Rating Evaluation Processes. The technical rating reflects the degree to which the proposed approach meets or does not meet the RFP’s requirements through a qualitative assessment of a proposal’s strengths, weaknesses, significant weaknesses, deficiencies, omissions and/or risks. The adjectival ratings listed below will be applied ONLY at the Factor level; they will NOT be applied at the element level. Note: Technical ratings are merely guides for intelligent decision making. Thus, even if one or more Offeror received the same technical factor rating(s), the fact that the rating is the same does not indicate the proposals are technically equal or the same; qualitative distinctions may exist even between proposals that receive the same factor rating(s).

Table 4, Combined Technical/Risk Ratings

Rating
Description
Outstanding
Proposal meets requirements and indicates an exceptional

approach to and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Good
Proposal meets requirements and indicates a thorough

approach to and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable
Proposal meets requirements and indicates an adequate

approach to and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance.
