B.1 General This requirement is a 100% total small business set-aside. The Government intends to issue a single award Indefinite Delivery, Indefinite Quantity (IDIQ) contract. Hereafter, this IDIQ will be referred to as the “Basic Contract” while task orders issued under the Basic Contract will be referred to as “Order(s)”.
B.2 Order Type Preference
The type of order authorized under this contract is Cost-plus-Fixed-Fee Completion and Firm-Fixed-Priced.
B.3 Order Pricing

The Contractor is required to have an adequate cost accounting system for Cost-plus-Fixed-Fee Orders in accordance with FAR 16.301-3(a) (1). The Contractor will be required to submit a cost proposal with supporting information for each cost element, including, but not limited to, Direct Labor, Fringe Benefits, Overhead, General and Administrative (G&A) expenses, Facilities Capital Cost of Money, Other Direct Costs, and Fee consistent with their cost accounting system, provisional billing rates, and forward pricing rate agreements.
The Government will reimburse the Contractor for all reasonable, allowable, and allocable costs in accordance with FAR 31, Contract Cost Principles and Procedures.
Fixed Fee Amount: The Fixed Fee Rate for this IDIQ Contract and each subsequent Task Order shall be {Specified at Award}% of the Estimated Cost, less Facilities Capital Cost of Money (FCCM).

The Contractor may apply indirect costs to travel, not to exceed the specified rate, in accordance with the Contractor’s usual accounting practices consistent with FAR 31.2. The Contracting Officer will identify a not-to-exceed travel ceiling under a separate CLIN on the Order.
Q&A
Questions & Answers
• Q: As the potential Prime with the classification of an 8(a)/EDWOSB, does the same WOSB past performance (PP) requirements apply? (e.g., can we extend our PP beyond the 5-years?)
o A: No, we will not accept PP beyond the 5 years from the solicitation closing date.
• Q: Is $49,999,999.99 used as the value for corporate experience PP? Or, is PP against the NAICS code of $15,000,000.00?
o A: $49,999,999.99 is the max limit for the base IDIQ. The value of all task orders issued off the base IDIQ cannot exceed this value.
• Q: When submitting a subcontract as a PP, will the Government allow the PP to be sent to the customer and not the Prime contractor?
o A: Yes. Per the RFP: “If subcontractor experience is provided as part of the 3 of its most relevant contracts or efforts, the subcontractor experience will be given weight relative to the scope, magnitude and complexity of the aspects of the work under the solicitation that the subcontractor is proposed to perform. Therefore, the Offeror’s proposal shall detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform”
• Q: Can the Government help define weight in relation to teaming with a subcontractor and using their PP? If our subcontractor provides 2 of the PPs, and they have a workshare of say 49%, can you provide the weight against (prime contractor) as the prime in the response?
o A: Per the RFP, “subcontractor experience will be given weight relative to the scope, magnitude and complexity of the aspects of the work under the solicitation that the subcontractor is proposed to perform. Therefore, the Offeror’s proposal shall detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform.
o Q: Is the term “offeror” synonymous with all parties responding (Prime/Sub)?
o A: Yes. The offeror refers to the prime contractors submitting their proposals. It is the prime contractors’ responsibility to incorporate the work to be performed by the subcontractor in their proposal.
o Q: How much workshare does the WOSB prime have to perform? (e.g., Prime 51% and subcontractor
49%) o A: Clause 52.219-14 is incorporated by reference in this RFP. Please review.
o Q: Can you provide incumbent contract info if one exists?
o A: Contract number: HQ0147-14-D-0005, Contractor: CSRA LLC o Q: How many incumbent contractors are supporting the current contract?
o A: One.
o Q: How many target awards are anticipated in support of this contract?
o A: One or more.
o Q: On pg 24 of the RFP, it states the key personnel may include the Program Manager, Task Order/Project
Manager, Instructional Systems Designer (ISD) Senior, Quality Control Manager and Financial Manager. For the pricing volume, do you require labor category pricing for only these positions or do you require other labor categories to be included?
o A: The offeror shall propose in accordance with Price/Cost: Section L.
o Q: Can you provide information on what labor categories are needed under the SCA WD?
o Q: Is it to our understanding that the government will provide a pricing template with defined labor categories for the offerors to complete. Please confirm.
o Q: Page 14: In the RFP, it is mentioned that DAU has an Acquisition Learning Model (ALM). Can
DAU share this model when the RFP is released? Yes. See attached.
o Q: Page 15: In the RFP it states that DAU “utilizes Composica as its online curriculum authoring tool.”
Would DAU consider the vendor using other authoring tools such as Articulate 360 or Captivate?
o No. Vendor will be required to use DAU’s authoring tool. Currently Composica. Due to cost of implementing new software and learning asset maintenance difficulties, other authoring tool, not used by DAU, are not authorized.
o Q: Page 18 and 19, 3.2.1 Prototype and 3.2.2 Proof of Concept: How does DAU define the difference between a 3.2.1 Prototype and 3.2.2 Proof of Concept? Are both required for each product design?
o Ans: Prototype is the creation of a model with fully functional (including content) components
(usually module/lesson 1) whereas proof of concept demonstrates feasibility, an incomplete but acceptable demonstration of end product.
o Q: Page 19, 3.7 Video Production Support: Will DAU provide the professional actors and or identify staff to be part of the video? Will DAU provide the professional equipment required to produce these videos?
o Ans: No. Vendor must provide actors, equipment, and everything necessary for excellent quality and professional videos.
o Q: Page 23: 7 Key Functions. The RFP provides a list of key function personnel and then provides a definition for each one except for the financial manager. Can DAU provide a definition for this role?
o Ans: Financial Manager is removed from the RFP.

PAYMENT OF FIXED FEE
PAYMENT OF FIXED FEE UNDER CPFF TASK ORDERS (INDEFINITE DELIVERY, COST PLUS FIXED FEE)(For contracts w/ CPFF & FFP task orders) The fixed fee for work performed under this contract is $__*___ provided that approximately __**___ hours of technical effort are employed by the contractor in performance of this contract. Fixed fee shall be fixed at the task order level. The maximum fixed fee percentage that the contractor can quote in response to any CPFF task order solicitation is the fixed fee percentage that was proposed for the award of the contract calculated in the manner used for the proposal for the contract. In response to any CPFF task order solicitation, the contractor is free to propose a lower fee percentage rate than the maximum fixed fee percentage defined above.
The fixed fee payout rate under CPFF task orders will be calculated for each task order by dividing the total fixed fee amount for the task order by the estimated level of effort for the task order. If substantially fewer than the estimated hours established in the task order are employed in the performance of the task order, then the fixed fee amount for the task order shall be equitably reduced to reflect the reduction of work.
For CPFF task orders, the Government shall make monthly payments of the fixed fee at the fixed fee payout rate established for each task order per direct labor hour invoiced by the contractor. All payments shall be in accordance with the provisions of FAR 52.216-8, “Fixed Fee,” and FAR 52.216-7, “Allowable Cost and Payment.” The total of all such payments shall not exceed eighty-five (85%) percent of the fixed fee specified under each applicable delivery/task order. Any balance of fixed fee due the contractor shall be paid to the Contractor, and any over-payment of fixed fee shall be repaid to the Government by the Contractor, or otherwise credited to the Government at the time of final payment.
To Be Completed At Time of Award
PAYMENT OF FIXED FEE (CPFF COMPLETION-TYPE ORDERS)
The fixed fee payable under this task order is * provided that the contractor completes and delivers the end product or products, specified within the Performance Work Statement, within the estimated cost. In the event the specified end product(s) cannot be completed and delivered within the estimated cost, the Government may increase the cost without increasing the fixed fee. All payments shall be in accordance with the provisions of FAR 52.216-8, “Fixed Fee,” and FAR 52.216-7, “Allowable Cost and Payment.” The number of hours estimated to be required for the performance of this order is ** . The Government shall make monthly payments of the fixed fee at the rate of $ _***_ per direct labor hour invoiced by the contractor. The total of all such payments shall not exceed eighty- five (85%) percent of the fixed fee specified in this task order until such time that the specified end product(s) are completed, delivered, and accepted by the Government. Any balance of fixed fee due the contractor shall be paid to the Contractor, and any over-payment of fixed fee shall be repaid to the Government by the Contractor, or otherwise credited to the Government at the time of final payment.
If the contractor fails to complete and deliver the specific end product(s) meeting the requirements of the task order, the contractor shall not be entitled to any fee.
NOTE: For this clause, “*” represents the fixed fee for the order, “**” represents the estimated number of hours to perform the order, and “***” represents the fixed fee for the order divided by the estimated number of hours for the order.
PROFIT UNDER FFP TASK ORDERS
Profit for FFP task orders shall be established at the task order level and will be included within the firm fixed pricing of the task order. The maximum profit percentage that the contractor can quote in response to an FFP task order solicitation that is to be issued under an exception to the fair opportunity process is the fixed fee percentage that was proposed for the award of the contract calculated in the manner used for the proposal for the contract. In response to FFP task order solicitations issued under the fair opportunity process, the contractor may propose a lower or higher profit percentage than the maximum profit percentage defined above.
