(b) Limited rights data may be identified as such, pursuant to (a) above only if it pertains to items, components or processes developed at private expense. Nevertheless, it cannot be so identified if it comes within paragraph (b)(1) of the “Rights in Technical Data and Computer Software” clause.

At the request of the Contracting Officer or his representative, the offeror agrees to furnish clear and convincing evidence that the data, which will be so identified comes within the definition of limited rights data.

1.8 Discussions - To maximize the Government’s ability to obtain the best value, based on the requirement and the evaluation factors set forth in this solicitation, it may be necessary to conduct discussions. Discussions may be conducted either orally or in writing. The scope and extent of the discussions are a matter of contracting officer judgment as set forth in FAR subpart 15.306. Offerors may be restricted to a short turnaround (less than 24 hours) in responding to the contracting officer. Offerors should present their very best proposal as their initial proposal. Offerors are strongly advised to thoroughly examine their proposals for accuracy, complete documentation, clear explanations and compliance with all requirements of the solicitation prior to submission to the contracting officer.

1.9 Final Proposal Revisions - If discussions are conducted, final proposal revisions will be required in determining the award of the contract resulting from this solicitation. Offerors are advised that unsupported final proposal revisions may be penalized in the overall proposal evaluation, and an otherwise acceptable proposal could be placed in jeopardy. However, the Government reserves the right to award a contract without discussions or opportunity for proposal revisions, in which case, final proposal revisions will not be required.

1.10 Solicitation Requirements, Terms and Conditions - Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and PWS requirements, in addition to those identified as factors to be eligible for award. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.

2 Submission Requirements

2.1 – Administrative Documents

This part of volume I shall include:

1. Solicitation cover sheet with appropriate blocks completed by the Offeror

2. Acknowledgement of solicitation amendments pursuant to FAR 52.215-1 (if not previously acknowledged)

3. Representations and Certifications completed by the offeror in accordance with instructions contained elsewhere in this solicitation. If the offeror has completed all of the representations and certifications required by this solicitation in SAM in accordance with FAR 52.204-8 and DFARS 252.204-7007 ALT A, then the offeror need not submit the hardcopy Representations and Certifications.

4. Certificate of Proposal Participation

a. In the event any person who is not a bona fide employee of the offeror participates in the creation, formulation, or writing of any portion of the proposal, a certificate to this effect shall be included in the proposal which shall be signed by an officer of the offeror. Such certificate shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the offeror, and the portion of the proposal in which the person participated.

5. Offerors shall include Defense Contract Audit Agency’s (DCAA), or other federal audit agency’s, verification of an accounting system that has been audited and determined adequate for determining costs applicable to this contract in accordance with Federal Acquisition Regulation FAR 16.301-3(a)(1). To be eligible for award, the offeror shall include Defense Contract Audit Agency’s (DCAA), or other federal audit agency’s, verification of an accounting system that has been audited and determined adequate for determining costs applicable to this contract in accordance with Federal Acquisition Regulation FAR 16.301-3(a)(1). This is a PASS/FAIL requirement to be verified by the Government. Any offeror that does not meet this requirement on the proposal due date shall be deemed ineligible for award, and its proposal will not be further considered by the Government.

Factor 1 – Corporate Experience

The offeror shall demonstrate relevant corporate experience. Relevant corporate experience is experience within the past five years from issuance of solicitation that is the same as or similar to, the scope, magnitude, and complexity of the work described by this solicitation. If a solicitation amendment occurs, which extends the proposal due date, then the "recent" projects shall be within the last 5 years of the new proposal due date specified in the solicitation amendment.

To demonstrate its corporate experience, the offeror shall identify up to 3 of its most relevant contracts or efforts within the past five (5) years, and provide any other information the offeror considers relevant to the requirements of the solicitation.

Contracts/Efforts listed may include those entered into by a private firm, Federal Government and military customers for the same or similar services as described under this RFP. If a firm has no experience of the same or similar scope, size, and complexity of this requirement, the proposal will be rated Unacceptable.

All projects submitted shall have been underway for at least twelve months and either in progress or completed within the past five (5) years of the RFP closing date to be considered in the evaluation.

Offerors shall provide a detailed explanation demonstrating the relevance of the contracts or efforts to the requirements of the solicitation. Relevant corporate experience is experience (within the past five years) that is of the same or similar scope, magnitude (performing $5,000,000.00 annually), and complexity. If subcontractor experience is provided as part of the 3 of its most relevant contracts or efforts, the subcontractor experience will be given weight relative to the scope, magnitude and complexity of the aspects of the work under the solicitation that the subcontractor is proposed to perform. In addition, the subcontractor shall identify the percentage of effort relative to the total value of the contract. Therefore, the Offeror’s proposal shall detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform.

The offeror should complete a “Corporate Experience Form” (RFP Attachment 2) for each reference submitted. The form is an attachment to the solicitation. The forms will count toward the Volume I page limit described above. For additional information regarding a particular reference beyond that which will fit on the form, the offeror may continue onto another sheet of paper. Such continuation sheet(s) for submitted references will count toward the Volume I page limit. Relevant references submitted under the Corporate Experience factor will also be considered in the evaluation of Past Performance.

NOTE: The Corporate Experience factor is defined by what relevant experience the offeror has gained under specific contracts within the five years immediately preceding the submission of its proposal; while the Past Performance factor, identified below, is defined by how well the offeror has performed over those five years. The primary focus of the Past Performance evaluation will be on those contracts identified in the proposal that are found to be relevant to the solicitation’s requirements.

3. Factor 2 – Past Performance The offeror shall demonstrate relevant past performance or affirmatively state that it possesses no relevant past performance. Relevant past performance is performance under contacts or efforts (within the past five years) that is of similar scope, magnitude (performing $5,000,000.00 annually), and complexity. Relevant corporate experience is experience (within the past five years) that is of the same or similar scope, magnitude, and complexity. Only a single set of up to three references shall be submitted.

NOTE: The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government. Additional past performance data may be obtained through the Past Performance Information Retrieval System (PIPRS), the Contractor Performance Assessment Reporting System (CPARS) or similar systems, other Government departments and agencies, program managers, contracting officers, and other sources known to the Government (including commercial sources). Offerors will be given the opportunity to address any negative performance information resulting from the past performance assessment inquiries.

The offeror should complete a “Past Performance Information Form” (RFP Attachment 3) for each reference submitted.

4. Factor 3 – Price/Cost

Volume II shall include the completed solicitation documents and a complete and detailed price/cost breakdown with all supporting documentation.

The Offeror must provide a summary description of the Offeror’s standard estimating system or methods, current policies, and/or new policies. The Offeror must state whether the estimating system and new policies have been reviewed by the Government and must provide evidence of review and/or Administrative Contracting Officer approval. The Offeror must provide any known/cited estimating system deficiencies and identify any deviations from the Offeror’s established/standard estimating procedures used in preparing this proposal. For known/cited estimating system or methods non-compliances, provide a schedule and description of corrective actions the offeror is taking to eliminate the non-compliance issues.

The Offeror must provide a summary description of the Offeror’s purchasing system or methods. The Offeror must state whether the purchasing system has been reviewed by the Government and provide evidence of review and/or Administrative Contracting Officer approval. The Offeror must provide any known/cited purchasing system deficiencies and identify any deviations from the Offeror’s established/standard purchasing procedures used in preparing this proposal. For known/cited purchasing system or methods non-compliances, provide a schedule and description of corrective actions the Offeror is taking to eliminate the non-compliance issues.

In accordance with FAR subparts 16.301-3(a) (1) and 9.104-1(e), the Offeror must use an accounting system that is adequate for determining costs applicable to the contract. The Offeror must provide a summary description of the Offeror’s accounting system and state whether it is compliant with Generally Accepted Accounting Principles. The Offeror must also state whether the accounting system has been reviewed and approved by the Government and provide evidence of the review and approval by DCAA / DCMA. The Offeror must provide any known/cited accounting system deficiencies and identify any deviations from the Offeror’s standard procedures in preparing this proposal. For known/cited accounting system or methods non-compliances, provide a schedule and description of corrective actions the Offeror is taking to eliminate the non-compliance issues.

The SSEB requires all offerors to provide data other than certified cost and pricing data using required Cost Worksheets tailored to conform to the offeror’s unique accounting system and rate structure. In addition to the required Cost Worksheets, the offeror must include an accompanying cost narrative to substantiate the cost realism for all elements. However, offerors must include subcontractor cost data on Worksheets:

Subcontractors and Composite Team. If necessary, the SSEB may require additional subcontractor cost data during discussions.

The government requires an un-sanitized proposal, with full cost information, for each subcontractor. If the prime offeror’s price volume does not contain full cost information for any subcontractor, the subcontractor must forward an un-sanitized proposal directly to the Government electronically no later than the closing date and time of the solicitation. When submitting directly to the Government, subcontractors must clearly identify the prime offeror and RFP to which its submitted cost data applies.

To facilitate an evenhanded assessment of the proposed price/cost volume, each offeror is required to submit a price/cost proposal that is suitable for evaluation. A price/cost volume that is suitable for evaluation must:

a. Comply with applicable Federal Acquisition Regulation (FAR), DoD FAR Supplement (DFARS), and governing statutory requirements.

b. Include the Pricing Template required by this RFP.

c. Explain in detail all pricing and estimating techniques.

d. Disclose the basis of all projections, rates, ratios, percentages, and factors in sufficient detail to facilitate the SSEB’s ability to mathematically verify these estimates and assess them for cost realism.

e. Include a narrative that explains all judgments inherent in proposed cost projections.

f. Provide any other specific information that may be beneficial in evaluation of the offeror’s price proposal.

In the event the offeror’s fiscal year and anticipated contract periods do not coincide, the offerors must provide a rate reconciliation to illustrate how the contractor fiscal year direct and indirect rates were blended to produce the rates utilized to develop the proposed Fully-Burdened Fixed Labor Rates (FBFLRs) on the Pricing Template.

Fully-Burdened Fixed Labor Rate Pricing (FBFLRs)

The successful offeror’s price volume will establish the contract’s table, or menu, of FBFLRs that covers all five years of the anticipated contract’s ordering period.

Offerors must understand that the WHS does not foresee, at this time, modifying the rate menu after contract award to add labor categories not priced during the competitive process.

The menu of competitively established FBFLRs will be incorporated in Section J or B of the contract. In the future, the successful offeror will respond to a Request for Quotation (RFQ) using these competitively established FBFLRs and fee rate. As a result, once a negotiated agreement is reached regarding hours and ODCs, these FBFLRs will be multiplied by the agreed to hours to establish the estimated cost for future task order CLINs. FBFLRs are only fixed for the purpose of establishing the total estimated cost of task orders.

These task orders will be CPFF completion form or FFP. Therefore, the actual cost of performing the task may differ from the estimate. The fee amount set at the time the task order is awarded will remain fixed.

Material and Other Direct Cost (ODC) (CLIN 0003 and 1003) and Travel (CLIN 0004 and 1004) will not be evaluated. The Government has established a ceiling amount to be inserted into Schedule B.

Using the Pricing Template, the vendor shall propose labor rates for each of the listed IDIQ labor categories.

The labor categories are defined in the Labor Category Descriptions, RFP Attachment 4, and will be incorporated each awardee’s IDIQ. The labor rates submitted by the vendor will be incorporated into each awardee’s IDIQ, and represent the maximum rates that the vendor may propose on FFP task orders.

Fully-Burdened Fixed Labor Rates (FBFLRs) and Pricing Template

In order to achieve standardization, the Pricing Template must be included in one workbook/file. This workbook must be automated to the greatest extent possible. The offeror must complete each worksheet.

The instructions for excel worksheets:

Fully Burdened Fixed Labor Rate (FBFLR): For purpose of this contract, FBFLRs are direct labor rates burdened with fringe, overhead, G&A, and other indirect rates, and subcontractor fee or profit. FBFLRs do not include prime offeror fee. A separate worksheet is required of each offeror (as defined in Section L.) On this worksheet, each offeror is required to demonstrate how the proposed FBFLRs were developed. Offerors must use the RFP labor categories along with the proposed direct labor cost per hour for each labor category. Next, the worksheet provides notional indirect rate columns for the burdening of the hourly direct labor cost. The offerors must tailor these columns to match its unique rate structure and cost accounting system. Only subcontractors are to apply fee/profit on this worksheet. The Prime’s fee is applied on Menu of FBFLRs worksheet.

Subcontractor Fully Burdened Fixed Labor Rates. The offeror must provide on this worksheet the subcontractor, RFP Labor Categories and the FBFLRs for all contract periods. The FBFLR may include subcontractor fee/profit.

Composite Team Fully Burdened Fixed Labor Rates. The offeror is required to use the first three columns to show the proposed team staffing approach for each RFP labor Category in terms of the prime/subcontractor labor mix. Next, the worksheet provides indirect rate columns for the prime to apply burden to subcontract cost if applicable and for the development of a Team Weighted average FBFLR. A notional example has been provided. Each offerors must tailor these columns to match its unique rate structure and cost accounting system. The Composite Cost per Hour developed on this worksheet must match the FBFLR entered in Menu of FBFLRs worksheet.

Menu of FBFLRs. This worksheet is required of the prime offeror only. The prime offeror must include on this Worksheet:

a. All Composite Team FBFLRs that were determined on the Composite Team worksheet.

b. The Proposed Fixed Fee Rate: Offerors shall multiply their proposed fee percentage to the total estimated price of the effort to arrive at the maximum total fee. The total fee will be divided by half of the total estimated hours to establish the hourly fixed fee rate for the life of the effort. (The government estimates that 50% of the task orders issued under this IDIQ will be CPFF task orders.)

Overhead or Other Indirect Rates. Offerors must provide the Forward Pricing Rate Agreement (FPRA) used to price indirect cost for this proposal or this worksheet. This worksheet must provide insight into the composition of the burden pool for the proposed indirect rates. Offerors must provide a separate worksheet for each of the proposed indirect rates. Offerors must include the cost history for the prior three years (if historical information exists) and must provide cost projections for the first two contract periods. The accompanying cost narrative portion must include an explanation of the basis for the projections and provide an explanation in support of any significant changes in either expenses or the base of application that changed from one year to the next. A few notional cost elements are included on the worksheet that represents the type of cost visibility the Government requires on this worksheet.

General and Administrative Expenses. Offerors must provide the Forward Pricing Rate Agreement (FPRA) used to price G&A cost for this proposal or this worksheet. This worksheet must provide insight into the composition of the burden pool for the proposed G&A rate. Offerors must provide a separate worksheet for each of the proposed G&A rates.

Cost Element Summary: Complete the tables described in the worksheet. As well as the Other Direct Costs (ODC) and Travel. The Offeror will not develop a proposed cost estimate for Material, Other Direct Costs (ODC) or travel. The government’s estimated Material, ODCs, and Travel costs required to perform the overall contract are shown as NTE amounts below. Any indirect charges applicable to the offeror’s Material, ODCs, and Travel cost shall be inclusive in the NTE amounts below. No fee is allowed.

This is a PASS/FAIL requirement to be verified by the Government. Any offeror that does not meet this requirement on the proposal due date shall be deemed ineligible for award, and its proposal will not be further considered by the Government.

2.0 Evaluation Criteria

2.1. Source Selection Decision - The Source Selection Authority (SSA) will select the proposal(s) considered the best value to the Government based upon an integrated assessment of the evaluation factors described below.

Adjectival ratings will be assigned to Factor 1. Past Performance will receive a performance confidence assessment rating. Cost/price will be evaluated for reasonableness and realism and will be considered as part of the integrated assessment of best value.

The Government intends to use the posession of DCAA certified cost accounting system as a pass-fail factor. If an offeror does not submit a signed letter certifying its possession of a DCAA certified cost accounting system, its proposal shall not be evaluated any further. Additionally, a “Marginal” or an “Unacceptable” rating under any factor or a “No Confidence” under the past performance factor shall render the entire proposal unacceptable and ineligible for award.

The non-cost/price factors, when combined, are significantly more important than cost/price.

2.2 Evaluation Methodology and Definitions - Each proposal will be evaluated against the solicitation and its stated evaluation factors for award. The Government’s Corporate Experience evaluation will focus on compliance with solicitation requirements and the proposal’s strengths, uncertainties, weaknesses, significant weaknesses, and deficiencies.

Outstanding (O) Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses.

Risk of unsuccessful performance is very low.

Good (G) Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Quotation contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Acceptable (A) Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Marginal (M) Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The Quotation has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is significant.

Unacceptable (U) Proposal does not meet requirements and contains one or more deficiencies. Risk of unsuccessful performance is high.

Note: To receive consideration for award, a rating of no less than "Acceptable" must be achieved. A marginal or unacceptable rating in the Corporate Experience factor will render an offeror ineligible for award.

Corporate Experience Evaluation Process. Corporate experience will be evaluated to determine the extent to which the offeror demonstrates experience with recent work of the same or similar scope, size (performing $5,000,00.00 annually), and complexity as the Learning Asset Development, Sustainment and Support services described in this solicitation. Recent work shall be defined as within the past five years from issuance of solicitation. If a solicitation amendment occurs, which extends the proposal due date, then the "recent" projects shall be within the last 5 years of the new proposal due date specified in the solicitation amendment.
