The following have been modified:

SECTION L

INFORMATION TO OFFERORS AND INSTRUCTIONS FOR PROPOSAL PREPARATION

L.1.0 Defense Information Systems Agency (DISA) Defense Enclave Services (DES), Indefinite Delivery, Indefinite Quantity (IDIQ) Contract

L.1.1. Contract Information

The following information is provided to guide proposal development:

L.1.1.1. This Request for Proposal (RFP) seeks competitive proposals, utilizing full and open competition and a best-value trade-off evaluation method (BVTO), to award a single-award IDIQ contract with Hybrid (FFP CLINs for labor), cost type CLIN for Travel, and surge, and a Labor Hour CLIN for emergency and/or urgent services.

Task orders can be any combination of FFP, LH, and Cost Reimbursement for travel and surge. The applicable North American Industry Classification System (NAICS) Code is 541512.

L.1.1.2 A Top Secret Facility Site Clearance from the Defense Counterintelligence Security Agency Facility Clearance Branch is required for this solicitation and contract. The DD254 is at Attachment 1. The work to be performed under this contract is up to the Top Secret (TS) level and will require Sensitive Compartmented Information (SCI) access eligibility for some personnel, to include subcontractors and Independent Consultants.

Personnel requiring TS/SCI clearance must possess a current INTERIM or FINAL TS/SCI security clearance granted by the U.S. Government. The Top Secret Facility Site Clearance is required at the time proposals are due.

An Offeror that does not meet this requirement will be removed from consideration and not evaluated. Please note that the Offeror named and submitting the proposal is required to possess the clearance. If the Offeror is a joint venture, partnership or other entity, that joint-venture, partnership or entity must possess the clearance to be eligible.

It is not acceptable for each company in the joint-venture, partnership or entity to possess the clearance individually.

L.1.1.3 Places of performance are worldwide. Work performed may be at either secure or non-secure sites.

L.1.1.4 The proposal shall describe the capability of the Offeror to perform the resulting contract. The proposal shall be specific and complete in every detail as well as be prepared simply and economically, providing a straightforward and concise description of capabilities to satisfactorily perform the contract.

L.2.0 General Instructions

L.2.0.1 This section of the Information to Offerors provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposal. The Offeror's proposal must include all data and information requested by the RFP and must be submitted in accordance with these instructions. The Offeror’s proposal shall be compliant with the requirements as stated in the IDIQ and Task Order 0001. Non-conformance with the instructions provided in this solicitation may result in removal of the proposal from further evaluation.

L.2.0.2 The proposal shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation solely on the information presented in the Offeror's proposal.

L.2.0.3 Elaborate brochures or documentation, detailed artwork or other embellishments are unnecessary and are not desired.

L.2.0.4 The proposal acceptance period is 180 days. The Offeror shall make a clear statement in Volume I - Contract Documentation that the proposal is valid through this date. Failure to do so, may result in removal of the proposal from further evaluation. See compliance statement section below.

L.2.0.5. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain an electronic copy of all unsuccessful proposals.

L.2.1 General Information

L.2.1.1. Point(s) of Contact

The Contracting Officer (KO) and the Contracting Specialist(s) (CS) are the sole points of contact for this procurement. Address any questions or concerns you may have to the KO & CS. Written requests for clarification must be sent to Adelis Rodriguez, Veronica Peters and Trang Tran at disa.meade.PLD.mbx.defense-enclave-services@mail.mil. This is the only email address that will be used for communications. Oral communications are not permissible. No telephonic communications will be permitted.

L.2.1.2 Debriefings

The KO will notify Offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR Subpart 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post- award debriefing. Offerors excluded from the competitive range are entitled to no more than one debriefing. The KO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR Subpart 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR Subpart 15.505 or 15.506, as applicable.

L.2.1.3 Discrepancies

If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the KO in writing with supporting rationale. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion; therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a cost/price and technical standpoint.

L.2.1.4 Electronic Reference Documents

All referenced documents for this solicitation are available on the Beta.Sam website at https://beta.sam.gov/.

Potential Offerors are encouraged to subscribe to Beta.Sam, for real-time e-mails notifying interested parties that solicitation information has been posted to the website. The Government will communicate all formal information regarding this solicitation via the Beta.Sam website. This is the only mechanism by which Offerors will have access to solicitation documentations released by the Government. It is the exclusive responsibility of interested/prospective Offerors to gain access to and retain an account with Beta.Sam. Any and all technical, connectivity, or other access-related issues (electronic or physical) regarding Beta.Sam must be directed to the mailto:disa.meade.PLD.mbx.defense-enclave-services@mail.mil

L.2.1.5 Communications

Exchanges of source selection information between Government and Offerors will be controlled by the KO. Email may be used to transmit such information to Offerors. Offerors shall provide a viable email address to be used by the Government for official correspondence.

L.2.1.6 Competitive Range Determination

The Government reserves the right to make award without discussions or to establish a competitive range. In the event a competitive range is established and the KO determines that the number of proposals that would otherwise be in the competitive range, exceeds the number at which an efficient competition can be conducted, the KO may limit the number of proposals in the competitive range to the greatest number that will permit efficient competition.

In accordance with FAR Subpart 15.306(c)(2), Offerors are advised that the competitive range may be reduced for purposes of efficiency.

L.2.1.7 Special Notice to Offerors

The Government's obligation under this contract for all option periods is contingent upon the availability of funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the KO for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the KO. The Government reserves the right to begin services for the contract based upon funds availability. The award will be based on the successful Offeror's proposal submitted in accordance with Section L herein and evaluated based on Section M.

Funds are not presently available for this effort and no award will be made under this solicitation until funds are available.

L.2.2. Organization / Number of Copies / Page Limits

The offeror shall prepare the proposal as set forth in the Proposal Organization Table below. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified. The contents of each volume are described in the information to offerors paragraph as noted in the table below. To the greatest extent possible, each volume shall be written on a stand-alone basis so that its contents may be evaluated with a minimum of cross referencing to other volumes of the proposal. Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. Each volume may contain a more detailed table of contents to delineate the subparagraphs within that volume. Table of contents do not count against the page limitations for their respective volumes.

Additionally, each volume may contain a glossary of all abbreviations and acronyms used, and with an explanation for each. Glossaries do not count against the page limitations for their respective volumes.

Proposals will be evaluated against the technical/management criteria defined in Section M, Evaluation Factors for Award. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying the subfactors. All the requirements specified in the solicitation are mandatory. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation. Offerors who simple rephrase or restate the Government’s requirement without providing convincing rational to address how the Offeror intends to meet this requirement will not be considered for award.

L.4.2 Format and Specific Content

L.4.2.1 Technical/Management Volume In the Technical/Management volume, address the proposed approach to meeting or exceeding the minimum performance or capability requirements of each technical/management subfactor, as well as the risks in your proposed approach in terms of technical/performance and/or schedule. The Offeror shall include in this technical/management proposal the technical/management approach for the IDIQ contract, as well as Task Order 0001. The proposal for Task Order 0001 will be evaluated in conjunction with the IDIQ proposal for the purpose of making the best value determination. The Government intends to award Task Order 0001 at the same time as the issuance of the IDIQ.

L.4.2.2 Part A – Table of Contents and List of Tables and Drawings

Submit a Table of Contents for Volume II and also include a list of Tables and Drawings utilized throughout the Technical / Management Volume.

L.4.2.3. Part B – Executive Summary

The Executive Summary of the entire proposal should be concise, to include addressing the significant risks, and highlighting any key or unique features, excluding cost/price. It shall define direct lines of control, responsibility, functional relationships, and authority among the organizational elements, including proposed teaming partners, subcontractors, and joint venture arrangements. An organizational chart may be included to illustrate the lines of control and relationships. The salient features should tie in with Section M evaluation factors/subfactors. Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal.

L.4.2.4 Part C and Part D

In order to be eligible for award, the Offeror’s proposal must sufficiently address all aspects of the SOO. The evaluation factors and subfactors located in section M will be used to evaluate each proposal. All other SOO aspects should be incorporated in the PWS, although not evaluated. The factors are listed in descending order of importance.

The Government will employ a two-step evaluation for this acquisition.

Part C

In Step One, the Government will evaluate the Offerors technical/management proposal against the “Acceptable / Unacceptable” factors listed in section M. Offerors who are rated as “Unacceptable” in any of the “Acceptable / Unacceptable” evaluation criteria will not be further evaluated under Step Two. Factor 1, Subfactor 3: Small Business Participation and Commitment factor, will be evaluated based upon the Offeror’s proposal to the Volume V, Part A.

Supply Chain Risk Management (SCRM) Section.

A determination has been made by the program office that the items or services to be procured under this RFP are subject to Supply Chain Risk Management (SCRM) controls as outlined in the PWS/SOW/SOO. As a result, the Offeror shall submit a detailed organization-wide SCRM plan as part of their proposal. Supply chain risks range from natural threats to counterfeit products and applies to quality, security, resiliency, and product integrity.

Mitigation plans to manage risks may involve logistics, cybersecurity, and financial management. The goal is to preclude undue risk to the Government and ensure supply chain continuity in the event normal business operations are interrupted. This evaluation factor will assess the adequacy of an organization-wide SCRM plan to identify threats to the supply chain, and provide mitigation strategies that will protect the Government’s interest.

If a SCRM concern arises after contract award, the Government will determine whether a continuation of the contract poses an undue risk to both the common defense and security to this nation.

In Step Two of the evaluation, the Government will evaluate the Offerors proposals against the best value tradeoff criteria.

Part D

Part D shall be specific and complete and provide the actual methodology and/or evidence proposed to accomplish/satisfy the factors/subfactors for Factor. In the Technical/Management Factor, address the proposed approach to meet or exceed the minimum performance requirements for each technical/management factor/subfactors. The proposal shall address any technical/management risk by identifying those aspects of the proposal you consider to have the potential for disruption of schedule, increased cost, technical performance, the need for increased Government oversight, and/or the likelihood of unsuccessful contract performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (e.g., PWS or specification requirements), whether or not those requirements are identified as subfactors. Offerors shall propose a realistic "work-around" or risk mitigation for identified risks that will eliminate or reduce risk to an acceptable level. Identify any new risks introduced by such risk mitigation. The proposal should not simply rephrase or restate the Government's requirements. Merely re-stating PWS requirements will be considered non-responsive and may result in the offeror’s submission being eliminated from further consideration. The Technical/Management Part D shall also contain the contractor’s mission-essential contractor services plan in accordance with DFARS 252.237-7023 CONTINUATION OF ESSENTIAL CONTRACTOR

SERVICES (OCT 2010).

The Government will use data provided by each Offeror in this volume and that the Government may use data obtained from other sources in the evaluation of past performance. (Note: Individual task orders under an IDIQ contract are each considered to be one (1) past/present performance effort.)

A maximum of one recent and relevant contract performed by an Offeror’s significant teaming partner or a significant subcontractor may be submitted. The Government considers a significant subcontractor or teaming partner to be a company which:

(1) provides 20% or more of the support required,

(2) provides a critical portion of the effort required, or

(3) influences the results of performance.

References for proposed subcontractors not considered significant are not desired and will not be considered relevant.

The Offeror shall provide the Past Performance Questionnaire and Cover Letter, Attachment 6, to each of the customer Points of Contact identified for each of the relevant past performance efforts. In order to expedite the assessment process, the Offeror may complete Sections 1 and 2 of the Past Performance Questionnaire for the convenience of the Points of Contact. The Offeror shall not, however, complete any other section of the Past Performance Questionnaire. Once the questionnaires are completed by the POCs, the information contained therein shall be considered Source Selection Information in accordance with FAR 2.101 and 3.104 and shall not be released to the Offeror. Past Performance Questionnaires submitted for any Offeror’s team member shall clearly indicate the name of the Offeror within the questionnaire. Early submission of the Past Performance Questionnaires is encouraged. Questionnaires shall be sent directly via email to the Contract Specialists, Veronica Peters, Trang Tran and the Contracting Officer, Adelis M. The Offeror is NOT required to provide a past performance questionaire if such evaluation is within the Contractor Performance Assessment Reporting System (CPARS). If a CPARS is available, a Past Performance Questionnaire (PPQ) is not required. If a formal evaluation is unavailable, submit information using the format contained in Attachment 6, Past Performance Questionnaire and Cover Letter. Offerors shall submit Past Performance Information on recent (active within the past three years from the date of this solicitation). For those efforts currently being performed, the Offeror must have been performing for at least six (6) months from the date of issuance of this RFP. Contracts/task orders that the Offeror considers most relevant in demonstrating their ability to perform the proposed effort.

Note: IDIQs, BPAs, and GSA Schedule contracts without any associated Task/Call Orders will not be considered in the past performance evaluation. Individual task orders under an IDIQ contract, BPA or GSA Schedule are each considered to be one (1) past/present performance effort.

Past performance references shall include rationale supporting your assertion of relevance. Pursuant to DoD Source Selection Procedures, the Government uses degrees of relevancy when assessing recent, relevant contracts. The past performance evaluation team will consider the performance quality of relevant and recent efforts for the second aspect of the past performance evaluation. Finally, the past performance evaluation team will review past performance information and determine the overall rating at the factor level as it applies to the performance confidence assessment. Ratings are identified in Section M.

If submitting the Past Performance Questionnaire, the Offeror shall complete section I and send it to the assessing official. The Offeror shall not, however, complete any other section of the Past Performance Questionnaire.

Questionnaires shall be sent back to the Offeror for inclusion in the proposal. Past Performance Questionnaires submitted for any Offeror’s team members shall clearly indicate the name of the Offeror within the questionnaire.

Note that unreasonably high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from the competition.

The Offeror shall complete both Attachment 8 (IDIQ Labor Rates) and Attachment 28 TO 0001 CLIN Structure.

Note the rates in the IDIQ are ceiling rates and they can be discounted for Task Order 0001 or any subsequent task order.

The total evaluated price will consist of the proposed price for Task Order 1, inclusive of all options and the option pricing for the additional 6-month period in accordance with FAR 52.217-8.

L.6.1.1. Price Reasonableness and Completeness

This solicitation is being made under anticipated conditions of adequate competition. This section is to assist you in submitting information other than certified cost or pricing data that is required to evaluate the reasonableness and completeness, of your proposed price. The Government will verify that all solicitation requirements have been priced, figures are correctly calculated, and prices are presented in a clear and useful format. Note that unreasonably high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition.

Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an Offeror’s proposal. Price submissions should be sufficiently detailed to demonstrate their reasonableness.

L.6.1.2 Price Information

Pricing information is required for each of the ten (10) years of the IDIQ’s ordering period and option pricing for an additional six-month period that may be authorized in accordance with FAR 52.217-8 "Option to Extend Services".

See FAR 52.217-8 which authorizes the Government to require continued performance of any services within the limits and at the rates specified in the contract. The pricing proposal should include separate line items for the additional six-month period in accordance with FAR 52.217-8. These prices shall be identical to the prices in effect on the last day of the contract before the 52.217-8 clause is exercised. The maximum order value is listed on clause 52.216-19; it includes all ordering periods under the IDIQ and the option pricing for the additional 6-month period.

Fully loaded labor rates for the IDIQ ordering period will be incorporated into Schedule B and related B-Tables upon Contract award and used as a capped ceiling rate for all fixed price orders placed against the IDIQ award.

L.6.1.3 Supplemental Price Information

Information beyond that required by this instruction shall not be submitted, unless it is considered essential to document or support the cost/price position. All information relating to the proposed price, including all required supporting documentation, must be included in the section of the proposal designated as the Price Volume. Under no circumstances shall this information and documentation be included elsewhere in the proposal.

L.6.1.4 Cost/Pricing Information Requirements

In accordance with FAR 15.403-1(b) and 15.403-3(a), data other than certified cost or pricing data may be required to support cost/price reasonableness. Information shall be provided in accordance with FAR 15.403-5.

Offeror shall provide whatever information is necessary to help the Government understand why the proposed prices are reasonable in its Cost/Price Narrative Document.

L.6.2 Part A – Cost/Price Narrative

The Offeror shall describe their methodology used to establish their cost/price. The Offeror shall provide information describing and detailing the evaluation it performed to determine the reasonableness of prices on hourly labor rates. Each Offeror's price proposal shall contain sufficient quantitative and narrative documentation necessary to adequately support and explain the prices proposed. This analysis shall be provided to the KO and may be submitted in accordance with the Offeror’s internal accounting procedures; there is no specified format. The prime Offeror shall also specify what type ofcontract (firm-fixed-price, cost-reimbursement etc.) is proposed for each subcontractor. For any subcontractor proposed at or above the Truthful Cost and Pricing Data threshold, the Offeror shall provide, or instruct the subcontractor to provide evidence of accounting system adequacy if the subcontractor is performing on any basis other than FFP or Time and Materials (T&M).

The price narrative shall provide whatever information is necessary to help the Government understand why the proposed prices are reasonable. Each Offeror’s price proposal shall contain sufficient quantitative and narrative documentation necessary to adequately support and explain the prices proposed, to include subcontractor proposed prices. It shall also include a summary descriptions of estimating, purchasing, and accounting systems; changes to estimating, and accounting practices.

L.6.3 Part B and C–Price Spreadsheet

The Offeror shall submit a labor rate schedule in accordance with Attachment 8 and a methodology for this factor.

Pricing shall not be provided in any other part of the proposal. The period of performance shall be one 4-year base period and three, 2-year option periods. Additionally, Offerors shall propose rates for a six month option extension if FAR Clause 52.217-8, “Option to Extend Services” is utilized. Offerors will propose rates based on one year increments. The yearly cycles will start on the date of award. No subcontractor rates are required or permitted.

In task orders, subcontractors fully burdened labor rates will be subject to the prime Offeror’s fixed price ceiling rates for fixed priced task orders/CLINs.

The Offeror shall input their proposed labor categories and labor rates into Attachment 8 in accordance with the description for each labor category provided by the Government in Attachment 27. Offerors shall input direct labor rates and indirect rates to include profit/fee. Indirect rates will be in accordance with Cost Accounting Standards.

Rates will be calculated for both Government-site CONUS, Contractor-site personnel, CONUS and Government Site OCONUS. Offerors will insert rates into Attachments 8 and 28 to calculate its proposed fully burdened labor rate for each labor category. Offerors shall apply their indirect rates in accordance with its Cost Accounting Disclosure Statement. DO NOT place hard coded numbers in the spreadsheet to calculate the fully burdened labor rates. See the “Instructions” tab in Attachment 8 and 28. The total fully burdened rate for each labor category will be the capped ceiling for that labor category for FP and LH task orders/CLINs for both prime offerors and subcontractors. This is the maximum rate for the labor category for use when proposing on FP and LH task orders/CLINs. Offerors may propose less than these rates on task orders/CLIN.

Offerors should assume a December 2021 start date. The hours and labor categories provided in the Excel workbook do not obligate the Government to acquire all of the labor categories or labor hours provided.

The Offeror must propose a CLIN 9999, Surge. The Government may require surge support in any task order. The Government is providing a percentage value to be used by all Offerors when proposing surge: surge support will be equal to 40% of the Offeror’s total proposed cost/price for the ten (10) year ordering period, excluding the six-month extension of services pursuant to FAR 52.217-8. Offerors are instructed to propose this EXACT percentage for Surge CLIN 9999. In the event the Government does elect to exercise the Surge Option, surge support will be realigned under new or existing CLINs for the relevant task areas identified in the PWS, and an equal amount will be deducted from Optional Surge CLIN 9999.

The Offeror shall use the estimated travel figures provided by the Government under the Pricing Summary tab as a plug amount in its price proposal for evaluation purposes only.
