21R0001 Questions

Number Document Reference Paragraph /Section

Questions/Comments

1) (Draft)_RFP_-_J41_Material_Management L.2.1 Q: L.2.1 states “The Government will evaluate this information for compliance will NOT be evaluated” – can the Government please clarify if this section will be evaluated for compliance only?

Government Response: Section L.2.1 is required to for the Contracting Officer to make a Contractor Responsibility Determination. Incomplete or missing information will deem the contractor non-responsive and therefore unawardable.

2) (Draft)_RFP_-_J41_Material_Management Section J Q: Please provide Attachments 5 and 6 prior to release of the final

RFP.

Government Response: Will be attached with final RFP release

3) (Draft)_RFP_-_J41_Material_Management M.1.2 Q: Please confirm that Factor 2 and all Sub- Factors should only be addressed within the Orals Presentation Slide Deck as a standalone document.

Government Response: All the information for Factor 2, and its sub-factors, shall be included in the oral presentation slide deck, and note section, as a standalone document.

4) (Draft)_RFP_-_J41_Material_Management 2.0

Q: SOW states: “The purpose of this contract is to provide up to 50 contractor support personnel” However, staffing excel table 4.1 shows 56 FTEs.

Please clarify correct FTE count.

Government Response: Number of personnel removed from SOW. Follow pricing template and table 4.1.

5)

Atch_3_-_TABLE_4.1_- _Personnel_Qualifications

Table 4.1 Q: Table 4.1 notes multiple certification requirements, in addition to education. Will the Government consider waiving the requirements for PMPs and specific DAU courses for candidates with extensive experience?

Government Response: Certification requirements can only be waived by the Contracting Officer or Contracting Officer representative on case base basis. The qualifications requirements for both SME III will not be waived.

6) (Draft)_RFP_-_J41_Material_Management L.1.5, L.2.1, L.2.2, L.2.3

Please clarify what the Volumes are entitled and include. Paragraph L.1.5 is not the same as L.2.1, L.2.2 and L.2.3. Ex - Are resumes required to be submitted with the Orals Presentation (Volume II)?

Government Response: See corrected section L. Volume I – IV are all required to be submitted.

7) (Draft)_RFP_-_J41_Material_Management 3.2 Q: The government states that “The contractor shall ensure personnel are fully trained to meet mission requirements on Day 1 of the period of performance” However, per the guidance in the Transition Plan, the contractor has 14 days to ensure fully qualified personnel with the requisite background experience are in place. Please clarify.

Government Response: Contractor will have 14 days from date of contract award to get qualified personnel the necessary clearances and screenings to begin work on day 1 of the period of performance. The Government anticipates awarding to allow for this transition prior to POP start date.

8) DRFP, Section I Page 29 of 56 Q: As this is a small business set aside, will the government remove FAR 52.230-2 Cost Accounting Standards and 52.240-6 Admin of Cost Accounting Standards? These would not be applicable to a small business procurement.

Government Response: Removed

9) DRFP, Section L (or Section M)

49 of 56 – Price Proposal Q: All other volumes have a Volume number. Is it correct to assume that the Price Proposal is to be named Volume IV to be consistent with other volume naming conventions?

Government Response: Correct, see correct Section L.

10) SOW Pg 7, Para. 3.4.1

“ensuring fully qualified personnel with the requisite background experience are in place no less than 14 days from contract award.”

and

“The Contractor shall provide monthly updates during the transition period to ensure the government is fully informed of the transition status and any issues that may be identified.”

Q: The current SOW language suggests that the awardee cannot have staff in place until 15 days after award. Should the SOW state “within 14 days from contract award”?

If the SOW is correct, How long is the intended Transition period if the government is requiring monthly updates?

We assume that the desired transition is 14-days post-award, negating the need for a monthly report during transition.

Government Response: Within 14 days from contract award.

11) SOW Pg 8, Para. 3.7: “Government furnished equipment shall include a government issued computer (desktop or tower), monitors, docking station (as applicable), power supply, UPS and all associated cabling.”

Q: In addition to the computers listed, will the government also be providing desks and chairs or is that also to be contractor furnished?

Government Response: The Government will provide a work space, with desk and chair, when the contractors are working within a Government facility.

12) SOW and DRFP Section L Multiple references to Task Order or TO

Q: Please clarify the references to “Task Order”.

Is this intended to be an IDIQ contract with FFP task orders?

If yes – please provide the instructions for the Task Order Process.

Government Response: Removed

13) SOW and Attach 4 Personnel requirements Q: Please clarify the number of personnel needed for this effort – SOW Para. 2.0 states up to 50 and the Attachment 4 captures 56.

Please clarify how many FTEs the government desires as this delta of 6 FTEs can significantly impact pricing.

Government Response: Removed 50 personnel. Follow table 4.1 and Pricing Template.

14) DRFP, Section L. Pg. 47, Para. L.1.7: “The Offeror’s oral presentation must be presented by all key personnel responsible for contract performance (see SOW Section 3.8), not professional proposal writer/presenters/marketers”.

Q: Although we embrace the opportunity to provide an oral presentation and will ensure our personnel, who will be responsible for post-award contract performance present the material; if the Governments desire is to retain 100% of the incumbent workforce; the requirement for the two key personnel to provide the oral presentation may put industry in a situation where the same two personnel are proposing for multiple offerors. We’d like to recommend reconsidering the requirement for the two key personnel to be mandatory during the oral presentation.

Government Response: Removed the requirement for Key Personnel to be present.

15) DRFP, Section L. Pg. 49, Para. L.2.3.1.4:

“Present the process by which work hours will be tracked, and by which requirements for surge hours will be received and tracked, within the established number of hours per Full Time Equivalent (FTE), as stipulated in Section 3.4.3 of the SOW”.

Q: Since the labor is captured/billed as FFP (monthly) and an FTE has been defined as 1,880 hours p/year; Why is the government seeking to have oversight of the hours worked rather than allowing the awardee to manage personnel, accepting the risk aligned with FFP, to include ensuring personnel who support surge efforts are properly compensated for their time without effecting the overall contract cost?

Government Response: This is required to ensure the contractors are working within their 1880 hrs and to track the need for surge.

16) PWS Section 5. Deliverables

The contractor shall produce and deliver the following deliverables related to the requirements identified in Section 2.5.

Q: Please clarify the references to 2.5 as there is no such section in the

PWS.

Are there additional deliverables other than those listed in 5.1, 5.2 and 5.3?

If so what are they and please provide.

Government Response: See updated SOW. Only 5.1, 5.2 and 5.3

RESTRICTIONS

OR

RESTRAINTS,

pg 26

Q: Paragraph 5. states “(b) The effort to be performed by the contractor under this contract is of such a nature that significant potential OCIs exist on this contract and on future procurement(s). The effort required by the contract includes, but is not limited to, providing systems engineering and technical direction, preparing specifications or work statements, providing evaluation services, and accessing proprietary information. In order to avoid potential conflicts of interest resulting from the support services provided and to avoid prejudicing the best interest of the Government, the right of the Contractor to participate in future procurements of products, systems, components, and/or services that are the subject of any work under this contract shall be restrained as described below and in accordance with the requirements of FAR Subpart 9.5, the terms of the restraint are not subject to negotiation; however, any desired clarifications or explanations concerning this clause may be directed in writing to the Contracting Officer.

(c) The Contractor agrees that, during the performance of this contract and for a period of one year after competition of performance of this contract, the Contractor, any affiliate of the Contractor, any subcontractor, officers of the company participating in the contract, any joint venture involving the Contractor, any entity into or with which it may subsequently merge or affiliate, or any other successor or assignee of the Contractor, shall not furnish to the United States Government, either as a prime contractor or as a subcontractor, or as a consultant to a prime contractor or subcontractor, any products, systems, components and/or services which is the subject of the work to be performed under this contract. This exclusion does not apply to any competition for the same services furnished pursuant to this contract.

(d) Nothing in this requirement is intended to prohibit or preclude the Contractor from marketing or selling to the United States Government its product lines in existence on the effective date of this contract; nor, shall this requirement preclude the Contractor from participating in research and development or delivering any design development model or prototype of any such equipment. Additionally, sales of catalog or standard commercial items not the subject of any restraint term herein are exempt from this requirement.”

We are concerned that the provision is too broad. The yellow highlighted areas are of specific concern. This prohibition appears to restrict the Contractor from not only products, but services meaning that the Contractor would be precluded from performing similar services for other agencies and other warehouse operations. As the requirements of this solicitation include a DOD-wide system, the OCI provision prevents any kind of warehouse management support for the entire DOD community and potentially other aspects of the Government if they adopt the DPAS system of inventory management. We request the addition of specific language limiting the scope of this prohibition – either the specific agency name, a reference back to the SOW limiting the scope to advisory and assistance services for DPAS systems or some other specific language that addresses the true concern of the Government with regard to OCI.

Additionally, the green highlighted text indicates that the Contractor can continue to market or sell product lines in existence on the effective date of the contract. What of other support to Government warehouse and supply chain services? Where would the Contractor be able to identify those previously developed and commercial products and services to be exempt from this requirement and what supporting data would be required?

Government Response: This highlighted areas are in regards to when the contract employees are involved in the providing systems engineering and technical direction, preparing specifications or work statements, providing evaluation services, and accessing proprietary information. The contractor will still be able to propose on future warehouse management opportunities as long as they were not involved in the areas of the acquisition underlined above. When the contractors are involved in these situation, they may be prohibited in participating in those contract opportunities. To further reduce the risk of OCI, NDAs will be issued to those individuals involved.

As part of the OCI process, you’ll be able to identify the products or services that weren’t involved with this contract and provide rational for why it is not OCI.
