Key details include expanding organizational conflict of interest provisions and common access card requirements for contractor personnel. Offerors must submit resumes for proposed key personnel and a management approach presentation addressing staffing, transition plans, and issue management/reporting. SUMMARY OF CHANGES

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been modified:

ADDITIONAL INFORMATION

H.1 ORGANIZATIONAL CONFLICT OF INTEREST (OCI)

Compliance with this clause is a material requirement of this contract.

1. DEFINITIONS

(a) “Organizational Conflict of Interest” (OCI) means that because of other activities or relationships with other entities, a contractor is unable, or potentially unable, to render impartial assistance or advice to the Government, the contractor’s objectivity in performing the contracted work is or might be otherwise impaired, or a contractor is in a position to have an unfair competitive advantage as a result of the knowledge, information, and experience gained during the performance of this contract. All actual or potential OCI situations shall be handled in accordance with FAR Subpart 9.5.

(b) “Contractor” for the purpose of these OCI provisions means the contractor, including any company or current or future entity such as a business organization of which it is a part (i.e., parent company), its current or future subsidiaries, divisions, affiliates, any joint venture involving the contractor, and any entity which the contractor or any successor or assignee of the contractor uses currently or in the future as a prime contractor, subcontractor, or consultant to either the prime contractor or a subcontractor under this contract. “Affiliates” is as defined in FAR Subpart 2.1.

2. GENERAL TERMS

(a) The Contracting Officer’s decision as to the existence or nonexistence of an actual or potential organizational conflict of interest shall be final and is not subject to the clause of this contract entitled “DISPUTES”

(FAR 52.233-1).

(b) The Contractor shall include this requirement in its entirety in all subcontracts of any tier, which involve access to information, or situations/conditions covered by the preceding paragraphs, substituting “subcontractor” for “contractor” where appropriate.

(c) The Government may waive application of this clause, or any of its parts, when it is determined in writing by the Contracting Officer to be in the best interest of the Government to do so.

3. DISCLOSURES and NOTIFICATIONS

(a) The Contractor shall submit an OCI mitigation plan with their proposal if they suspect there might be OCI issues that conflict with the principles listed in FAR 9.505, -1,-2,-3 and -4 in the development or submission of their proposal or if the Contractor or any tier subcontractor is currently providing support, or anticipates providing support to the Government that presents an actual or potential OCI with the requirements of this contract. This mitigation plan should list, in specific detail, the issue(s) that constitute the potential OCI, how the issues originated, a draft plan on how to mitigate the OCI, any other pertinent facts or assumptions that lead the offeror to believe an OCI issue exists with their proposal. This OCI mitigation plan will be evaluated for its acceptability, and if found acceptable, the offeror will be allowed to participate in the subject solicitation.

If no OCI exists, the Offeror shall warrant that to the best of its knowledge and belief the Contractor and its subcontractors, does not have any organizational conflict of interest(s), or potential organizational conflicts of interest, as defined in paragraph 1(a).

(b) The Contractor agrees that, if after award, it discovers an actual or potential organizational conflict of interest; it shall make immediate and full disclosure in writing to the Contracting Officer. The notification shall include a description of the actual or potential organizational conflict of interest, a description of the action, which the Contractor has taken or proposes to take to avoid, mitigate, or neutralize the conflict, and any other relevant information that would assist the Contracting Officer in making a determination on this matter. Notwithstanding this notification, the Government may terminate the contract for the convenience of the Government if determined to be in the best interest of the Government.

(c) The Contractor shall promptly notify the Contracting Officer, in writing, if it has been tasked to evaluate or advise the Government concerning its own products or activities, to include products or activities where the Contractor acted as a subcontractor, or those of a competitor in order to ensure proper safeguards exist to guarantee objectivity and to protect the Government’s interest.

4. ACCESS TO PROPRIETARY INFORMATION

(a) The Contractor shall train and inform employees (including subcontractor employees) performing on this contract of all regulatory requirements regarding the release and safeguarding of information, including but not limited to, Subpart 209.505-4 of the DFARS, DFARS 252.204-7000, DFARS 252.204-7012.

(b) The contractor shall execute a Contractor-Employee Personal Financial Interest Disclosure and Protection of Sensitive Information Agreement as appropriate before allowing access to any proprietary information and prior to the employee (including subcontractor employees) beginning performance under this contract.

(c) The contractor agrees to enter into a written agreement with any firm whose proprietary data is used in connection with performance of the contract, to protect all proprietary information from unauthorized disclosure or use for as long as it remains proprietary, and to furnish the Contracting Officer with executed copies of all such agreements within 5 business days of signing such agreements and to refrain from using any proprietary information in supplying to the Government goods or services or for any purpose other than that for which it is intended. If the Contracting Officer determines that said written agreement is not adequate, the Government has the right to withhold access to the proprietary data. The contractor agrees that any data furnished by the Government shall be used only for performance under this contract, and all copies of such data shall be returned to the Government upon completion of the effort and no duplication of data is permitted. Any data furnished by the Government containing trade secrets or commercial or financial data of other contractors shall be treated as proprietary data. Additionally, the contractor shall not disclose outside of USSOCOM Government Officials assigned to this contract any data, products, results, or recommendations generated in the performance of this contract except as may be expressly directed by the Contracting Officer.

(1) The Contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any proprietary information provided to the Contractor by the Government during or as a result of performance of this contract. Such information includes, but is not limited to, information submitted to the Government on a confidential basis by other persons. Further, the prohibition against release of Government provided information extends to cover such information whether or not in its original form, e.g. where the information has been included in Contractor generated work or where it is discernible from materials incorporating or based upon such information. This prohibition shall not expire after a given period of time.

(2) The contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any information generated or derived during or as a result of performance of this contract.

(3) The prohibitions contained in subparagraphs 4(c)(1) and 4(c)(2) shall apply with equal force to any affiliate of the Contractor, any subcontractor, consultant, or employee of the Contractor, any joint venture involving the Contractor, any entity into or with which it may merge or affiliate, or any successor or assign of the Contractor. The terms of paragraph 3(c) of this Special Contract Requirement relating to notification shall apply to any release of information in contravention of this paragraph 4(c).

(a) The contractor’s attention is directed to the below restraints on future procurements which is consistent with and in accordance with FAR 9.507-1 and 9.507-2.

(b) The effort to be performed by the contractor under this contract is of such a nature that significant potential OCIs exist on this contract and on future procurements(s). The effort required by the contract includes, but is not limited to, providing systems engineering and technical direction, and accessing proprietary information. In order to avoid potential conflicts of interest resulting from the support services provided and to avoid prejudicing the best interest of the Government, the contractor shall not engage in contract activities which may impair its ability to render unbiased advice and recommendations, or in which it may gain an unfair competitive advantage as a result of the knowledge, information and experience gained during the performance of this contract, as described below and in accordance with the requirements of FAR Subpart 9.5.

(c) The Contractor agrees that, during the performance of this contract and for a period of one year after completion of performance of this contract, the Contractor, any affiliate of the Contractor, any subcontractor, officers of the company participating in the contract, any joint venture involving the Contractor, any entity into or with which it may subsequently merge or affiliate, or any other successor or assignee of the Contractor, shall not furnish to USSOCOM, either as a prime contractor or as a subcontractor, or as a consultant to a prime contractor or subcontractor, any products, systems, components and/or services which is the subject of the work to be performed under this contract. This exclusion does not apply to any competition for the same services furnished pursuant to this contract.

(d) Nothing in this requirement is intended to prohibit or preclude the Contractor from marketing or selling its product lines in existence on the effective date of this contract; nor, shall this requirement preclude the Contractor from participating in research and development or delivering any design development model or prototype of any such equipment. Additionally, sales of catalog or standard commercial items not the subject of any restraint term herein are exempt from this requirement.

(e) To further reduce the opportunity for an OCI, each of the employees of the contractor and/or subcontractor with any knowledge of information as it pertains to the above Government operations shall sign an NDA precluding the disclosure of said information for the duration of the contract and for one year after the closure of the contract or termination of that employee’s employment for any reason.

6. REMEDIES

(a) Notwithstanding paragraph 3(c) above, if the Contractor was aware, or should have been aware, of an organizational conflict of interest prior to the award of this contract or becomes, or should become, aware of an organizational conflict of interest after award of this contract and does not make an immediate and full disclosure in writing to the Contracting Officer, the Government may terminate this contract for default.

(b) In the event the Contractor, or any of its employees, agents, or subcontractors fail to comply with the provisions of this clause, such non-compliance shall be deemed a material breach of contract for which the Government reserves the right to terminate the contract for default and/or resort to such other rights and remedies as provided for under the basic contract, this contract, and under the Federal law of contracts. Non-compliance with the provisions of this clause may also adversely affect the determination of contractor responsibility in future Government acquisitions.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L

Section L - Instructions, Conditions and Notices to Offerors

SECTION L FULL TEXT

L.1 GENERAL PROPOSAL

L.1.1 This is an electronic solicitation release. No hard copies will be mailed to Offerors. Notifications of Amendments to the solicitation will be posted to https://beta.sam.gov. It is the responsibility of each Offeror to review the webpage for notice of amendments, updates, or changes to current information. Responsibility for source selection resides with the Government. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy Act as amended (41 U.S.C. Sections 210-2107) and as implemented in the FAR. Proposals shall be unclassified and treated as Source Selection Sensitive Information (see FAR 2.101 and 3.104). Classified information will not be accepted and will be returned to the offeror.

L.1.2 Proposals must be complete, self-sufficient, and respond directly to the requirements of the solicitation.

Any commitments made in the proposal shall become part of the resultant contract. Any significant inconsistency, if unexplained, raises a fundamental issue of the Offeror’s understanding and/or ability to perform the contract. This may be a basis for rejection of the proposal. Offerors shall assume that the Government has no prior knowledge of their facilities or experience and will base its evaluation on the information presented in the Offeror's proposal. In no case shall statements similar to “we will comply with the requirements of the contract” or equivalent statements be acceptable to meet all the requirements of this RFP. However, the proposal shall include a declaration statement that acknowledges and accepts, without exceptions, all Statement of Work (SOW) requirements.

L.1.3 Organizational Conflict of Interest (OCI). At the time of submitting proposal, offeror must state affirmatively if it has OCI issues and that offeror must submit an Organizational Conflict of Interest Identification and Mitigation Plan (OIMP). The government-accepted OIMP shall be incorporated by reference into a resultant contract.

L.1.4 Each Offeror shall submit proposals electronically to janet.c.cubas.civ@socom.mil, the email box of the Contract Specialist, and michael.longdon@socom.mil, the email box of the Contracting Officer. The offerors shall provide their proposal in separate electronic files for each volume, and indicate volume number and title as described in paragraph L.1.6 in each file name. These electronic files shall be submitted in a format readable by Microsoft (MS) Office 2016 suite of applications. Failure to provide all items identified in paragraphs L.1.6 and L.1.7, and in the manner prescribed elsewhere in Section L.1, may render your submission incomplete. Failure to comply with instructions in Sections L.2 and L.3 may render an Offeror’s proposal incomplete. Incomplete submissions may not be evaluated. Complete submissions will be evaluated in accordance with Section M.

L.1.5 The Offeror shall submit proposals for consideration no later than 4:00 PM Eastern Time, 30 October 2020.

Only one (1) proposal shall be submitted, per company, in response to this requirement. Proposals received after the date/time specified will not be evaluated.

L.1.6 Offerors submitting a proposal in response to this Solicitation shall submit an administrative volume (Volume I, Administrative Information), key personnel resume (Volume II, Key Personnel Resumes), a management volume (Volume III, Management Approach), and a price proposal (Volume IV, Price). Volumes I will have no page limitations and may include cover pages, table of contents, tabs, glossaries, and an Organizational Conflict of Interest Identification and Mitigation Plan (OIMP) if required. Volume II must be completed on Attachment 5, Resume Template. Volume IV must include a completed Attachment 6 Pricing Worksheet, in accordance with paragraph L.1.11. When printed, all Volume I and III pages other than the Pricing Worksheet will fit on standard

8.5 x 11 paper, with text no smaller than Times New Roman 11 font, or equivalent.

L.1.7 Volume III of the proposal must be delivered as an oral presentation, supplemented by a MS Office PowerPoint presentation that will be included in the submission made in accordance with paragraphs L.1.5 and L.1.6 above, and serve as written evidence of the proposal. PowerPoint slides shall be prepared so that, when printed, fit on standard 8.5 x 11 paper, and are fully legible with text no smaller than Times New Roman 8 font, or equivalent.

The Offeror’s oral presentation must be presented by contractor management team responsible for contract performance, not professional proposal writer/presenters/marketers. The Government anticipates the oral presentations to be held between 04 – 13 November 2020; however, this is subject to change. Contract Specialist, Janet Cubas, or Contracting Officer, Michael Longdon, will contact the vendor after proposal submissions to schedule an oral presentation, which will be conducted via teleconference. The oral presentations may be recorded by the Government. If recorded by the Government, the video will be maintained as part of the source selection record.

L.1.8 The offeror will be allotted 45 minutes to present. 10 minutes will be allotted at the beginning of the call to ensure all participants are set up and understand administrative mechanics, prior to the 45-minute presentation start time. The Government will have the Offerors’ slides from Volume III that were submitted in accordance with paragraphs L.1.5 and L.1.6 above loaded onto the teleconference host computer with a shared screen, ready for the Offerors to present. Once the offeror is ready (if prior to the completion of the 10 preparatory minutes), the 45 minute timer will start or the Government will notify the offeror that their 10 minutes is up and that the 45 minute timer has started. The Government will base its evaluation of Volume III only on the information presented in the Offerors’ presentation (to include information contained on slides and in the Note section) and information provided during questions and answers or Evaluation Notices, if applicable. Any slide(s) not presented in the time given will be taken at face value for what’s present on the slide during the evaluation. Two-way interaction with the Government is not to be expected during the 45-minute presentation time, however the offeror will be given a “5 minutes remaining” alert at minute 40. This is to inform the offeror that their time will expire soon.

L.1.9 The presentation will end once the Offeror has completed their presentation or once time has expired, whichever occurs first. The Government will then end the call to caucus for up to 45 minutes. After the 45-minute caucus, the Government will call back the Offeror to begin the Q&A period. The Q&A period will be no more than 20 minutes and will be used as an open dialogue between the Government and the Offeror to clarify any information from the Offerors proposal. The offeror must be prepared to answer all questions to the best of their ability. If no additional information is needed by the Government, the Offeror will be notified, and the presentation will be concluded. A total of 120 minutes (2 hours) is therefore the maximum amount of time allocated to an offeror’s presentation event.

L.1.10 Only slides submitted by the proposal due date will be allowed to be used as presentation slides. If time is exceeded, excess slides will be considered at face value in the evaluation of the proposal. If only part of the slide is briefed, the Government will evaluate the entire slide (to include any information in the “Notes” section of that slide). If the “Notes” section is utilized on the slides for the oral presentation, there is a limit of 200 words on each slide. This word limitation only applies to the “Notes” section. There is no limitation to words on the slides themselves. Any information presented by the Offeror during the question and answer session will be documented in real time by the Government and will be considered as part of the oral presentation.

L.1.11 Pricing information completed on the Pricing Worksheet, Attachment 6, shall be submitted in MS Excel format. Offerors must ensure that pricing information is only included in Volume IV. Do NOT include any pricing information in Volumes I, II, or III. All unit and extended prices provided shall be rounded to the nearest dollar.

Extended prices must be divisible by the number of units proposed with no fractional cents. All fully burdened labor rates shall be rounded to the nearest penny.

L.1.12 Page limitations may be placed on responses to written Evaluation Notices (ENs), and time limitations may be placed on responses to oral exchanges. It will be determined by the offeror if they wish to include any of the Volume II information in their oral presentation, and if included, it shall be added to the presentation slide deck, and conform to instructions in paragraph L.1.7. The resulting presentation is still subject to limitations established in paragraphs L.1.8 through L.1.10.

Offerors shall also provide a written price proposal documenting all assumptions, supporting documentation for compensation of professional employees, and a full explanation of proposed rates. Offerors are encouraged to provide sufficient detail for the Government to determine fair and reasonableness. There is NO page limit. However, Offerors are encouraged to limit the Price Proposal pages, unless the Offeror determines that this limitation would preclude compliance with the price proposal instructions of the RFP. Offerors are cautioned that submission of more data than required by the price proposal instructions may hinder the evaluation of the price proposal. The following additional information is provided:

L.2.4.1: Contract Type: The Government contemplates award of a Firm-Fixed Price (FFP) for Labor, with a COST CLIN for Travel. A separate travel CLIN will be included in this contract. Offerors shall propose a G&A rate to be applied to all travel through the entirety of the contract, to include all options. Upon award, the contractor shall ensure travel expenses are incurred in accordance with the limitations set forth in FAR 31.204-46.

L.2.4.2: CLIN Structure: See Attachment 6 - Pricing Template.

L.2.4.3: Evaluation of Compensation for Professional Employees – FAR 52.222-46:

This applies to both Prime and Sub-Contractors. Sub- Contractors may submit their Total Evaluated Price (TEP) directly to the Contracting Officer. The Offeror’s compensation plan shall describe the offeror’s ability to provide uninterrupted high-quality work, the impact upon recruiting and retention of employees, along with the realism of the total compensation plan.
