(a) There is potential organizational conflict of interest (see FAR Subpart 9.5, Organizational and Consultant Conflicts of Interest) due to the Contractor and TeamMembers performing a significant role in assisting the Government to oversee, monitor, and manage Air Force privatization endeavors, advising and assisting the Government in reviews, assessments, and evaluations of other entities' performance, and providing recommendations to the Government regarding such endeavors. The Contractor's recommendations must be objective, impartial, and independent. Accordingly:

(1) Restrictions are needed to ensure that the prospect of Contractor's recommendations being influenced by its own capabilities and the prospect of the Contractor's utilization of acquired knowledge of other entities' proprietary secrets is avoided. It is agreed that the Contractor and Team Members are precluded from participation as or with a non-Air Force party in any Air Force privatization endeavor for seven (7) years from award date of this contract.

(2) As a part of the proposal, the Offeror shall provide the Contracting Officer with complete information of previous or ongoing work that is in any way associated with the contemplated acquisition.

(b) The organizational conflict of interest clause in this solicitation may be modified or deleted during negotiations.

INSTRUCTIONS TO OFFEROR(S) (ITO)

DEFINITIONS: Contractors shall use the following definitions while preparing proposals for this acquisition. These definitions are applicable to all sections of the solicitation.

ADVISORY AND ASSISTANCE SERVICES (A&AS): Advisory and Assistance Services (A&AS) means those services provided under contract by non-Governmental sources to support or improve: organizational policy development; decision-making; management and administration; program and/or project management and administration; or research and development activities. It can also mean the furnishing of professional advice or assistance rendered to improve the effectiveness of federal management processes or procedures (including those of an engineering and technical nature). In rendering the foregoing services, outputs may take the form of information, advice, opinions, alternatives, analyses, evaluations, recommendations, training and the day-to-day aid of support personnel needed for the successful performance of ongoing Federal operations. For additional information, reference FAR Subpart 2.1 Definitions “Advisory and Assistance Services:” http://farsite.hill.af.mil/reghtml/regs/far2afmcfars/fardfars/far/02.htm#P12_630

MILITARY HOUSING PRIVATIZATION INITIATIVE (MHPI): The Military Housing Privatization Initiative (MHPI) was established by Congress in 1996 as a tool to help the military improve the quality of life for its service members by improving the condition of their housing. The MHPI was designed and developed to attract private sector financing, expertise and innovation to provide necessary housing faster and more efficiently than traditional Military Construction processes would allow. The Office of the Secretary of Defense has delegated to the Military Services the MHPI and they are authorized to enter into agreements with private developers selected in a competitive process to own, maintain and operate family housing via a fifty-year lease.

OFFEROR: Defined as the Prime contractor and all named Team Members submitting a single proposal in response to this solicitation.

PCM-13 Website: The PCM-13 website is available at the AFCEE Website at: http://www.afcee.lackland.af.mil/contracting/PCM-13/default.asp.

PRE-CLOSING: Provide logistical and organizational support before the scheduled contract closing meeting to verify that all information, certifications, forms, etc. are complete and properly executed; perform cost, risk and feasibility analyses; develop support documents to include solicitation documents, real estate appraisals, land leases and conveyance documents; evaluate private sector and business proposals, use agreements, management and operations plans, and other financial and legal instruments currently in use in the private sector in support of real estate transactions.

PRE-PRICED DELIVERABLES: Deliverables that are priced at basic contract award. Reference Fully Burdened Prepriced Deliverable Rates Table.

PRIVATIZED PROJECT: A change from governmental or public ownership or control to private enterprise. PROJECT (FOR CORPORATE EXPERIENCE/PAST PERFORMANCE): Projects shall consist of individual task orders or delivery orders issued under ID/IQ contracts, a stand alone project/contract for government or commercial clients or individual HP or comparable residential property requirements, EUL, VBT, or VAP services under a stand alone contract.

QUALITY CONTROL (QC): Quality Control is defined as a program for the systematic monitoring and evaluation of the various aspects of a project, service, or facility to ensure that standards of quality are being met.

TEAM: This solicitation will refer to the Prime and all identified Team Members as a “Team”.

TEAMING ARRANGEMENT (TA) OR LETTER OF INTENT (LOI): To be valid under this solicitation, a Teaming Arrangement (TA) or Letter of Intent (LOI) must commit the business entities to performance under this contract, should it be awarded to the Offeror.

A "value-based" approach to asset management can take a variety of forms and approaches to optimize value and must reflect the fair market value of what the Air Force is giving up, and must be tangible.

1.0 Program Structure and Objectives

The Government intends to award one contract for Post Closing Management-13 (PCM-13). However, the Government reserves the right to award no contract if the Source Selection Authority (SSA) determines it is in the Government's best interest. The Government intends to evaluate proposals and award one contract without discussions with Offerors (except clarifications as described in FAR 15.306(a)). Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a technical and a price standpoint. The Government reserves the right to conduct discussions if the SSA later determines them to be necessary.

1.1 Budget/Funding Information

For consideration in developing a proposal, the maximum ceiling value is $88M over the life of the contract. However, this contract is an indefinite delivery/indefinite quantity (ID/IQ) ordering vehicle and does not guarantee that any funds above the minimum amount will be awarded. Congressional budget year allocations and prioritized requirements may determine future task order awards.

2.0 General Instructions

(a) This section of the Instructions to Offeror(s) (ITO) provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The Offeror’s proposal shall include all data and information requested by the ITO and shall be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS), Contract Data Requirements Lists (CDRLs), and Model Contract. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.

(b) Offerors shall assume that the Government has no prior knowledge of their technical capability and experience and will base its evaluation solely on the information presented in the proposal.

(c) The proposal acceptance period is specified in Section A, Standard Form 33, block 12 of the solicitation. The Offeror shall make a clear statement in the proposal documentation Volume I, that the proposal is valid for 180 days from the date of submission.

(d) Compliance with these instructions is mandatory and failure to comply may render your proposal ineligible for award.

2.1 General Information

2.1.1 Point of Contact

The Contracting Officer (CO) is the sole point of contact for this acquisition. The Offeror shall address any questions or concerns to the CO. Written requests for clarification may be sent to the CO via email. Email is the preferred method of communication. The CO for this acquisition is as follows.

Ms. Kathy E. Lewis Phone (210) 395-8273 e-mail: afcee.pcm-13@us.af.mil

2.1.2 Notifications/Debriefings

(a) Notifications: Offerors who are eliminated from further consideration for award will receive a notification with a basis of the determination only. The CO will notify Offeror(s) of the source selection decision in accordance with FAR 15.503(b).

(b) Debriefings: The CO will promptly notify Offerors of any decision to exclude them from the competitive range; whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after award to request a post-award debriefing. However, Offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The CO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

2.1.3 Discrepancies

If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the CO in writing but no later than 10 business days after release date of the solicitation with supporting rationale as well as recommendations the Offeror is asking the CO to consider as related to the omission or error. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.

2.1.4 Electronic Reference Documents

All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) web site at http://www.fedbizopps.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information pertaining to this solicitation has been posted to the website.

All Team Members shall have a signed Teaming Arrangement (TA) or Letter of Intent (LOI). TAs or LOIs must be provided in Volume I, Contract Documentation, and Volume II, Technical.
