D001 CONTRACTOR COMMERCIAL PACKAGING AND MARKING (MAR 2012)

Packaging and marking of deliverable items called for hereunder shall be in accordance with Contractor's best commercial methods to ensure safe arrival at destination. Contractor shall prepare, package, mark and transport items to prevent damage and deterioration and comply with any and all applicable domestic and Government regulations and carrier tariffs. Charges for preparation for shipment (including packing and crating) and freight charges are included in the price unless otherwise separately specified in the contract.

F001 PERIOD OF PERFORMANCE (FEB 1997) (TAILORED)

The period of performance for this contract is sixty (60) from the date of contract award during which time Option CLINs from Attachment 2 Variable Services Pricing Table (VSPT) may be added to the contract. Additionally, the Government has the unilateral right to Exercise the Option to Extend Services by six (6) months in accordance with FAR 52.217-8 and continue to add Option CLINs from the VSPT during these additional six months, for a total of sixty-six (66) months. All work must be completed within sixty (60) months, or sixty-six (66) months if the Government exercises the Option to Extend Services by six (6) months.

H004 OPTIONS PROVISION (APR 2012)

a.

The Government has the right to unilaterally modify the contract to add Option CLINs for Pre-Priced Services listed in Attachment 2 Variable Services Pricing Table (VSPT) in the Firm Fixed Price (FFP) amount for the Option Period in which the service is added. Any Pre-Priced Service purchased under this provision must be completed within the delivery schedule time specified in the Description Table of the VSPT, except for Services 20 (CPFF) and 21 (FFP), which are for Special Studies/Special Requirements/Anomaly Investigations and will be negotiated individually. Firm Fixed Price (FFP) b.

The Government has the right to request a Contractor proposal, negotiate, and purchase Option CLINs as required for work that includes "Special Studies/Special Requirements/Anomaly Investigations" based on paragraphs 3.4 and 3.5 of Attachment 1 Performance Work Statement (PWS) of the Contract and a Performance Work Statement (PWS) that will also become an attachment to the Contract specific to the effort for the new CLIN. These Special Studies/Special Requirements/Anomaly Investigation CLINs will be on a Cost Plus Fixed Fee (CPFF) or Firm Fixed Price (FFP) basis using the Contractor wrapped rates provided in Attachment 1 Variable Services Pricing Table (VSPT) for the labor categories and time periods required.

A separate CLIN will be established upon the addition of the first Option service from the VSPT and will continue sequentially on each future contract modification. The total value of all CLINs may not exceed the total contract ceiling amount.

H005 ENABLING CLAUSE BETWEEN PRIME CONTRACTORS AND SERVICE CONTRACTORS (MAR 2012)

(a) The Air Force has entered into contracts with TASC Inc. for services to provide Advisory and Assistance Services (A&AS) including technical, evaluation, and acquisition management support.

(b) Service tasks involve the application of a broad range of education, skills, knowledge, and experience in many disciplines in support of weapon system acquisition tasks. Tasks involve independent validation and verification, technical assistance and reviews.

(c) In the performance of this contract, the Contractor agrees to cooperate with TASC Inc. by: providing access to technical information and research, development and planning data, test data and results, schedule and milestone data, all in original form or reproduced; discussing technical matters related to the program; providing access to Contractor facilities utilized in the performance of this contract; and allowing observation of technical activities by appropriate A&AS Contractor technical personnel.

(d) The Contractor further agrees to include in each subcontract over $1 million or 10 percent of prime contract value, whichever is less, a clause requiring compliance by a subcontractor and succeeding levels of subcontractors with the response and access provisions of paragraph (c) above, subject to coordination with the Contractor. This agreement does not relieve the Contractor of responsibility to manage subcontracts effectively and efficiently, nor is it intended to establish privity of contracts between the Government or the service Contractor(s) and such subcontractors.

(e) Service Contractor personnel are not authorized to direct a Contractor in any manner.

(f) Service contracts contain an organizational conflict of interest clause that requires the service Contractors to protect the data and prohibits the service Contractors from using the data for any purpose other than that for which the data was presented.

(g) Neither the Contractor nor their subcontractors shall be required in the satisfaction of the requirements of this clause to perform any effort or supply any documentation not otherwise required by their contract or subcontract.

H006 GOVERNMENT - FURNISHED TOOLING (MAR 2012)

(a) Pursuant to the Government property clause herein, the Government shall furnish the property as set forth in the GFP list, Attachment X, to the Contractor for use in the performance of the contract. If any tooling is identified as master tooling it must be used in the manufacture of the item(s) in this solicitation or contract. By submission of a bid/offer, the Contractor certifies that the master tooling listed herein will be used to manufacture the item(s) designated in the tooling/test equipment list.

(b) Requisitioning documentation for the tooling shall be prepared by the Government. The tools shall be shipped to the successful offeror at the Government's expense.

(c) The Contractor shall request tooling disposition instructions in writing from the Contracting Officer when the tooling is no longer needed but not later than 60 days after the last item on the contract has been shipped. A copy of the request shall be provided to: (Program Manager, SMC/SDLL, 3548 Aberdeen Ave. SE, Kirtland AFB, NM 87117).

The request for disposition instructions must include:

(1) List of tools by tool number.

(2) The part number of the item on which the tools are used.

(3) Contract number under which the tools were used.

(4) The date by which the tools could be ready to ship.

(5) Any related packing, crating, or handling costs proposed for the service.

H007 GOVERNMENT - FURNISHED PROPERTY (GFP) (MAR 2012) (MAR 2012)

Pursuant to the Government Property Clause at FAR 52.245-1 entitled "Government Property" (Aug 2010 of Section I of this Contract, the Government shall furnish the items of property listed in Attachment 3 "Government Furnished Property (GFP) List" to the Contractor, F.O.B. Destination, for use in performance of this Contract. Upon completion of the Contract, the Contractor shall obtain without delay disposition instructions from the Government Property Administrator of the activity having responsiblity for administration of the contract. The Contractor shall minimize the costs for storage and disposition to the maximum extent possible.

A. FEDERAL ACQUISITION REGULATION CONTRACT CLAUSES IN FULL TEXT

52.211-15 DEFENSE PRIORITY AND ALLOCATION REQUIREMENTS (APR 2008)

This is a rated order certified for national defense, emergency preparedness, and energy program use, and the Contractor shall follow all the requirements of the Defense Priorities and Allocations System regulation (15 CFR 700).

52.226-06 PROMOTING EXCESS FOOD DONATION TO NONPROFIT ORGANIZATIONS (MAR 2009)

(a) Definitions. As used in this clauses-

"Apparently wholesome food" means food that meets all quality and labeling standards imposed by Federal, State, and local laws and regulations even though the food may not be readily marketable due to appearance, age, freshness, grade, size, surplus, or other conditions.

"Excess food" means food that-

(1) Is not required to meet the needs of the executive agencies; and

(2) Would otherwise be discarded.

"Food-insecure" means inconsistent access to sufficient, safe, and nutritious food.

"Nonprofit organization" means any organization that is-

(1) Described in section 501(c) of the Internal Revenue Code of 1986; and

(2) Exempt from tax under section 501(a) of that Code.

(b) In accordance with the Federal Food Donation Act of 2008 (Pub. L. 110-247), the Contractor is encouraged, to the maximum extent practicable and safe, to donate excess, apparently wholesome food to nonprofit organizations that provide assistance to food-insecure people in the United States.

(c) Costs.

(1) The Contractor, including any subcontractors, shall assume the responsibility for all the costs and the logistical support to collect, transport, maintain the safety of, or distribute the excess, apparently wholesome food to the nonprofit organization(s) that provides assistance to food-insecure people.

(2) The Contractor will not be reimbursed for any costs incurred or associated with the donation of excess foods. Any costs incurred for excess food donations are unallowable.

(d) Liability. The Government and the Contractor, including any subcontractors, shall be exempt from civil and criminal liability to the extent provided under the Bill Emerson Good Samaritan Food Donation Act (42 U.S.C. 1791). Nothing in this clause shall be construed to supersede State or local health regulations (subsection (f) of 42 U.S.C. 1791).

(e) Flowdown. The Contractor shall insert this clause in all contracts, task orders, delivery orders, purchase orders, and other similar instruments greater than $25,000 with its subcontractors or suppliers, at any tier, who will perform, under this contract, the provision, service, or sale of food in the United States.

52.252-06 AUTHORIZED DEVIATIONS IN CLAUSES (APR 1984)

(a) The use in this solicitation or contract of any Federal Acquisition Regulation (48 CFR Chapter 1) clause with an authorized deviation is indicated by the addition of "(DEVIATION)" after the date of the clause.

(b) The use in this solicitation or contract of any Defense Federal Acquisition Regulation Supplement (48 CFR Chapter 2) clause with an authorized deviation is indicated by the addition of "(DEVIATION)" after the name of the regulation.

B. DEFENSE FAR SUPP CONTRACT CLAUSES IN FULL TEXT

252.232-7007 LIMITATION OF GOVERNMENT'S OBLIGATION (MAY 2006)

(a) Contract line item(s) TBD through TBD are incrementally funded. For these item (s), the sum of TBD of the total price is presently available for payment and allotted to this contract. An allotment schedule is set forth in paragraph (j) of this clause.

(b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "Termination for Convenience of the Government." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).

(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state (1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "Termination for Convenience of the Government."

(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.

(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "Disputes."

(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.

(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "Default." The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) or (e) of this clause.

(h) Nothing in this clause affects the rights of the Government to terminate this contract pursuant to the clause of this contract entitled "Termination for Convenience of the Government."

(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.
