FOR PROPOSAL PREPARATION
1. Program Objectives
The HADES acquisition is for a new, single Indefinite Delivery/Indefinite Quantity (IDIQ) contract for follow- on services supporting the Space Systems Command System Delta 89/Innovation and Prototyping Division Ground (SDG) at Kirtland Air Force Base, NM. This contract will provide engineering, development, integration, and sustainment services supporting the United States Air Force’s (USAF) Research and Development Space and Missile Operations (RDSMO) Ground System Enterprise (GSE).
The SSC/SDG mission is to operate and sustain an affordable GSE for Research & Development and demonstration missions, develop innovative solutions to reduce Operations & Maintenance (O&M) costs, provide a test bed to prove out emerging concepts, and remain a viable choice for all new ground Command and Control (C2) programs.
SSC/SDG provides a collaborative partnership among developmental, test and operational units to seamlessly develop and rapidly field new capabilities, standardize satellite operations and exploit core competencies and strengths.
The GSE represents the entire ground infrastructure that falls under the RDSMO program.
The primary components of the GSE include, but are not limited to, two instances of physical infrastructure hosting fully virtualized instances of the core and mission unique ground system software supporting multiple missions, the core Common User Equipment (CUE) and communications equipment (COMM), and facilities that fall under the RDSMO program.
2. General Instructions
a) The Offeror's proposal must include all data and information requested by this ITO and must be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the basic contract Performance Work Statement (PWS) and Task Order (TO) PWS, and Model Contract. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.
b) The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The Government intends to make award without discussions. Therefore, offerors are highly encouraged to provide their best effort proposal preparation and to include their very best initial proposal. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of the Offerors’ facilities and experience and will base its evaluation on the information presented in the Offeror's proposal.
c) Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.
d) The proposal acceptance period is specified in Section A of the model contract/solicitation. The Offeror shall make a clear statement in Section A of the proposal documentation volume that the proposal is valid through this date.
e) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
2.1. General Information
2.1.1. Point of Contact
The Procuring Contracting Officer (PCO) is the sole point of contact for this acquisition. Address any questions or concerns you may have to the PCO. Written requests for clarification may be sent to the PCO via mail service or email at the address located in Section A of the model contract/solicitation.
2.1.2. Debriefings
The PCO will promptly notify offerors of any decision to exclude them from the competitive range;
whereupon they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The PCO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR
15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
2.1.3. Discrepancies
If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the PCO in writing with supporting rationale as well as the remedies the Offeror is asking the PCO to consider as related to the omission or error. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.
2.1.4. RFP Documents and Bidders ‘Library
The RFP for this solicitation is available on SAM.gov website. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation. The Bidders’ Library, including some RFP attachments, such as the GFP listing, is posted on SAM.gov. Oral Presentations will not be conducted for this acquisition.

• Program Manager
• Deputy Program Manager
• Chief Engineer
• Cybersecurity Lead
These positions shall be filled and maintained at the qualification levels as proposed to ensure continuous and qualified management and technical execution.
Resumes are not required, however if a resume is submitted, the name of the individual shall be removed.
4.3.1.2. Personnel Security Requirements:
The Offeror shall describe its approach to meet personnel security requirements. This technical effort will be performed at the Unclassified or CUI level, Secret, and at the TS/SCI level. (Sec. M. 4.3.2.2)
4.3.1.3. Emerging Requirements:
To assess the Offerors’ ability to address emerging requirements, use the following assumptions:
three TOs (see section 4.3.1.1.1) are ongoing per respective PWS with appropriate resources allocated. In addition to these TOs, a development activity is scheduled to begin twelve months after contract award. An additional TO (HADES IDIQ PWS, section 2.5) would be created for this effort.
The following are three different development tasks of varying effort:
1. Requires moving an existing mission, unchanged, from some other ground system to the existing RSC ground system.
2. Requires moving an existing mission from some other ground system and updating the mission unique software to work with the RSC software infrastructure.
3. Requires that the contractor create a new mission instantiation on the existing RSC infrastructure, working with the bus and payload contractors.
Execution of these tasks is expected to require the contractor staff up to execute them and staff down when the task is complete.
The Offeror shall provide a description of changes due to each emerging requirements task using their Staffing Matrix and Labor Profile established in accordance with L 4.3.2.1 as a baseline.
Respond to each independently of the others, i.e. baseline + task 1, baseline + task 2, baseline + task 3. (Sec. M. 4.3.1.3)
The Offeror shall describe the management processes used to determine and respond to the emerging requirement. (Sec. M. 4.3.1.3)
Describe how the offeror has applied their management process for emerging requirements.
(Sec. M. 4.3.1.3.)
4.3.1.4. Transition:
The Offeror shall provide a transition plan that describes their transition approach to include risks and risk mitigation plans to meet all transition requirements identified in HADES IDIQ PWS, section 2.1.1, to accomplish an effective transition and assume responsibility for performing the TOs in this solicitation. (Sec. M. 4.3.2.4)
4.3.1.5. Small Business:
The Offeror shall describe how their Small Business Participation Commitment Document (SBPCD) will ensure the 25% small business requirement is met. Small business participation constitutes small business utilization contributions to contract performance at 1st tier subcontract level. The percentage shall be based on percentage of small business costs/prices on labor CLINs only, to include FFP CLINs that are predominately labor (e.g., Sustainment). The percentage shall be calculated on an annual basis by dividing total small business expenditures by total labor costs/prices on all TOs on just those labor CLINs. (Sec. M. 4.3.2.5). The SBPCD will become part of the contract upon contract award.
4.3.2. Subfactor 2, Systems Engineering
4.3.2.1. Describe the Offeror’s overall system engineering approach to execute the attached 3 TO PWS (Section J Attachment 2-4) in the HADES environment defined in the Section J Attachment 1, (Sec. M. 4.3.1.1).

5.1. General Instructions
The Cost/Price Factor volume shall contain the information requested in the paragraphs below.
Compliance with these requirements is mandatory. Failure to comply with these instructions may result in a determination of non-compliance and/or rejection of the Offeror’s proposal.
The Offeror shall submit other-than-certified cost or pricing data (per FAR 15.403-1(b), 15.403-3(a), and FAR 15.403-5) for the Government evaluation. The proposal must contain sufficient details for the Government evaluation of reasonableness, cost realism, and unbalanced pricing, and for the Government’s calculation of the Most Probable Cost (MPC), which will become part of the Total Evaluated Price (TEP) for the best value decision. The burden of proof for credibility of proposed amounts rests with the Offeror.
The cost/price evaluation will be an assessment of the data submitted in the Cost/Price Volume; the Government will not be responsible for evaluating Offeror data submitted outside the Cost/Price Volume. If, after receipt of proposal, the PCO determines that there is insufficient data available to complete the cost/price evaluation, the Offeror shall be required to submit additional cost or pricing data upon request. The use of offeror formats is encouraged provided that all the required information is submitted. Information beyond what is required by this instruction shall not be submitted, unless you consider it essential to document or support your Cost/Price position.
The Government issued this solicitation with the anticipation of adequate price competition; therefore, any cost/price documentation requested shall not be certified cost or pricing data. However, in the event that adequate price competition does not exist after receipt of proposal, the Government reserves the right to request additional cost or pricing data as necessary from the Offeror and its subcontractors and may conduct negotiations with the Offeror, pursuant to FAR 15.403-4, in order to ensure a reasonable and realistic price/cost. Furthermore, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award pursuant to FAR 15.406-2. The Offeror shall acknowledge the requirement to provide additional cost or pricing information and certify the data prior to award if/when requested by the Government.

As an introduction, the Offeror shall provide comprehensive narrative support for the Cost/Price Volume for each CLIN in each individual TO, and the Data Rights for the overall contract Total Proposed Price (TPP). The narrative shall explain the philosophy, methodology and assumptions used in proposing the dollar amounts. Any apparent imbalances in the pricing, any unrealistically low amounts, and any apparent pricing anomalies shall be clearly explained. The Government expects that consistency exists between the Technical and Cost/Price Volume; any Offeror-intended inconsistency shall be clearly explained and convincingly demonstrate how the promised performance will be achieved at the proposed cost/price. (Reference Total Proposed Price, Section M Table 5.2)
5.2.1. Time-Phased, Person-Loading Graph.
The Offeror shall provide a time-phased, person-loading bar graph – one for each Cost Plus Award Fee (CPAF) CLIN. The vertical axis shall be in hours. The horizontal axis shall be in quarters. The bars will be layered – bottom for prime hours and each stack on top will be for each non-prime with at least 10% of the proposed dollars for each TO.
5.2.2. Offeror Summary Table
The Offeror shall complete Table 5.2 below for each TO, listing all companies – prime, subcontractors, and team members – who will be involved with the performance and management of the contract within the three TOs. If the relationship is not a prime subcontractor relationship, provide the legal definition of the relationship between the entities. (Prime Plus Non-Prime Companies greater than 10% of total proposed dollars for each TO).

5.3. Cost/Price Summaries Estimating Techniques and Methods
When responding to the Cost/Price Volume requirements in the solicitation, the Offeror and associated subcontractors may use any generally accepted estimating technique, including contemporary estimating methods (such as Cost-to-Cost and Cost-to-Non-Cost Estimating Relationships (CERs), commercially available parametric cost models, in-house developed parametric cost models, etc.), to develop their estimates. The Offeror shall provide supportable rationale for the estimating methods and any allocation techniques used. If necessary, reasonable and supportable allocation techniques may be used to spread hours and/or costs to lower levels of the Contractor work breakdown structure.
5.3.1. Offeror’s Total Proposed Price (TPP) Calculation
The Offeror shall complete and submit Section L Appendix A below, in calculating the Offeror’s TPP. The Offeror shall comply with the parameters in Appendix A and this paragraph in submitting the proposal amounts.
Base Fee: No base fee is allowed.
Award Fee Pool: The Offeror shall propose an award fee percentage to be applied to each IDIQ CLIN scope of work. The award fee percent defined for each IDIQ CLIN work scope will be applied to the corresponding efforts in each of the CPAF task orders. Each task order will define the award fee events and corresponding award fee pool allocations. The Government award fee evaluations will occur at the IDIQ level in accordance with the award fee plan.
In calculating the award fee dollars, the award fee percent shall be applied to the direct labor and associated indirect labor costs.
See Paragraph 5.4.4 for further instructions regarding Award Fee.
5.3.2. Cost Element Summaries:
Note: Cost Element Summaries are not required for Firm-Fixed Price (FFP) CLINs.
For each TO, the Offeror shall provide a Cost Element Summary for each Cost Reimbursable (CR) Travel and ODC CLIN and each CPAF CLIN. The Cost Element Summary must show at least the following information, as applicable: labor hours and cost for direct labor, indirect costs (e.g. fringe, overhead, G&A, etc.), materials, travel, other direct costs (identify components making up other direct costs), cost of money, and profit/fee. The format should be base times rates equals dollars, by Offeror’s accounting year, consistent with the Offeror’s rate structure. Offeror’s accounting year is the 12-month period in which the company’s rates are defined (e.g., Oct-Sep, Jul-Jun, or Jan-Dec). The Offeror shall define the time period for the Offeror’s accounting year and identify the calendar year (e.g. Jan YY-Dec YY) that the Offeror’s accounting year covers. Provide adequate explanation for each proposed cost element. The base upon which the rate is applied should be clearly traceable and explained. Submit the Cost Element Summaries, in Microsoft (MS) Office Excel, with working formulas. Each TO, option, and CLIN will be on a separate worksheet in the MS Excel file.
Table 5.3 and Table 5.4 below are examples of Cost Element Summaries to be used as a guide (this can be tailored to reflect different cost elements or cost accounting practices).

5.4.3. Labor Hour Basis of Estimate
The Offeror shall explain the labor hours proposed for the prime in this section. Labor hours for the subcontracts shall be discussed in the subcontract section.
For each TO, the Offeror shall prepare a Basis of Estimate (BOE) by Contract Work Breakdown Structure (CWBS) to Level 3 for each CR Travel and ODC CLIN and each CPAF CLIN. The BOEs are to provide sufficient information for the Government to evaluate the proposal. The BOE must be fully and clearly traceable to the hours in the cost element summaries and provide visibility in how the basis for these cost elements were developed.
The BOEs shall clearly identify the types, quantities and skill mix of labor hours proposed as well as detail the rationale and justification for the estimates used. The labor hours must be separated out by the different types of labor, CLINs, and time-phased by Offeror’s Accounting Year. Labor categories shall not be combined into composite categories. All labor proposed must be discretely identified by category, rate, and year utilized. Proper presentation, adequate supporting documentation, estimating ground rules and assumptions, methodologies, constraints, and sufficient relevant information shall be provided to enable the Government to understand all assumptions behind the Offeror’s proposal. From the information requested, the Government should be able to replicate the calculations of all the proposed hours and dollars. All the calculations should be easily identifiable.
At a minimum, the Offeror shall identify and provide rationale and justification for the categories below:
a. Labor Hour Estimating Rationale: The proposal shall show the data (and sources) that serve as the foundation for the labor estimate, the analyses, and the calculations that resulted in the proposed labor hour estimate.
• Historical Experience: If the source of data is analogous programs, the Offeror shall explain why the programs are relevant. The Offeror shall explain the past experience, explain how the past experience relates to the current effort, including similarities and differences, and show the calculation of prior cost data as adapted to the current effort. All calculations need to be clear, error-free, and contain the logic trial. If factors are used in estimating the hours, the Offeror shall explain the independent variable, and the historical data that demonstrate the existence and accuracy of the relationship. The Offeror shall explain the steps and the mathematical calculations that resulted in the proposed estimating factor.
• Discussion: In all cases, include a discussion of the proposed labor-skill mix and time phasing of the effort over the period of performance.
b. Skill Mix: Identify and justify how the proposed labor skill mix was derived.
c. Scope: Identify the BOE’s scope of work and explain how the proposed BOE relates to the TO
Scope of work.
d. Basis for the Proposed BOE: Identify and explain the basis for the proposed BOE.
e. Period of Performance: Identify the proposed period of performance by Month-Year to Month-
Year
f. Tasks: Each task should include:
− A detailed task description of along with assumptions used in the BOE (e.g. length of time required to perform the task).
− Labor Hour Estimating Rationale, including the methodology used for estimating the number of labor hours proposed for each task.
− Calculations of the hours.
− Links to the technical concept that is proposed in the technical volume. If a specific technical concept is not required by the task, enter “N/A”.
5.4.4. Rates
The Offeror shall complete Section L Appendix B and Appendix C with the Offeror’s proposed labor categories and the corresponding CPAF/FFP rates for each offeror’s accounting year following the instructions outlined within this section. The dollars and rates proposed in Section L Appendices B and C shall represent the dollars and rates required in performing one labor hour for each labor category.
Section L Appendix B will be incorporated into the contract at award as Attachment 8 of the Basic IDIQ.
The labor categories and corresponding CPAF/FFP rates proposed in Appendix B shall be used in pricing all TOs to be issued by the Government against the Basic IDIQ in this solicitation and future TOs, therefore the Offeror shall propose all labor categories and the corresponding CPAF/FFP rates that the Offeror anticipates will be used in the TOs identified in this solicitation and possible TOs to be issued in the future.
Forward Price Rate Agreement/Forward Pricing Rate Recommendation (FPRA/FPRR): The offeror is expected to use FPRAs, if available. If there is no FPRA, and FPRRs are available for use by the offeror, the proposal may use the FPRRs. If FPRAs and/or FPRRs are used the offeror shall submit the FPRAs and FPRRs.
If neither the FPRA no FPRR are used to price the offeror’s proposal, the offeror shall use rates that the company believes it will incur in the performance of the contract. The offeror shall submit substantiating data that went into the formulation of the rates. An example of substantiating data includes actuals costs for the most recent five years and the calculations that were used to derive the rates for pricing the proposal.
The responsibility for submitting substantiating data and showing the calculations that lead to the proposed rates rests with the offeror. If the offeror does not submit the requested data for the Government’s evaluation, the Government may use any available data in the Government’s calculation.
