ADDENDUM TO 52.212-4

ORDERING PROCEDURES:

(1) Orders processed under this Multiple Award Contract (MAC) Indefinite Delivery Indefinite Quantity (IDIQ) contract will be decentralized meaning installation contracting officers (ordering Contracting Officer (CO)) will solicit MAC IDIQ holders via fair opportunity for local requirements along with administering the resulting orders.

Orders may come from Active Duty Air Force Installations and Joint Bases where the Air Force serves as the lead agency, Air National Guard Installations, and Air Force Reserve Installations.

(2) Task Orders (TOs) shall be issued on a Firm-Fixed Price (FFP) basis. The Contract Line Item Number (CLIN) structure on each TO will reflect the FFP for each line item and must strictly follow the CLIN structure as established in the MAC IDIQ contract.

(3) TO competition for subsequent awards is as follows:

A. Fair Opportunity Proposal Request (FOPR)

I. The ordering CO will initiate the FOPR process by sending a FOPR letter and attachments (hereafter referred to as the FOPR Package) to all MAC IDIQ holders.

II. The FOPR Package should include all of the following information:

a. Date of the FOPR Package;

b. The proposal due date and the name/email address of the Point of Contact (POC) who will be receiving the proposal;

c. The name and location of the base;

d. The base-specific Performance Work Statement (PWS);

e. The period of performance;

f. The number and performance periods of any options;

g. Any appropriate schedule or duty hour information;

h. Identification of the CLINS involved in the TO;

i. Identification of Government Furnished Property/Equipment available, if applicable; and

j. Identification of other important information.

B. Proposal Submission Process

I. All Contractors holding effective MAC IDIQ contracts are highly encouraged to submit a competitive proposal for every FOPR. At a minimum, each Contractor shall propose on no less than 80% of the solicited FOPRs in a given year.

II. Contractors are strongly encouraged to carefully review the PWS, evaluation factors, and the following submittal instructions when providing their written response.

III. Contractors must submit their written response in two (2) separate documents: technical and price.

Use letter-sized (8-1/2" X 11") pages, single-spaced, with one inch (1") margins. One (1) page equals one (1) side of a sheet of paper. Any pages in excess of the page limitations imposed on the technical submission herein will not be considered.

IV. Number the pages consecutively and use an 11-point font size in an easily readable font, such as

Calibri or Arial. Nine (9) point font size and single spacing is acceptable for any tables, graphics, and illustrations; however, do not submit an abundance of information in chart format. The page limitations shown below do not include information such as a cover letter, table of contents, and definitions or acronyms. Any technical or pricing information submitted within the cover letter, table of contents, and definitions or acronyms will not be considered.

V. Contractors must address the following elements:

a. Technical understanding of the requirements;

b. Technical and qualitative descriptions of the proposed methodology, deliverables, and delivery schedule that will be used to accomplish the requirement; and

c. Past performance

Contractors are requested to describe the proposed methodology and personnel or staffing assumptions with respect to this effort, showing a direct relationship between the approach and meeting the identified requirements.

Past performance may be based on one or more of the following:

a. Customer surveys, and past performance questionnaire replies;

b. The Governmentwide Past Performance Information Retrieval System (PPIRS) at www.ppirs.gov; or

c. Any other reasonable basis.

VI. The Government intends to evaluate proposals and issue a TO based on the initial proposals received. Therefore, the Contractor’s initial proposal should contain the Contractor’s best terms from a price and technical standpoint. The Government reserves the right to request revised proposals from, or negotiate final TO terms with, one (1) or more, but not all, Contractors if later determined by the CO to be necessary. However, the CO will not establish a competitive range, conduct discussions, or otherwise use the procedures described at FAR 15.306. The Government may reject any or all proposals if such action is in the public interest; and issue a TO to other than the Contractor with the lowest priced proposal.

VII. In the event that no proposals or only one (1) proposal is received, the Government (at its discretion) should revalidate the FOPR requirement. This validation process may include exchanges of information with some or all of the Contractors to determine whether there is a misunderstanding or if there are concerns about the FOPR requirement. Should the requirement be validated, the ordering CO may reissue the FOPR Package. After the Government revalidates the FOPR requirement and if only one proposal is received, the ordering CO must make a determination of fair and reasonable pricing using any of the price analysis techniques listed in FAR 15.404-1(b).

VIII. The Contractor’s proposal shall be submitted to the ordering CO on or before the time and date as specified in the FOPR letter. Pricing on each proposal shall be valid for at least 90 calendar days after the required submission date. The Contractor’s proposal shall include at a minimum the following information as well as any additional information as requested in the FOPR Package:

a. Pricing for each CLIN specified in the FOPR Package;

b. The price shall include the FFP unit price to be paid to the Contractor.

c. The price shall not exceed the Not to Exceed (NTE) unit prices as established by the MAC

IDIQ to be eligible for award.

IV. Proposal Evaluation Process

a. Evaluation will consider technical factors and price. In the evaluation, technical is significantly more important than price. However, price will become more important when technical among the responses is more equal. The Government will perform a price/technical trade-off analysis to select the best-suited Contractor that provides the best value.

b. The Government will evaluate the written responses and price submissions to select the best-suited Contractor. The Contractor that, in the Government's estimation, provides the greatest overall benefit in response to the requirement will be selected for the TO award. The

Government will base this determination of which Contractor provides the greatest overall benefit in terms of the evaluation factors stated below and will use the evaluation process described below to arrive at this determination.

c. Responses will be evaluated in terms of quality, depth, and relevance of information presented in response to this task order request. In evaluating the technical response, the three (3) technical factors (technical understanding of the requirements, key personnel, and past performance) are listed in descending order of importance. Technical understanding is moderately more important than the other two (2) technical factors combined, and key personnel is slightly more important than past performance.

d. Information in the price response will be shared with the technical evaluators for consideration in determining which Contractor is best suited to perform the work. Responses will be evaluated using the price analysis methods of FAR subpart 15.4. The Contractor may not offer FFPs in excess of those established in the MAC IDIQ contract. To enhance its competitive standing, the Contractor is encouraged to offer FFPs lower than those specified in the MAC IDIQ contract. The Contractor's proposed prices will be evaluated to determine price reasonableness

V. Selection and Award

a. This TO proposal request is conducted under the fair opportunity guidelines of FAR

16.505, which outlines the ordering procedures for orders issued under MAC IDIQ contracts and section [insert applicable contract section] of the contract. Award will be based on a determination of best value to the Government, price and other factors considered. "Best value" means the expected outcome of an acquisition that, in the Government's estimation, provides the greatest overall benefit in response to the requirement. Best value evaluation is, in and of itself, a subjective assessment by the Government of the proposed solution that provides the optimal results to the Government.

This method does not use any aspects of FAR subpart 15.3. The use of this fair opportunity process does not obligate the Government to determine a competitive range, conduct discussions with any Contractors, solicit proposals or revisions thereto, or use any other source selection techniques associated with FAR subpart 15.3.

b. Following receipt of responses to this TO request, the Government will perform a comparative analysis (comparing Contractor responses to one another) to select the Contractor that is best suited to fulfill the requirements, based on the Contractors' responses to the factors outlined in this TO request and their relative importance.

c. The Government anticipates selecting the best-suited Contractor from initial responses, without engaging in exchanges with Contractors but reserves the right to do so. Contractors are strongly encouraged to submit their best technical solutions and price in response to this TO request.

d. Once the Government determines the Contractor that is the best-suited (i.e., the apparent successful Contractor), the Government reserves the right to communicate with only that Contractor to address any remaining issues, if necessary, and finalize a TO with that Contractor. These issues may include technical and price. If the parties cannot successfully address any remaining issues, as determined pertinent at the sole discretion of the Government, the Government reserves the right to communicate with the next best-suited Contractor based on the original analysis and address any remaining issues. Once the Government has begun communications with the next best-suited Contractor, no further communications with the previous Contractor will be entertained until after the TO has been awarded. This process shall continue until an agreement is successfully reached and a TO is awarded.

VI. Notice to Proceed

a. The Contractor shall begin work in accordance with the requirements of the TO.

b. In the event of any planned closures of the installation, the Government will notify the Contractor of the anticipated extent of the closure.

c. In the event of an unplanned closure of the installation due to natural disasters, military emergency, or severe weather, the Contractor will not bill the Government for work not completed during these periods.

(4) For this MAC IDIQ, the designated task order ombudsman is as designated in AFFARS clause 5352.201-9101.

The TO ombudsman is responsible for reviewing complaints from MAC IDIQ Contractors and ensuring that all of the Contractors are afforded a fair opportunity to be considered for TOs. This clause does not guarantee the Contractor issuance of any TO above the minimum guarantee(s).
