52.211-10 Alternate I Commencement, Prosecution, and Completion of Work. - (Alternate I) 1984-04 As prescribed in 11.404(b), insert the following clause in solicitations and contracts when a fixed-price construction contract is contemplated. The clause may be changed to accommodate the issuance of orders under indefinite-delivery contracts for construction.

Commencement, Prosecution, and Completion of Work (Apr 1984) The Contractor shall be required to (a)commence work under this contract within __10 or Per Task Order Schedule__ [Contracting Officer insert number] calendar days after the date the Contractor receives the notice to proceed, (b)prosecute the work diligently, and (c)complete the entire work ready for use not later than __Per Task Order Schedule__.* The time stated for completion shall include final cleanup of the premises.

* The Contracting Officer shall specify either a number of days after the date the contractor receives the notice to proceed, or a calendar date.

(End of clause) Alternate I (Apr1984). If the completion date is expressed as a specific calendar date, computed on the basis of the contractor receiving the notice to proceed by a certain day, add the following paragraph to the basic clause:

252.232-7006 Wide Area WorkFlow Payment Instructions. 2018-12 As prescribed in 232.7004(b), use the following clause:

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (DEC 2018)

(a) Definitions. As used in this clause- Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.

Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow

(WAWF).

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.

Payment request and receiving report are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall-

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov;

and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the Web Based Training link on the WAWF home page at https://wawf.eb.mil/

(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:

(1) Document type. The Contractor shall submit payment requests using the following document type(s):

(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.

(ii) For fixed price line items

(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

Section H - Special Contract Requirements

1. FAIR OPPORTUNITY ON TASK ORDERS

All contract awardees will be provided fair opportunity to be considered for each task order, per FAR 16.505(b). Contractors are encouraged to participate in all site visits and submit pricing for all projects. Each TO will be awarded as a result of competition to the contractor who offers either the lowest price or the best value to the government. The contracting officer may utilize broad discretion in determining evaluation criteria, and their relative importance, if factors other than price are utilized. Those additional factors will be specified on the Notice of Intent to place an order. Any FAR 14 or FAR 15 referenced language is incidental and will not apply.

Price will be evaluation criteria in all task orders. The Contractor will provide their best price for the individual task order.

There are no pre-established prices established within the contract. The Contractor will utilize the Pricing Data Sheet (PDS) attached to each Notice of Intent when providing their price for each individual task order.

Examples of evaluation criteria that may be utilized at the task order level include, but are not limited to:

A. Contractor performance on prior task orders including:

(i) Problem identification and resolution

(ii) Adherence to Quality Control Plan

(iii) Designation of onsite managers authorized to make decision on behalf of contractor

(iv) Quality of work

(v) Customer satisfaction

*Note: If the Contractor does not have any recent or relevant past performance, as defined by the task order, the past performance rating will receive a neutral rating.

2. DECENTRALIZED ORDERING

Orders processed under this contract will be decentralized, meaning installation Contracting Officers will solicit contract holders for local requirements and administer the resulting orders. The following ordering offices may solicit and place task orders:

1. 354th Contracting Squadron: Eielson Air Force Base (will also place orders for Clear AFS)

2. RCO-AK: Ft Wainwright (will also place orders for Ft Greely)

3. 168th Air National Guard: Eielson Air Force Base

3. ORDERING PROCESS

Task Order Fair Opportunity Notice of Intent:

The ordering Contracting Officer will initiate the task order process by sending notice and attachments (hereafter referred to as the NOI package) to IDIQ holders following FAR 16.505. The NOI package should include the following information:

4. GUARANTEED MINIMUM

Upon contract award, each awardee will receive an initial task order for the contract minimum of $500.00 to cover the expense of attending a post award conference. The post award conference will be conducted within 30 days following contract award and will be held at Eielson AFB, Alaska. The Government will provide the dates, format, and agenda within approximately two (2) weeks after contract award. It is anticipated the post award conference will be 4-6 hours in length. The Government will not pay any additional costs incurred above this amount.

Contract awardees attending the post award conference are authorized up to three (3) contractor management staff. At the request of the awardee, the Contracting Officer (CO) may approve additional attendees, at no cost to the Government, if space is available. The post award conference will focus on contract terms and conditions, fire and safety, base access, bonding requirements, and additional topics.

5. ON-RAMP/OFF-RAMP PROCEDURES

All active contract holders are notified that there is no promise, express or implied, of exclusivity. The government reserves the right, at any time during the contract period, to evaluate the market to determine if it is in the government's interest to award contracts to additional qualified firms by employing "on-ramp" procedures.

During a contract on-ramp, the Government will advertise the reopening of the competition on https//www.beta.sam.gov, and potential awardees shall meet the criteria established in the initial solicitation. The solicitation process will be the same as during the original solicitation, but changes may occur if law, regulation, or policy have changed and require alteration to the process. Any new awardees will compete with any existing or remaining MATOC Contractors for all task orders (excluding the need to meet the minimum obligation amount). Any additions due to on-ramps will not increase the contract ceiling and the ordering period for new awardees will not exceed the overall maximum term of the original contract. The Government will not consider unsolicited requests for addition to the competitive pool.

During a contract off-ramp, the contracting officer may elect to remove from the MATOC pool firms that have poor performance or have repetitively failed to participate responsibly in site visits and submit pricing for projects. Contractors are on notice that the Government may eliminate them from further consideration during the ordering period, after the minimum obligation has been satisfied, or the government may choose not to exercise the option to extend the contract of any such contractor.

6. INTERCHANGES

FAR 16.505(b)(1)(ii) states, "the policies in subpart 15.3 do not apply to the ordering process." Therefore, the "establishment of a competitive range" and "conducting discussions" as defined in that subpart is not necessary, nor are they defined in FAR 16.5. Because Interchanges are not found in FAR 15.3, the formal restrictions for Communications, Clarifications, or Discussions do not apply. Interchanges do not require a distinction between whether the Interchange results in a change or only clarify an administrative matter or mistake.

The Notice of Intent will identify the procedures that will be employed to ensure a fair opportunity for competition is afforded to all offerors. The Contracting Officer may determine one or a few Offerors have the highest potential to provide the best value to the Government. Once the offeror(s) is identified, the Government may hold Interchanges with none, one, some, or all offerors that responded to the task order Notice of Intent to address any remaining issues and settle the final terms of the order. These issues may be technical, price or past performance related, or deal with contract documentation.

If the Interchanges do not result in an awardable pricing agreement, the Government may continue Interchanges with the next most favorably positioned offeror(s) for the same purpose, and continue until award is made. Accordingly, the contracting officer may utilize Interchanges to communicate with contractors at any time during the ordering/evaluation process.

Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment (Aug 2019)

(a) Definitions. As used in this clause- "Covered foreign country" means The People's Republic of China.

"Covered telecommunications equipment or services" means-

(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);

(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera

Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);

(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or

(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.

"Critical technology" means-

(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;

(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled-

(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or

(ii) For reasons relating to regional stability or surreptitious listening;

(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);

(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);

(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or

(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).

"Substantial or essential component" means any component necessary for the proper function or performance of a piece of equipment, system, or service.

(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in Federal Acquisition Regulation 4.2104.

(c) Exceptions. This clause does not prohibit contractors from providing-

(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(d) Reporting requirement.

(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause to the Contracting Officer, unless elsewhere in this contract are established procedures for reporting the information; in the case of the Department of Defense, the Contractor shall report to the website at https:// dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.

(2) The Contractor shall report the following information pursuant to paragraph (d)(1) of this clause

(i) Within one business day from the date of such identification or notification: the contract number; the order number(s), if applicable; supplier name; supplier unique entity identifier (if known); supplier Commercial and Government Entity (CAGE) code (if known); brand; model number (original equipment manufacturer number, manufacturer part number, or wholesaler number); item description; and any readily available information about mitigation actions undertaken or recommended.

(ii) Within 10 business days of submitting the information in paragraph (d)(2)(i) of this clause: any further available information about mitigation actions undertaken or recommended. In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of covered telecommunications equipment or services, and any additional efforts that will be incorporated to prevent future use or submission of covered telecommunications equipment or services.

(e) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (e), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items.
