5352.201-9101 OMBUDSMAN (APR 2010)

(a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. The existence of the ombudsman does not affect the authority of the program manager, contracting officer, or source selection official. Further, the ombudsman does not participate in the evaluation of proposals, the source selection process, or the adjudication of protests or formal contract disputes. The ombudsman may refer the party to another official who can resolve the concern.

(b) Before consulting with an ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations to the contracting officer for resolution. Consulting an ombudsman does not alter or postpone the timelines for any other processes (e.g., agency level bid protests, GAO bid protests, requests for debriefings, employee-employer actions, contests of OMBC A-76 competition performance decisions).

(c) If resolution cannot be made by the contracting officer, concerned parties may contact the Center/MAJCOM or AFISRA ombudsmen, Lt Col Kristian Ellingsen, 129 Andrews St, Langley AFB, VA 23665-2769, phone number (757) 764-5373, facsimile number (757) 764-4400, Email address: kristian.ellingsen@langley.af.mil.. Concerns, issues, disagreements, and recommendations that cannot be resolved at the MAJCOM/DRU or ARISRA level, may be brought by the concerned party for further consideration to the Air Force ombudsman, Associate Deputy Assistant Secretary (ADAS) (Contracting), SAF/AQC, 1060 Air Force Pentagon, Washington DC 20330-1060, phone number (703) 588-7004, facsimile number (703) 588-1067.

(d) The ombudsman has no authority to render a decision that binds the agency.

(e) Do not contact the ombudsman to request copies of the solicitation, verify offer due date, or clarify technical requirements. Such inquiries shall be directed to the Contracting Officer.

SECTION 4A - ADDENDUM TO 52-212-4

The following have been modified:

ADDENDUM

4a-1

INCORPORATION OF CONTRACTOR’S PROPOSAL

1. The Government reserves the right to incorporate into this contract, by reference or full text, portions of the successful Contractor’s proposal submitted in response to this solicitation as revised and supplemented through the date of award. The Performance Work Statement (PWS) and the terms and conditions of this contract take precedence over any ambiguity in the contractor’s proposal.

2. In those areas where the contractor’s proposal exceeds the stated PWS requirements, the contractor’s proposal is binding and prevails. The Contractor is expected and required to adhere to its proposal approach to meeting the contract requirements.

4a-2

DISPOSITION OF UNSUCCESSFUL PROPOSALS

In compliance with FAR Subpart 4.8, the Government will retain one hard copy of all unsuccessful proposals. The Government will destroy extra copies of such unsuccessful proposals.

4a-3

ASSOCIATE CONTRACTOR AGREEMENT

The Contractor shall enter into Associate Contractor Agreements (ACA) for any portion of the contract requiring joint participation or access to another Government Contractor’s proprietary information in the accomplishment of the Government’s requirement. The agreements shall include the basis for sharing information, data, technical knowledge, expertise, and/or resources essential to the interaction of the FIAR Support program, which shall ensure the greatest degree of cooperation for the development of the program to meet the terms of the contract. Associate Contractor information identified below shall be provided for individual task orders as required.

ACAs shall include the following general information:

· Identify the associate Contractors and their relationships

· Identify the program involved and the relevant Government contracts of the associate Contractors

· Describe the associate Contractor interfaces by general subject matter

· Specify the categories of information to be exchanged or support to be provided

· Include the expiration date (or event) of the ACA

· Identify potential conflicts between relevant Government contracts and the ACA; include agreements on protection of proprietary data and restrictions on employees

The cooperating Contactors shall provide a copy of such agreement to the Contracting Officer for review before execution of the document.

The Contractor is not relieved of any contract requirements or entitled to any adjustments to the contract terms because of a failure to resolve a disagreement with an associate Contractor. However, the Government may assist the Contractor in the event of non-responsiveness from an associate Contractor.

Liability for the improper disclosure of any proprietary data contained in or referenced by any agreement shall rest with the parties to the agreement, and not the Government.

All costs associated with the agreements are included in the negotiated cost of this contract. Agreements may be amended as required by the Government during the performance of this contract.

The following Contractors are associate Contractors with whom agreements are required:

CONTRACTOR

ADDRESS

PROGRAM/CONTRACT

CAAS IV Contractor selected to provide AF FIAR administrative support in the areas of FIAR Planning Tool (FIAR-PT) support, meeting support, and FMSuite/Open Document Listing (ODL) review support.

Note: Other associate contractors may be identified in the course of contract performance.

4a-4

CONTRACTING OFFICER AUTHORITY

CO responsibilities for this contract shall reside at HQ ACC AMIC/A&AS Division, Langley AFB, VA. The CO is the only person authorized to approve changes in any of the requirements under this contract and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely with the CO.

4a-5

DISSEMINATION OF INFORMATION

There shall be no dissemination or publication, except within and between the Contractor and any subcontractors, of information developed under this contract or contained in the reports to be furnished pursuant to this contract without prior written approval of the CO. No news release (including photographs and film, public announcements or denial or confirmation of same) on any part of the subject matter of this contract or any phase of any program hereunder, shall be made without written approval of the CO. The Contractor shall pay particular notice to any distribution markings included on Government correspondence and maintain control of information to prevent improper distribution.

4a-6

ORGANIZATIONAL CONFLICTS OF INTEREST

The Contractor shall maintain an Organizational Conflict of Interest (OCI) Plan to reduce the likelihood of an actual or perceived OCI. In order to prevent OCI under this contract, guidance in this clause will apply to eliminate:

a) Conflicting roles which might bias a Contractor's judgment or objectivity

b) An unfair competitive advantage to a Contractor

c) The appearance of an unfair competitive advantage

Parties recognize Contractors will play a very visible and responsible role in fulfilling the broad range of services involved in this requirement. In that capacity, Contractors may have access to information that is not available to the public, which:

a) May give a Contractor an unfair competitive advantage; and/or

b) Creates an appearance that a Contractor has an unfair competitive advantage even if no such advantage actually exists.

The technical judgment of a Contractor will often influence the systems, training, services, policy or guidance adopted by the Air Force, and a Contractor will play a key technical review role over other Contractors' work. Both the Government and all Contractors must have the utmost confidence that acquisitions are fair and that a Contractor's judgment and recommendations are objective, impartial, and independent. To avoid, neutralize, or mitigate a potential conflict of interest, the Contractor shall not, during performance of the contract, engage (as a prime contractor, subcontractor, supplier, or consultant) in any other contract that would design, develop, implement, operate, or sustain any system or deliverable that is based on a recommended solution provided under this contract.

When performing work under this contract requires or involves access to competition sensitive information, as well as possible access to proprietary technical data of other companies disclosed to the Contractor in confidence, the Contractor is required to protect such data from unauthorized use or disclosure so long as it remains proprietary (See 4a-3, Associate Contractor Agreement). The Contractor shall be cognizant of possession and/or disclosure of other Contractors' and/or Government proprietary information, including procurement sensitive information; and of restrictions on participating in development of, and then bidding on resultant requirement. For example, the Contractor may be required to perform studies that directly impact future Government requirements. In support of these studies, the Contractor may have access to certain proprietary information and data. As a result, the Contractor is precluded from working on this contract as a prime or subcontractor or from acting as a consultant to other Contractors for those programs resulting from the recommendations of these studies. The Contractor further agrees to: (1) protect all proprietary information; and (2) refrain from using the information for any purpose other than that to which it was furnished. The Contractor shall immediately disclose to the CO knowledge of any prohibited or attempted use of proprietary information. The Government shall not be liable for any cost/loss resulting from the unauthorized use or disclosure of third party data by the Contractor, its employees, subcontractors, or agents.

The Contractor must thoroughly and formally educate employees on the philosophy of FAR Subpart 9.5 so that employees are disciplined in the absolute necessity of refraining from divulging proprietary data, trade secrets, confidential information or restricted data from other companies received in connection with work under this contract to any unauthorized person.

The Contractor shall require each employee engaged in any effort connected with this contract to sign a written agreement prohibiting proprietary information disclosure. This written agreement shall demonstrate that the employee will not, during their employment by the Contractor or thereafter, disclose to others or use for their own behalf, proprietary or company private information, trade secrets, confidential information, or restricted data received in connection with the work under this contract. The agreement will acknowledge the employee is trained regarding handling proprietary information and discuss penalties for violations. In addition, the agreement shall include that employees agree to prevent disclosure of such information to other Contractor employees who have no need to know the information in performance of this contract. Each employee must also agree not to accept any gratuity from any potential Government Contractors. The Contractor also agrees to adhere, as an entity, to these requirements.

The Contractor agrees to accept, and pursue to completion, all tasks identified hereunder and to ensure that its parents, subsidiaries, and affiliates do not enter into contractual agreements as prime contractors or first tier subcontractors which would create a conflict within the meaning of this OCI requirement, except as follows: If performance of a task could cause a conflict of interest within the meaning of this clause with a contract or subcontract held by the Contractor, its parent, subsidiaries or affiliates, which pre-existed the identification of the task to the Contractor, the Contractor must disclose the conflict of interest to the CO. If the C O confirms that the conflict exists, the parties will consider the alternatives available to eliminate the conflict and mutually resolve it considering the relative burdens created by the prospective solutions.

The Contractor agrees that organizations merely cooperating with the Contractor (e.g., providing information) to enable the Contractor or its agents to perform shall not be deemed as merely "participating" but shall be bound as though they are the "Contractor". This provision shall be incorporated in a manner to insure that such organizations, and their parents, subsidiaries, and affiliates, shall also be bound in all subcontracts, teaming arrangements, and other agreements calling for performance of any requirements under this contract.

If the Contractor discovers an actual or potential organizational conflict of interest not previously considered and adequately mitigated under this OCI requirement and the Government-approved OCI Plan, the Contractor shall make a prompt and full disclosure in writing to the CO. This report shall include a description of the violation and the actions the Contractor has taken or proposes to take to mitigate and avoid repetition of the violation. The Contractor shall routinely monitor its proposed business development and shall discuss any real or perceived OCI issues with the CO and affected customers to proactively resolve and/or mitigate those potential OCI issues. After full analysis, the CO and the Contractor will agree on appropriate corrective action, if any, or the CO will direct such action, subject to the terms of this contract.

OCI violations are a significant contract performance issue. Lack of adherence to the OCI Plan or this clause may have serious consequences that may include contract termination, suspension and debarment, or other appropriate remedies or administrative actions. This OCI requirement applies to all tasks related to the AF FIAR Support contract.

4a-7

SMALL BUSINESS SUBCONTRACTING REQUIREMENT

Small Business subcontracting requirements will be expressed in terms of percent of contract value in addition to percent of subcontracted amount. All prime contractors are required to subcontract 25% of the total task order value, including options, to small businesses. Five (5) percent of the requirement shall be allocated to Small Disadvantaged and Women-Owned Businesses. First-tier (subcontractor one (1) level below prime contractor), second-tier (subcontractor two (2) levels below prime contractor), and third-tier (subcontractor three (3) levels below the prime contractor) awards may be considered in meeting or exceeding requirements. No lower tier will be considered. The Contractor will be required to submit their subcontracting information every six (6) months via the Electronic Subcontracting Reporting System (eSRS). Small Business participation is a Service Summary item that will be inspected. The Quality Assurance Manager and CO will document performance accordingly. Failure to meet the small business subcontracting requirements of the contract will have a negative impact on the Contractors past performance rating, may negatively affect the Contractor’s ability to secure future task order awards, and can negatively impact the determination of the Government to exercise any options. Conversely, exceeding the small subcontracting plan requirements may result in a favorable CPARS rating and have a positive impact on past performance ratings.

4a-8

ORDERING PERIOD

The period from 30 July 2012 through 29 July 2017 is considered the FIAR ID/IQ contract ordering period. For more specifics on ordering, see Section 4, clause 52.216-18 (Ordering).

4a-9

GOVERNMENT FURNISHED INFORMATION AND DERIVATIVES THEREOF

Government furnished information--to include, for example, cost, schedule, and financial data--may be provided and/or used in furtherance of this contract. Such information, as well as all derivatives of such information, shall not be used for any other purpose and shall remain the exclusive property of the Government. The Government has unlimited rights to corrections or changes to information furnished to the Contractor by the Government. All copies of government furnished information and derivatives thereof shall be properly disposed of when no longer necessary for performance of this contract or at the conclusion of the performance period, whichever is sooner, and per the direction of the Contracting Officer. 6-5.2 The instructions below prescribe the format of proposals. Proposals shall include all of the information requested in the specific instructions. Failure to include all information requested may adversely affect the evaluation.

6-5.3 It is an Offeror’s responsibility to submit a well-written proposal, with adequately detailed information which clearly demonstrates compliance with the solicitation and allows for a meaningful review. An Offeror that does not affirmatively demonstrate the merits of its proposal risks rejection of its proposal. Proposals with significant informational deficiencies may be excluded, whether the deficiencies are attributable to either omitted or merely inadequate information addressing fundamental factors.

6-5.4 Proposal Format.

6-5.4.1 Page Format. Type size for text shall not be smaller than Microsoft Word Times New Roman 10 point font, single column, normal proportional spacing and one inch (1”) margins (top, bottom, left and right). Text lines and table lines of text shall be single-spaced. Page color for each page of the proposal submission shall be white or ivory.

6-5.4.2 What Counts as a Page. A page shall be an 8 ½” x 11” sheet of paper. Fold-outs shall not exceed 11” x 17” and shall count as two (2) pages. All material shall be contained within the page limit identified for each volume, and all appendices, charts, graphs, diagrams, tables, photographs, drawings, etc., are included in the page count, with exception of items stated in 6-5.4.3 below 6-5.4.3 Pages Not Included in Page Count. The organizational chart and acronym list will not be included in the page count. Covers for volumes, tables of contents, indices, title pages, and section dividers/tables will not be included in the page count if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. They will be counted if they contain any other information, e.g., diagrams, extraneous data, etc. Pages marked “This page intentionally left blank” and without any additional information will not be counted.

6-5.4.4 Electronic Copies. Offerors shall NOT submit any documents in PDF that cannot be electronically searched (except those requiring scanned signatures, screen shots or where a searchable document cannot be accommodated). Offerors may use JPEG images for charts or screen shots. The Volume III Pricing Table shall be submitted in Microsoft Excel 2003 or 2007. Offerors shall name files in an unambiguous manner, using plain language text, which facilitates the Government’s ease of accessing the files for evaluation, using standard naming conventions (e.g., Offeror name-volume name). Each volume shall be in a single searchable file, with copy/paste capability, and stored in a folder that corresponds to the proposal volume it represents. Offerors shall insert the file name in the header of each document. The disk shall be virus checked prior to submission. It is the Offeror’s responsibility to ensure that electronic copies and hard copies are an exact match. If there is a discrepancy between electronic copies and hard copies referenced in 6-5.4.5 below, the hard copy submission will be used to conduct evaluation.

6-5.4.5 Organization/Copies/Page Limit. Information submitted shall not exceed the page limits stated below for each volume. Evaluators will only read up to the maximum number of pages specified. If the page limit is exceeded, the pages in excess of the limit will be removed from the applicable volume and will not be considered as part of the evaluation. Information required for proposal evaluation that is not found in its designated Volume, will not be considered as part of the evaluation for that Volume.

6-8 INSTRUCTIONS FOR VOLUME II, PAST PERFORMANCE (FACTOR 2)

6-8.1 Contents. Offerors shall submit a Past Performance Volume containing the following:

Past Performance Volume Contents

1
Table of Contents
Not to exceed one (1) page
2
Summary
Not to exceed three (3) pages

See paragraph 6-8.1.1

3
Past Performance Information (PPI) Reference Sheets
Program Details limited to five (5) pages.

See paragraph 6-8.1.2 and Section 6, Attachment 1

4
Subcontractor/Teaming Partner Consent Letter
See paragraph 6-8.1.3 and Section 6, Attachment 2
5
Organization Structure Change History
Not to exceed two (2) pages (bullet format, narrative not required)

See paragraph 6-8.1.4

6-8.1.1 Summary. Describe the roles of the references submitted for the Offeror, subcontractors, teaming partners, and/or joint venture partners in relation to proposed performance for the subject requirement. Include a detailed matrix that depicts how each reference meets the relevancy criteria defined in paragraph 7-3.2.3.1. Also include a detailed explanation of how the combination of all submitted references meets the relevancy criteria.

6-8.1.2 Past Performance Information (PPI) Reference Sheets (Attachment 1). Submit a separate PPI sheet for each reference with a minimum of 12 months of active performance. Submit a minimum of two (2) and a maximum of five (5) references; two (2) of the references provided shall be on the Offeror. The remaining three (3) references may be provided for subcontractors, teaming partners, and/or joint venture partners considered critical to successful performance of the requirement. PPI Reference Sheets will be treated as source selection information in accordance with FAR Part 2.101 and 3.104.

6-8.1.3 Subcontractor/Teaming Partner Consent Letter (Attachment 2). PPI references concerning subcontractor and teaming partners cannot be disclosed to a private party without the subcontractor’s or teaming partner’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor/teaming partner PPI reference information to the Prime during exchanges. These letters are only required for subcontractors and teaming/joint venture partners for which the Offeror submits past performance information as part of the Past Performance Volume. Completed consent forms shall be submitted as part of the Past Performance Volume.

6-8.1.4 Organizational Structure Change History. Many companies have acquired, have been acquired by, or have otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate the Government’s past performance evaluation, Offerors shall include in this proposal volume a detailed "roadmap" describing all such organizational changes (if applicable), to include specific names and dates within the recency period, for each company (Prime and/ or Subcontractor on this effort) with a PPI reference.

6-8.2 Recency Determination. Each PPI reference shall have work/services (minimum of 12 months of performance) that was/were performed during the last three (3) years preceding the final solicitation due date. This includes contracts that were awarded prior to this period, but still had performance (minimum of 12 months) during the last three (3) years.

6-8.3 Relevant Contracts. Offerors shall submit information on contracts deemed relevant in demonstrating the ability to perform the full range of AF FIAR Support capabilities IAW PWS requirements, and explain how/why the referenced contracts are relevant IAW the relevancy definitions at 7-3.2.3. Relevancy shall be detailed in each PPI Reference Sheet (Attachment 1). The Government is not bound by the Offeror’s opinion of relevancy.

6-8.4 Other Sources. The Government may utilize references other than those identified by the Offerors in evaluation of the Offerors’ Past Performance. While the Government may elect to consider data obtained from other sources, the burden of providing accurate and complete, recent and relevant PPI references that demonstrate the ability to perform this requirement rests with each Offeror.

6-8.5 Responsibility Determination. Even though the assessment of Past Performance is separate and distinct from the Determination of Responsibility required by FAR Part 9.1, PPI references contained herein may be used to support the Determination of Responsibility for the successful Offeror.

6-9 INSTRUCTIONS FOR VOLUME III, PRICE (FACTOR 3)

6-9.1 Part A – Pricing Table. Offerors shall complete the AF FIAR Support Pricing Table attached at RFP Section 5.

6-9.1.1 Labor Rates. Offerors shall propose fully burdened labor rates that include G&A, overhead, fringe, etc., for all labor categories proposed. One rate is required for each labor category for each year of the ordering period, as well as “Op X” for task order performance in the year following the end of the ordering period (not to exceed 28 Jul 18). Provide these rates at Tab 1, IDIQ Proposed Labor Rates, of the Pricing Table. These fully burdened rates can be considered a blended rate (combined prime, subcontractor and/or interdivisional rates). The rates shall be for both on-site (on Government site) and off-site (not on Government site) work, regardless of location.

6-9.1.2 Task Orders. At Pricing Table (TO 0001- PM Support; TO 0002 – SBR Audit Readiness; and TO 0003 – E&C Audit Readiness), Offerors shall propose the number of personnel required (# of Task Order FTEs in column with purple background) in each labor category, as well as the number of proposed annual work hours for each performance year for each labor category. Number of FTEs and hours may vary by year within each labor category and among labor categories. Not all labor categories proposed at Tab 1are necessarily required for all task orders. The labor rates from Tab 1 will automatically flow to the task order tabs and the resulting price for each task order will automatically calculate.

6-9.1.3 Data/Software and Data/Software Licensing Fee. The Contractor shall provide Government Purpose Rights for all Assertion Package deliverables. If an Offeror proposes a Data/Software (CLIN 0004) or Data/Software Licensing Fee (CLIN 0005), the Offeror shall provide a listing detailing each portion of an Assertion Package deliverable with less than Government Purpose Rights, the annual cost ("Data/Software" line in purple on the Total Overall Evaluated Price tab (CLIN 0004)) associated with providing that listing on a quarterly basis (CDRL A001) and the corresponding data/software licensing fee ("Data/Software Licensing Fee" line in purple on the Total Overall Evaluated Price tab (CLIN 0005)). These values, if proposed, shall include Government Purpose Rights or Unlimited Rights for the Government to release or disclose commercial data or commercial computer software outside the Government, and to authorize the recipient of such information to use, modify, reproduce, release, perform, display or disclose such commercial technical data or computer software for any Government purpose.

If an Offeror chooses not to propose any Data/Software (CLIN 0004) or Data/Software Licensing Fee (CLIN 0005), the Offeror shall annotate the "Data/Software" and "Data/Software Licensing Fee" lines in purple on the Total Overall Evaluated Price tab of the Attachment 1- AF FIAR Spt IDIQ Pricing Table Amendment 0001 as "NSP" (Not Separately Priced) (NSP).

Offerors shall provide a sample license regardless of whether or not the Offeror chose to propose Data/Software and/or Data/Software Licensing Fee. The sample license could be a simple statement that, "the Government of the United Sates has a royalty-free government-purpose license to use, duplicate, or disclose the work, data, or process, in whole or in part and in any manner, and to have or permit others to do so, for government purposes." An offeror can use any other method to make it clear that the Government will retain at least Government Purpose Rights in all portions of Assertion Package deliverables.

Note: Any fees proposed for Data/Software and Data/Software Licensing in the AF FIAR Support Total Overall Evaluated Price Spreadsheet will cover all deliverable and license fees for the life of the FIAR Contract, to include any future Task Orders.

6-9.1.4 Total Overall Evaluated Price. The totals for each of the task order tabs will automatically flow to the final tab, Total Overall Evaluated Price. Offerors shall propose any: Travel G&A (as a percentage not to exceed two decimal points); Data/Software costs (in dollar.cents format); and/or Data/Software Licensing Fees (in dollar.cents format) for each performance year in the purple rows in the final tab. The Total Overall Evaluated Price then auto-calculates, equaling the sum total of all three (3) task orders and all option periods.

6-9.1.5 Supporting Price Backup Data. Certified cost or pricing data is not required; however, supporting data is requested. Supporting data should explain the methodology used in developing proposed labor rates. Supporting data may be submitted in a format selected by the Offeror.

6-9.1.6 Offerors are responsible for the mathematical accuracy of the submitted Pricing Table.

6-9.2 Part B - Proposal Documentation. Offerors shall provide the following as a separate section contained in the Price Volume and shall be completed as follows:

6-9.2.1 Complete in its entirety, the “Offeror” portion of the SF 1449. An official having the authority to contractually bind your company shall sign the SF 1449 IAW FAR 4.102. The scanned copy of the SF 1449 shall bear an original signature.

6-9.2.2 Indicate that your information is accurate and correct in Online Representations and Certifications (ORCA) at https://orca.bpn.gov. Do not submit paper copies.

6-9.2.3 The Offeror shall acknowledge any and all amendments per the directions on the amendment cover page (SF 30). Failure to acknowledge any amendments to the solicitation results in the Offeror being deemed nonresponsive. Award cannot be made to a nonresponsive Offeror.

6-9.2.4 Top Secret (TS) Facility Clearance. The Offeror shall possess a TS Facility…
