L-1. GENERAL INSTRUCTIONS

L-1.1 Notice to Offeror(s). Funds are not presently available for this effort. No award will be made under this solicitation until funds are available. The Government reserves the right to cancel this solicitation either before or after the closing date for receipt of proposals. In the event the Government cancels this solicitation, the Government has no obligation to reimburse an Offeror for any costs incurred in the development of the proposal. This solicitation will not permit foreign contractor participation. The procurement will require the disclosure of classified military information and controlled unclassified information (CUI) in which foreign contractors are considered non-qualified suppliers and thus are prohibited from submitting proposals.

L-1.2 Proposals in response to this solicitation will be valid for 365 calendar days. Block 12 of Standard Form 33 is completed to read 365 calendar days.

L-1.3 This section of the Request for Proposal (RFP) provides general guidance for preparing proposals as well as specific instructions on the format and content of the required proposal volumes. Each proposal shall include all data and information requested in the RFP. The Offeror shall comply with the solicitation requirements as stated in the Performance Work Statement (PWS). The Offeror’s proposal shall reflect a thorough understanding of the services required and display a logical development of the Offeror's plans to implement PWS requirements as assessed by the RFP evaluation criteria.

L-1.4 The proposal shall be clear, concise, and shall include sufficient detail to provide for adequate evaluation and for substantiation and validity of stated claims. Submitted documents must contain adequate information to enable the evaluation team to fully ascertain an Offeror's capability to perform contract requirements, must meet the requirements of the RFP, and must address the evaluation factors for award.

L-1.5 Offerors shall acknowledge awareness of all amendments to the solicitation by signing and dating Page 1 of each Standard Form 30 Amendment of Solicitation/Modification of Contract and include it in Volume III Price of the proposal. Failure to comply with RFP requirements may deem an offeror nonresponsive. Award CANNOT be made to a nonresponsive offeror.

Offerors shall submit with the proposal an assessment of potential or actual Organizational Conflict of Interest issues, if any, as related to this contract vehicle and future work, as delineated in FAR 9.5. The prime Offeror shall provide such assessment, considering OCI issues as they pertain to not only the prime offeror, but its subcontractors, affiliates, subsidiaries, and team members thereunder. OCI issues include, but may not be limited to, the inability to render impartial assistance or advice to the Government, the inability to objectively perform contract work, unequal access to nonpublic information, or the unfair competitive advantage created by current or previous contractual efforts with the Government. In this proposal (Volume IV), Offerors will clearly and unequivocally state that no potential or actual OCI issues exists, or alternatively submit a mitigation plan with the proposal for government consideration. A potential or actual OCI which may not be mitigated may be basis for exclusion from the source selection, and the Contracting Officer’s determination with respect to an actual or potential OCI shall be considered a responsibility determination under FAR Part 9 and not an evaluation matter

Include a detailed explanation of how each past performance reference meets the relevancy criteria defined in paragraph M-2.3.3. Also include an explanation of how the combination of all submitted references submitted as a team (where primes propose with subcontractors), or on an individual basis for contractors proposing alone, meets the relevancy criteria.

L-11.2.2 Past Performance Reference Sheets (Section L: Attachment 1). Offerors shall provide all past performance information in accordance with Attachment X Past Performance Reference. Submit separate past performance reference sheets on contracts that are recent and considered most relevant in demonstrating the Offeror’s ability to perform the proposed effort. This information is required on the Offeror, subcontractors, teaming partners, and/or joint venture partners that will perform major or critical portions of the effort. The offeror shall submit a maximum of six (6) references; three (3) of the references provided should be on the Offeror (Prime Contractor). The remaining references may be provided for supporting entities (including affiliates/sister companies, subcontractors, teaming partners, and/or joint venture partners which will meaningfully contribute to successful contract performance.” three (3) references shall be provided for subcontractors, teaming partners, and/or joint venture partners that will perform major or critical portions of the effort. Refer to paragraph L-10.1.3 for required consent letter. Each past performance reference shall only address one (1) performance effort. An offeror may provide an Indefinite Delivery Indefinite Quantity (IDIQ) contract or Blanket Purchase Agreement (BPA) as a reference, if the contractor served as a Prime on the IDIQ contract or BPA. In these cases, the Government will assess performance at the IDIQ or BPA level for single award and not on each individual underlying task/delivery order. An offeror may also submit individual (stand-alone) task/delivery orders under an IDIQ as a separate contract reference on a separate reference, even if the offeror submitted the IDIQ as a reference. Offerors using single-award IDIQ contract numbers as a contract reference shall include BOTH the IDIQ contract number AND the individual task order number(s) in order to verify and validate that the IDIQ being referenced is in fact a single-award IDIQ contract. Only task orders that meet the recency (L-8.3) and relevancy (L-8.4) criteria shall be used. A maximum of three (3) relevant task orders issued against a single award IDIQ can be combined and counted as one (1) contract reference to address the criteria. A method of quality assessment shall be provided to or obtainable by the Government (i.e., Contractor Performance Assessment Report (CPAR)/Past Performance Questionnaire (PPQ)) for each contract reference.) Multiple-award Indefinite-Delivery Indefinite-Quantity (IDIQ). Multiple award IDIQ contract numbers are not allowed to be used as a reference; however, an individual task order issued against the multiple-award IDIQ is allowed. Multiple task orders issued against a multiple-award IDIQ cannot be combined and counted as one (1) contract reference. CPARs for each task order submitted as a PPI shall be submitted; if CPARs don’t exist for a task order, a PPQ will be used. For cases in which the offeror was a subcontractor performing under a Prime on an IDIQ, the offeror shall submit each related task/delivery order on a separate past performance sheet and shall not submit the IDIQ as a reference. If an offeror would like assessment of a C-type contract, or a single task/call/delivery/purchase order, the offeror shall submit each reference on a separate past performance sheet. Past Performance sheets will be treated as source selection information in accordance with FAR Part 2.101 and 3.104.

L-11.2.3 Subcontractor/Joint-Venture/Teaming Partner Consent Letter (Section L: Attachment 2). Past Performance references concerning subcontractor, joint-venture or teaming partners cannot be disclosed to a private party without the subcontractor’s or teaming partner’s consent. Because a Prime contractor is a private party, the Government will need consent before disclosing subcontractor/joint-venture/teaming partner past performance reference information to the Prime during exchanges. Completed consent letters shall be submitted as part of the Past Performance Volume for all subcontractors, teaming partners, and/or joint venture partners considered critical to successful performance of the requirement, whether a past performance is submitted on the subcontractor/joint-venture/teaming partner.

L-11.2.4 Authorization Letter. To validate an Offeror’s past performance as a subcontractor on a submitted past performance contract reference, Offerors are required to provide written authorization for the Government to contact the prime contractor on the contract referenced in the submitted past performance reference.

L-11.2.5 Organizational Structure Change History. Many companies have acquired, have been acquired by, or have otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate the Government’s past performance evaluation, Offerors shall include in this proposal volume a detailed “roadmap” describing all such organizational changes (if applicable), to include specific names of “sister”, predecessor, or subsidiary companies with their applicable CAGE codes, DUNS numbers, Unique Entity Identifier (UEI), and dates of organizational changes. Submit the current CAGE codes and UEI numbers of the Prime/Joint Venture (JV) offeror and each team member, partner, and subcontractor included in the Offerors proposal in this section.

L-11.3 Recency Determination. Each reference submitted shall have demonstrated performance (minimum of 12 months) during the last three years preceding the RPA Mx final solicitation issuance date. This includes contracts that were awarded prior to this period, but still had performance (minimum of 12 months) during the last three (3) years.

L-11.3.1 Relevant Contracts. Offerors shall submit references on contracts they consider relevant demonstrating their ability to perform the RPA MX requirement in accordance with (IAW) the PWS. Offerors are required to explain how/why the referenced contracts are relevant IAW the relevancy definitions at M-2.3.3. The Government is not bound by the Offeror’s opinion of relevancy.

L-11.3.2 Past Performance Questionnaires (PPQ) (Section L: Attachment 3). If an offeror is submitting a past performance reference that does not have a formally documented Contractor Performance Assessment Report (CPAR), the Government may use the attached PPQ as a tool for conducting email interviews. When a completed Contractor Performance Assessment Report (CPAR) is available to reflect past performance data, a PPQ is not required. Offerors without formal documented Government CPARs shall send a PPQ to the POC identified in each reference cited in the offeror’s Past Performance Volume. All PPQs are to be submitted by the submitting past performance reference POC and sent via email directly to christopher.hebert.5@us.af.mil and emma.elmore@us.af.mil. Any PPQs submitted directly by offerors will be ignored and will not be considered as part of the evaluation. The Government may also use the attached PPQ as a tool in collecting past performance data on additional sources the Government finds on a particular offeror (see L-10.5). In the event a PPQ is used, it will be treated as source selection information in accordance with FAR Part 2.101 and 3.104.

L-11.4 Other Sources. The Government may utilize references other than those identified by Offerors in evaluation of an Offeror’s past performance. This includes past performance of the prime and any subcontractors, teaming partners, and/or joint venture partners considered critical to successful performance of the requirement. While the Government may elect to consider data obtained from other sources, the burden of providing accurate and complete, recent and relevant past performance reference that demonstrates the ability to perform this requirement rests with each Offeror.

L-11.5: Responsibility Determination. Even though the assessment of past performance is separate and distinct from the Determination of Responsibility required by FAR Part 9.1, past performance references contained herein may be used to support the Determination of Responsibility for the successful Offeror.

L-12. PRICE (FACTOR 4)

L-12.1 Factor Evaluation To facilitate evaluation, Volume IV, Factor 4 Price (hereinafter referred to as the “Price Volume”) shall be specific, detailed, and complete to demonstrate the Offeror has a clearly and thorough understanding of the Remotely Piloted Aircraft (RPA) Maintenance PWS requirements.

L-12.2 Part A – IDIQ Price Matrix L-12.2.1 Labor Rates. Offerors shall provide fully loaded labor rates for CONUS and OCONUS locations in the IDIQ price matrix located in Attachment 3 – Manpower, Labor Rates, and Pricing Tables which will be incorporated into the contract at award. Proposed fully loaded labor rates will be used to price task order requirements at contract award and serve as the ceiling rate for additional task orders throughout the life of this contract. Pricing table for CONUS locations will serve as the baseline for negotiations for adding sites that were not included in the price matrix at contract award. Identify each labor category, to include subcontracted personnel, as exempt or non-exempt, and if classified as a Service Contract Labor Standard (SCLS) position. Proposed labor category titles must be cross referenced to the SCA Directory of Occupations 5th Edition, where applicable. Labor rates identified as non-exempt may be eligible for adjustment IAW FAR 52.222-43.

L-12.3 Part B – Task Order Pricing L-12.3.1 Submit complete and accurate price proposals for the task order PWS requirements. Labor categories and rates shall be based on the prices contained in the IDIQ price matrix located in Attachment 3 – Manpower, Labor Rates, and Pricing Tables. Adjustments to the manpower requirements identified in the manning matrix provided in Volume I are permitted but shall be justified based on the proposed technical solution for the task order requirements and must be clearly identified in the proposed price. This information will be used to assess whether prices proposed are fair and reasonable for the work to be performed and are consistent with the offeror’s proposed technical approach.

L-12.3.2 The Cost-Reimbursable (CR) CLINs (Government Directed Travel) include an Estimated Not to Exceed (NTE) amount that has been pre-established for the CR CLINs. Offerors shall not change the pre-established NTE amounts for these CLINs. The estimated ODCs amounts do not account for any company specific burdens. Offerors shall propose all applicable burdens in accordance with its disclosure statement. This CLIN will be utilized for all locations and shall include technical training, non-routine TDY, MRT and Agile Travel.

L-12.3.3 Total Evaluated Price (TEP). The total evaluated price of the Offeror’s proposal shall consist of the total proposed price for all task order CLINs for all task orders and performance periods (transition, base year, and all four option years) and to include Government provided amounts for Government directed travel plus any proposed indirect rates to be applied in accordance with the offeror’s accounting system. The TEP will include an optional 6-month extension period IAW FAR 52.217-8, calculated as 50% of the Option Year 4 price for all task orders. The TEP will not include any amounts for the award fee.

L-12.3.4 Other than Certified Cost or Pricing Data. Certified cost or pricing data is not required; however, other than certified cost and pricing data is required. This data should explain the methodology used in developing proposed CLIN labor rates. The data includes, at a minimum, breakdown (by CLIN) of labor (labor category, number of positions and productive hours), breakout of Other Direct Costs (ODCs), indirect rates, and subcontract costs. The data may be submitted in a format selected by the offeror. This information shall be submitted in the most recent Microsoft Excel format and the Excel information can be supplemented with a Microsoft Word document as needed.

L-12.3.5 Service Contract Labor Standards. Offerors shall comply with clause 52.222-43 for their price proposal regarding employees covered by the Service Contract Labor Standards. Proposed task order option year prices shall not include allowances for any contingency to cover increased wage or benefits costs for which contract price adjustment is provided by clause 52.222-43.

L-12.4 Part C - Proposal Documentation. In addition to the pricing information requested above, Volume IV shall also contain the following documents:

L-12.4.1 Section A. Complete in its entirety the “Offeror” portion of the SF 33; an official having the authority to bind the offeror contractually must sign the SF 33 IAW FAR 4.102. In doing so, the Offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the model contract. One copy of the SF 33 must bear an original signature.

L-12.4.2 Sections C Through K. Complete the necessary fill-ins and certifications, and provide any information requested in Sections C through K. For Sections C through I, the Offeror shall submit only those pages that require a fill-in. Offeror shall identify the cognizant Defense Contract Audit Agency (DCAA) and Defense Contract Management Agency (DCMA) field offices that have oversight to the Offeror’s organization. Provide information concerning the adequacy of the offerors accounting system pertaining to accumulation of costs for the cost reimbursable CLINS. If DCAA has already determined the offeror’s accounting system adequate, the Offeror shall provide the referenced DCAA audit report number and report date. In addition, provide the most recent review date of the offerors estimating system and identify any deficiencies identified by DCAA and the resolution of the deficiencies. If an offeror has never dealt with DCAA, Offerors shall review the website at www.dcaa.mil and identify the cognizant DCAA office. Offerors shall also provide any information that pertains to a recent DCMA or DCAA financial capability assessment. Offeror shall provide evidence of indirect rates and factors used in the price schedule have been audited/approved by DCAA.

L-12.4.6 Financial Statements. The offeror shall provide information regarding the general financial condition of the firm and specific plans for financing the proposed contract, for use in the Government determining the apparent offeror’s responsibility IAW FAR 9.104-1. The Financial Statements requested will only be used to establish if the company is responsible and will not be used to evaluate the offeror’s price. The offeror shall provide their previous three (3) fiscal year-end financial statements (income and balance sheet) to include notes to the statements. Also include documentation to show capability to access credit markets if necessary.

L-12.4.7 Subcontracting Classified COMSEC Work. If the offeror plans to subcontract COMSEC work to a subcontractor, they must comply with NISPOM 9-407, Subcontracting COMSEC Work, which states “Subcontracts requiring the disclosure of classified COMSEC information shall be awarded only upon the written approval of the Government Contracting Activity (GCA).” Offeror's request for authorization to subcontract classified COMSEC work shall be included in the proposal.

L-12.4.8 Department of Labor Equal Employment Opportunity (EEO) Clearance. In accordance with FAR Part 22.805, the Contracting Officer is required to request pre-award clearance for each proposed contract and for each proposed first-tier subcontract of $10 million or more from the appropriate Office of Federal Contract Compliance Programs (OFCCP) regional office. Each offeror is required to submit a copy of their certificate of compliance from the OFCCP’s National Pre-award Registry database (http://www.dol-esa.gov/preaward/pa_reg.html) for Government verification as part of the proposal submission for each proposed contract and any first-tier subcontracts of $10 million or more. If no compliance certificate is available from the OFCCP database, offerors shall state as such in their proposal and the government will make a request for EEO clearance to OFCCP.

L-12.4.9 Changes Resulting From Discussions. In the event any adjustment of price becomes necessary to reflect changes resulting from discussions, if discussions are held, a complete traceable trail shall be provided to show how the changes took place.
