ADDENDUM TO FAR 52.212-1

ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS - COMMERCIAL ITEMS

1. This Requirement is solicited and awarded as a commercial item under procedures of FAR Part 12, “Acquisition of Commercial Items”, and under FAR Part 15, “Contracting by Negotiation”.

2. Questions regarding this Request for Proposal are to be in writing and directed ONLY to the 502d Contracting

Squadron personnel, all questions must be submitted by 2:00 PM CST Friday, 8 February 2013. Questions or discussions with other contractors and other than contracting Government personnel may render a quote invalid.

3. A site visit is not required, but may be scheduled at contractor request.

4. Quoting Requirements and Award Information.

PROPOSAL PREPARATION INSTRUCTIONS

A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein.

Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

The response shall consist of three (3) separate parts:

o Part I - Price Proposal o Part II - Technical Approach Proposal o Part III - Past Performance Information.

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer's opinion, adequate price competition exists no additional data will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit other than certified cost or pricing data IAW FAR 15.403-3 to the extent necessary for the contracting officer to determine a fair and reasonable price.

C. Specific Instructions:

1. PART I – PRICE PROPOSAL - Submit one (1) electronic copy

(a) This section is to assist you in submitting pricing data that is required to evaluate the reasonableness of your proposed price. Compliance with these requirements is mandatory and failure to comply may result in rejection of your proposal. Note that unrealistically low or high-proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the offeror does not understand the requirement or has submitted an unrealistic proposal. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason to reject an offeror’s proposal. Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed prices rests with the offeror.

(b) Complete blocks 13, 15, 16, 17 and 18 of the RFP Section A, SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP Sections A through K. These sections constitute the model contract.

(c) Insert proposed unit and extended prices in Section B for each Contract Line Item Number (CLIN) or

Sub CLIN (SCLIN), including all option periods. All dollar amounts provided shall be rounded to the nearest dollar.

All loaded labor rates shall be rounded to the nearest penny. The extended amount must equal the whole dollar unit price multiplied by the number of units. The proposal(s) must be submitted for a base plus three (3) option years.

(d) Complete the necessary fill-ins and certifications in the applicable clauses in Section SF 1449, 52.212-

3, Alt I.

(e) Information beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Price volume.

Under no circumstances shall this information and documentation be included elsewhere in the proposal.

2. PART II – TECHNICAL PROPOSAL - Limited to no more than __10__ pages. Submit one (1) electronic copy

The Technical Approach Proposal should be specific and complete. Legibility, clarity, and coherence are very important. Your responses will be evaluated against the Technical subfactors defined in 52.212-2, Evaluation—

Commercial Items. Using the instructions provided below, provide as specifically as possible the actual methodology you would use for accomplishing/satisfying these subfactors. All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your firm will perform all the requirements specified in the solicitation. It is not necessary or desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.

(a) Subfactor - Mobilization: Describe your proposed approach for a sixty (60) day mobilization phase-out of old washers and dryers and phase-in of new washers and dryers to ensure no lapse in service. The phase-in schedule shall be typewritten and shall identify, by facility number and date, the scheduled installation of machines.

(b) Subfactor – Management Plan: The offeror shall explain their methodology for accomplishing the requirements of the PWS by describing your proposed organizational structure and management approach, emphasizing how you propose to accomplish and control the effort necessary for fulfillment of the PWS requirements. Describe supervisory responsibility, lines of authority, subcontracts or cooperative business arrangements and relationships to other entities. Explain who will perform the work, and who will have authority over the contract, and/or an ability to impact the performance of the contract, and who has overall contract management authority.

Describe your plans for tracking and controlling work and for supervising and monitoring performance including methods for monitoring, maintaining, and enhancing the quality of services. Describe any proposed subcontracting and or cooperative business arrangements, their operational and technical benefits to the Government, and the effectiveness of your proposed approach for managing these arrangements to ensure meeting the requirements of the PWS.

3. PART III – PAST PERFORMANCE INFORMATION - Limited to no more than __5__ pages per contract listed. Only references for relevant past efforts/contracts are desired. Submit one (1) electronic copy

(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three (3) Years: Provide any information currently available (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for relevant past efforts/contracts (similar in scope and magnitude of effort and complexities this solicitation requires). In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.

D. Documents submitted in response to this RFP must be fully responsive to and consistent with the following:

1. Requirements of the RFP (CLINs & PWS) and government standards and regulations pertaining to the PWS.

2. Evaluation Factors for Award IAW FAR 52.212-2, Evaluation -- Commercial Items, of this RFP.

3. Any limitation on the number of proposal pages. Pages exceeding the page limitations set forth in this

Section L will not be read or evaluated, and will be removed from the proposal.

4. Format for proposal Parts II and III shall be as follows:

(a) The proposals will be 8 1/2” x 11” paper except for fold-outs used for charts, tables, or diagrams, which may not exceed 11” x 17”.

(b) A page is defined as one face of a sheet of paper containing information.

(c) Typing shall not be less than 12 pitch.

(d) Elaborate formats, bindings or color presentations are not desired or required.

ADDENDUM TO FAR 52.212-2

ADDENDUM TO FAR 52.212-2—EVALUATION—COMMERCIAL ITEMS

I. BASIS FOR CONTRACT AWARD

a. This is a Lowest Price Technically Acceptable (LPTA) source selection conducted in accordance with

Federal Acquisition Regulation (FAR) 15, Contracting by Negotiation, as supplemented by the Defense

Federal Acquisition Regulation Supplement (DFARS), the Air Force Federal Acquisition Regulation

Supplement (AFFARS), DoD Source Selection Procedures, Appendix A, 04 March 2011 and Air Force

Mandatory Procedures 5315.3, dated 8 May 2011. These regulations are available electronically at the Air

Force (AF) FARSite, http://farsite.hill.af.mil. The Government will select the proposal with the lowest evaluated price from among those meeting the acceptability standards for non-price factors. Contract(s) may be awarded to the offeror who is deemed responsible in accordance with the FAR Part 9.1, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Section L of this solicitation) and is judged, based on the evaluation factors and subfactors, to represent the lowest price technically acceptable proposal. While the Government will strive for maximum objectivity, the source selection process, by its nature, is subjective; and therefore, professional judgment is implicit throughout the entire process.

b. Number of Contracts to be Awarded

The Government intends to award one (1) contract for Washers & Dryers Lease and Maintenance Services, Fort Sam Houston, Texas.

c. Rejection of Unrealistic Offers

The Government may reject any proposal that is evaluated to be unrealistic in terms of program commitments, contract terms and conditions, or unrealistically high or low in price when compared to

Government estimates, such that the proposal is deemed to reflect an inherent lack of competence or failure to comprehend the complexity and risks of the program.

d. Correction Potential of Proposals

The Government will consider, throughout the evaluation, the "correction potential" of any deficiency. The judgment of such "correction potential" is within the sole discretion of the Government. If an aspect of an offeror's proposal does not meet the Government's requirements and is not considered correctable through discussions, the offeror may be excluded/eliminated from the competitive range.

e. Discussions

If, during the evaluation period, it is determined to be in the best interest of the Government to hold discussions, offeror responses to Evaluation Notices (ENs) and the Final Proposal Revision (FPR) will be considered in making the source selection decision. If the offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any changes or exceptions in the Final Proposal Revision are subject to evaluation and may introduce risk that the offeror’s proposal be determined unacceptable and ineligible for award.

f. Solicitation Requirements, Terms, and Conditions

Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors. Failure to comply with the terms and conditions of the solicitation may result in the offeror being ineligible for award.

Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.

II. EVALUATION FACTORS

a. Evaluation Factors and Subfactors

The following evaluation factors and subfactors will be used to evaluate each proposal. The Government will evaluate proposals for acceptability, but will not rank the proposals by the non-price factors or subfactors.

b. Price Factor

Offerors whose price is determined to be unreasonable or unbalanced may not be considered for award.

(1) The offeror’s Price proposal will be evaluated for award purposes, based upon the total price proposed for basic requirements (basic award) and all options.

... by, (and the Government shall consider, for source selection purposes,) the offeror's proposed target price, ceiling price, and share ratio for the basic requirements (basic award) and all options in the evaluation of the Price Factor.

(2) Evaluation of options shall not obligate the Government to exercise such options.

(3) Reasonableness: The offeror’s Price proposal will be evaluated, using one or more of the techniques defined in FAR 15.404, in order to determine if it is reasonable. For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. Normally, price reasonableness is established through price analysis techniques as described in

FAR 15.404. For additional information see FAR 31.201-3.

(4) Unbalanced Pricing: The Government will analyze proposals to determine whether they are unbalanced with respect to prices, variable quantity matrix factors, and separately priced line items in accordance with FAR 15.404-1. An offer may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government.

c. Technical Approach

The Government’s technical evaluation team shall evaluate the technical proposals on an acceptable or unacceptable basis, assigning one of the ratings described below for each subfactor. Any subfactor evaluated as “Unacceptable” will render the entire proposal unacceptable and, therefore, unawardable.

Only those proposals determined to be technically acceptable, either initially or as a result of discussions, will be considered for award. However, the offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

The proposals shall be evaluated against the following technical subfactors:

(a) Subfactor 1: Mobilization: This requirement is met when the offeror’s proposal addresses the offeror’s proposed approach for a sixty (60) day mobilization phase-out of old washers and dryers and phase-in of new washers and dryers to ensure no lapse in service. The phase-in schedule shall be typewritten and shall identify, by facility number and date, the scheduled installation of machines.

(b) Subfactor 2– Management Plan: This requirement is met when the offeror’s proposal addresses the methodology for accomplishing the requirements of the PWS by indicating your proposed organizational structure and management approach, addressing how you propose to accomplish and control the effort necessary for fulfillment of the PWS requirements. Speak to supervisory responsibility, lines of authority, subcontracts or cooperative business arrangements and relationships to other entities. Provide details explaining who will perform the work, and who will have authority over the contract, and/or an ability to impact the performance of the contract, and who has overall contract management authority.

Address your plans for tracking and controlling work and for supervising and monitoring performance including methods for monitoring, maintaining, and enhancing the quality of services.

Address any proposed subcontracting and or cooperative business arrangements, their operational and technical benefits to the Government, and the effectiveness of your proposed approach for managing these arrangements to ensure meeting the requirements of the PWS.

d. Past Performance

The Past Performance evaluation results in an assessment of the offeror’s probability of meeting the solicitation requirements. Offerors must receive a past performance rating of “Acceptable” to be eligible for award.

(1) Ratings. The Past Performance factor will receive one of the ratings described below.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see

FAR 15.305(a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable”.

(2) Evaluation Process. The past performance evaluation considers each offeror’s demonstrated recent and relevant record of performance in supplying products and services that meet the solicitation requirements. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance proposal volume and information obtained from other sources available to the Government, to include, but not limited to: the Past Performance

Information Retrieval System (PPIRS); Federal Awardee Performance and Integrity Information System

(FAPIIS); Electronic Subcontract Reporting System (eSRS), or other databases; and interviews/questionnaires with Program Managers, Contracting Officers and Fee Determining Officials, the

Defense Contract Management Agency (DCMA), and commercial sources.

(i) Recency Assessment

An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past 3years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.

(ii) Relevancy Assessment

The Government will conduct an evaluation of all recent performance information obtained to determine whether the products provided/services performed under those contracts relate to the Technical subfactors and Price factor. For each recent past performance citation reviewed, the relevance of the work performed will generally be assessed for the Technical subfactors and Price Factor (however, all aspects of performance that relate to this acquisition may be considered). Consideration will be given to contracts for

Washer & Dryer Leasing and Maintenance Services similar in size and scope to the solicited requirement.

A relevancy determination of the offeror’s past performance will be made based upon the aforementioned considerations, including joint venture partner(s) and major and critical subcontractor(s). In determining the relevancy of effort performed under individual past performance contracts, the government will only consider the specific effort or portion consistent with that proposed by the prime, subcontractor or teaming partner. The past performance information forms (PIFs) and information obtained from other sources will be used to establish the relevancy of past performance. The Government will use the following relevancy definitions when assessing recent, relevant contracts:

III. OPTIONS

52.212-2 -- Evaluation -- Commercial Items (Jan 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price, technical and past performance factors considered. A single award shall be awarded to the lowest priced, technically acceptable (LPTA) contractor. The Government shall make a determination of technical acceptability, based upon the Offeror’s technical proposal meeting or exceeding the salient performance characteristics.

(i) Price.

(ii) Technical Approach. The contractor shall provide with the pricing proposal their specific Technical

Approach to meet contract requirements.

The following technical subfactors shall be used to evaluate offers:

1) Mobilization Plan.

2) Management Plan.

(iii) Past Performance.

Technical and past performance, when combined, are approximately equal to price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) Basis of Award: Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. The Government technical evaluation team shall evaluate the technical proposals on a pass/fail basis, assigning ratings of Acceptable or Unacceptable. A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. The Government intends to award a contract without discussions with respective

Offerors. The Government, however, reserves the right to conduct discussions if deemed in the

Government’s best interest.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (DEC 2012)

ALTERNATE I (APR 2011)

An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically via https://www.acquisition.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (b) through (i) of this provision.

(a) Definitions. As used in this provision:

"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United

States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C.

395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c). An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue

Code at 26 U.S.C. 7874.

“Manufactured end product” means any end product in Federal Supply Classes (FSC) 1000-9999, except—

(1) FSC 5510, Lumber and Related Basic Wood Materials;

(2) Federal Supply Group (FSG) 87, Agricultural Supplies;

(3) FSG 88, Live Animals;

(4) FSG 89, Food and Related Consumables;

(5) FSC 9410, Crude Grades of Plant Materials;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the

Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment

Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern" means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

Subsidiary means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

Veteran-owned small business concern means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least

51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

(2) The offeror has completed the annual representations and certifications electronically via the ORCA website accessed through https://www.acquisition.gov. After reviewing the ORCA database information, the offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-
